Mr. Engen joined BMO Capital Markets’ Investment & Corporate Banking in 1999.
Since joining the firm, he has advised clients on merger and acquisition opportunities,
equity and debt capital market offerings (including initial public offerings) and income
fund structure issues. His work focuses principally on energy infrastructure.
•
Publicly disclosed advisory transaction experience includes: SemCAMS strategic
alternatives process (ongoing); TransAlta Power, L.P. sale to Cheung Kong
Infrastructure, TransCanada Power, L.P. strategic alternatives review and sale of LP
control to EPCOR Utilities, Calpine Power Income Fund restructuring and sale advisory;
ATCO Midstream strategic alternatives review and process and Pembina Pipeline
acquisition of Western Facilities pipeline assets.
•
Recent capital markets transaction experience (where BMO Capital Markets played a
sole or co-bookrunner role) includes: TransCanada Corporation three equity offerings
between 2007 and 2008 totaling $4.15 billion, Canadian Western Bank $105 million
innovative tier 1 capital offering and $200 million subordinated debt offering; Duke
Energy Income Fund $108 million follow-on offering, $200 million Enbridge Income
Fund IPO; $200 million ARC Energy Trust secondary offering; $700 million in followon offerings by EPCOR Power, L.P. (formerly TransCanada Power, L.P.); over $2.0
billion in debt and preferred share offerings by the ATCO Group; over $1.0 billion in
debt and preferred share offerings by TransCanada PipeLines; and $403 million Brighton
Beach power facility project financing.

Mr. Engen has provided expert witness evidence supporting applications to the Alberta
Energy and Utilities Board and has appeared as an expert witness before the National
Energy Board all in connection with cost of capital and capital structure matters.

Prior to joining BMO Capital Markets, Mr. Engen was a partner at a major Canadian law
firm, McCarthy Tétrault, where he practiced corporate and securities law, principally in

the power and utilities sector. While practicing law, his transaction experience (where
the firm acting as issuer’s counsel) included: TransCanada Power and TransCanada Gas
Processing limited partnership IPO’s; Interprovincial Pipe Line reorganization into a
holdco structure; numerous debt capital market offerings by TransCanada PipeLines,
Enbridge and TransAlta; and Starcor Energy Trust hostile take-over defense. His
transaction experience also includes (where the firm acted as underwriters’ counsel)
initial public offerings by Manalta Coal and Westshore Terminals, the then largest
income fund IPO’s in Canadian history.

Mr. Engen’s educational background includes a BA (Arts & Science) from the University
of Lethbridge and an LLB and an MBA from the University of Alberta.
