AUTHORIZING AN AMENDMENT TO RESOLUTION #IDA-13-09-20:
(1) ACCEPTING AN APPLICATION FOR FINANCIAL ASSISTANCE FROM ACCO
BRANDS CORPORATION (THE “COMPANY”) (2) AUTHORIZING THE
UNDERTAKING AND FINANCIAL ASSISTANCE TO THE COMPANY FOR THE
PROJECT IN THE FORM OF A SALES AND USE TAX EXEMPTION FOR
PURCHASES AND RENTALS RELATED TO UNDERTAKING THE PROJECT (AS
DESCRIBED BELOW); (3) APPOINTING THE COMPANY AS AGENT TO
UNDERTAKE THE PROJECT and AUTHORIZING THE EXECUTION AND
DELIVERY OF AN AGENT AGREEMENT, SALES TAX EXEMPTION LETTER AND
RELATED DOCUMENTS WITH RESPECT TO THE PROJECT; and (4) ACCEPTING
AND ADOPTING FINDINGS WITH RESPECT TO THE PROJECT PURSUANT TO
SEQRA
WHEREAS, the St. Lawrence County Industrial Development Agency (the "SLCIDA") is
authorized and empowered by Title 1 of Article 18-A of the General Municipal Law of the State
of New York (the "State") as amended, and Chapter 358 of the Laws of 1971 of the State, as
amended (collectively, the "Act") to promote, develop, encourage and assist in the acquiring,
constructing, reconstructing, improving, maintaining, equipping and furnishing of industrial,
manufacturing, warehousing, commercial, research, and recreation facilities, including industrial
pollution control facilities, railroad facilities and certain horse racing facilities, for the purpose of
promoting, attracting, encouraging and developing recreation and economically sound commerce
and industry to advance the job opportunities, health, general prosperity and economic welfare of
the people of the State, to improve their recreation opportunities, prosperity and standard of living,
and to prevent unemployment and economic deterioration; and
WHEREAS, ACCO Brands Corporation (the “Company”), has requested the SLCIDA’s
assistance in the form of Sales and Use Tax Exemptions as it works to upgrade its distribution
facility in Ogdensburg, which is expected to create 30 additional jobs within St. Lawrence County.
The project includes the renovation and modernization of the property located at 941 ACCO Way
located within the City of Ogdensburg, St. Lawrence County, State of New York (the “Facility”) and
the purchase of new machinery and equipment at the Facility (collectively with the Facility, the
“Project”); and
WHEREAS, the SLCIDA authorized the provision of financial assistance to the Company
by adoption of Resolution# IDA-13-09-20, and
WHEREAS, the Company’s project costs subject to Sales and Use Tax have increased and
the Company has subsequently demonstrated a need for additional Sales and Use Tax exemption
benefit to complete the project, and
WHEREAS, the Company has already exceeded its job creation requirements expected
from the assistance approved by the adoption of Resolution# IDA-13-09-20, and
NOW, THEREFORE, BE IT RESOLVED that the St. Lawrence County Industrial
Development Agency authorizes additional Sales and Use Tax exemptions in the amount of
$40,000, and
BE IT FURTHER RESOLVED that the total aggregate Sales and Use Tax exemption
provided for the project shall not exceed $90,000, and
BE IT FURTHER RESOLVED that this resolution shall be subject to the Company
executing an amendment to the Agency Compliance Agreement dated September 13, 2013, and
BE IT FURTHER RESOLVED that all other aspects of IDA Resolution # IDA-13-09-20
shall remain in full force and effect.
