JACK E. THOMPSON Mr. Thompson is a professional corporate director. He currently sits on the board of directors of two companies, Tidewater Inc. and Century Aluminum Corp. and on the advisory board of a venture capital fund, Resource Capital Funds. In the past, he has served on the boards of Phelps Dodge Inc., Rinker Group Ltd, Stillwater Mining Co and Barrick Gold Inc. He began this latest career when the company he was with for 24 years, Homestake Mining Company, was taken over in 2001. He was Chairman and CEO at the time of the take over. He began his tenure with Homestake in 1981, when he was appointed General Manager of the McLaughlin mine in California. In May 1988, he became President of Homestake International Minerals Ltd., a wholly owned subsidiary established to seek investment opportunities in mineral exploration, development and mining outside the United States. In July 1992, Mr. Thompson was appointed to the position Executive Vice President, Canada, overseeing Homestake's interests in Canada following the acquisition of International Corona Corporation. In addition, he became President and CEO of Homestake Canada Inc., Homestake's wholly owned subsidiary, and President and CEO of Prime Resources Group Inc., then 50.6%owned by Homestake. In August 1994, he was elected President and Chief Operating Officer and a member of the Board of Directors of Homestake Mining Company. In May 1996, he was named Chief Executive Officer and in June 1998, he became Chairman of the Board of Directors. In December 2001, following the merger with Barrick Gold Corporation, Mr. Thompson was appointed ViceChairman and Director of that company. Mr. Thompson began his career as a Mining Engineer with Magma Copper Company. Between 1975 and 1981, he held various positions with Newmont Mining Company. Mr. Thompson's professional memberships include the Society for Mining, Metallurgy, and Exploration (SME), Mining and Metallurgical Society of America (MMSA), and Canadian Institute of Mining (CIM). He is or has been a Board member of various industry associations, including the Gold Institute, The World Gold Council, the National Mining Association and Western Business Roundtable. From May 1997 to April 2000 he served as Chairman of the Gold Institute, and from January 1999 to December 2000 he was also Chairman of the Western Regional Council. He is a registered Professional Engineer in the Province of British Columbia and is a past director of the Mining Association of Canada. Mr. Thompson holds a Bachelor of Science degree in Mining and Engineering from the University of Arizona and an Honorary Doctorate in Mining Management from the South Dakota School of Mines. He serves on the University of Arizona College of Engineering Industry Advisory Council. Among his various awards and recognitions he was most recently named Mining Man of the Year and inducted into the Mining Hall of Fame in 2006. In 2005 he was named Alumni of the Year by the University of Arizona. 8/11/2010
