Dear Valued Customer: I wanted to reach out to you to share some exciting news regarding the pending merger of Scientific Games and WMS. Earlier today, we announced the planned organizational structure and leadership team for the combined company upon closing of the transaction, which we are anticipating this fall. Drawing on the great talent and strengths that have made both Scientific Games and WMS leaders in our industries, I truly believe this team will take the combined company to the next level. Once the transaction closes, Scientific Games operationally will be organized into two industry groups - Gaming and Lottery. The Gaming group is expected to be composed of the core WMS Gaming business, the gaming-related systems businesses of both Scientific Games and WMS, Scientific Games’ server-based gaming business headquartered in the U.K., and Williams Interactive. The group will be led by Bill Huntley, who will serve as Executive Vice President and Group Chief Executive of Gaming, reporting to me. Mr. Huntley currently serves as Executive Vice President and Chief Executive Officer, Systems, of Scientific Games, and has overseen the successful integration of several major acquisitions for Scientific Games. The senior management team of the Gaming group who will report to Bill is anticipated to include: Ken Lochiatto, President and Chief Operating Officer of WMS Gaming; Scott Schweinfurth, Chief Financial Officer of Gaming and Chief Integration Officer of Scientific Games; Fred Gabbard, Senior Vice President, Product Development; Steve Beason, Enterprise Chief Technology Officer of Scientific Games; Brooks Pierce, Chief Revenue Officer of Gaming. Mr. Pierce currently serves as President, North American Gaming at Scientific Games; and Phil Horne, Group Managing Director of SG Gaming U.K.; and Jordan Levin, Managing Director of Williams Interactive. Orrin Edidin will assume the role of Senior Vice President, Strategy and Business Development of Gaming, reporting to me. Steve Frater, Executive Chairman of SG Gaming U.K., will continue to report to me. Importantly, Brian Gamache will continue with Scientific Games in a consulting capacity to provide strategic advice to the Company and the senior management team as the two companies complete the integration and focus on the continued growth of the Company’s global gaming business. Brian has done a tremendous job building WMS and overseeing the company’s growth and success, and we are excited that he will continue with the combined company in an advisory role. Under Brian’s leadership, WMS has established itself as an industry innovator and set new standards for gaming entertainment. We look forward to continuing to benefit from Brian’s expertise and unrelenting customer focus as we work to successfully integrate WMS with Scientific Games. This announcement is an exciting step forward in the evolution of Scientific Games into a global company with the most comprehensive portfolio of products and services and world-class functional expertise across the gaming and lottery industries.
