II. Overall Aims of Course
This course provides the principles of Business Law and Contract formation that apply
to American and Egyptian legal system as a whole. The course provides an insight of a
particular emphasis on the study of Contract formation and its different types also the
Contract ways of performance and the available legal treatment of the contract
breaches. The course also develops the familiarity with legal and contractual mentality

IV. Intended Learning Outcomes of Course (ILOs)
a. Knowledge and Understanding
Upon completion of the course, students should be able to:
K.1Explain the various kinds of state and federal courts and the common bases of
their trial and appellate jurisdiction
K.2Recognize the Constitution’s structure and the political
K.3State the importance of ethical decision making to all business managers
K.4Identify the recommendations for improving corporate governance and
corporate social responsibility
K.5Construct a framework for processing facts and ethical principles that will lead
to ethical decision making
K.6Discuss the unique nature of the criminal law and the essential elements of
criminal liability in our legal system
K.7identify the basic types of damages recoverable in a tort case
K.8identify the basic elements of a negligence action
K.9Explain the law of intellectual property, certain "commercial" or "competitive"
torts
K.10Describe the impact that the rules governing offers have on special offer
problem areas such as advertisements, catalos, price lists, price quotes, etc.
K.11 Describe the nature and origins of the consideration requirement and apply it
to resolve a wide variety of commonly occurring contract problems.

Upon completion of the course, students should be able to:

I.2Analyze the problems inherent in using the criminal law to control corporate behaviour
I.3Distinguish between tort liability and criminal liability
I.4Differentiate among the different sorts of culpability exhibited within tort law
I.5Distinguish between contracts and unenforceable promises by listing the basic elements
that define a contract
I.6 Classify the basic types of contract (unilateral-bilateral, void-voidable, etc.)
I.7Distinguish between an acceptance and a counteroffer under both Code and common
law principles.
c. Practical/Professional Skills
Upon completion of the course, students should be able to:
P.1Sketch a specific number of law's functions and demonstrating legal reasoning
P.2 Explain the main sections of the national Constitution
P.3Explain the main state and federal powers to regulate business (especially the state
police power and the federal commerce power) and how they work.
P.4Outline the various factors governing the life of an offer and the ways in which an offer
can be terminated.
