1. Parties Identified.
This Agreement/Contract is entered into effective _____________________(DATE) through
______________________(DATE) between Drake University, hereinafter called “Drake” and

3. Liability.
Each Party agrees to defend, indemnify, and hold harmless the other, and its employees, agents, officers,
trustees and representatives from any and all loss claims, liabilities, damages and expenses, including
attorney fees, which arise out of, or are related to the unintentional or negligent acts or omissions of either
party, its affiliates, contractors, officers, directors, trustees, employees or agents. Each party to the
agreement will remain responsible for losses caused by its own negligence.
4. Insurance.
Company shall provide to Drake a Certificate of Insurance listing Drake as additional insured for general
liability. Minimum insurance coverage limits required are: General Liability: $1 million per occurrence and $3
million aggregate, Auto: $1 million combined single limit (if applicable), Workers Compensation: $100,000
per accident per employees/$500,000 policy limit (if applicable), and Professional Liability: $1 million per
claim or occurrence and $2 million aggregate. (if applicable).
Drake shall be listed as an additional insured on Company’s general liability through an endorsement to the
Company’s insurance policy. The Description of Coverage box shall state: “Drake University and their
employees, agents, volunteers, affiliated companies, elected officials, officers, trustees, and representatives
are additional insured on the general liability with regard to the operations of the insured. Insurance shall 1)
be on a primary basis, non-contributory with any other insurance coverages and/or self-insurance carried by
Drake, 2) include a Waiver of Subrogation Clause, and 3) may not be cancelled or materially changed or
altered until 30 days advance written notice is provided to Drake University Finance and Administration.
5. Independent Contractor’s Clause.
The arrangements contemplated by this Agreement shall not be deemed to constitute a partnership or a joint
venture between the Company and Drake. Neither the Company nor their respective employees, officers,
subcontractors and agents shall be covered by any insurance or employee benefit program maintained by
Drake.

The parties to this Agreement are independent contractors in their relationship to one another and
shall not, under this Agreement or otherwise, be construed to be employees, agents, partners or
joint venturers of one another.
6. Modification Process.
Any notice or amendment under this Agreement shall be in writing by a duly authorized representative of
Company or Drake. The notice must be delivered in person or by public or private courier service (including
U.S. Postal service Express Mail or certified mail with return receipt requested or by facsimile. All notices shall
be addressed to the parties at the addresses noted on the signature page of this Agreement.
7. Terms Duration and Termination.
This Agreement shall be interpreted according to the laws of the State of Iowa. A breach of its terms can
result in the non-breaching party notifying the breaching party in writing of its intent to immediately
terminate the agreement for cause or proposes a timeframe for breaching party to correct the breach. The
term of this Agreement shall commence on the effective date set forth above. Unless sooner terminated as
provided in this Agreement, this Agreement shall remain in effect for an initial term of 1 year. The terms shall
be reviewed annually for renewal. Any changes would be negotiated at that time, unless either party gives
the other party written notice of termination at least ninety (90) days prior to the end of the current term.
8. Force Majeure. Either party may terminate this Agreement due to acts of God. A refund minus any direct
expenses will be provided to the paying party from the funds received party.
9. Entire Agreement.
This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof
and incorporates all prior written and oral statements and understandings. The undersigned agrees to abide by
all items written in this Agreement. The undersigned represents and warrants that he/she has full authority and
right to bind COMPANY to this Agreement.
