TERMS AND CONDITIONS
1 Definitions
In these terms and conditions the following words shall bear the following meaning:
NBV Enterprise Solutions Ltd means the company delivering the Business Support Clinic
Service and responsible for all aspects of its structure.
Adviser Support means the facilitation of the personal development of an individual by means of support from a business adviser who, by acting as a sounding board and critical friend, can offer their experience and skills to help guide a client to make his or her own informed decisions as they develop their business.
Client means a person receiving the Business Support Clinic Service or who intends to do so or who has applied to access the Business Support Clinic Service.
Business Support Clinic Service will be a one off business health check and advisory session on the date pre-arranged by You from the date of the payment.
Advisory sessions will run for a duration, at a location, date and time agreed by both parties.
We or Us or Our refer to NBV Enterprise Solutions Ltd,
You or Your refer to any person who has applied to become a Client
2 Terms on which the Business Support Clinic Service is Provided
2.1 By applying to receive the support offered through the Business Support Clinic Service You are deemed to accept these terms and conditions.
3 Business Support Clinic Service
The provisions of this clause 3 apply to the Business Support Clinic Service.
3.1 The Business Support Clinic fee £ ……...+VAT .
3.2 Only after You have paid for the Service in full will the Adviser be authorised to arrange your advisory session with You.
3.3 If You are unable to take part in a pre-arranged advisory session You must give at least
48hours notice to the Adviser by both email and telephone.
3.4 The Business Support Clinic is a face to face Advisory session.
3.5 All Business Support Clinic Service monies are payable in sterling. Payment can be made by cheque, credit or debit card or bank transfer as per Section 9.

4. Termination
4.1 We reserve the right to withdraw access to the Business Support Clinic Service if You fail to comply with Your obligations under these terms and conditions or if You do anything that may bring Us or the Business Support Clinic Service into disrepute.
4.3 If you choose to cancel the Business Support Clinic Service, no refund either in full or part will be due.
5. Variation of Terms & Conditions
5.1 We may amend these terms and conditions from time to time. If they are revised, We will post or email the revised version to You and will notify you whether your current agreement for the Business Support Clinic Service will be varied.
6. Data Protection and Intellectual Property
6.1 We will respect the privacy of Your data in accordance with Our Data Protection Policy which forms part of these terms and conditions, and in accordance with the Data
Protection Act 1998 and any other applicable data protection legislation. You agree that it is Your responsibility to keep Your data accurate and up to date and to send to Us new or revised data where appropriate. You further agree that We may use Your data as set out in Our Data Protection Policy.
6.2 If You have a concern about Your personal data, or if You think it is being used in breach of these terms, please let Us know by contacting the Data Controller, NBV Enterprise
Solutions Ltd.
6.3 All information pertaining to Your Intellectual Property whether oral, written or otherwise, that is supplied in the course of, or as a result of, the Business Support Clinic shall be treated as confidential by the receiving party.
7 Exclusions
7.1 To the extent permitted by law, we exclude all liability (whether arising in contract, tort or otherwise and whether or not due to our negligence) which we may otherwise have to you as a result of:
7.1.1 any technical, factual, textual or typographical inaccuracies, errors or omissions on or relating to any information;
7.1.2 the unavailability of the service (or any part of it) or any services;
7.1.3 any delay in providing, or failure to provide or make available, services or any negligent provision of services;
7.1.4 any misrepresentation on or relating to the Services (other than a fraudulent misrepresentation made by Us or on Our behalf).
7.2 Our maximum liability to You in respect of Your use of the service or any Services provided or made available to You by Us will be the amount of any fees payable by You in respect for the period during which the liability arose. By applying to become a client You agree that
We shall have no liability for indirect or consequential losses, loss of data, income or profits or damages for loss of or damage to property.

7.3 By applying to become a client You agree that each of these limitations is reasonable having regard to the nature of the Services.
7.4 None of the exclusions or limitations in this clause shall exclude or restrict Our liability for death or personal injury caused by Our negligence.
7.5 None of the above exclusions shall affect any statutory rights which are not capable of being excluded. However, in such case Our obligation, where permitted by law, will be limited to the re-supply of the Service to you.
7.6 Each of the above exclusions or limitations shall be construed as a separate, and severable, provision of these Conditions.
8 Governing Law
These terms and conditions are governed by English law and all disputes shall be subject to the exclusive jurisdiction of the English Courts.
