Paserba, President General Federation of Women’s Clubs Pennsylvania Theme: “Our Children Hold Our Future” Project: “Independent Living for Teens Exiting the Foster Care System” 3 4 GFWC PENNSYLVANIA PRESIDENT’S MESSAGE It is with great anticipation that we all begin the new administration. “Our Children Hold Our Future” is the theme of this administration and it is the goal to assist teens in the foster care and court systems transition into adulthood through Independent Living programs. We can do this by collecting house hold items to assist these teens in their first home; we can do programs with the Independent Living Programs about budgeting, how to apply for a job, table manners; we can even be a mentor for a teen who has no one else to be their friend. I look forward to working with the clubs of Pennsylvania to see this happen. GFWC Pennsylvania is working to move this organization into the 21st Century. You will be able to see everything on the website www.gfwcpennsylvania.org. We encourage each club to work to get a Facebook page and a website. This fall will be the first of the district meetings. Your district directors will be inviting each of you to the meetings. Please plan on attending and bring as many of your fellow clubwomen you can get there. The district directors are excited about their new role in GFWC Pennsylvania and want to share their enthusiasm with the clubwomen in their district. The fundraising items will be on sale at each of the district meetings this fall, please encourage your club members to purchase one or both of these items. As in the last administration, GFWC is encouraging the State Presidents to visit all of the clubs in our state. I hope to be able to visit all of the clubs. I look forward to the invitations. Second: This corporation is organized exclusively for charitable, educational and scientific purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c) (3) of the Internal Revenue Code, or the corresponding provision of any future United States Internal Revenue Law. Third: The address of its registered office in the Commonwealth is 4076 Market Street, Ste 211, Camp Hill, PA 17011-4200 Fourth: The corporation shall have perpetual existence. Fifth: The corporation has no capital stock. Fees for membership and annual dues of members shall be assessed as the corporation, by its by-laws shall determine, which fees and dues, as well as all moneys derived from all sources, shall be applied to the promoting of purposes for which the corporation is formed. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.” Originally adopted – January 3, 1939 Amended November 18, 1965 Amended March 22, 1982 Amended July 15, 1992 Amended May 6, 2010 Amended May 26, 2011 Amended May 4, 2012 40 General Federation of Women’s Clubs Pennsylvania BYLAWS ARTICLE I NAME The name of this organization shall be the “GENERAL FEDERATION OF WOMEN’S CLUBS PENNSYLVANIA,” hereinafter called the Pennsylvania Federation. ARTICLE II OBJECT The object of this organization shall be to unite the influence and interests of Pennsylvania women to promote legislative, civic, educational, moral and social measures. ARTICLE III POLICIES This organization shall be non-partisan, non-sectarian, and non-profit. ARTICLE IV MEMBERSHIP Section 1. QUALIFICATION. The Pennsylvania Federation shall consist of women’s clubs with objectives not in conflict with those of the Pennsylvania Federation or the General Federation of Women’s Clubs of which the Pennsylvania Federation is a member. Section 2. CLASSIFICATION. a. ACTIVE MEMBERSHIP shall be held by clubs paying per capita dues. They shall be entitled to all privileges of the State and General Federations. b. MEMBER-AT-LARGE MEMBERSHIP shall be for women interested in joining or retaining membership in the Pennsylvania Federation if their club has disbanded or dropped out of Pennsylvania Federation or where no Federated club exists. c. JUNIORETTE CLUBS shall be composed of Middle School, Junior High and High School students and sponsored by a club holding active membership in the Pennsylvania Federation. They shall be entitled to all privileges of the State and General Federations. Section 3. ADMISSION a. ACTIVE MEMBERSHIP. Application for membership may be made by clubs with at least five (5) members. The application, accompanied by dues and bylaws shall be submitted to the District Director for processing. The signatures of the President and Third Vice President shall be required to approve a club’s application. Any application not approved by this committee shall be referred to the Board of Directors for action. b. MEMBER-AT-LARGE MEMBERSHIP. Application for membership, accompanied by dues, shall be submitted to the District Director for processing. The signatures of the President and Third Vice President shall be required to approve the application. Any application not approved by this committee shall be referred to the Board of Directors for action. c. JUNIORETTE CLUBS. Applications for membership may be made by a club with at least five (5) members and sponsored by a club holding active membership in Pennsylvania Federation. The application, accompanied by the dues, bylaws and the sponsoring President’s signature shall be submitted to the District Director for processing. The signatures of the President and Third Vice President shall be required to approve a club’s application. Any application not approved by this committee shall be referred to the Board of Directors for action. Section 4. RESIGNATION, FORFEITURE, REINSTATEMENT. a. RESIGNATION. A club in good standing may resign by sending a letter of resignation to Headquarters before February 5. b. FORFEITURE. 1. ACTIVE MEMBERSHIP INCLUDING JUNIORETTE CLUBS. Clubs whose dues are unpaid on May 1 shall be removed from membership. A club may be dropped from the Pennsylvania Federation by action of the Board of Directors for any reason which would have prevented its admission, providing the club has been given an opportunity to present its defense. 41 2. MEMBER-AT-LARGE MEMBERSHIP. A member whose dues are not paid by May 1 shall be removed from membership. 3. REINSTATEMENT. A club that has resigned in good standing may be granted reinstatement upon application. Application for reinstatement must be made in the same manner as application for admission. Clubs having been dropped because of non-payment of dues desiring reinstatement within one year must pay past and current dues. Clubs seeking reinstatement after an absence of more than one year may be reinstated upon payment of current dues plus a fee of ten dollars ($10.00). Section 5. HONORARY MEMBERSHIP. The title of Honorary Membership may be conferred for life, by a two-thirds vote of the voting members present at the annual convention, upon a woman who is a distinguished Pennsylvanian. The vote shall be taken by ballot. The title of Honorary member shall carry with it none of the obligations of the Pennsylvania Federation, but shall entitle the holder to all the privileges except those of making motions, of voting and of holding office. ARTICLE V DUES Section 1. ANNUAL DUES. Dues are payable annually by January 1 to Pennsylvania Federation Headquarters. Clubs whose dues have not been paid on or before February 5 shall not be entitled to representation by delegates at meetings of the State and General Federation. Clubs formed after February 5 are entitled to full representation at state meetings upon payment of per capita dues. a. Per capita dues for members of ACTIVE GENERAL Clubs shall be thirteen dollars ($13.00) for State Federation plus the General Federation dues of fifteen dollars ($15.00). The total amount shall be paid to the Pennsylvania Federation Headquarters. b. Per capita dues for MEMBERS-AT-LARGE shall be thirty dollars ($30.00) for State Federation plus the General Federation dues of fifteen dollars ($15.00). The total amount shall be paid to the Pennsylvania Federation Headquarters. c. Per capita dues for members of ACTIVE JUNIORETTE Clubs shall be ten dollars ($10.00) for State Federation plus the General Federation dues of ten dollars ($10.00). The total amount shall be paid to the Pennsylvania Federation Headquarters. Section 2. NOTICE FOR DUES. Notice shall be sent from headquarters to each club and member-atlarge not later than October 1. Section 3. FISCAL YEAR. The fiscal year of the Pennsylvania Federation shall be from the first day of July of each year to the last day of June of the succeeding year. ARTICLE VI CONSTITUENT DIVISION Section 1. DIVISIONS. The Divisions of the Pennsylvania Federation shall be: a. DISTRICTS - geographical areas of the Commonwealth of Pennsylvania b. COUNTY FEDERATIONS - organized with two (2) or more clubs. A club in an unorganized County may be a voting member of the closest County Federation, until such time as its own County is organized. No club other than per capita dues paying clubs can be members of a County Federation. c. CLUBS - groups organized with a minimum of five (5) members comprised of women eighteen (18) years of age or older, and paying per capita dues for all members. 1. A club whose membership is composed entirely of Middle/Junior High and High School students shall be classified as a JUNIORETTE CLUB. Section 2. DISTRICTS. There shall be six (6) districts: Northeastern, Southeastern, North Central, South Central, Northwestern, Southwestern. The component counties of each shall be determined by the Board of Directors with the consent of each county affected. a. PURPOSE. The Purpose of a District shall be: 1. To promote the Federation program throughout the district. 2. To elect a Director. 3. To endorse candidates for State office. b. DISTRICT MEETING. 1. The Director of each District shall call a meeting annually in the Fall at a time determined by the State President who shall plan the program. 2. The District Meeting shall be open to all per capita dues paying members in the District. The privilege of making motions, debating and voting shall be limited to: 42 c. d. (a) District Director. (b) County President or her alternate. (c) Club president or her alternate. (d) One delegate from each club in the district. (e) One delegate from the Members-at-Large in the District. DISTRICT OFFICER. There shall be a District Director who shall represent the district on the Board of Directors. 1. This officer shall be elected in the odd calendar years from clubs holding active membership. 2. The incoming District Director shall take office at the close of the annual State Convention. 3. A vacancy occurring in the office of District Director shall be filled by the Board of Directors for the unexpired term. The election shall be by ballot. If there is but one nominee, with the consent of the Board, the vote may be by voice. 4. The District Director shall appoint chairmen as needed to promote programs in the District. DISTRICT NOMINATING COMMITTEE 1. A nominating committee consisting of no fewer than three (3) and no more than five (5) members who have given their consent to serve shall be elected at the District Meeting in the even calendar years. Election shall be by ballot. The persons receiving the highest number of votes shall be elected and the person receiving the highest number of votes shall serve as chairman. If no more than the prescribed number of committee members is nominated, the Chair can “put” the question on the number named constituting the committee. In this case, a ballot vote shall be taken at the meeting to elect the chairman. No person may serve on two (2) consecutive nominating committees. 2. Should an elected member be unable to serve, an alternate will be appointed by the District Director. 3. It shall be the duty of the committee to consider the qualifications of all candidates proposed by the membership or by members of the Nominating Committee. Names submitted for the consideration of the committee shall be accompanied by a statement of qualifications and shall be received by the committee by June 1 of an odd calendar year. This shall not prohibit the Nominating Committee from considering names received after that date. 4. The committee shall meet at the call of the chairman between June 1 and August 1 to select one or more candidates for District Director. The names of the candidates and their qualifications shall be sent to the District Director for printing in the Call to the District Meeting. 5. Following the committee report at the District Meeting, nominations may be made from the floor. Voting shall be by ballot. A plurality vote shall elect. If there is but one nominee, with the consent of the assembly, the vote may be by voice. e. ENDORSEMENT FOR STATE OFFICE. A district may endorse candidates for each office to be filled in the State in the following manner: 1. The name of the candidate(s) with qualifications for the specific office shall be presented in writing to the District Director and presented verbally at the District meeting by a delegate from the club of which she is a member. 2. A ballot vote shall be taken and a majority vote shall constitute endorsement of the District. 3. Names and credentials of those receiving endorsement shall be submitted to the Chairman of the Elections Committee by the District Director on or before December 1 of the second year of the administration. Section 3. COUNTIES. a. PURPOSE. A County Federation shall: 1. Seek to unite the federated clubs within the county. 2. Promote the Federation programs. 3. Develop leadership. 43 b. RESPONSIBILITIES. A County Federation shall: 1. Elect officers. 2. Hold at least one (1) meeting a year to be designated as the Annual Meeting. 3. Adopt bylaws not in conflict with the State or General Federation bylaws. 4. Appoint chairmen as needed to conduct the business of the County. Section 4. CLUBS. a. PURPOSE. A Federated Woman’s Club: 1. Unites women of the community in common causes in keeping with the objectives of the Pennsylvania and General Federations. 2. Elects officers and appoints chairmen to conform as nearly as practical to the State Federation. 3. Adopts bylaws not in conflict with County, State or General Federation bylaws. ARTICLE VII OFFICERS AND THEIR ELECTION Section 1. NAME. The officers of the Pennsylvania Federation shall be a President, a First Vice President, a Second Vice President, a Third Vice President, a Secretary, a Treasurer, and a District Director from each of the six districts of this State. Section 2. ELIGIBILITY. To be eligible for the offices of President, First Vice President, Second Vice President, Third Vice President, Secretary and Treasurer a member shall: a. Belong to a club holding active membership. b. Have actively served on the Board of Directors for at least one two-year term or as a member of the Extended Board of Directors as a Chairman for at least two two-year terms. c. Be endorsed by her club and district. Section 3. TERM. Officers shall be elected to serve for a term of two years and/or until their successors are elected. No officer shall serve more than one term in the same office with the exceptions of Treasurer, District Director and the President serving an unexpired term, as provided for in Section 6. A Treasurer may serve two consecutive terms. A District Director may serve two terms providing they are not consecutive. The officers shall assume office at the close of the annual convention at which they were elected. Section 4. NOMINATION. Nomination for an office in the Pennsylvania Federation, except the offices of President and District Director, shall be made by filing a statement of District endorsement as provided for in Article VI, Section 2.d. The names of the candidates shall be announced in the Call to Convention. Section 5. REPORT. The Elections Committee shall present its report at the first business session of the convention. Following the report, nominations may be made from the floor provided the member nominated shall: a. Belong to a club holding active membership. b. Have consented to be a candidate. c. Have actively served on the Board of Directors for at least one two-year term or as a member of the Extended Board of Directors as a Chairman for at least two two-year terms. d. Have written endorsement from her club and two other clubs in her district. Section 6. ELECTION. The First Vice President shall automatically succeed to the office of President unless a President, completing an unexpired term, desires to seek a full term. In such event, the names of the President and the First Vice President shall be placed on the ballot for the election to the office of President. The election of officers, except District Directors, shall be by ballot vote on the second day of the convention under the direction of an Elections Committee appointed by the President. A plurality vote shall elect. In case of a tie, the election shall be determined by lot conducted by the Chairman of Elections. Section 7. VACANCIES. When a vacancy occurs in the office of President, the First Vice President shall succeed to the office and shall serve the unexpired term. If a vacancy occurs in the office of First Vice President, the vacancy shall be filled by the Board of Directors until the next annual Convention when a special election shall be held. A vacancy occurring in any other office shall be filled by the Board of Directors for the unexpired term. The election shall be by ballot. Section 8. HONORARY PAST PRESIDENTS. Past Presidents shall become Honorary Past Presidents for life at the close of the last session of their service as President. An Induction Ceremony shall be marked by the official presentation of the Past President’s pin. 44 ARTICLE VIII DUTIES OF OFFICERS Section 1. PRESIDENT. The President, as the principal officer of the Pennsylvania Federation, shall preside at all State Federation meetings, at meetings of the Board of Directors and the Executive Committee. She shall be an ex-officio member, with vote, of all committees except the Elections Committee. She shall: a. Appoint a Parliamentarian, Historian, Partnerships/Program Chairmen, and Standing Committees as specified in these bylaws. She may create and appoint Special Committees deemed necessary, subject to the approval of the Executive Committee. b. Approve all programs of work. c. Present an annual report to the Pennsylvania Federation. d. Exercise full authority over the official Headquarters and staff. e. Supervise the publication of the Directory and the Clubwoman. f. Issue the Call to Convention and to all regular and special meetings of the Executive Committee and Board of Directors. g. Call special meetings of committees when necessary. h. Have the authority to invite individuals to state board meetings for specific purposes. i. Serve as a member of the Board of Directors of the General Federation of Women’s Clubs. j. Perform such other duties as are outlined in these bylaws. k. Be authorized to sign checks for the Federation. Section 2. FIRST VICE PRESIDENT. The First Vice President shall: a. Perform the duties of the President in her absence. b. Serve as coordinator of activities of the District Directors in their relationship to the Pennsylvania Federation. c. Schedule State Federation speakers for county meetings in consultation with District Directors. d. Attend the meetings of the Bylaws, Convention, Finance and Resolutions Committee without vote. e. Be privileged to attend, without vote, other Standing and Special Committee meetings when invited by the President. f. Appoint a Summer Leadership Conference Chairman with the approval of the Executive Committee prior to the Convention in the odd calendar year. This chairman shall plan the Summer Leadership Conference held during the administration of the officer who appointed her. g. Assume the title of President Elect after September 1 st in the odd calendar year and develop plans for assuming the duties of the presidency as well as fulfilling the duties of the First Vice President. h. Perform such other duties as may be assigned by the President, the Executive Committee and/or the Board of Directors. Section 3. SECOND VICE PRESIDENT. The Second Vice President shall: a. Perform the duties of the President in the absence of the President and the First Vice President. b. Serve as coordinator of the activities of the Partnerships/Program Chairmen in their relationship to programs of work. c. Perform such other duties as may be assigned by the President, the Executive Committee and/or the Board of Directors. Section 4. THIRD VICE PRESIDENT. The Third Vice President shall: a. Perform the duties of the President in the absence of the President, the First Vice President and the Second Vice President. b. Serve as Chairman of the Committee on Membership, and sign applications for membership. c. Perform such other duties as may be assigned by the President, the Executive Committee and/or the Board of Directors. Section 5. SECRETARY. The Secretary shall: a. Keep the minutes of all meetings of the Pennsylvania Federation, the Board of Directors and the Executive Committee and be responsible for their distribution. b. Notify Officers, Program and Committee Chairmen of any action taken by the Pennsylvania Federation or by the Board of Directors affecting their work. c. Deliver to her successor within fifteen (15) days after expiration of her term of office, all property in her custody. Perform such other duties as specified in these bylaws or as may be assigned by the President, the Executive Committee, and/or the Board of Directors. TREASURER. The Treasurer shall: Direct the work of the Assistant Treasurer (Executive Secretary) as outlined in ARTICLE XV, Section 2.b. Be authorized to sign checks for the Pennsylvania Federation. Disburse money in accordance with adopted financial policy. Be a member ex-officio of the Finance Committee with vote. Present a financial report to annual convention. Present a financial report at meetings of the Board of Directors, including an annual review at the Fall meeting, Be bonded in an amount approved by the Board of Directors. Deliver to her successor within fifteen (15) days after expiration of her term of office all books, records, and papers requesting receipt therefore. DISTRICT DIRECTOR. A District Director shall: Serve as a member of the State Board of Directors. Have general supervision of the federation activities in her district through the county and club presidents. Disseminate information to all county presidents, and where no county federation exists, to club presidents. Attend annual County meetings. Accept invitations to attend other county or club meetings when possible. Arrange for and preside at District Meetings; appoint a secretary and a parliamentary advisor for the day. Submit the names of those receiving endorsements for State office to the Chairman of the Elections Committee on or before December 1. Assist in the organization of new clubs, keeping county presidents fully informed. Furnish the Executive Secretary with the list of the federated clubs in each county, together with names and addresses of the officers on or before May 15 of each year. ARTICLE IX MEETINGS Section 1. ANNUAL CONVENTION. A Convention shall be held annually in May, at such time and place as the Board of Directors shall determine for the purpose of: a. Electing officers when applicable. b. Receiving reports. c. Taking action by ballot on any proposed endorsement of members of the State Federation for General Federation and Middle Atlantic Region office. If there is but one candidate for an endorsement, with the consent of the assembly, the vote may be by voice. The endorsement shall be obtained at the state convention assembled in oddnumbered years or in the absence of such previously identified convention, by the endorsement of two thirds (2/3) of the clubs in the State Federation. Endorsement shall be properly documented. d. Transacting such other business as may properly come before it. Section 2. CALL. The official Call to Convention shall be issued by the President to all member clubs and members at large at least thirty days prior to the meeting. Section 3. REPRESENTATION. a. Clubs holding ACTIVE MEMBERSHIP shall be entitled to delegates and alternates in proportion to its paid membership as of February 5 as follows: Less than 25 members - 2 delegates and 2 alternates 25 - 49 members - 3 delegates and 3 alternates 50 - 99 members - 4 delegates and 4 alternates 100 - 150 members - 5 delegates and 5 alternates over 150 members - 6 delegates and 6 alternates No club shall be entitled to more than six (6) delegates. No delegate shall represent more than one (1) club. An alternate must become accredited in order to vote in place of a delegate. 46 b. A COUNTY FEDERATION shall be entitled to be represented by its President or alternate and one (1) additional delegate. c. Members-at-Large shall be entitled to two (2) delegates. Section 4. VOTING BODY. The Convention of the Pennsylvania Federation shall be open to all membership classifications, but the privilege of making motions, debating and voting shall be limited to: a. Members of the GFWC Pennsylvania Board of Directors. b. Honorary Past Presidents. c. Community Service Partnerships/Programs Chairmen. d. Members of all Standing and Special Committees appointed by the President. e. District Chairmen appointed by the President. f. County Federation Delegates. g. Club Delegates. h. Members-at-Large delegates. Section 5. SPECIAL MEETINGS. A special meeting of the Pennsylvania Federation may be called by the Board of Directors and shall be called upon written request of the majority of the clubs in the Pennsylvania Federation. Section 6. EMERGENCY. In case of an emergency or disaster making it impossible to hold the regular annual convention, the Board of Directors shall have authority to cancel or re-schedule the convention. Section 7. QUORUM. Seventy-five (75) members entitled to vote and representing at least four (4) districts shall constitute a quorum at any convention or special meeting of the Pennsylvania Federation. ARTICLE X BOARD OF DIRECTORS Section 1. COMPOSITION. The members of the Board of Directors shall be: a. The Officers of the Pennsylvania Federation. b. Chairmen of Community Service Partnerships/Programs. c. Chairmen of Standing and Special Committees as approved by the Executive Committee. Section 2. AUTHORITY. During the interim between annual conventions, the Board of Directors shall have authority over the affairs of the Pennsylvania Federation with the exception of the following: a. Modifying any action of the Pennsylvania Federation. b. Incurring any expenditure of monies beyond current expenses. Section 3. DUTIES. The Board of Directors shall: a. Conduct all business of the Pennsylvania Federation between conventions. b. Adopt such standing rules as are necessary for the transaction of its business provided they do not conflict with these bylaws. c. Delegate authority to the Executive Committee between meetings of the Board of Directors. d. Adopt an annual budget. e. Adopt the annual review at the Fall Board Meeting. f. Approve the time and place for the annual convention. g. Report to the convention. h. Approve the time and place for any Summer Leadership Conference. i. Have authority to establish, discontinue or combine programs and committees. j. Approve projects involving special funds. k. Carry out all specific duties as provided in the bylaws or as directed by action of the convention. l. Determine and approve the amount of the bond of the Treasurer and Executive Secretary. m. In the absence of a breach of fiduciary duty or lack of faith in self-dealing, action by the member of the Board of Directors shall be presumed to be in the best interest of the corporation. Section 4. MEETINGS. a. There shall be at least two (2) regular meetings each year. b. Special meetings of the Board may be called by the President or shall be called upon written request of at least ten (10) members representing at least three (3) districts. Notice may be given by e-mail unless the person receiving the notice has directed that notices be given them by regular mail. 1. Directors may participate in a meeting and vote by e-mail if the matter to be voted on is presented to all Directors by e-mail or overnight delivery. 47 2. Any action required or permitted to be taken by the Board of Directors under any provision of law, the Articles of Incorporation or these Bylaws may be taken without a meeting if all Directors individually or collectively consent in writing to such action. Consent in writing or e-mail shall satisfy this requirement. Such written consent or consents shall be filed with the Secretary and placed in the minutes of the proceedings of the next board meeting. Subsequent ratification shall not be necessary. Section 5. QUORUM. Ten (10) members shall constitute a quorum of the Board of Directors. Section 6. PERSONAL LIABILITY. a. A director of the corporation shall not be personally liable, as such for monetary damages as such for any action taken, or any failure to take any action, unless the director has breached or failed to perform the duties of her office under 15 Pa.C.S. Subch.57B and the breach or failure to perform constitutes self-dealing, willful misconduct or recklessness. The provisions of this subsection shall not apply to the responsibility or liability of a director pursuant to any criminal statute or the liability of a director for the payment of taxes pursuant to local, state or federal law. ARTICLE XI EXECUTIVE COMMITTEE Section 1. COMPOSITION. The Executive Committee shall be the officers who were elected by the convention body. Section 2. AUTHORITY. The Executive Committee shall transact the business of the Pennsylvania Federation between meetings of the Board of Directors. Section 3. DUTIES. The Executive Committee shall: a. Approve the President’s appointments, including office personnel. b. Make recommendations to the Board of Directors. c. Approve the appointment of a Certified Public Accountant. d. Approve the depository for Pennsylvania Federation funds. e. Report at each meeting of the Board of Directors. f. Perform specific duties as outlined in these bylaws or as delegated by the Board of Directors. g. Approve convention and conference budgets. Section 4. MEETINGS. The Executive Committee shall meet at the call of the President or upon request of three (3) members. An overnight delivery mail vote, e-mail vote, electronic or telephone conference may be ordered by the President. Any action taken shall be reported at the next meeting of the Executive Committee to become a part of the minutes. ARTICLE XII COMMUNITY SERVICE PROGRAMS Section 1. DEFINITION. There shall be Community Service Programs of the Pennsylvania Federation to conform as nearly as possible to those of the General Federation. Section 2. APPOINTMENT. The Chairmen of Community Service Programs shall be appointed by the President and approved by the Executive Committee. No person shall be eligible to serve as a Community Service Program Chairman for more than two (2) consecutive administrations. Section 3. DUTIES. The Chairman of a Community Service Program shall conduct the work of the Program in accordance with a plan which shall be approved by the President, and shall submit a written report to each meeting of the Board of Directors. The Chairmen of Community Service Programs shall conduct the work of the Program directed by the Program Chairmen. ARTICLE XIII STANDING COMMITTEES Section 1. There shall be the following Standing Committees: a. BYLAWS. The Bylaws Committee shall consist of a chairman and four (4) members. The Committee shall submit proposed amendments as provided in Article XVIII. Recommendations for amendments may be submitted by the Executive Committee, the Board of Directors, or any club holding active membership and forwarded to the Chairman of Bylaws before October 15. b. CLUBWOMAN. The President shall appoint the Editor of the CLUBWOMAN and staff members as necessary. 48 c. d. e. f. g. h. CONVENTION. The President shall appoint a Convention Chairman, a ViceChairman, a Program Chairman and a Credentials Committee for each annual convention of the Pennsylvania Federation. Other members of the Convention Committee shall be appointed by the Convention Chairman, with the approval of the President. 1. The Convention Chairman shall: a. Submit a budget to the Finance Committee for review and the Executive Committee for approval at the Fall meeting. b. Present the Convention program at the first meeting of the Convention to be adopted as the Order of Business. 2. The Credentials Committee shall: a. Examine the credentials of all delegates and alternates to the annual convention. b. Certify all credentials. c. Keep an accurate list and report to the convention. 3. Elections. A Committee on Elections shall be appointed by the President in an election year. It shall be the duty of this committee to review the credentials of all candidates for office except District Director and to determine the eligibility of candidates for state office. The Chairman of the Elections Committee shall notify the Director of the candidates’ District, and also the candidate, of the determination of eligibility prior to January 1 of the even calendar year. This committee shall conduct the election. FINANCE. The Finance Committee shall consist of a Chairman and at least four (4) members. The President and Treasurer shall be ex-officio members of this committee, with vote. The Finance Committee shall: 1. Recommend a financial policy to the Board of Directors for adoption at the first meeting of each administration. a. The GFWC Pennsylvania Reserve Fund may be distributed only by a two-thirds vote of the voting body of the Convention assembly; except in the case of emergency when funds may be disbursed by a three-fourths vote of the Board of Directors. Net income shall be dispensed at the discretion of the Board of Directors. b. The GFWC Pennsylvania Foundation is an endowment fund through The Foundation for Enhancing Communities. All income generated by the fund can be used at the discretion of the GFWC Pennsylvania Board of Directors. This fund is the protection plan to insure GFWC Pennsylvania’s future for generations. It shall be the duty of the Finance Committee to perpetuate the Foundation. c. The GFWC Pennsylvania Federation Fund is funded by fund-raising proceeds and gifts. Both principal and income from this fund can be used upon the approval of the President, Treasurer and Finance Chairman and reported to the GFWC Pennsylvania Board of Directors. 2. Present a proposed budget annually to the Board of Directors for adoption at the summer meeting. 3. Audit the Convention accounts and present a full financial report to the Board of Directors, for approval, at the Fall Board Meeting. LEADERSHIP. The Leadership Committee shall consist of a chairman and committee members. It shall be the duty of this committee to develop and implement a systematic and comprehensive program for leadership training. LONG RANGE PLANNING. The Long Range Planning Committee shall consist of a chairman and committee members. It shall be the duty of this committee to evaluate the organization and to appraise and develop strategic plans to strengthen and solidify the Pennsylvania Federation. MEMBERSHIP. The Membership Committee shall consist of the Third Vice President, who shall serve as chairman, and at least three (3) other members. It shall be the duty of this committee to present a program of membership promotion to the President for approval. RESOLUTIONS. The Resolutions Committee shall consist of a chairman and four (4) members. The Legislation Chairman shall serve as an ex-officio member of this committee. It shall be the duty of this committee to consider, edit and present to the 49 Convention such resolutions as it deems pertinent to the objectives of the Pennsylvania Federation. All resolutions of policy shall be submitted in writing, signed by the mover, and sent to the Chairman of this committee before October 15. Resolutions may originate in the committee. A copy of all proposed resolutions of policy shall be sent to each club with the Call to Convention. In the case of an emergency, the rules governing the presentation of resolutions of policy may be suspended by a two-thirds vote and the resolution presented directly to the Pennsylvania Federation for action. A resolution of policy adopted by the Pennsylvania Federation shall be in effect for six (6) years unless rescinded or amended before that time. Resolutions which have expired may be reintroduced at the convention. i. SUMMER LEADERSHIP CONFERENCE. The Summer Leadership Conference Committee shall consist of a Chairman and Committee members. They shall plan and conduct the Summer Leadership Conference. Section 2. ELIGIBILITY. No person shall be eligible to serve as a Standing Committee Chairman for more than two (2) consecutive administrations with the exception of the Editor of the CLUBWOMAN. ARTICLE XIV SPECIAL COMMITTEES Section 1. Special Committees may be created and appointed by the President as deemed necessary with the approval of the Executive Committee. Section 2. ELIGIBILITY. No person shall be eligible to serve as a Special Committee Chairman for more than two (2) consecutive administrations. ARTICLE XV HEADQUARTERS Section 1. HEADQUARTERS. The General Federation of Women’s Clubs Pennsylvania shall maintain State Headquarters under the supervision of the State President. The location shall be determined by the Board of Directors under the supervision of the State President. Section 2. THE EXECUTIVE SECRETARY. The Executive Secretary shall be a salaried employee hired by the President with the approval of the Executive Committee. The specific duties of the Executive Secretary shall be: a. To carry out the program of work in Headquarters as directed by the President, Executive Committee and/or the Board of Directors. b. To serve as Assistant Treasurer, processing all monies due to State and General Federations. c. To be bonded in an amount approved by the Board of Directors, cost to be borne by the Pennsylvania Federation. d. To serve as custodian of all properties and documents kept at Headquarters. e. To maintain a current membership list and periodically furnish to the Membership Committee and the Treasurer a report of dues paid. f. To furnish a master list of paid membership as of February 5 to the Credentials Chairman. g. To prepare a monthly financial statement and a complete financial report at the end of the fiscal year. h. Contact clubs and members-at-large whose dues are delinquent after January 15. ARTICLE XVI PARLIAMENTARIAN Section 1. The Parliamentarian shall be appointed by the President to advise the President, other officers, committees and members on matters of parliamentary procedure. She shall be invited by the President to all committee meetings when her services may be needed. 50 ARTICLE XVII PARLIAMENTARY AUTHORITY The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Pennsylvania Federation in all cases to which they are applicable and in which they are not inconsistent with these bylaws. XVIII INDEMNIFICATION OF DIRECTORS, OFFICERS AND OTHER AUTHORIZED REPRESENTATIVES Section 1. SCOPE OF INDEMNIFICATION. To the extent provided under Sections 5741 through 5748 of the Nonprofit Corporation Law of 1988, the corporation may indemnify any director, officer, employee, or person acting on behalf of the corporation (each an “indemnified representative”) as provided in such sections of the Nonprofit Corporation Law and to purchase such insurance policies as the board of directors shall deem necessary to the extent of such indemnification. Section 2. ARBITRATION. Any dispute related to the right to indemnification, contribution or advancement of expenses as provided under this Article shall be decided only by arbitration in Carlisle, Cumberland County, Pennsylvania, in accordance with the commercial arbitration rules then in effect of the American Arbitration Association, before a panel of three (3) arbitrators, the first of whom shall be selected by the corporation, the second of whom shall be selected by the indemnified representative and the third of whom shall be selected by the other two (2) arbitrators. In the absence of the American Arbitration Association, or if for any reason arbitration under the arbitration rules of the American Arbitration Association cannot be initiated, and if one of the parties fails or refuses to select an arbitrator, or the arbitrators selected by the corporation and the indemnified representative cannot agree on the selection of the third arbitrator within thirty (30) days after such time as the corporation and the indemnified representative have each been notified of the selection of the other’s arbitrator, the necessary arbitrator or arbitrators shall be selected by the presiding judge of the court of general jurisdiction in Carlisle, Cumberland County, Pennsylvania. The party or parties challenging the right of an indemnified representative to the benefits of this Article shall have the burden of proof. The corporation may reimburse an indemnified representative for the expenses (including attorneys’ fees and disbursements) incurred in successfully prosecuting or defending such arbitration. Any award entered by the arbitrators shall be final, binding and non-appealable and judgment may be entered thereon by any party in accordance with applicable law in any court of competent jurisdiction. Section 3. CONTRIBUTION. If the indemnification provided for in this Article or otherwise is unavailable for any reason in respect of any liability or portion thereof, the corporation may contribute to the liabilities to which the indemnified representative may be subject in such proportion as is appropriate to reflect the intent of this Article or otherwise. Section 4. DISCHARGE OF DUTY. An indemnified representative shall be deemed to have discharged such person’s duty to the corporation if he or she has relied in good faith on information, advice or an opinion, report or statement prepared by: a. one (1) or more officers or employees of the corporation whom the indemnified representative reasonably believes to be reliable and competent with respect to the matter presented; b. legal counsel, public accountants or other persons as to matters that the indemnified representative reasonably believes are within the person’s professional or expert competence; or c. a committee of the board of directors on which he or she does not serve as to matters within its area of designated authority, which committee he or she reasonably believes to merit confidence. Section 5. MANDATORY INDEMNIFICATION. To the extent that a director, officer, employee or agent of the corporation has been successful on the merits or otherwise in defense of any action, suit or proceeding referred to in 15 Pa.C.S. §5741or §5742 or in defense of any claim, issue or matter therein, such person shall be indemnified against expenses actually and reasonably incurred by such person in connection therewith. Section 6. CONTRACT RIGHTS; AMENDMENT OR REPEAL. All rights under this Article shall be deemed a contract between the corporation and the indemnified representative pursuant to which the corporation and each indemnified representative intend to be legally bound. Any repeal, amendment or modification hereof shall be prospective only and shall not affect any rights or obligations then existing. 51 Section 7. SCOPE OF ARTICLE. The rights granted by this Article shall not be deemed exclusive of any other rights to which those seeking indemnification, contribution or advancement of expenses may be entitled under any statute, agreement, vote of disinterested directors or otherwise, both as to action in an official capacity and as to action in any other capacity. The indemnification, contribution and advancement of expenses provided by or granted pursuant to this Article shall continue as to a person who has ceased to be an indemnified representative in respect of matters arising prior to such time, and shall inure to the benefit of the heirs, executors, administrators and personal representatives of such a person. Section 8. RELIANCE ON PROVISIONS. Each person who shall act as an indemnified representative of the corporation shall be deemed to be doing so in reliance upon the rights of indemnification, contribution and advancement of expenses provided by this Article. Section 9. INTERPRETATION. The provisions of this Article are intended to constitute bylaws authorized by 15 Pa.C.S. §(a). ARTICLE XIX AMENDMENTS Section 1. These bylaws shall be amended only by a two-thirds vote of those present and voting at any annual convention, provided a copy of the proposed amendments has been sent to each member club with the Call to the annual convention. Section 2. Bylaw amendments, and/or additions recommended by GFWC, shall be incorporated into the GFWC Pennsylvania bylaws immediately and without further action. The Bylaw Chairman shall send notice to the Pennsylvania Clubwoman Newsletter to inform the membership of the changes. For further assistance, please contact the Leadership Committee. 54 GENERAL FEDERATION OF WOMEN'S CLUBS PENNSYLVANIA 2012-2014 POLICIES (Adopted July 27, 2012) GENERAL POLICIES 1. All Federation Policies and Executive Secretary/Assistant Treasurer Job Description shall be approved by the Board and furnished, in writing, to: State Board Members, Committee Chairmen, the Parliamentarian and others at the discretion of the President. 2. All Federation Policies shall be reviewed by the Board at the beginning of an administration. 3. All persons receiving copies of policies shall be notified, in writing, of any amendments. 4. All programs and projects must have the written approval of the President, and all related materials must be approved by the President prior to release. 5. All established deadline dates at the state level must be observed. 6. GFWC Pennsylvania positions on legislation or proposed legislation must be approved by the Board. 7. No publicity shall be released without the written approval of the President. 8. Board members must attend all meetings of the Board, and must be present for the entire meeting unless excused by the President. 9. Four copies of reports must be prepared by each Board Member – two for the Secretary, one for the appropriate Dean and one for the member’s files. All reports must be typed on standard 8 1/2" x 11" paper. 10. Minutes of all Federation meetings must be delivered to Board members no later than four weeks following meeting. 11. The State Directory is to be used for Federation business only. The Directory can be furnished for use by other organizations but must be requested, in writing, and approved by the President. Board members, Extended Board members, Honorary Past Presidents, Club Presidents and County Presidents receive one copy of the State Directory. Directories can be purchased from State Headquarters by any Federated clubwoman. The Directories shall be available on the website’s Members Only Page for all club members to download. 12. Copies of pertinent letters, all bulletins, reports, etc. (except of a personal nature) prepared by all officers and chairmen must be sent to the President, the respective Dean and GFWC Pennsylvania Headquarters. 13. Membership by the Federation in any other organization must be approved by a twothirds vote of the Board of those present and voting. 14. No officer or chairman shall arrange meetings, workshops, etc., without prior approval of the President. 55 15. No Board Member may have personal stationery or cards printed or engraved using the Pennsylvania Federation or General Federation title or seal without the permission of the President. 16. Presentation of awards and certificates received by GFWC Pennsylvania shall be made by the President of the administration for which they were received. All checks and items received shall be sent to State Headquarters for use at the discretion of the Executive Committee. 17. Members-At-Large shall receive convention materials and the Clubwoman newsletter. All other materials at the discretion of the President. 18. Resolutions Policy: a. Resolutions adopted at annual conventions establish the general policy of the GFWC Pennsylvania. b. Prior to the distribution of the proposed Resolutions included with the call to Convention, the Resolutions Committee shall respond to the original presenter of each resolution, stating the Committee's decision regarding acceptance or rejection of the resolution. If rejected, reasons for rejection shall be included. c. All resolutions adopted at the Convention shall be carried out by the Resolutions Committee under the direction of the President. The responsibility may be delegated to an appropriate officer or chairman who shall report to the President all actions taken. d. Following adoption, a copy of all new resolutions shall be submitted to the GFWC Resolutions Committee. All resolutions will be made available electronically and on the website. 19. The Executive Secretary shall be advised of changes affecting office policy. 20. A No Tobacco/Smoking policy shall be in effect at all meetings and meal functions of GFWC Pennsylvania. 21. The GFWC Pennsylvania President shall be honored in the spring of the even numbered year of her term of office by a monetary grant to the Internship Program at the Bowman’s Hill State Wildflower Preserve. (This is a continuation of GFWC Pennsylvania’s conservation tradition of honoring retiring GFWC Pennsylvania Presidents with the dedication of a tree on President’s Drive at Washington Crossing State Park adjacent to Bowman’s Hill Wildflower Preserve, a tradition which was started in 1948.) 22. The GFWC Pennsylvania website shall be maintained by the Website Coordinator. Any information to be placed or updated on the website must first be submitted to the Communications/Public Relations Chairman and the President. Upon approval, the Chairman will submit the information to the Website Coordinator. 23. All cell phones and beepers shall be turned off or placed in silent mode during all functions of GFWC Pennsylvania. Anyone wishing to use a cell phone must first exit the function room. 24. All members and clubs shall be encouraged to provide an e-mail address to GFWC Pennsylvania. Anyone wishing to alert members and clubs to important information shall submit the request to the President. Upon approval, the information will be forwarded to Headquarters for distribution to all those on the E-mail Alert List. The list 56 of addresses shall not be distributed or supplied to anyone without the prior approval of the Board of Directors. 25. No member, including the President, may contractually obligate GFWC Pennsylvania without the prior approval of the Board of Directors. FINANCIAL AND INTER-OFFICE POLICIES (Amended July 27, 2012) 1. Reimbursement 2. Appropriations of State Officers and Chairmen. 3. Report of Expenditures 4. Deficit 5. Board Meeting Expenses Reimbursement will be made for approved non-appropriated expenses exceeding $10. A. The Appropriations of the Officers shall partially cover the expenses incurred while carrying out the duties of the office. B. The maximum amount to be charged for field work shall be the minimum rate for single hotel room, not to exceed $50. The maximum for meals shall be a total of $15 per day. The amount of public transportation by the most direct route from home to destination of meeting shall not exceed the travel allowance by vehicle. Allowance for travel by vehicle shall be current IRS Rate for Charitable Travel. Toll charges and parking fees are allowable. When two or more officers or chairmen use the same vehicle, only the driver shall be reimbursed. C. The Finance Chairman will be responsible for securing the current IRS rate at the time of travel for payment. D. Payments, up to the budgeted amount, will be made upon receipt of the December 1 and June 1 "Report of Expenditures" forms. Forms may be submitted any time prior to the required postmark date of December 1 and June 1. Anyone serving in two or more capacities shall receive only one allotment. The highest amount shall be paid. E. No Community Service Program expenses may be incurred without the written approval of the President. F. All District meeting program expenses, arranged by the President, shall be taken from the GFWC Pennsylvania District Meetings Fund. G. The First Vice President/Dean of Directors, the first year of the administration, may accompany the President on the District Tour. H. All Federation meetings and events must be self-sustaining. I. In the election year, both outgoing and incoming Presidents shall be given appropriations for the GFWC Convention. J. The President shall be given an appropriation to the GFWC Board Meetings. In the odd-numbered year, the President-Elect is given an appropriation for the GFWC Orientation Meeting. A. A "Report of Expenditures" form is an itemized account of all money appropriated to any member. The report shall be sent to the Finance Chairman, on or before December 1 and June 1. A copy shall be sent to the President and a copy shall be maintained in the member’s file. B. Any member who resigns from the Board shall immediately send to the Finance Chairman a full accounting of money spent. C. Late submissions will not be honored. Every State Officer, Department and Committee Chairman shall be personally responsible for any deficit in her appropriation. A. Board Meeting shall be paid from the Board Meeting appropriation. 57 6. Recurring Expenses 15. Fundraising B. Any Board Member who reserves a sleeping room will be responsible for any cost incurred by GFWC Pennsylvania for cancelation. Checks sent to Headquarters must be accompanied by a statement explaining the purpose and/or notation marked on check and must include club number. Checks received from GFWC Pennsylvania must be cashed within 60 days. At the end of that period, the check shall be voided and not replaced. No money for prizes, gifts or awards shall be taken from the General Fund. Expenses for membership promotion shall be taken from the GFWC Pennsylvania Federation Fund upon approval of the President and Finance Chairman. A. Office printing of Arts information to be handed out at Summer Leadership Conference shall be limited to the Arts Festival Rules only. B. Member art winners shall receive a certificate and ribbon as the Festival of the Arts award. A. An exact sample or facsimile of the project item(s) must be shown to the Board for approval before any advance money is appropriated for purchase. B. The Executive Committee shall approve any reorders of project item(s). C. Project assets and liabilities shall be reported at each Board Meeting. D. A complete report of the prior administration’s project income and expenses shall be provided to the new administration’s Treasurer and Finance Chairman prior to the date of the first Board Meeting of the new administration. E. Distribution of the net income from the Project shall be determined at the even year Pre-Convention Executive Committee Meeting and approved by the Board of Directors. Personal expenses related to the District Meetings, Festival of the Arts, Summer Leadership Conference, and the PA Women's Legislative Exchange, etc. are at the expense of the individual board member except for those pre-approved by the President and the Finance Committee. A. Executive Secretary shall secure forms from the bank for the change of administration. B. President-Elect shall choose the gift for the retiring President and collect funds from Board members to cover costs. C. Secretary shall order the retiring president's pin, not to exceed $500.00. The following budgeted items shall be paid by the Treasurer without a prior approval of the Finance Chairman: rent, telephone, salary, wage taxes, insurance, postage meter, office supplies, and membership in Bowman's Hill State Wildflower Preserve, the PA Women’s Legislative Exchange, Local Municipality Fire Department (services Headquarters), and GFWC Middle Atlantic Region. A. An exact sample or facsimile of the products must be shown to the Board for approval before any advance money is appropriated for fundraising products. B. The operating expenses for the Fundraising Project shall be taken from the Fundraising Fund, with the approval of the Finance Chairman. D. Proceeds from the Fundraising Fund shall be transferred to the GFWC Pennsylvania Federation Fund prior to the end of the administration’s fiscal year (June 30th). E. Fundraising assets and liabilities shall be reported at each Board Meeting. F. A complete report of the prior administration’s fundraising income and expenses shall be provided to the new administration’s Treasurer and Finance Chairman prior to the date of the first Board Meeting of the new administration. G. A Fundraising report, including the number of items ordered and sold, expenses, deposits and current inventory, shall be prepared following the State Convention, Summer Leadership Conference and the District Tour and submitted within 7 days to the President and Finance Chairman. An up-to-date financial report shall be presented at each Board Meeting. The GFWC Pennsylvania Federation Fund is funded by fundraising proceeds and gifts. Both principal and income from this fund can be used upon approval of the President, Treasurer and Finance Chairman and reported to the Board of Directors. The GFWC Pennsylvania Foundation is an endowment fund through the Foundation For Enhancing Communities. Funds cannot be accessed or withdrawn by GFWC Pennsylvania. All income generated by the fund can be used at the discretion of the GFWC Pennsylvania Board of Directors. The fund is the protection plan to insure GFWC Pennsylvania’s future for generations. It shall be the duty of the Finance Committee to perpetuate the Foundation. A. At the first Finance Meeting of the administration, a recommendation must be made to the Board as to whether the interest accumulated in the Foundation should remain in the Foundation or be sent to GFWC Pennsylvania to be used as needed. B. The President or Treasurer shall sign the official authorization for the disbursement of interest from the Foundation. The GFWC Pennsylvania Reserve Fund may be distributed by a twothirds vote of the voting body of the convention assembly; except in the case of an emergency when funds may be distributed by a threefourths vote of the Board of Directors. Net income shall be dispensed at the discretion of the Board of Directors. All undesignated funds donated to GFWC Pennsylvania will be deposited as follows: $1,000 and under to the Federation Fund. $1,001 to $5,000 to the Reserve Fund $5,001 and over to the Foundation All Special Funds must be authorized by the Board. All money received from any source shall be deposited in the special accounts and disbursed by the Treasurer upon approval of the Finance Committee. Flowers or a memorial shall be sent upon the death of a Board member or member of her immediate family. The Treasurer will maintain the Sunshine Fund. Audits who have served our Federation shall be acknowledged at the discretion of the President. Funds shall be taken from the General Fund. A. Transfers between funds shall be made as necessary by the Executive Secretary after approval by the President, Finance Chairman and Treasurer. Transfers shall be reported to the Board at the next regular meeting for ratification. B. Equipment purchases (maximum $750) shall be made as necessary by the Executive Secretary after approval by the President, Finance Chairman and Treasurer. The purchases shall be reported to the Board at the next regular meeting. Purchases exceeding $750 shall be approved by the Board upon recommendation of the Headquarters and Finance Committees. C. The Treasurer shall present a complete financial statement at all Board Meetings. The Finance Committee shall review the staff and salaries of office personnel at the beginning of each fiscal year. A copy of the monthly financial statement and all investment statements shall be sent to each member of the Executive Committee and Finance Committee. The Finance Committee shall review the budgets of the State Convention and the Summer Leadership Conference. A. If a separate Festival of Arts account is established, all income and expenses shall be finalized and a complete financial report given to the Finance Chairman by May 15th. These records shall be reviewed by the Finance Committee and presented at the Summer Board Meeting. B. All income and expenses for the State Convention shall be finalized and a complete financial report given to the Finance Chairman within 90 days of the close of Convention. These records shall be reviewed by the Finance Committee and presented at the Fall/Winter Board Meeting. A. C. All income and expenses for the Summer Leadership Conference shall be finalized and a complete financial report given to the Finance Chairman within 90 days of the close of the conference. These records shall be reviewed by the Finance Committee and presented at the Fall/Winter Board Meeting. As of July 1st of the even calendar year, money received for the Past 28. Past State State President’s Project shall no longer be accepted. The donor will President’s be notified of the current State President’s Project with the suggestion Project that the money be designated for the new Project or be given locally. 29. State President’s The President shall obtain a rider on her personal homeowner’s insurance policy to insure the State President’s Pin annually. She shall Pin be reimbursed for the cost of the insurance and the appraisal of the State President’s Pin, if necessary to obtain the insurance rider. 30. Middle Atlantic A. All expenses relating to attendance at a Middle Atlantic Region Conference or other Middle Atlantic Region event are personal in Region nature and may not be reported as a reimbursable expense on the Conference Report of Expenditures for GFWC Pennsylvania Board member allotment. B. Middle Atlantic Region expenses shall be reported on the Report of Expenditures as an in-kind donation for information purposes only but are not included as a potentially reimbursable expense on the Report of Expenditures. 60 31. All expenses relating to attendance at the GFWC Pennsylvania Summer Leadership Conference are personal in nature and may not be reported as a reimbursable expense on the Report of Expenditures for GFWC Pennsylvania Board member allotment. They shall be reported on the Report of Expenditures as an in-kind donation for information purposes only but are not included as a potentially reimbursable expense on the Report of Expenditures. B. Expenses incurred to present a workshop (such as materials and supplies) at the GFWC Pennsylvania Summer Leadership Conference must be pre-approved by the President and shall be paid from the Summer Leadership Conference funds or the GFWC Pennsylvania Board Member allotment, as pre-approved by the President. A. All expenses relating to attendance at the GFWC Pennsylvania Convention are personal in nature and may not be reported as a reimbursable expense on the Report of Expenditures for GFWC Pennsylvania Board member allotments. They shall be reported on the Report of Expenditures as an in-kind donation for information purposes only but are not included as a potentially reimbursable expense on the Report of Expenditures. B. Expenses incurred to present a workshop (such as materials and supplies) at the GFWC Pennsylvania Convention must be preapproved by the President and shall be paid from the GFWC Pennsylvania Convention funds or the GFWC Pennsylvania Board Member allotment, as pre-approved by the President. C. The registration, meal charges and lodging for the Parliamentarian shall be paid from the General Fund. D. The registration, meal charges and lodging for the Executive Secretary shall be paid from the General Fund. E. The cost of one banquet meal shall be paid for each Honorary Past President actively participating in the business of the organization at the Convention from the General Fund. F. The registration and meal charges for the President shall be paid from the General Fund. In the second year of each administration, a cash gift in the amount of $150 shall be made to the LEADS program on behalf of GFWC Pennsylvania. No other gifts (cash or in kind) shall be made to GFWC without the consent of the Board of Directors. Any currently federated club or member thereof may place an honorarium or memorial ad in the GFWC Pennsylvania Clubwoman Newsletter to honor or remember a federated club or a member thereof. All revenue from such honorariums and memorials shall be revenue assigned to the GFWC Pennsylvania Clubwoman Newsletter. Three options shall be available: $10 = 2.5” x 3.5” box with border $25 = 4.5” x 3.5” box with border $50 = Full Page with border (All sizes are approximates) 61 POLICY FOR REPORTING APPROPRIATION EXPENDITURES (Amended July 27, 2012) APPROPRIATIONS MAY BE USED FOR THE FOLLOWING: 1. Postage on all matters pertaining to office. 2. Telephone calls on all matters pertaining to office. Telephone calls should be made in emergency situations only. 3. Reproduction costs for materials pertinent to responsibility of office. 4. Miscellaneous office supplies (paper, files, etc.). 5. Ordinary travel costs pertinent to responsibility of office. Expenses incurred for attendance at Special Meetings must have PRIOR approval of the President and Finance Chairman, who shall furnish the approved Expense Voucher to the traveler. The expenses shall be taken from the appropriate Special Fund. 6. District Directors A. Travel costs shall be paid for travel to attend: 1. District Meetings of any type. 2. County Meetings (Spring and/or Fall). 3. Club meetings. 4. Meetings to plan District functions. B. District Directors shall pay expenses for anyone assuming their responsibilities. APPROPRIATIONS CANNOT BE USED FOR THE FOLLOWING: 1. Stationery or envelopes, which can be obtained from State Headquarters. 2. Gifts for contest winners, judges, etc. 3. Costs incidental to other Federation meetings or functions, which are not the specific responsibility of the Officer or Chairman, even though she might be participating in some small manner (i.e., Summer Leadership Conference, Middle Atlantic Regional Conference, State Conventions). 4. Costs incidental to meetings with outside agencies or organizations except as it may pertain to program or project specifically approved by the President. PERSONNEL POLICY A. Personnel Committee 1. The Personnel Committee shall be comprised of the members of the Executive Committee and the Finance Chairman. 2. Personnel policies must be in writing and approved by the Board. The policy shall be reviewed by the Personnel Committee at the beginning of each Administration and are subject to revision upon recommendation of the Committee to the Board. B. Employment Procedures of Executive Secretary 1. Shall be hired by the President with the approval of the Executive Committee. 2. At the time of employment, the employee shall receive a letter of employment signed by the President, which shall state the terms of employment and serve as a contract. 3. Probationary Period: 62 Employees shall be subject to a probationary period of 3 months. Employment may be terminated by the Executive Committee at any time during the probationary period. b. The employee may terminate the employment voluntarily without notice at any time during the probationary period. c. At the end of the probationary period, the employee shall be given formal confirmation of employment by the President or the employment terminated. 4. At least one month's notice, in writing, must be given for resignation. 5. In the event of extended absence of the Executive Secretary, part time help shall be employed at the discretion of the Personnel Committee. a. C. Personnel Records A complete personnel file, including payroll and compensation records, shall be maintained by the President for each employee and other employee records as required by law. The President shall review this file annually and report to the Executive Committee. D. Executive Secretary Qualifications and Responsibilities 1. Training or experience such as may have been gained through high school graduation, including supplemental courses in accounting and current technologies. 2. Must have the ability and desire to understand the program and scope of Federation. 3. Duties - Must have the ability to carry out the duties as outlined in the job descriptions of the Executive Secretary, which shall be kept up-to-date by periodic review by the Personnel Committee. 4. Hours of Work a. A professional job cannot always be confined rigidly to a schedule of definite hours. The employee shall be required to adjust hours of work to meet deadlines and to conform to Federation activities. To the extent possible, a reasonable schedule shall be followed and a basic standard of weekly hours shall be observed. b. The President shall be notified of any sick or emergency absences from the office during the normal Monday through Friday work week. 5. Full expenses for attendance at Federation meetings may be provided, at the discretion of the President. 6. Vacations - Two week vacation, with pay, shall be granted after the first year of employment. An additional week shall be granted for each 10 years of consecutive service with a maximum of five weeks. Scheduling of vacation time must have the prior approval of the President. Emergency phone number shall be furnished to the President. Vacations shall not be cumulative from year to year. Additional vacation time may be granted at the discretion of the Personnel Committee. 7. Holidays -The following holidays shall be observed: New Year's Day President's Day Good Friday (or another religious day) Memorial Day Independence Day Labor Day Thanksgiving Day Christmas Day 8. Sick Leave - One and a quarter (1 1/4) work days shall be permitted for each month of employment, or 15 days maximum for the fiscal year. This leave shall not be cumulative from year to year, but may be extended at the discretion of the Personnel Committee. 63 9. Personal days - two days maximum annually not to be accumulated. E. Salaries Upon recommendation of the Finance Committee and the Personnel Committee, the Executive Committee shall determine salaries. All salaries shall be reviewed annually. F. Transportation Cost of public transportation or mileage at the rate established by the Finance Committee shall be paid for actual miles traveled in performance of Federation duties. JOB DESCRIPTION EXECUTIVE SECRETARY/ASSISTANT TREASURER 1. Secretarial and Reception Service A. Take and transcribe letters, minutes, reports, budgets, etc., dictated or prepared by the President and/or Board. B. Assure automatic backup of all computer files. C. Open all mail and e-mail, date and handle routine correspondence as soon as possible. D. Receive visitors and meet their needs. E. Answer telephone, giving requested information when possible and make referrals when necessary. F. Make telephone calls on behalf of the Federation. G. Make copies of all corrected official GFWC Pennsylvania Meeting Minutes when received from Secretary. With the exception of the Executive Committee Minutes and the District Meeting Minutes, distribute them to all Board Members by e-mail or mail. H. Prepare material for bulk mailings and other mailings approved by the President. Use Third Class Non-Profit when possible, except for Call to Convention. I. Send out membership lists annually to all clubs for corrections. J. Furnish all login information for GFWC Pennsylvania to the President. 2. General Office Management A. Keep record of scheduled meetings of Board, standing committees, etc. B. Maintain and purchase adequate inventory of supplies for proper operation of office. C. Be responsible for orderly operation and appearance of office. 3. Meetings A. Send out notices of meetings; prepare needed material. B. Arrange and set up luncheon and dinner meetings as requested. C. Attend designated meetings as a resource when requested by the President. 4. Assistant Treasurer Duties A. Collect and deposit all money and maintain records. B. DUES: 1. Check thoroughly as to proper amount on check for number of members noted; make sure check is made out properly and signed; note check number on dues notice. Endorse checks. Dues notices are put in numerical order, according to club number, and posted in the Directory. Checks are then entered in accounting software and deposited. Dues are 64 entered on GFWC Excel sheet, they will send invoice, and then a check is sent to GFWC by deadline of February 15th. Late dues are sent with check and a list by April 30th (final deadline for club year.) GFWC does not have Excel sheet for this final batch of dues. (A copy of this listing is retained in office files.) Similar list must be run on our own computer and sent to President, Third Vice President, and proper District Directors. 2. Be responsible for sending out dues notice to each club no later than October 1 with follow-up notices as necessary. 3. Notify, in writing, clubs whose dues have not been paid by January 15 and send list of clubs within each district to appropriate District Director. Furnish a master list of paid membership as of February 5 to the Credentials Chairman, Third Vice President and President. A list of each District should be sent to the respective District Director. C. SPECIAL FUNDS - Document amount of check, name of club, date entered in Accounting Software and deposited. All checks are endorsed for deposit only on the day received, and deposited within five (5) business days. Other miscellaneous income is handled in a similar manner. D. CLUBWOMAN - Make journal entry for number of members paid ($3.40 each) to Clubwoman account when dues are paid to GFWC. E. Balance checkbook and bank statement monthly. F. Handle routine expenses. Most expenses are approved by Finance Chairman and forwarded to Headquarters for payment. Routine expenses are handled from office. Print checks in a timely manner, have them signed by Treasurer and process. G. Maintain and post all financial transactions using the accounting software provided and installed on the computer located at Headquarters and produce monthly and year to date Treasurer's Reports no later than the 3rd business day of each month. Copies of the Financial Reports shall be sent to all members of the Executive Committee and the Finance Chairman no later than the 5th business day of each month. Original copies of the Financial Reports shall be retained in the appropriate file at Headquarters. Produce such other financial reports as requested by the President, Treasurer or Finance Chairman. Produce a report for each meeting of the Finance Committee, which reflects expenses to date compared to budget. H. Maintain a full record of Federation business using the accounting software provided and installed on the computer located at Headquarters. I. Maintain complete payroll records. J. Maintain and account for Petty Cash. K. Have all financial records ready for Auditors beginning of July. 5. Circulation Manager – CLUBWOMAN A. Update membership list as new members are reported. Send online to printer for CASS comparison. The printer needs to receive the list two weeks prior to the mailing so that they have time to do the comparison. B. Fill out Form PS 3526 and send to the Post Office by October 1. Prior to mailing of the newsletter, a check for postage must be sent to the Post Office. Answer all correspondence regarding CLUBWOMAN circulation. C. Perform any other duties or functions in relation to the newsletter as directed by the President or Editor. 6. Other (General Duties) A. After all Data Cards are received in May send changes to GFWC and update annual State Directory. Make sure all address and/or name changes are sent to GFWC Membership throughout the year. Completed Directories are prepared for mailing. Directories shall also be posted on the GFWC Pennsylvania website Member’s Only section. B. Maintain and keep up a complete set of files. C. Perform any duties as directed by President or Board. 65 D. Take bank notification forms for change of officers to Convention for postConvention Board Meeting. E. Provide stationery to Board Members upon request. F. Update club/member information in GFWC Membership Software. 7. By October first of the second year of an administration the executive secretary will do the following to assist the President Elect: A. Produce a clearly detailed timeline identifying all deadlines for submission for each and every publication, program, event etc. of GFWC Pennsylvania 1. The timeline should include but not be limited to all mailings, handout for Convention, Summer Leadership Conference, District Tour, Arts Day, and Board Meetings etc. 2. It should include the dates items are due to the appropriate Chairman or Officer, the President, Executive Secretary, Webmaster, and third party vendors. 8. Qualifications A. Training or experience such as may have been gained through high school graduation, including supplemental courses in accounting and current technologies. B. Previous experience in complete office procedures desirable. C. Ability to organize, plan and coordinate the secretarial duties of the organization. DISTRICT POLICY Districts - The six districts of GFWC Pennsylvania are geographical divisions of the state. The purpose of the district is to promote the adopted Federation program, to elect a District Director, and to endorse candidates for state office. The districts are NOT autonomous organizations and they MAY NOT: 1. Adopt bylaws or other rules. 2. Financially assess any club or county within the district for ANY purpose. 3. Promote any program or project (money-making or otherwise) without the prior written approval of the President and/or the Board of Directors. 4. Enter into any contract, which could financially obligate the Federation without the prior written approval of the President and/or the Board of Directors. 5. Refuse to promote any program or project approved by the President and/or Board of Directors. 6. Conduct any fundraisers without the prior approval of the President. 7. Distribute any funds or monetary awards without the prior approval of the President. District Director - The District Director shall be elected by the members of the district in accordance with GFWC Pennsylvania bylaws. The duties shall include the following: 1. Represent the district on the Board and attend ALL meetings of the Board of Directors. The District Director shall work under the direct supervision of the Dean of Directors, who shall issue specific instructions with regard to District Director responsibilities. 2. Present typed and oral reports to the Board of Directors as directed by the President. 3. Appoint District Chairmen at the direction of the State President. 4. Disseminate information to all county presidents, and where no county federation exists, to club presidents within four (4) weeks following state board meetings. 5. Accept invitations to attend county or club meetings when possible and be prepared to promote the Federation programs for 15 to 20 minutes. 6. Submit the names of those receiving endorsements for State office to the Chairman of Elections on or before December 1 in odd-numbered years. 7. Assist in the organization of new clubs. 66 8. Arrange schedule of Annual County Meetings with County presidents and inform the Dean of Directors. 9. Choose date in accordance with the State President’s directive for The District Festival of Arts. Follow guidelines for the Festival as explained in the GFWC Pennsylvania Guidelines for District Directors given to each Director at the beginning of the administration. 10. Submit to the GFWC Pennsylvania Executive Secretary by January 1st of each year, the names with the number of years (based on organization date) of clubs and counties that are eligible for GFWC Pennsylvania anniversary certificates (10 years and every 5 thereafter). After contacting President, present certificates at the District Festival of Arts or any anniversary celebration. 11. Submit to the GFWC Pennsylvania Membership Chairman by January 1st of each year, the names with the number of years (based on the organization date) of clubs that are eligible for GFWC anniversary certificates (25, 50, 60, 70, and every 5 years thereafter). After contacting President, present certificates at the District Festival of Arts or any anniversary celebration. 12. Forward the completed data cards to GFWC Pennsylvania Headquarters for the State Directory on a date as determined by the Executive Secretary. 13. Transfer all materials and records to the incoming District Director no later than the Convention held in the second year of the administration. District Meetings - There shall be an Annual Meeting in each district in the Fall of the year, at a time determined by the State President, who shall plan the program. In the Spring, a Festival of the Arts will be held which will be planned by the District Director. The District Director shall: 1. Send a complete financial report to the Finance Chairman on December 1 and June 1 of each year including all financial activity of the district to that date. A copy of the checkbook register and the starting and ending bank statements shall be included. 2. Prepare the Call a. Assure that the Call to the Fall District Meeting is mailed by August 15th and the Call to the Festival of the Arts is mailed by February 15th to all County Presidents, Club Presidents and Members-At-Large. b. Courtesy copies of the Call and/or special letters of invitation should be sent to all GFWC Officers and GFWC Chairmen, State Officers, Honorary Past Presidents and State Chairmen within the district. c. Qualifications of each candidate for District Office MUST be included with the odd year Call to the District Meeting, NOT TO EXCEED 250 WORDS for each candidate. 3. Preside at the District Meeting to handle matters of business, to receive reports from County Presidents, Federation Chairmen, etc., and to introduce speakers. a. Appoint a Secretary and a Parliamentary Advisor for district meetings. 4. Prepare ballots and appoint tellers for all elections. 5. Appoint committees as necessary to handle arrangements for the meeting. 6. Select the place for the meeting, choose menus, set price, etc. 7. Send a copy of the minutes and a financial statement for each district function to the Executive Secretary and the Dean of Directors. Protocol 1. In addition to the District Director, State President, and speakers for the day, the following persons should be seated at the Head Table and introduced or acknowledged: 67 GFWC Officers and Chairmen; GFWC Pennsylvania Officers and Honorary Past Presidents. 2. If space is limited, special seating should be provided for these persons. However, no one of a lower rank should be seated at the Head Table, unless she is participating in the program. 3. Special seating should also be provided for County Presidents and State and District Chairmen. 4. Other courtesies shall be at the discretion of the District Director. Expenses for District Meetings 1. The State President shall be responsible for the expenses of all those whom she has requested to participate in the program. Funds shall be allocated by the Finance Committee. 2. All District meetings (i.e. district meetings, Arts Festivals, etc.) shall be self-sustaining. The District Director shall be responsible for ALL OTHER expenses for District Meetings from funds derived from the Registration Fee, money added to meal costs, or "voluntary" contributions. 3. If a deposit is required to sign a contract for a district meeting a letter of request and a copy of the contract should be sent to the executive secretary and the finance committee chairman. After approval by the Finance Committee Chairman, a check from Federation Fund will be sent which must be reimbursed from the meeting income. Elections - All questions concerning campaign activities during a District Meeting shall be directed in writing to the District Director for a decision. CONVENTION POLICY CONVENTION PLANNING EXPENSES GENERAL CONVENTION EXPENSES Expenses incurred by Chairman and other members of the Convention Planning Committee are personal in nature and may not be reported as an expense on the Report of Expenditures for a Board member allotment. Expenses of the President incurred to attend Convention Planning meetings may be taken from the President’s allotment. 1. A budget shall be prepared by the President, Convention Chairman and the Convention Vice-Chairman. It shall be presented, for approval, to the Finance Committee two weeks prior to their scheduled fall meeting. 2. No expenses shall be incurred by any Chairman without the PRIOR approval of the Convention Chairman or Convention Vice-Chairman. Any unusual expenditure or any expenditure which exceeds the allotted amount in the budget must have the PRIOR approval of the Convention Chairman and the Convention Vice-Chairman. 3. The procedure for submitting expenses for payment and the responsibility of financial reporting shall be agreed upon by the Convention Chairman and Convention Vice-Chairman. 4. A separate checking account at a local bank shall be opened by the Convention Chairman and Convention Vice-Chairman. Both names shall be on the account with one signature required on checks. All incoming checks shall be made payable to GFWC Pennsylvania Convention - year. 5. The bank account shall be closed or transferred to the next convention chairman on or before September 1st following the convention. 6. A full and final convention financial report, ready for review, with a complete breakdown of expenses, shall be submitted by the Convention Vice-Chairman to the Finance Chairman no later than 90 days following the close of the Convention. The Finance Committee shall review the Convention financial report prior to the Fall Meeting. 68 CONVENTION ALLOTMENTS CONVENTION REPORT JUNIORETTES 1. GFWC Pennsylvania Board Members, Extended Board Members, Parliamentarian, Executive Secretary, and Convention Planning Committee may receive funds as allocated by the Finance Committee. 2. Anyone serving in two or more capacities shall receive only one allotment. 3. Complimentary accommodations shall be assigned by the President. Allotments may be reduced accordingly at the discretion of the President and the Finance Chairman. 4. Lodging for the President should be included in the arrangements made with the facility. The Convention Chairman shall submit a full and complete report which shall include back up documentation and financial reports from each committee, time lines, budgets, registration lists, correspondence, contracts, final bills/invoices, program books and detailed procedural directions used in planning and operating the convention. The registration fee for all GFWC Pennsylvania Juniorette members attending a GFWC Pennsylvania Convention shall be waived. SUMMER LEADERSHIP CONFERENCE POLICY PLANNING EXPENSES GENERAL EXPENSES ALLOTMENTS SUMMER LEADERSHIP CONFERENCE REPORT Expenses incurred by anyone on the Planning Committee in connection with the Summer Leadership Conference shall be their own responsibility, unless specifically approved in advance by the President. 1. A budget shall be prepared by the President and the Summer Leadership Conference Chairman to be presented for approval to the GFWC Pennsylvania Finance and Executive Committees at the Fall Meeting. 2. No expenses shall be incurred without the PRIOR approval of the Summer Leadership Conference Chairman. Any expenditure, which exceeds the allotted amount in the budget, must have the PRIOR approval of the President. 3. The procedure for submitting expenses for payment and the responsibility of financial reporting shall be determined by the President. 4. If GFWC Pennsylvania is handling collection of conference fees and payment of expenses, the President shall appoint a Conference Chairman and Vice Chairman. The Conference Chairman and Vice Chairman shall open a separate checking account at a local bank. Both names shall be on the account with one signature required on checks. All incoming checks shall be made payable to GFWC PA Summer Leadership Conference year. 5. The bank account shall be closed as of September 1, following the Summer Leadership Conference and all records submitted immediately to the President. 6. A full and final conference financial report, ready for review, with a complete breakdown of income and expenses, shall be submitted by the Conference Chairman or Vice Chairman to the President and the Finance Chairman no later than October 1st. The Finance Committee shall review the conference financial report prior to the Fall Meeting. 1. Lodging for the President should be included in the arrangements made with the facility if possible. The President shall assign complimentary accommodations. The Summer Leadership Conference Chairman shall submit a full and complete report which shall include back up documentation and financial reports from each committee, time lines, budgets, registration lists, correspondence, contracts, final bills/invoices, program books and detailed procedural directions used in planning and operating the conference. 69 COMMUNICATIONS AND PUBLICATIONS POLICY 1. Photographs. GFWC Pennsylvania shall include a line on all registration materials for member and public events which grants permission to GFWC Pennsylvania to use photographs of participants for its materials and publications. The required language is: By registering for and attending the event, you consent to having your photograph taken and used by GFWC Pennsylvania and/or its agents for any commercial and noncommercial purpose and expressly waive any right to compensation for such use. 2. Copyright Protections. GFWC Pennsylvania should protect its rights to the materials being developed by GFWC Pennsylvania officers, board members, and chairmen and committee persons. The copyright protection must appear on every written document being disseminated by GFWC Pennsylvania. The following language shall be included on the bottom of every written publication, handout, etc.: ©2012 General Federation of Women’s Clubs Pennsylvania. All rights reserved. The year in the notice is the year in which the document was created or most recently modified. 3. E-mail. All e-mail communications shall be approved by the President or her agent. GFWC PA shall appear in the subject line. 4. Website. The Communications Chairman shall work with the Website Coordinator to maintain an updated website in coordination with the President. a. In the even year of an administration the information for the next administration will be sent by the communication chairman to the Webmaster on or before June 1 so the Website can be updated on July 1. POLICY ON REPORTING IMPROPRIETIES, FRAUDULENT OR DISHONEST CONDUCT It is the policy of GFWC Pennsylvania to safeguard and protect all of the nonprofit’s resources. The Executive Committee is primarily responsible for safeguarding the nonprofit’s resources by establishing and maintaining sound internal controls designed to deter and detect potential misuse of resources, by taking action to minimize financial loss when misuse occurs, and by correcting abuse. All employees and board members are responsible for reporting improprieties they observe. The Executive Committee will investigate any possible impropriety, fraudulent or dishonest use or misuse of GFWC Pennsylvania resources or property by board, staff, or program participants. Anyone found to have engaged in an impropriety or fraudulent 70 activity is subject to disciplinary action by the Executive Committee up to and including termination or dismissal, and civil or criminal prosecution when warranted. All members of GFWC Pennsylvania’s staff, board, and stakeholder community are to report possible fraudulent or dishonest conduct (including but not limited to financial improprieties or misuse of GFWC Pennsylvania resources) confidentially to the President. If, for any reason, an employee finds it difficult to report his or her concern to the President, the employee can report it directly to the Financial Committee Chairman. A few examples of fraudulent conduct or impropriety include: ï‚· ï‚· ï‚· ï‚· ï‚· ï‚· Forgery or alteration of documents; Pursuit of a benefit or advantage in violation of GFWC Pennsylvania’s conflict of interest policy; Misappropriation or misuse of organization’s resources, such as funds, supplies, other assets; Abuse, inappropriate activity with a program participant; Authorizing or receiving compensation for goods not received, service not performed or hours not worked; and Fraudulent financial reporting. Criteria used to determine whether certain activities or behavior constitute misuse of resources include state and federal laws, and GFWC Pennsylvania’s policies and procedures. All efforts will be made to provide confidentiality to those reporting financial improprieties. However, in certain situations, legal requirements make confidentiality impossible. CONFLICT OF INTEREST POLICY ARTICLE I : PURPOSE The purpose of the conflict of interest policy is to protect GFWC Pennsylvania’s interest when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer, employee, committee member or director of GFWC Pennsylvania or might result in a possible excess benefit transaction. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations. ARTICLE II: DEFINITIONS 1. Interested Person: Any director, officer, employee, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person. 2. Financial Interest: A person has a financial interest if the person has, directly or indirectly, through business, investment, or family: (a) An ownership or investment interest in any entity with which GFWC Pennsylvania has a transaction or arrangement; 71 (b) A compensation arrangement with GFWC Pennsylvania or with any entity or individual with which GFWC Pennsylvania has a transaction or arrangement; or (c) A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which GFWC Pennsylvania is negotiating a transaction or arrangement. Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. A financial interest is not necessarily a conflict of interest. Under Article III, Section 2, a person who has a financial interest may have a conflict of interest only if the appropriate governing board or committee decides that a conflict of interest exists. ARTICLE III: PROCEDURES 1. Duty to Disclose: In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. 2. Determining Whether a Conflict of Interest Exists: After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. 3. Procedures for Addressing the Conflict of Interest: (a) An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. (b) The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. (c) After exercising due diligence, the governing board or committee shall determine whether GFWC Pennsylvania can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. (d) If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is GFWC Pennsylvania’s best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. 4. Violations of the Conflicts of Interest Policy: (a) If the governing board or committee has reasonable cause to believe an officer, director, employee or member has failed to disclose actual or possible conflicts of 72 interest, it shall inform the officer, director, employee or member of the basis for such belief and afford the person an opportunity to explain the alleged failure to disclose. (b) If, after hearing the officer, director, employee or member’s response and after making further investigation as warranted by the circumstances, the governing board or committee determines the officer, director, employee or member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and correction action. ARTICLE IV: RECORDS OF PROCEEDINGS The minutes of the governing board and all committees with board delegated powers shall contain: (a) The names of the person who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the governing board’s or committee’s decision as to whether a conflict of interest in fact existed. (b) The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings. ARTICLE V: COMPENSATION (a) A voting member of the governing board who receives compensation, directly or indirectly, from GFWC Pennsylvania for services is precluded from voting on matters pertaining to that member’s compensation. (b) A voting member of any committee whose jurisdiction includes compensation matters who receives compensation, directly or indirectly, from GFWC Pennsylvania for services is precluded from voting on matters pertaining to that member’s compensation. (c) No voting member of the governing board or any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from GFWC Pennsylvania, either individually or collectively, is prohibited from providing information to any committee regarding compensation. (d) An employee shall not be present at any meeting at which the compensation of that employee or the compensation of any other employee is discussed or reviewed. ARTICLE VI: ANNUAL STATEMENTS Each employee, director, officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: (a) Has received a copy of the conflicts of interest policy; (b) Has read and understands the policy; (c) Has agreed to comply with the policy; and 73 (d) Understands GFWC Pennsylvania is charitable and in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. ARTICLE VII: PERIODIC REVIEWS To ensure GFWC Pennsylvania operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects: (a) Whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm’s length bargaining. (b) Whether partnerships, joint ventures, and arrangements with management organizations conform to GFWC Pennsylvania‘s written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurnment, impermissible private benefit or in an excess benefit transaction. ARTICLE VIII: USE OF OUTSIDE EXPERTS When conducting the periodic reviews as provided for in Article VII, GFWC Pennsylvania may, but need not, use outside advisors. If outside experts are used, their use shall not relieve the governing board of its responsibility for ensuring periodic reviews are conducted. DOCUMENT RETENTION AND DESTRUCTION POLICY I. PURPOSE: This Document Retention and Destruction Policy provides for the orderly management of documents maintained by GFWC Pennsylvania. It balances three goals: retention of important documents for future reference and future use, organization of documents for retrieval, and reduction in document volume to reduce storage and document administration costs. II. REASON: The Sarbanes-Oxley Act addresses the destruction of business records and documents and turns intentional document destruction into a process that must be carefully monitored. III. COMPLIANCE: GFWC Pennsylvania expects all employees, officers, board members, directors, chairmen, and committee members to fully comply with the Document Retention and Destruction Policy. If you believe, or GFWC Pennsylvania informs you, that GFWC Pennsylvania records are relevant to litigation, or potential litigation (i.e., a dispute that could result in litigation), then you must preserve those records until legal counsel determines the records are no longer needed. The exception supersedes any previously or subsequently established destruction schedule for those records. If you believe the exception may apply, or have any questions regarding the possible applicability of that exception, please consult the President. IV. CONSERVATION COMMUNITY SERVICE PROGRAM ADOPT-A-HIGHWAY (adopted 1992, reaffirmed 1998, amended 2003, reaffirmed 2009) Whereas, The General Federation of Women’s Clubs Pennsylvania since its inception consistently has worked to conserve and maintain the natural beauty of local areas and communities, and recognizes greatly the necessity for a better environment and cleaner roadways; and Whereas, The Pennsylvania Department of Transportation, PennDOT, has implemented the national highway beautification program, “Adopt-A-Highway”, which focuses on voluntary roadway litter pickup thereby saving millions of tax payers’ dollars each year; and Whereas, Participation in the “Adopt-A-Highway” program will increase public awareness of GFWC Pennsylvania and its clubs through the PennDOT special road signs, and will help to promote better stewardship of public lands; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urge its member clubs to join in supporting the sponsorship of the PennDOT “Adopt-A-Highway” program. CLEAN WATER (adopted 1993, reintroduced 1999, amended 2005, amended and reaffirmed 2011) Whereas, Many of the nation’s waters have been restored to “fishable and swimmable” conditions since the passage of the Clean Water Act (Public Law 92-500); and Whereas, A commitment should be made that water shall be clean enough for fishing, swimming and other recreational uses, and all discharges of pollutants into our watersheds should eventually be eliminated; and Whereas, There is much more to be done to reduce the effects of past pollution, control present pollution, and prevent future pollution; therefore RESOLVED, That the members of the General Federation of Women’s Clubs Pennsylvania maintain and strengthen their commitment to the conservation of our nation’s water and the improvement of its quality through education to urge continuing action to protect and preserve this natural resource. 80 COMPACT FLUORESCENT LIGHT BULBS (adopted 2008) Whereas, Scientific studies indicate that small amounts of mercury, cadmium and lead are found in compact fluorescent light bulbs (CFL’s); and Whereas, The switch to CFL’s is being heavily promoted by the government, energy-conscious groups, environmental agencies, GFWC, Energy Star and numerous retailers as a way of reducing greenhouse emissions; and Whereas, The breaking and disposing of CFL’s could be harmful if not handled properly; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its members to mount a campaign to: 1. Promote the proper use, handling and disposal of CFL’s. 2. Research and educate our membership on the proper handling and disposal of CFL’s. 3. Encourage retailers to provide information on the proper recycling of CFL’s; and further RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its member clubs to: 1. Educate its members and communities about the benefits and dangers of compact fluorescent light bulbs (CFL’s). 2. Share concerns with National and State legislators through a letter-writing campaign to establish recycling drop-off sites statewide. ENVIRONMENTAL PROBLEMS STUDIES (adopted 1971, reaffirmed 2007) Whereas, One of the major concerns of our present society is the environment and the quality thereof; and Whereas, The public is constantly receiving information with many contradicting statements from knowledgeable and qualified people, adding to the anxiety and confusion among concerned individuals; and Whereas, We recognize the urgency of the problems and realize that they become more acute and costly with delay; and Whereas, Many of the underlying sources of environmental problems are created by the overwhelming demands of the public’s use of our natural resources; therefore RESOLVED, That the members of the General Federation of Women's Clubs Pennsylvania dedicate themselves to the serious study of our environmental problems; and that they use the knowledge they acquire in a direct and effective manner which would serve to benefit and protect our total environment. GLOBAL WARMING (adopted 2007) Whereas, Scientific studies indicate that carbon dioxide, methane, chlorofluorocarbons (CFCs), nitrogen oxides, and other gases are adding to global warming; and Whereas, This greenhouse effect results in substantially altered rainfall, loss of soil moisture and changes in the movement of storms, adversely affecting agriculture, forests, wetlands, water resources, and coastal areas; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges action by government and industry worldwide to: 1. Reduce emissions of harmful greenhouse gases. 2. Research and develop economically feasible alternative energy sources. 3. Implement sound agricultural and forestry practices to prevent deforestation and irreversible damage to tropical rain forests. 4. Promote efficient use of energy, and further RESOLVED, That the General Federation of Women’s Clubs urges its member clubs to: 1. Educate themselves and their communities about the dangers of global warming. 2. Share their concern with their legislators. 3. Consider seriously the personal choices members make about their life styles and possible impact on global warming for the sake of generations to come. 81 INVASIVE PLANT SPECIES (adopted 2009) Whereas, A vision of our society is an enhanced environment for healthier living; and Whereas, We, the General Federation of Women’s Clubs Pennsylvania, are just at the beginning stages of educating our federated club women on ecological issues; and Whereas, We, the members of the General Federation of Women’s Clubs Pennsylvania, are realizing the effect of the invasive plant species to our ecological system and the effect they will continue to produce in the future; therefore RESOLVED, That the members of GFWC Pennsylvania be an integral participant in educating and working actively to control invading species, especially plant species in their communities and throughout our state, and further RESOLVED, That the members of GFWC Pennsylvania work to promote propagation of native species and help control proliferation of invasive species. MASS TRANSIT (Reaffirmed 2007) Whereas, Mass transportation can move people with reduced pollution and highway congestion and greater safety; and Whereas, The commitment be made to support and strengthen the Clean Air Act recognizing that much more must be done to reduce the effects of on-going vehicle pollution and that emission could be reduced by the implementation of mass transit throughout the Commonwealth; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its member clubs to support government and commercial efforts to provide clean, safe, and effective means of mass transit and to use these means of mass transit as they become available. RECYCLING MUNICIPAL WASTE (adopted 1988, reintroduced and amended 1994, 1999, 2005, reaffirmed 2011) Whereas, Each of us generates municipal waste at the rate of nearly one ton per year and in a growing economy the amount of waste will increase; and Whereas, The decomposition time for paper is two to three years, the rate for aluminum cans is 100 to 500 years, and the rate for glass bottles is one million years; and Whereas, Of the twelve million tons of municipal waste generated annually by Pennsylvania, 35% is recycled with the goal of maintaining or increasing that figure as well as the recycling of cardboard and electronics; therefore RESOLVED, That the General Federation of Women's Clubs Pennsylvania appeals to the membership to support the recycling of municipal waste (i.e. glass, plastics, cardboard, newspapers, steel and aluminum cans, tires and electronics, etc.) as one method of reducing the amount of waste entering our landfills; and further RESOLVED, That members cooperate in recycling yard and garden clippings and vegetable wastes in the backyard compost pile and use them to enrich the soil instead of adding 18 percent to the municipal waste problem; and further RESOLVED, That local clubs become active agents in educating their communities about municipal waste problems and recycling by urging the use of recyclable products and packaging, and buying products made with recycled content, thereby “closing the loop”. 82 EDUCATION COMMUNITY SERVICE PROGRAM COMMUNITY LIBRARIES (adopted 1976, reintroduced and amended 1994, 1999, reaffirmed 2005, amended and reaffirmed 2011) Whereas, The community library constitutes a valuable resource in the creation of informed public opinion; and Whereas, The citizens, both young and old, rely upon resources provided by America’s libraries for reference, education, job searches, and recreation; and Whereas, Service levels of existing libraries and extension of library service into unserved areas is diminishing as a result of fiscal constraints; and Whereas, The General Federation of Women’s Clubs Pennsylvania endorses and promotes educational and cultural development of the citizenry; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges all its members to support their existing libraries, and encourage their communities to support these valuable resources so that services to citizens of the commonwealth may continue and/or be expanded. . EDUCATION THROUGH COMMUNITY SERVICE (adopted 1992, reaffirmed 1998, amended 2003, reaffirmed 2009) Whereas, The General Federation of Women’s Clubs Pennsylvania believes that the value of lifelong volunteer community service should be encouraged as an integral part of a student’s education; and Whereas, Every student should have an equal opportunity to participate voluntarily in community service programs; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania encourages local clubs to work with schools, communities, and GFWC PA Juniorette Clubs to provide students with voluntary program opportunities for community service. LEADERSHIP TRAINING (adopted 1991, reintroduced 1997, amended 2003, reaffirmed 2009) Whereas, Current leadership issues include assertiveness, goal setting, motivation and time/stress management; and Whereas, Additional issues are those of protocol, parliamentary procedure and public speaking; and Whereas, The General Federation of Women’s Clubs Pennsylvania is encouraging recognition of the importance and necessity of developing qualified leaders; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania further encourages the sponsorship of leadership training for women in the clubs and the community; and RESOLVED, That the General Federation of Women’s Clubs Pennsylvania provides additional opportunities for developing leadership skills for women; and RESOLVED, That the General Federation of Women’s Clubs Pennsylvania further encourages leadership training and skill development for students through GFWC PA Juniorette Clubs. LITERACY (adopted 1985, amended by substitution 1991, reintroduced & amended 1997, 2003, reaffirmed 2009) Whereas, An alarming number of adults and job seekers in Pennsylvania are functional illiterates and many school children cannot read or write well enough to make progress in school; and Whereas, Illiteracy effects us all through lost money to business, increased government welfare rolls, over-crowded prisons and limited educational growth to children of low-literate parents; and Whereas, Effective citizenship is dependent on the ability to read, write and comprehend; therefore 83 RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its member clubs: 1. To foster awareness about illiteracy; 2. To support the tutors of literacy in the Commonwealth of Pennsylvania to provide tutoring or the opportunity for tutoring to all illiterates seeking the chance to learn to read; 3. To support projects that encourage literacy programs and an awareness of the effect of illiteracy on society; 4. To work with local school boards on programs which ensure literate graduates; 5. To support local library campaigns to encourage reading and provide information about local literacy programs; 6. To study the issues concerning literacy and support legislative action for literacy programs on the local, state and national levels. SCHOOL LIBRARIES (adopted 1992, reaffirmed 1998, amended 2003, reaffirmed 2009) Whereas, The General Federation of Women’s Clubs Pennsylvania believes that a comprehensive library/media program must be provided for each elementary and secondary school; and Whereas, This program should include printed and non-printed resource materials; and Whereas, There should also be instruction in library research and information skills and necessary technology; and Whereas, School libraries should also have certified librarians/media specialists and educational support personnel; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania and its member clubs encourage the maintenance and upgrading of school libraries printed and non-printed resource materials to meet the technological challenge of the twenty-first century. SUBSTANDARD ENGLISH (adopted 1978, reintroduced and amended 2007) Whereas, Children learn language by imitating what they hear; and Whereas, Television networks often feature shows that use profanity and a substandard level of language; and Whereas, Children spend many hours watching these television shows each week; therefore RESOLVED, That all Pennsylvania club women complain in writing to the television networks, sponsors and producers about the usage of such language. SUPPORT OF SCHOOLS (adopted 1992, reintroduced/amended 1997, reaffirmed 2003, 2009) Whereas, The General Federation of Women’s Clubs Pennsylvania believes that the priceless heritage of free public educational opportunities for every American must be preserved and strengthened; and Whereas, Free public schools are the cornerstone of our social, economic, and political structure and are of utmost significance in the development of our moral, ethical, and cultural values; and Whereas, The survival of democracy requires that every state maintain a system of free public education that prepares its citizens to achieve functional proficiency in English, with emphasis on the development of those basic reading, writing, speaking and listening skills essential for success in other disciplines and everyday life; and Whereas, Young citizens must be able to use critical thinking, creative thinking, and problem-solving skills and must be able to exercise attitudes of good citizenship, societal productivity, and global awareness; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania maintains and strengthens its support of free public education. 84 HOME LIFE COMMUNITY SERVICE PROGRAM BATTERED WIVES (adopted 1978, reaffirmed 2007) Whereas, Statistics show that one in three women is abused by her husband or partner; and Whereas, The prevailing opinion in many areas is that a man may do as he pleases in his own home; and Whereas, Most police departments are reluctant to get involved in domestic quarrels except in extreme cases; and Whereas, Many battered women keep their condition a secret because of their shame; and Whereas, Wives cannot sue their husbands for damages in spite of their abuse; therefore RESOLVED, That all concerned Pennsylvania club women urge their local authorities and human service agencies to assist battered women, as needed, with temporary shelter, care and counseling. ECONOMIC STATUS OF WOMEN (adopted 1992, reaffirmed 1998, 2003, 2009) Whereas, The number of women in the work force is steadily increasing; and Whereas, Women are attempting to successfully balance the demands and commitments of a family and a career; and Whereas, The number of women who are the single head of household is on the rise; and Whereas, Salary equality for women is not a reality; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its members to develop and promote projects, and to actively support legislation, that will enhance the educational opportunities and economic status of women. MASS MEDIA (adopted 1949, amend by substitution 1991, amended 1992, reaffirmed 1998, 2003, 2009) RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges all mass media such as publishers, producers of motion pictures and videos including musical videos, recordings, cassettes, compact disks and radio and television programs to promote, produce and distribute those which convey constructive educational ideas, high moral principles and values toward the emotional security, the mental health and the spiritual welfare of all children; and RESOLVED, That members of the General Federation of Women’s Clubs Pennsylvania rededicate themselves toward preserving the integrity of the home and foster closer parental supervision in respect to the use of all mass media; and RESOLVED, That members cooperate in their communities to promote public awareness or secure positive local action in respect to the rededication directed toward strengthening the American Family. NOTICE ON RECALLED ITEMS (adopted 1947, reaffirmed 2007) Whereas, Some foods, toys, drugs and household items for sale in retail stores have been declared harmful and thus recalled by manufacturers or government agencies; and Whereas, Many of these items are found to remain on sale following public notice that such items have been recalled or ordered removed from sale; and Whereas, Allowing such items to be purchased may be hazardous for consumers; and Whereas, Many consumers are unaware of this problem; therefore 85 RESOLVED, That the members of the General Federation of Women’s Clubs Pennsylvania continue to urge the Pennsylvania Department of Agriculture, U.S. Department of Agriculture, the U.S. Food and Drug Administration and all other appropriate administrative agencies, to require the posting of the names of such products (individually and/or by list or code number) by retail stores and the Internet. ORGAN DONORS (adopted 2004, reaffirmed 2009) Whereas, Organ transplants are known to save lives and a Pennsylvania resident can become an organ donor by indicating as such, on their drivers license; therefore RESOLVED, That all General Federation of Women’s Clubs members be strongly urged to become organ donors and that they encourage all other Pennsylvania residents to become organ donors as well. PAP TEST (adopted 1968, amended by substitution 1992, reaffirmed 1998, 2003, 2009) Whereas, The PAP test is one of the most important lifesaving measures available; and Whereas, This test can detect cancer of the cervix when there are no symptoms and before it spreads; and Whereas, Early detection makes chances of a cure 100%; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges all women to follow the guidelines of the American Cancer Society or the advice of a qualified physician regarding the need for this test; and RESOLVED, That the General Federation of Women’s Clubs Pennsylvania supports research into the causes and cures of cervical cancer. WOMEN’S HEALTH ISSUES (adopted 1991, reintroduced & amended 2007) Whereas, More than 50% of the population is female; and Whereas, heart disease, stroke and cancer are among the leading causes of death of women; therefore RESOLVED, That the members of General Federation of Women’s Clubs Pennsylvania become and remain knowledgeable about women’s diseases, their symptoms, forms of treatment and early intervention and avail themselves of appropriate screening and preventive measures including annual physicals, mammograms, pap smears, blood tests, bone density tests, vaccinations and inoculations; and RESOLVED, That the General Federation of Women’s Clubs Pennsylvania recommends that its member clubs contact legislators, insurers and medical research facilities urging an increase in education and funding for women’s health issues that reflects the percentage of women in the population. INTERNATIONAL OUTREACH COMMUNITY SERVICE PROGRAM WORLD HUNGER (adopted 1985, amended 1991, reaffirmed 1997, 2003, 2009) Whereas, The General Federation of Women’s Clubs Pennsylvania has become increasingly aware of the problem of hunger in our country and in the world; and Whereas, Many governments, agencies and individuals have responded to alleviate the problem of hunger through donations of supplies and money; and Whereas, Life and the quality of life is being denied to many who suffer from hunger, and the lack of proper nutrition prevents them from being productive citizens; therefore RESOLVED, That all Pennsylvania clubwomen support programs which alleviate hunger; and, be it further RESOLVED, That Pennsylvania Clubwomen support self-development programs of education and production of more food for the people of all nations. 86 PUBLIC ISSUES COMMUNITY SERVICE PROGRAM ALCOHOL ADVERTISEMENTS ON RADIO AND TV (adopted 1985, amended 1991, reintroduced & amended 1997, reaffirmed 2003, amended 2009, 2010) Whereas, The welfare of children and young adults has always been a vital concern to the General Federation of Women’s Clubs Pennsylvania; and Whereas, The state of Pennsylvania, the local governments, and many community organizations have mounted extensive campaigns to attempt to eliminate the alcohol abuse problem and its effects on all facets of society; and Whereas, Alcohol is a major drug abuse problem and is indicated to be a factor in at least half of the fatal vehicular accidents which occur on our highways, and is one of the direct causative factors in domestic violence and in the deterioration of the family; and Whereas, Teenagers and young adults are often manipulated or encouraged in certain behavior patterns and in their basic concepts of responsible action by their favorite public personalities; and Whereas, Radio and TV stations and their professional staffs have a responsibility to their audiences regarding basic values of morality, honesty, and integrity; therefore RESOLVED, That the clubwomen of the General Federation of Women’s Clubs Pennsylvania urge their local radio and TV stations to eliminate the promotion of programs and advertising that glamorize the drinking of alcoholic beverages. CELL PHONE USE WHILE DRIVING (adopted 2007) Whereas, The number of people using cell phones while driving has increased; and Whereas, Many states have enacted legislation limiting the use of cell phones while driving; therefore RESOLVED, That the members of GFWC Pennsylvania urge its members to support and encourage enactment of pending legislation to limit the use of cell phones while driving. CHILD PORNOGRAPHY (adopted 1977, reaffirmed 2007) Whereas, The welfare of children has always been of vital concern to the General Federation of Women’s Clubs Pennsylvania; and Whereas, Exploitation of children in pornographic films and the Internet is increasing; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania strongly condemns child pornography and urges its members to become aware of any existing problem in their areas and report it to the proper authorities; and RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its legislators to provide adequate legislation to combat child pornography. DOMESTIC VIOLENCE: ABUSED PERSONS (adopted 2007) Whereas, The members of GFWC Pennsylvania have become increasingly aware of problems of abused persons, be it physical, sexual, emotional, economic or psychological; and Whereas, Approximately 5.3 million incidents of Intimate Partner Violence occur each year among women in the United States ages 18 and older; and 87 Whereas, National Domestic Violence Awareness Month is October; and Whereas, National and State Coalitions and local shelters are in existence and need continuing support; therefore RESOLVED, That the members of GFWC Pennsylvania strive to develop awareness of domestic violence in their communities especially, but not limited to the month of October; and further RESOLVED, That the members of GFWC Pennsylvania support the National and State Coalitions and existing shelters, and urge the establishment of additional shelters to aid, educate and empower abused persons. DRIVING UNDER THE INFLUENCE (adopted 1988, reintroduced and amended 1994, reintroduced 1999, reaffirmed 2000, 2005, 2007, amended and reaffirmed 2011) Whereas, Alcohol and drug related accidents remain a leading cause of death for teenagers and young adults; and Whereas, Society is demanding permanent solutions to the problems of driving under the influence of alcohol and drugs; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its member clubs to cooperate with other organizations in supporting community-based alcohol/drug programs/projects; and further RESOLVED, That the General Federation of Women’s Clubs Pennsylvania members promote a comprehensive approach to teen driver safety by educating our youth on the dangers of driving under the influence of alcohol and drugs. ELDER ABUSE (adopted 2007) Whereas, Currently there are no federal laws protecting the elderly from abuse and existing patchwork of state regulations and resources often falls short of addressing the problem; and Whereas, Elder abuse is on the rise; and Whereas, Two out of three elder abuse victims are women; and Whereas, Only twenty-one states maintain an abuse registry or database of alleged perpetrators of elder abuse; therefore RESOLVED, That the members of GFWC Pennsylvania encourage its members to contact legislators to urge enactment of federal laws requiring a comprehensive strategy to raise public awareness, institute criminal penalties and create programs to assist victims and train law enforcement. FLAG DAY USA - PAUSE FOR THE PLEDGE (adopted 1987, reaffirmed 1999, 2005, 2011) Whereas, In 1949, Congress, by joint resolution, designated June 14 of each year as Flag Day; and Whereas, In 1982, the National Flag Day Foundation was chartered to conduct educational programs and to encourage all Americans to pause for the Pledge of Allegiance as part of National Flag Day ceremonies; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania encourages its members and the general public to display the Flag, and to have public activities to honor our country in an appropriate manner on June 14th. OFFENSIVE ADVERTISING (adopted 1977, reaffirmed 2007) Whereas, The inappropriate advertising of products including personal hygiene, clothing and other items and the manner in which they are presented is often in poor taste, embarrassing to family viewing and contributes to low self esteem to young girls; therefore 88 RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its members to express their strong disapproval of offensive advertising to those responsible for it. OVERSIZED VEHICLES (adopted 2005, amended and reaffirmed 2011) Whereas, Increased weight increases the risk of an accident involving a fatality; and Whereas, Both the State and Federal Government are concerned with the damage to our infrastructure systems caused by oversized vehicles; and Whereas, Said damage will cost the taxpayers more money in repairs; therefore RESOLVED, That the members of the General Federation of Women’s Clubs support a ban on all efforts to increase the weight and size of commercial motor vehicle combinations on our highways. POLITICAL CAMPAIGNS (adopted 2004, reaffirmed 2009) Whereas, Negative political campaign advertising is that which includes personal attacks against an individual seeking political office; and Whereas, Voters feel these negative advertisements are inappropriate and offensive when considering a candidate; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urge its member clubs to bring to the attention of their legislators, our dismay regarding the use of negative advertising and our desire that these techniques be abolished. SEXUAL VIOLENCE (adopted 1991, reintroduced & amended 1997, 2003, reaffirmed 2009) Whereas, Incidents of sexual violence are not confined to any age, ethnic, racial, educational or socioeconomic lines; and Whereas, Approximately two and a half million Pennsylvania women, children and men will be victims of sexual violence during the course of their lifetime; and Whereas, Individuals sexually violated may suffer physical and psychological problems, contract sexually transmitted diseases and may experience life-long disabilities or loss of life; and Whereas, Sexual assault is not only a crime against the individual, but also violates the family, the home and a sense of justice; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania encourages its members to support local programs to provide prevention education and counseling services; and RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its members to advocate: 1. Legislative reform to increase the statute of limitations for civil cases; 2. Recodification of sexual offense laws to increase the victim’s rights; 3. Increased funding for programs for sexual assault victims. STALKING (adopted 2007) Whereas, Stalking is a crime of terror and fear; and Whereas, According to the National Center for Victims of Crime, 1 out of every 12 women will be stalked and 1 out of every 45 men will be stalked and over one million women and nearly 400,000 men are stalked annually; and Whereas, Victims cannot obtain protective orders against certain offenders; therefore 89 RESOLVED, That the members of GFWC Pennsylvania urge its members to contact state legislators requesting passage of laws that will enable stalking victims to obtain restraining or protection orders against any offenders. VIOLENCE ON TELEVISION (adopted 1977, reaffirmed 2007) Whereas, Many television programs provide a step-by-step model that persons may copy to commit violent actions; and Whereas, Violence presents an adverse effect on society as a whole; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania urges its members to contact the television networks voicing the need for substantially reducing the violence on television; and further RESOLVED, That networks be petitioned to specifically reduce programming dealing with violence. WOMEN IN POLICY MAKING POSITIONS IN GOVERNMENT (adopted 1967, amended by substitution 1991, 1997, amended 2003, 2009) Whereas, The General Federation of Women’s Clubs Pennsylvania has long advocated appointment and election of qualified women to policy making positions in government; and Whereas, Women are governed by and taxed by the same governmental units as men; and Whereas, Pennsylvania ranks in the bottom 13% of states for numbers of women in elected and appointed positions in government; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania recommends additional appointments of qualified women to positions of responsibility in all areas of local and state government, and that progress made at the national level be continued. Member clubs are urged to recommend the specific appointment of qualified women of whom they have knowledge; and RESOLVED, That the members of the General Federation of Women’s Clubs Pennsylvania encourage and support qualified women to run for public office. COMMUNICATIONS / PUBLIC RELATIONS THE GFWC “UNITY IN DIVERSITY” EMBLEM (reaffirmed 2007) Whereas, Public recognition is vitally important to the success of an organization’s membership drives, activities, and programs; and Whereas, An emblem that is readily associated with an organization leads to greater public recognition of the organization; and Whereas, An emblem represents affiliation with the state and national organization; therefore RESOLVED, That all member clubs of the General Federation of Women’s Clubs Pennsylvania are encouraged to use the GFWC Unity in Diversity emblem in all public relations activities and correspondence. MISCELLANEOUS RESOLUTIONS GFWC PA CONVENTION SCHEDULING (adopted 1981, reintroduced 1992, 1998, 2003, reaffirmed 2009) Whereas, The General Federation of Women’s Clubs Pennsylvania is composed of civic-minded and patriotic women; and Whereas, These women wish to exercise their civic duty by voting; and 90 Whereas, Many club women are loyal party workers and serve as election officials; and Whereas, The General Federation of Women’s Clubs Pennsylvania encourages its members to seek and to hold public office; and Whereas, It is frequently impossible to participate in the Pennsylvania Primary Election due to the Convention being held during the week in which the Primary falls; therefore RESOLVED, That the Annual Convention of the General Federation of Women’s Clubs Pennsylvania shall not conflict, if possible, with the Pennsylvania Primary Election. TITLE OF “CHAIRMAN” (adopted 1978, reintroduced 1996, reaffirmed 2007) Whereas, Parliamentary Law has a language all its own; and Whereas, Robert’s Rules of Order Newly Revised provides that a person presiding at a meeting who has no regular title or whose position is only temporary is addressed as “Mr. (or Madam) Chairman” by long established usage, and several variations of this form — such as “Chairperson” or “Chair” — are now frequently encountered and may be in use as the general practice in particular assemblies; and Whereas, Traditionally the term “Mister” Chairman or “Madam” Chairman has always been employed to differentiate between sexes; therefore RESOLVED, That the General Federation of Women’s Clubs Pennsylvania shall encourage the use of the term “Chairman”; and RESOLVED, That all club members shall stress the principle that the word “Chairman” belongs to the title of the office the same as the title of president or secretary. 91 GENERAL FEDERATION OF WOMEN’S CLUBS PENNSYLVANIA LONG RANGE PLANNING COMMITTEE PURPOSE: “To evaluate the organization and to appraise and develop plans to strengthen and solidify the Pennsylvania Federation.” LONG RANGE PLAN OVERVIEW The object of this committee clearly states the purpose and scope of our endeavors. The 2012 General Federation of Women’s clubs Pennsylvania Long-Range Plan continues to support the objectives of our organization. This committee has reviewed the 2010 Strategic Plan. Changes have been made to keep this document updated. Some objectives have been changed, some have been completed, new ones have been added and outdated ones have been deleted. Long Range planning is a decision making process by which our organization can determine what it wants to accomplish and how it wants to accomplish it. A long-range plan is a living, working document, which guides and strengthens the activities of an organization through a specific period of time. Goals, and the long-range plan established to reach them, enable the organization to plan effectively for the future. Some plans will be successful, others will be partially fulfilled and still others will be modified due to lack of resources or shifting priorities. For this reason, the long-range plan must be reviewed annually. The 2012 General Federation of Women’s Clubs Pennsylvania Long-Range Plan sets forth the same six organizational priorities and challenges. Strategies and target dates have been added or changed based on the same values which have supported the General Federation of Women’s Clubs Pennsylvania throughout its 116 year history. Note: the names of the organizations are the General Federation of Women’s Clubs and the General Federation of Women’s Clubs Pennsylvania. GFWC and GFWC Pennsylvania are used in this document. ORGANIZATION ISSUES IDENTIFIED IN THE PLANNING PROCESS The following issues were identified as major challenges facing General Federation of Women’s Clubs Pennsylvania and were addressed in the planning process. Decline in membership The role of the volunteer Organizational structure Communication and interaction between the state federation and clubs Need to increase use of communication technology Financial crisis Maintaining headquarters Leadership Development Reporting Process Need for greater public identity 92 ENVIRONMENTAL FACTORS THAT MAY AFFECT GENERAL FEDERATION OF WOMEN’S CLUBS PENNSYLVANIA The following major environmental factors that may affect General Federation of Women’s Clubs Pennsylvania were considered in the development of this long-range plan. Changes in volunteerism Trends in service organizations Demographic changes in Pennsylvania’s population Public’s perception of women’s clubs Changes in the role of women in society Changing community needs ISSUE – LEADERSHIP To implement a more systematic and comprehensive support system for leadership training by offering seminars, workshops, and materials at all levels. GOAL: OBJECTIVES: A leadership workshop will be held for the GFWC Pennsylvania Board of Directors Annually The Leadership Committee will encourage all clubs, counties, Districts and State to use the leadership materials available from the GFWC via the List of Available Materials, including formats for conducting a Leadership Workshop Job descriptions and timelines are vitally important for clubs, counties, districts and State. Each Admin Leadership Workshop will be held in each district Each Admin Club Presidents within a close proximity should be encouraged to have a joint meeting and submit a request for a Leadership Workshop to an officer within the clubs geographical area. Each Admin Clubs will be encouraged to utilize the District Chairmen Contact Clubs via email to ascertain effectiveness of workshops and seminars The Leadership Committee will develop a Mentoring Guideline for Distribution to all clubs, post on website and put note in newsletter. There shall be a follow-up evaluation and update. Each Admin Each Admin Annually GFWC Pennsylvania will select a member to participate in GFWC Annually Pennsylvania LEADS, (Leadership Education and Development Seminar), who has demonstrated leadership capabilities and a willingness to pursue higher leadership positions in Federation. RESOURCES NEEDED: Funds for printed material and LEADS 93 ISSUE – MEMBERSHIP GOAL: To strengthen GFWC Pennsylvania Membership and achieve significant growth OBJECTIVES: The membership committee will encourage new club development Each Admin The Membership Committee will encourage all GFWC Pennsylvania members to recruit new members. Each Admin The Membership Committee will encourage all GFWC Pennsylvania Clubs’ Board of Directors to offer programs and activities to facilitate recruitment and retention of members Each Admin All clubs are encouraged to have an informational display for use at Orientation Meetings, Federation Day events, etc. Each Admin The GFWC Pennsylvania Executive Committee and Membership Committee will serve as the Membership Mentoring Team who will be accessible to districts, clubs and individuals for problem solving and proactive member recruitment and retention Ongoing Membership Chairmen will utilize e-mail to communicate with Club/ County Presidents, club Membership Chairmen and Members-AtLarge to share information in a timely manner Ongoing RESOURCES NEEDED: Funds to meet membership goals ISSUE – COMMUNICATION GOAL: To enhance communication among all members of General Federation of Women’s Clubs Pennsylvania while opening avenues previously unused. OBJECTIVES: Expand the GFWC Pennsylvania website to include: Resolutions, Bylaws, informational bulletins, clubwomen Newsletter, report forms, Long Range Plan, State Directory and more information on the website home page about GFWC Pennsylvania; who we are and what we do. Updates as Necessary Federation items from both GFWC and GFWC Pennsylvania shall be available on-line at their respective sites. Ongoing Encourage community service programs, chairmen and Committee Chairmen to facilitate the use of e-mail to notify general membership of important issues and dates Ongoing RESOURCES NEEDED: Funds for a professional to assist in expanding and maintaining the website 94 ISSUE – RESOURCE DEVELOPMENT GOAL: To obtain sufficient resources to ensure GFWC Pennsylvania’s future as a viable Organization OBJECTIVES: Grants, corporate partners and sale of fundraising items and travel will provide supplemental income. OBJECTIVES: All members should utilize GFWC and GFWC Pennsylvania materials such as profiles, etc. Ongoing Communications and Identity Chairman, by the direction of the President, will prepare a document listing “talking points” for distribution to all clubs and posted on the website. OBJECTIVES: All Report Forms and Instructions will be mailed to all club presidents and will be available for printing on the GFWC Pennsylvania website.
