NOBES, Principal Fisheries Manager R008-03 24 April 2003] THE SOUTH AUSTRALIAN GOVERNMENT GAZETTE 1795 LOCAL GOVERNMENT ACT 1999 GAWLER BUSINESS DEVELOPMENT GROUP Notice of Approval of a Subsidiary THE Town of Gawler has resolved to establish a subsidiary pursuant to section 42 of the Local Government Act 1999, to improve the economic viability of the commercial precincts and businesses generally in Gawler. Pursuant to clause 1 of Part 1 of Schedule 2 of the Local Government Act 1999, I approve the establishment of the Gawler Business Development Group. The charter of the Gawler Business Development Group is set out below. CHARTER OF THE GAWLER BUSINESS DEVELOPMENT GROUP 1. 2. ESTABLISHMENT 1.1 The Gawler Business Development Group (‘the GBD Group’) is established by the Corporation of the Town of Gawler (‘the Council’) as a subsidiary under Section 42 of the Local Government Act 1999 (‘the Act’) on the day of 2002 and this Charter governs the affairs of the GBD Group. 1.2 The GBD Group is established to enhance and sustain the position of the Town of Gawler in the retail, industrial and commercial business marketplace by developing, funding and managing integrated programs for all of the Town of Gawler’s retail, industrial and commercial businesses and in particular the retail, industrial and commercial centres (‘commercial precincts’). 1.3 A commercial precinct will be defined by reference to the Constitution of local trader organisations incorporated for the purpose of enhancing the commercial precincts. It is envisaged that local trader organisations will be incorporated for the purpose of identifying and supporting each commercial precinct within the Town of Gawler. 1.4 The structure and operations of the GBD Group are to have an overarching application to the retail, industrial and commercial businesses within the Town of Gawler and the commercial precincts throughout the Town of Gawler, as well as an ability to undertake separate projects as may be requested by the individual local trader organisations for the benefit of the commercial precincts and the Town of Gawler generally. 1.5 It is envisaged that ratepayers within each commercial precinct will pay annual separate rates to the Council to fund the activities of the GBD Group directed toward special projects for the benefit of either the Town of Gawler generally or one or more commercial precinct. 1.6 This Charter must be read in conjunction with Schedule 2 of the Act. The GBD Group shall conduct its affairs in accordance with Schedule 2 except as modified by this Charter (insofar as is permitted in Schedule 2). OBJECTS AND PURPOSES 2.1 The GBD Group has been established with the following objects and purposes: 2.1.1 to enhance and sustain the businesses of the Town of Gawler; 2.1.2 to develop and adopt strategies to: 2.1.2.1 focus strategic management decisions on the retail, industrial and commercial businesses within the Town of Gawler and the commercial precincts; 2.1.2.2 develop, manage, co-ordinate and fund economic development initiatives which recognise local differences; and 2.1.2.3 continually refine and redefine the strategic management framework for each commercial precinct in response to changes in circumstances; 2.1.3 to improve the economic viability of the commercial precincts and businesses generally within the Town of Gawler; 2.1.4 to position the commercial precincts in a way that sustains retail, business and economic growth and maintains economic viability; 1796 THE SOUTH AUSTRALIAN GOVERNMENT GAZETTE [24 April 2003 2.1.5 to promote and co-ordinate strategic management actions in a way that will ensure ongoing participation and commitment from traders, investors, property owners and the Council; 2.1.6 to enhance the diversity and vibrancy of the commercial precincts with the objective of enriching the quality of life in the Town of Gawler; and 2.1.7 to undertake such other matters, purposes and things incidental to and in furtherance of these objects. 2.2 3. The GBD Group is not involved in a significant business activity as defined in the Clause 7 Statement prepared under the Competition Principles Agreement of the National Competition Policy. THE BOARD OF MANAGEMENT—ROLE AND MEMBERSHIP 3.1 The GBD Group will be governed by a Board of Management (‘the Board’). The Board is responsible for the administration of the affairs of the GBD Group. 3.2 The Board must ensure insofar as it is practicable, that the GBD Group observes the objectives set out in this Charter, that information provided to the Council is accurate and that the Council is kept informed of the solvency of the GBD Group as well as any material developments which may affect the operating capacity and financial affairs of the GBD Group. 3.3 The Council will appoint no more than thirteen and not less than seven members to the Board drawn from the business and general community as follows: 3.3.1 no more than four members to represent the interests of the Town Centre commercial precinct businesses and property owners as defined by the Constitution of the Gawler Town Centre Action Committee, at least one of whom will be a member of the Gawler Town Centre Action Committee if operating at that time; 3.3.2 no more than two members to represent the interests of Willaston commercial precinct businesses and property owners as defined by the Constitution of the Willaston Business Action Group, one of whom will be a member of the Willaston trader organisation committee if operating at that time; 3.3.3 no more than two members to represent the interests of Gawler South/Adelaide Road commercial precinct businesses and property owners as defined by the Constitution of the Gawler South/Adelaide Road trader organisation, one of whom will be a member of the Gawler South/Adelaide Road trader organisation committee if operating at that time; 3.3.4 no more than two members to represent the interests of Evanston commercial precinct businesses and property owners as defined by the Constitution of the Evanston trader organisation, one of whom will be a member of the Evanston trader organisation committee if operating at that time; 3.3.5 one member to be drawn from the business sector of the Town of Gawler to represent those businesses not represented by the commercial precincts covered above; 3.3.6 one member to be appointed at the discretion of the Council; and 3.3.7 one member who is the person holding office for the time being of the Chair of the Gawler Tourism and Promotions Committee. 3.4 Members of the Board shall not be entitled to a sitting fee. 3.5 Nominations for appointment by the Council to the Board will come from persons representing the interests of the classes of people identified in clause 3.3 of the Charter. Selection of people for nomination will be the responsibility of the Board pursuant to the following clauses. 3.6 The Board will annually and before 31 March in each year cause an election to be held for selection of people to be considered by the Council for appointment to the Board. The annual election will be commenced by the Board in accordance with process and provisions determined by the Board and for nominations for the first Board as determined and commenced by the Council. 3.7 Ratepayers (and a nominated person for a body corporate which is a ratepayer) for each class of people as specified in Clause 3.3 will be entitled to nominate for election and will each be entitled to vote for candidates in the class in which their business is situated. 3.8 There will be a Chairperson and a Deputy Chairperson of the Board, both of whom shall be elected by the Board for a term not exceeding one year. In the absence of the Chairperson, the Deputy Chairperson will act as the Chairperson. In the absence of the Chairperson and the Deputy Chairperson the Board will elect one of their number to act as the Chairperson for that meeting. 24 April 2003] 4. THE SOUTH AUSTRALIAN GOVERNMENT GAZETTE 1797 TERM OF OFFICE—THE BOARD 4.1 A Board Member will be appointed by the Council for a term not exceeding two years specified in the instrument of appointment and at the expiration of the term of office, is eligible for reappointment. 4.2 As determined by the Council one half of the members of the first Board shall hold office until 31 May 2003 and the other half of the members of the first Board shall hold office until 31 May 2004. Members retiring on rotation shall be eligible for reappointment. 4.3 The term of office of a member of the Board will also cease upon the Council providing written notice to the Board member to that effect or upon the happening of any other event through which the member would be ineligible to remain as a member of the Board. The Council will provide reasons, should it give notice to a Board member under this clause. (see Clause 4, Part 1 of Schedule 2 to the Act.) 4.4 The Board may by a two-thirds majority vote of the members present (excluding the member subject to this Clause 4.4) make a recommendation to the Council requesting that the Council terminate the appointment of the member in the event of: 4.4.1 any behaviour of the member which in the opinion of the Board amounts to impropriety; 4.4.2 serious neglect of duty in attending to the responsibilities of a member of the Board; 4.4.3 breach of fiduciary duty to the Board or the Council; 4.4.4 breach of the duty of confidentiality to the Board or the Council; 4.4.5 breach of the propriety requirements of the Board; or 4.4.6 any other behaviour which may in the opinion of the Board or the Council discredit the Board. 4.5 5. The Council will appoint a replacement member for any member whose term of office becomes vacant and in so doing will have regard to any recommendation of the Board. PROCEEDINGS OF THE BOARD 5.1 The Board shall meet together for the despatch of business at least once in every two calendar months. 5.2 Questions arising at any meeting shall be decided by a simple majority of votes of those members present and entitled to vote and in the event of an equality of votes the Chairperson shall have a casting vote in addition to a deliberative vote. 5.3 A quorum for a meeting of the Board shall be one-half of the actual number of members in office (ignoring any fraction) plus one. A meeting of the Board will not commence until a quorum of members is present and a meeting may not continue unless there is a quorum of members present. 5.4 For the purpose of this Clause, the contemporary linking together by a telephone, audio-visual or other instantaneous means (‘telecommunication meeting’) of a number of members of the Board provided that at least a quorum is present, is deemed to constitute a meeting of the Board. Each of the Board members taking part in the telecommunication meeting, must be able to hear and be heard by each of the other Board members present. At the commencement of the meeting, each Board member must announce his/her presence to all other Board members taking part in the meeting. A Board member must not leave a telecommunication meeting by disconnecting his/her telephone, audio-visual or other communication equipment, unless that Board member has previously notified the Chairperson of the meeting. 5.5 In the event that there is not a quorum present at two consecutive meetings of the Board, then an extraordinary meeting of the Board may be convened in the same manner as for a special meeting (see Clause 5.7), at which the business which was on the agendas for the two previous, but failed meetings, may be transacted at the extraordinary meeting of the Board irrespective of the presence of a quorum as otherwise required by Clause 5.3, provided three or more members are present. Decisions made at such a meeting will be binding on all members of the Board. 5.6 Subject only to any specific requirement of this Charter, all matters for decision at a meeting of the Board will be decided by a simple majority of the members present and entitled to vote on the matter. All members present and entitled to vote on a matter are required to cast a vote. Subject to Clause 5.2 all members are entitled only to a deliberative vote. Board members may not vote by proxy. 5.7 A special meeting of the Board may be held at any time and may be called at the request of the Chairman or at the written request of two members of the Board. 5.8 Notice of all meetings will be given in accordance with the provisions applicable to a committee meeting under Part 2 of Chapter 6 of the Act and the associated Regulations. 1798 7. [24 April 2003 5.9 Meetings of the Board will be open to the public in accordance with Part 3 of Chapter 6 of the Act unless the Board resolves otherwise. 5.10 The Board must ensure that accurate written minutes of its proceedings are entered in books kept for that purpose and that the minutes are produced for verification at the subsequent meeting of the Board. 5.11 A minute that is entered, confirmed and signed in accordance with clause 5.10 is, in the absence of proof to the contrary, proof of the proceedings to which the minute relates. 5.12 Where minutes have been entered, confirmed and signed in accordance with clause 5.10 it is to be taken, in the absence of proof to the contrary, that: 5.13 6. THE SOUTH AUSTRALIAN GOVERNMENT GAZETTE 5.12.1 the meeting to which the minutes relate was held; 5.12.2 the proceedings recorded in the minutes occurred; and 5.12.3 all appointments of officers or auditors recorded in the minutes were validly made. Meetings of the Board will be conducted in accordance with the Charter and supplemented by Council Policy (as varied from time to time) or by express resolution of the Council. PROPRIETY OF MEMBERS OF THE BOARD 6.1 The principles regarding conflict of interest prescribed at Division 3 of Part 4 of Chapter 5 of the Act will apply to all members of the Board as if they were elected members of the Council. 6.2 The members of the Board will not be required to comply with Division 2, Chapter 5 (Register of Interests) of the Act. 6.3 The members of the Board will at all times act in accordance with their duties of confidence and confidentiality and individual fiduciary duties including honesty and the exercise of reasonable care and diligence with respect to the Board as required by Part 4, Division I, Chapter 5 of the Act and Clause 7 of Part 1 of Schedule 2 to the Act. POWERS 7.1 The GBD Group is constituted as a body corporate under the Act and in all things acts through the Board. 7.2 The GBD Group has: 7.3 7.2.1 the power to incur expenditure necessary in the performance of its functions and duties in accordance with the objectives of this Charter and within budgets approved by the Council; 7.2.2 the power to sue and be sued in its corporate name; 7.2.3 the power to enter into any kind of contract or arrangement approved by the Council; 7.2.4 the planning, costing, endorsement and reporting upon projects to the Council and to stakeholders of the GBD Group; 7.2.5 the power to make application for funds and other revenue deemed necessary for the performance of its powers, functions and duties; 7.2.6 the duty where required by the Council to return surplus revenue to the Council at the end of any financial year; 7.2.7 with the approval of the Council, the power to invest funds in accordance with Part 4 of Chapter 9 of the Act; 7.2.8 the power to promote and market the commercial precincts and generally of retail and business activities in the Council area; 7.2.9 the power to co-ordinate projects and related activities necessary to meet the requirements of the GBD Group’s business plan; 7.2.10 the power to do anything else necessary or convenient for, or incidental to, the exercise, performance or discharge of its powers, functions or and expected duties; and 7.2.11 the responsibility to ensure that funds made available by the Council for specific purposes and projects are so allocated. The GBD Group may only borrow funds with the prior approval of the Council. 24 April 2003] 8. 9. THE SOUTH AUSTRALIAN GOVERNMENT GAZETTE 1799 7.4 The GBD Group will have a common seal which may be affixed to documents requiring execution under common seal and must be witnessed by the Chairperson of the Board and one other Board member. 7.5 The common seal must not be affixed to a document except to give effect to a resolution of the Board. The Chairperson will maintain a register which records the resolutions of the Board giving authority to affix the common seal and details of the documents to which the common seal has been affixed with particulars of the persons who witnessed the fixing of the seal and the date. 7.6 The Board may by instrument under seal, authorise a person to execute documents on behalf of the GBD Group. The Chairperson will maintain a register of such resolutions and details of any documents executed in this way, together with particulars of the person executing the document. 7.7 Funds raised through separate rates applied to a defined commercial precinct, must be expended in accordance with project plans specifically designated and approved for that commercial precinct. 7.8 Subject to Clause 7.2.6 funds that remain unspent in relation to specific commercial precinct projects, may be accumulated for expenditure in a later period within the commercial precinct from which the surplus was generated. 7.9 The GBD Group must operate within the Council’s Policies applicable to the GBD Group and as determined by the Council (as varied from time to time). COMMITTEES 8.1 The Board may establish committees for such purposes and with terms of reference as the Board determines from time to time. 8.2 The members of committees need not be members of the Board. 8.3 The Chairperson of the Board is ex officio a member of all committees. 8.4 The Board may not delegate any of its powers or functions to a committee and any determination of a committee shall be by way of recommendation only to the Board. ADMINISTRATIVE MATTERS 9.1 The Council may appoint an officer or officers to assist the GBD Group to: 9.1.1 record and distribute minutes of meetings of the GBD Group; 9.1.2 record and maintain accounts and financial transactions relating to the funds of the GBD Group; 9.1.3 communicate with representatives of traders and commercial groups involved in the activities of the GBD Group; 9.1.4 assist with the efficient and effective management of the operations and affairs of the GBD Group; 9.1.5 assist the GBD Group with the implementation of its policies and lawful decisions; 9.1.6 to provide advice and reports to the Board on the exercise and performance of the GBD Group’s powers and functions; and 9.1.7 to assist with the administration of the affairs of the GBD Group generally. 9.2 With the consent of the Council, the Board may engage professional consultants and it may authorise the Chairperson to employ such other officers on its behalf as are required for the efficient and effective management of the operations and affairs of the GBD Group. 10. FINANCIAL CONTRIBUTIONS TO THE GBD GROUP 10.1 The Board will annually determine and recommend to the Council the funds required by the GBD Group to enable it to function, and the funds required for specific purposes and projects envisaged by the local organisation for the benefit of commercial precincts. 10.2 The Board is accountable to the Council to ensure that the GBD Group functions in accordance with its objects and purposes and within approved budgets. 1800 10.3 THE SOUTH AUSTRALIAN GOVERNMENT GAZETTE [24 April 2003 The GBD Group must, by 31 March in each year, make recommendations to the Council in respect of the separate rates to be levied upon the commercial precincts for the purpose of raising revenue in order to meet the objectives of the GBD Group’s business plan and individual commercial precinct projects. 11. BUDGET 11.1 The GBD Group must prepare a draft budget for each financial year, which is based on specific project plans. 11.2 The GBD Group must submit a draft budget to the Council in time for it to receive appropriate consideration and approval by the Council within the Council’s normal budget development process. 11.3 The GBD Group may adopt its budget only after it has been approved by the Council. 11.4 The GBD Group must provide a copy of its final budget to the Council within five business days after adoption by the GBD Group. 11.5 The GBD Group must reconsider its budget in accordance with Regulation 7 of the Local Government (Financial Management) Regulations 1999. (See Clause 9, Part 1, Schedule 2 to the Act for the contents of the budget.) 12. BUSINESS PLAN 12.1 The GBD Group shall prepare and adopt an annual business plan and submit it to the Council for approval. 12.2 The business plan must include: 12.2.1 performance targets that the GBD Group is to pursue; 12.2.2 a statement of the financial and other resources and internal processes that will be required to achieve the GBD Group’s performance targets; and 12.2.3 the performance measures that are to be used to monitor and assess the performance of the GBD Group against the targets set at Clause 12.2.1 above. 12.3 The GBD Group must review the Business Plan in conjunction with the Council on at least an annual basis and in any event by 31 March in each year. 12.4 The GBD Group may, after consultation with and the approval of the Council, amend its business plan at any time. (See Clause 8, Part 2, Schedule 2 to the Act for the content of the Business Plan.) 13. ACCOUNTING The GBD Group must ensure that its accounting records, accounts and financial statements are prepared and maintained in accordance with all relevant Australian Accounting Standards. (See Regulations 8 and 9, Local Government (Financial Management) Regulations 1999 in relation to particular accounting practices). 14. AUDIT 14.1 The auditor of the GBD Group shall be the Council’s current auditor. 14.2 The GBD Group must provide its audited financial statements to the Chief Executive Officer of the Council by 31 August in each year. (See Part 5, Local Government (Financial Management) Regulations 1999 in relation to the GBD Group’s audit responsibilities.) 14.3 The GBD Group is not obliged to establish an audit committee, but subject to the approval of the Council may do so if determined appropriate by the Board. (See Clause 13, Part 1, Schedule 2 to the Act for the functions of an Audit Committee.) 15. LIABILITIES 15.1 Liabilities incurred or assumed by the GBD Group are guaranteed by the Council. 15.2 All borrowings of the GBD Group require the prior approval of the Council (which may be absolute or conditional). 24 April 2003] THE SOUTH AUSTRALIAN GOVERNMENT GAZETTE 1801 15.3 The GBD Group is required to apply for membership of the Local Government Association Mutual Liability Scheme. In the event that membership is not approved, the GBD Group must take out and maintain public liability insurance cover of at least $20 million per claim or such other amount as the Council may from time to time determine. 15.4 The GBD Group is also required to apply for membership of the Local Government Association Workers Compensation Scheme should it be the employer of any person. 16. FINANCE 16.1 The Council Administration will provide the GBD Group with banking and account keeping services at no cost. 16.2 The Board must act prudently in the handling of all financial commitments of the GBD Group and will be provided with quarterly financial reports by the Council officers appointed pursuant to Clause 9.1. 17. REPORTS AND INFORMATION 17.1 The GBD Group must submit its annual report on its work and operations including its audited financial statements, to the Council before 31 August in each year. 17.2 At any time, on written request from the Council, the Board shall report to the Council on matters being undertaken by the GBD Group. 17.3 The GBD Group must, at the written request of the Council, furnish to the Council information or records in the possession or control of the GBD Group as the Council may require in such manner and form as the Council may require. (See Clause 11, Schedule 2 to the Act.) 18. ALTERATION TO THE CHARTER 18.1 This Charter may be amended by resolution of the Council. 18.2 The Council will ensure that the amended Charter is published in the Gazette. 18.3 Before the Council votes on a proposal to alter this Charter it must take into account any recommendations of the Board. 18.4 This Charter is to be reviewed every two years, with the first review to occur no later than 30 June 2004. 19. DIRECTION BY THE COUNCIL 19.1 In accordance with Schedule 2 to the Act the GBD Group is at all times subject to the direction and control of the Council. 19.2 A direction given by the Council under this Clause must be in writing and will be available at the Council’s principal office. 20. DISSOLUTION OF THE GBD GROUP 20.1 The GBD Group may be dissolved by the Minister in the circumstances envisaged by Clause 16, Part 2 of Schedule 2 to the Act. 20.2 In the event of there being net assets upon dissolution and after realisation of all assets and meeting all liabilities, the net assets will vest in the Council. 20.3 In the event of there being an insolvency of the GBD Group at the time of dissolution, the Council will be responsible to pay the liabilities of the GBD Group. HILL, Minister for Environment and Conservation WATER RESOURCES ACT 1997 Notice of Restriction of Water Use in the Marne Catchment Area PURSUANT to section 16(1) of the Water Resources Act 1997 (‘the Act’), I, John David Hill, Minister for Environment and Conservation, being of the opinion that: 1. The rate at which water is being taken from watercourses and the Wells accessing the upper unconfined aquifer in the Murray Group Formation and the lower confined aquifer in the Renmark Beds (‘the Wells’) in the area described in Schedule 1 (‘the designated area’) is likely to affect the quality of the water in those watercourses and Wells; 2. The rate at which water is being taken from watercourses and the Wells in the designated area is such that there is a risk that the available water in the designated area will not be sufficient to meet future demand; and 3. The rate at which surface water is taken from the designated area is such that the surface water available in the designated area can no longer meet the demand, hereby prohibit the taking of surface water and water from watercourses and the Wells in the designated area subject to the exceptions specified in Schedule 2. A person authorised in writing by the Minister responsible for administering the Act (‘the Minister’) or delegate pursuant to a notice under section 16 of the Act published in the Government Gazette on Thursday, 29 April 1999 at page 2380 (the ‘1999 Notice’) may take water for the same purpose and subject to the same conditions as specified in that authorisation but at the rate or volume specified in clause 2 of this Schedule. 2. The maximum volume of water that may be taken pursuant to an authorisation referred to in clause 1 of this Schedule is the volume of water that can be reasonably delivered by infrastructure that has been constructed or established on the relevant land at any time prior to 24 months after the date of the authorisation in question and which infrastructure had been described in a plan of works or water use proposal that had been provided to the Minister as part of the application for an authorisation to use water under the restrictions imposed by the 1999 Notice. 3. Any authorisation granted under the 1999 Notice may be varied by the Minister or delegate by the issue of a further written authorisation granted in accordance with policy criteria dated 16 June and 23 September 1999 signed by the Minister (‘the Guidelines’). 4. Water may only be taken under an authorisation through a meter. 5. Where land has been transferred from a person authorised under the 1999 Notice the transferee may take water pursuant to the authorisation on the same terms as the transferor. 6. All water taken in accordance with this Notice must be used in a manner that does not detrimentally affect the ability of any occupier of adjoining land to take water for stock and domestic purposes. 7. This restriction does not apply to the taking of water pursuant to section 7(5) of the Act for domestic purposes or watering stock (other than stock subject to intensive farming) or to taking water for fire fighting or reticulating supplies of potable water for townships in the area.
