The above costs are the initial and annual costs for the Services. In respect of certain of the Services (as
indicated in the respective Service Schedules) additional costs shall be incurred in arrears and shall be
dependent, inter alia, on usage of the Service. C ustomer shall be invoiced for such additional costs
together with the fixed monthly costs indicated above.
Should Customer upgrade the Service/s and/or subscribe to Service/s in addition to those specified in the
Schedules, an amended Schedule will replace this Cost Schedule, and, where necessary, additional
Service Schedules will be attached.
Contract periods run for a minimum of 12 months, with the exception of HSDPA Data Bundles which shall
be subject to a minimum 24 month contract period..
All prices are quoted in ZAR and exclude VAT.
All fees exclude Telkom charges.
Set-up fees exclude software costs where applicable.
The Provision of all Services by IS to the VCP shall be subject to IS’ standard terms and conditions
relating to the provision of services, annexed hereto.
IS Hosting will not in any way manage, alter, inspect, test or support application layer software, where
applicable.
Client will be charged for a minimum of 5 users for Hosted Exchange where applicable.
If the monthly Hosting traffic threshold is exceeded a charge of R0.16 / MB will apply for additional data
served, where applicable.
Additional Hosting disk-space is charged at R1.00 /megabyte/month, where applicable.
Storage for Hosted Exchange is calculated as the sum of the allocated storage spaces across all users,
and per GB or part thereof, where applicable.
Where applicable and where additional users are required and provisioned, they will be charged for as per
the agreed users’ fee.
Where additional data storage is required and provisioned, it will be charged for as per the agreed storage
fee.

rule s relat ing to the Custome r’ s condu ct while using th e Se rv ice s which a re contained in
IS’ Acc ep t ab l e U se Po li cy ( “ AU P” ) ( av ai lab l e at w w w .is. c o .z a /L eg a l b y cl ick in g o n t h e
“legal” l ink). Bec aus e s ecu rity th reat s c an be fluid and a cceptab le u sage c an ch ange, IS
m ay f ro m t i m e t o t im e am en d t h i s AU P b y p u b li cat io n o n it s w eb s it e. T h es e am en d m en t s
w ill n o t m at er ial ly af f ect t h e Ag reem en t , b u t w i ll m er ely u p d at e t h e lim it s o f t h e
Customer’s exi sting duty to us e the Se rv ice s in a safe a nd re sponsibl e m anner.
5.2.
Customer sh all not commit no r attempt to commit any ac t or omi ssion which d ire ctly or
indire ctly:
5.2.1.
damage s in any w ay IS’ techn ica l inf rast ructu re o r an y p art the reof;
5.2.2.
impede s, imp ai rs o r p rec ludes IS from being able to prov ide the Se rv ice /s in a
rea sonabl e and busin ess lik e mann er;
5.2.3.
constitutes an abuse or mal iciou s mi suse of the Se rv ice / s;
or is calculated to h ave an y of the abovemention ed effects. In such an event, should IS incu r
expen ses to remedy the situation , I S res erv es the right t o cha rge the Custom er th e amount
nece ssa ry to cov er IS’ add itional exp enditure. Notwithst anding the abov e, I S re serv e s the right to
take any oth er approp riat e a ction it may dee m ne ces sa ry to rem edy th e s ituation.
5.3.
Customer is prohib ited f rom s ell ing, res ell ing or otherwi se de aling with t he Se rv ice /s
which a re p ropr ieta ry to IS in any m anne r whatso ev er. Without li mitation to the
aforegoing , an y con side ration which Custome r m ay re cei v e whilst a cting in breach of this
prohibition shal l be forfe ited to I S.

personn el and/or addres s.

"Equipment" mean s equ ipment suppli ed by IS to the Cu s tomer on th e ba sis of a loan,
rental or oth erwi se, to en able th e Cu stome r to util ise the Se rv ice s;
5.5.
Customer is prohib ited f rom modif ying an y Equipment (i ncluding but not limit ed to rout er
equipment) uti lis ed by Custome r to re ceiv e any of the Se rv ice/ s, in any way whatsoev e r,
including th e ch anging of any of th e s ettings of such Eq uipment.

payment o r b e entitl ed to a reduction in any charg e o r h av e any oth er right o r rem edy
against IS, it s s erv ants, its agent s or any other pe rsons for whom it m ay b e l iabl e in law
if IS inte rrupts the Se rv ice to Custom er as it would b e e ntitled to do if Custom er is in
d ef au lt o f an y o f it s o b l ig at io n s u n d e r t h is Ag r eem en t t o IS.
5.8.
C u st o m er m a y n o t at an y t im e u se t h e Se rv ice in co n t rav en t io n o f an y So u t h Af r ican L aw .
Customer acknowledg es th at IS has no ob ligation to assist Custom er in obtain ing
k n o w l e d g e a n d / o r c l a r i t y i n t e r m s o f t h e a p p l i c a b l e S o u t h Af r i c a n L a w .

6.
Prov ision of the Se rv ice s by I S
6.1.
T o t h e e xt en t t h at t h e p ro v is io n s o f t h e C P A ar e ap p lic a b le t o t h i s Ag reem en t , in t h e
ev ent that the Cu stome r a lleg es th at the re i s a defe ct in the qualit y of the Serv ic es, the
only remed y that th e Custom er will hav e ag ainst IS, i s to requi re IS to remed y the d efe ct
in the qua lity of the Se rv ice s pe rform ed.
6.2.
If IS has suppl ied Equipment to en able th e Cu stomer to utilise the Se rv ice s in th e
circumstan ces s et out in clau se 6.1 , def ects in the Equip ment will be d ealt w ith as
desc ribed in c lau se 7.
7.
Returns and Refunds
7.1.
If t h e p ro v is io n s o f t h e C P A ar e ap p lic ab le t o t h is Ag r ee m en t , t o t h e ext en t t h at
Equipment is suppli ed to a Custom er, the Equipm ent is warranted in respe ct of qua lity,
suitabil ity and durabil ity for a p eriod of 6 (si x) months o f the Effe ctiv e D ate in respe ct of
t h e Eq u ip m en t co n ce rn ed . P ro v id ed t h e C u st o m e r is n o t in b re ach o f t h e Ag re em en t ,
Customer ma y within th is p eriod return the Equ ipment to IS w ithout pena lty if the
Equipment f ail s to s atisf y the requ irements and standa rd s contemp lated and I S shal l
repa ir o r repl ace the f ailed , uns afe o r def ectiv e Equipm e nt.
7.2.
If Custome r ele cts to enforc e the prov ision s of clau se 7. 1 and, within 3 (thre e)
months of any repai r unde rta ken b y I S, th e fai lure, d efec t o r uns afe fe ature ha s not be en
remed ied, or a furth er f ailu re, defe ct or unsaf e fe ature is discov e red b y Custom er, I S
shall, in its sole and absolute discretion:

repl ace the Equipment; o r
7.2.2.

The Custom er h ereby appoints IS to prov ide the Se rv ice/ s to the Custome r for the du ration of this
Ag re em en t , w h ich ap p o in t m en t IS ac cep t s , o n t h e t erm s an d co n d it io n s co n t ain ed in t h i s
Ag re em en t .
8.
8.1.
IS wa rrants and repres ents that:
8.1.1
it has fu ll capa city and authority and all the ne ce ssa ry li cenc es, p erm its and con sents to
en t er in t o an d p erf o rm in t er m s o f t h i s Ag re em en t an d t o p ro v id e t h e S erv ic es t o t h e
Customer;
it is th e owne r of o r ha s the right to u se und er lic enc e a ny intel lectu al p rope rty employ ed by
it during o r as p art of th e Serv i ces;
it is not awa re, as at d ate he reof, of an y matt er with in it s reason able contro l which might o r
w ill ad v e rse ly af f ect it s ab ilit y t o p e rf o rm it s co n t r act u a l o b lig at io n s u n d e r t h i s Ag reem en t ;
t h e S e r v i c e s s h a l l b e p e r f o r m e d i n c o m p l i a n c e w i t h S o u t h Af r i c a n L a w ;
t h e S erv ic es sh al l b e p ro v id ed in a cco rd an c e w it h t h e p ro v isio n s o f t h is Ag r eem en t ;
the Serv ic es w ill b e pe rform ed in a p rofes siona l mann er and tha t it is and/o r it sha ll us e
personn el that is approp ri ately e xperienc ed, suitab ly qu alified and h as suffici ent knowl edge,
expe rtis e and compet ence to pe rform th e s erv ic es, in ac cordan ce with the high est standa rd
of its indu stry .
Sav e a s expres sly set out in c laus es 6, 7 o r 8.1 abov e, I S doe s not m ake any repre sentat ions
nor giv es any w arranti es o r gua rant ees of an y natu re wh atsoev er in resp ect of th e Se rv ice/ s
and al l wa rranties which are imp lied or re sidua l at comm on law a re hereby exp re ssl y
exclud ed.

The duration pe riod of ea ch of the Serv ice s shall be as s pecifi ed in th e relev ant
Schedu les .

4.1.
IS shall be entitled to comm enc e inv oicing the Cu stome r for the Costs in rel ation to each
Se rv ice f rom th e date that such Se rv ice is Commis sione d, as set out in the Schedul e
conce rned ("D ate of Commi ssioning") .
4.2.
When th e Dat e of Com mis sioning is d ela yed th rough the fault of the Custome r, IS sha ll be
entitled to commen ce inv oicing th e Custom er for the Cos ts in rel ation to each Schedul e, with
effect fro m 6 0 (si xty) d ays afte r the Sign ature Dat e.
4.3.
In the ev ent of a single Serv ic e con sist ing of a numbe r o f components, I S sh all
be entitl ed to co mmenc e inv oic ing the Custome r fo r e ac h re spectiv e component of that
Se rv ice as and when ea ch compon ent of that Se rv ice is a ctiv ated for Custome r u se.
4.4.
Customer is r espons ible for and ag ree s to p ay to IS al l Onc e Off Cost s and
M onthly Costs spe cified in the Cost Sch edule in South African cu rrency , without dedu ction
or s et-off of any amount of what soev er nature o r for wha tsoev er re ason.

hereb y ind emnifie s and holds I S ha rmle ss aga inst an y c l aims, cost s and /or d amag es
which ma y be incu rred by the Cu stome r or the ECN S Pro v ider a s a re sult of a fa ilure
by the Cu stome r to pa y the EC NS Prov ider fee s, o r an y p art the reof, as the cas e m ay
be.
4.6.
Inv oicing will be p roc ess ed and del iv ered monthly in adv ance, and all inv oice s for Serv ice s
shall be settled by th e Custom er, monthly within 30 (thirty) days of the d ate of invoice.
4.7.
In the ev ent of any dispute a ris ing a s to the amount o r c alcul ation of any Co sts
t o w h ich I S i s en t it led in t e rm s o f t h is Ag re em en t , t h e d i sp u t e sh all b e ref e rr ed f o r
determ ination to independ ent aud itors . Th ey shall a ct a s exp ert s and th ei r de cis ion sh all b e
final and binding on I S and Custome r. Th e cost of the de termin ation sh all be p aid on d emand
by the Pa rty again st whom the dete rminat ion is mad e, o r as d etermined b y the sa id aud itors .
H o w ev er, w h ere t h e p ro v isio n s o f t h e C P A a re ap p li cab l e t o t h is Ag re em en t , an d d o n o t al lo w
for the enforc ement of th e abov e p rov ision s this cl ause 4.7 shal l not app ly.
4.8.

premi ses of the Custome r. Upon the sign ature of a proo f of deliv e ry b y the Custome r, th e
Customer sh all b e l iabl e for any and all loss , theft o r de struction of or d amag e the reto,
howsoev er ari sing.
9.3
In the ev ent of d amag e to o r the loss , theft o r de stru ctio n of the Equipment o r any po rtion
thereof after the signatu re of a p roof of del iv ery , the Cu stomer sh a ll be oblig ed to repl ace
and/or rep air or to pay to I S the cost of rep la cing and /or rep airing the Equipm ent so
damaged, lost , stol en o r de stroy ed.
9.4
The Custom er und ert ake s:

enginee r, d ecomp ile, modify or t ampe r with the equipm e nt or softwa re own ed by IS, o r an y of
its third pa rty supplie rs .

If the Cu stomer cl aim s that all th e Threshold Value s a re below the rel ev ant v alue,
or othe rwise that the CP A app lie s to the tran sa ction in q uestion, IS may at its in stanc e requi re
the Custome r to p rov ide it with finan cia l st atement s a s p roof thereof.
22.3.3
If the Cu stomer mis state s the Thre shold Va lues in such a way that I S co nsid ers for
a pe riod that th e trans action is subje ct to the CP A when it is not, al l prov is ions of this
Ag re em en t t h at d o n o t ap p ly t o t ran s act io n s su b ject t o t h e C P A sh all ret ro a ct iv ely ap p l y t o t h e
trans action in que stion, and the Custome r shall be liab le for an y dam age sust ained b y I S
resu lting from such mis state ment.
