BLOGGER AGREEMENT
This Blogger Agreement (the “Agreement”) is made as of October 27, 2014 (“Effective Date”) between
Cone Communications (“Cone”) on behalf of ServiceMaster Consumer Services Limited Partnership
(“ServiceMaster”) and its affiliate, Merry Maids Limited Partnership (collectively, “Merry Maids” or
“Brand”), with an address of 855 Boylston Street, Boston, MA 02116, USA, and
Jennifer Worden, a
natural person, with an address of 407 N 1st Street, Carlsbad, NM 88220 and a phone number of 575-9377479 (“Blogger”).
WHEREAS, Blogger has an interest in the area of communicating with other persons via a personal
weblog, Facebook, Twitter or other social media network (collectively referred to herein as “Social
Media”); and is a person who is actively engaged with a community of friends and family on Social
Media;
WHEREAS, Merry Maids and its agency, Cone, seek to work with Blogger to promote the Brand; and
Blogger desires to talk about her/his experiences and share content from the Brand on Social Media;
In consideration of the mutual promises of performance by Blogger and Brand, as hereinafter defined, and
for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
Cone (on behalf of Merry Maids) and Blogger agree to the following terms and conditions:
1.
Term. The term of this Agreement will begin as of the Effective Date and continue until
December, 15, 2014. Merry Maids may terminate this Agreement at any time upon written notice
to Blogger.
2.
Blogger’s Obligations. Blogger’s obligations under this Agreement shall include the following:
a.
Blogger agrees to produce at least three (3) blog posts promoting the Merry Maids
“Season’s Cleanings” holiday Program and sharing, as well as three (3) posts each on
Facebook, Twitter and Instagram between November 10, 2014 and December, 15, 2014.
After Blogger shares his/her content, s/he will email Cone a link to his/her post and/or all
of her/his social shares.
b.
Blogger agrees that all comments and/or posts s/he produces pursuant to this Agreement
shall be made in accordance with the guidance provided in Sections 4 through 9 below.
c.
Blogger grants Merry Maids the right to promote the post/content created by Blogger on
any of its social channels. However, the parties agree that Merry Maids is not obligated
to promote the post/content in any way.
3.
Merry Maids Obligations. Merry Maids, through its agency, Cone, will pay Blogger Five
Hundred and fifty US Dollars ($550.00USD) for the Blogger’s performance of the activities
described in this Agreement.
4.
When Blogger posts about the Merry Maids “Season’s Cleanings” Program, Blogger will always
identify him/herself as being affiliated with the Brand, and as having developed the content for
compensation. Blogger agrees that by always identifying him/herself in such a manner, Blogger
will be complying with the United States’ Federal Trade Commission’s (FTC) endorsement
guides.
5.
Merry Maids encourages Blogger to always express her/his honest opinions about her/his
experiences and opinions of the Brand and the services it provides. However, in order to comply
with the law, Blogger agrees to avoid making unsubstantiated statements about perceived benefits
offered by the Brand. If Blogger makes unsubstantiated or non-factual statements on her/his
Facebook Page or on a social network site, s/he would violate the law and subject him/herself
(and Merry Maids) to potential liability. To help Blogger avoid getting into this situation, Merry
Maids will always provide Blogger with accurate and correct information about the Brand.
Blogger can (and should) express her/his own opinions. However, Blogger agrees that any nonopinion, factual information Blogger shares in her/his Social Media will be consistent with the
information provided by Merry Maids.
6.
Blogger also agrees that if s/he posts on Social Media any statements or other content that s/he
creates which relates to or references Merry Maids, including without limitation any tips,
suggestions, images, or text, audio or video content (the “Content”), Merry Maids will have the
right to link to (if applicable), independently re-publish (in whole or in part), or otherwise use
such Content. Blogger also agrees that Merry Maids is free to attribute the Content to her/him or
her/his Social Media (if applicable). If Blogger’s Content includes references to, or images of,
third parties (i.e., someone other than Blogger) or other performances or content provided by
third parties, Blogger agrees that s/he has all necessary permissions from these third parties to
permit Merry Maids to use the Content in this way.
7.
Merry Maids may also ask for Blogger’s feedback, either individually or as part of a group, on
the ideas, ads and other services and initiatives. By agreeing to these terms, Blogger understands
that Merry Maids may freely use all comments, suggestions, ideas, notes, drawings, concepts,
recipes or other information disclosed or offered to Brand by Blogger.
8.
In the event that Merry Maids provides Blogger with products, a gift card, samples or other items
to share with others, Blogger agrees to do so responsibly. If Blogger conducts any sort of
giveaway of these items to her/his friends, family and/or readers, Blogger agrees to do so
responsibly and lawfully and agrees that Blogger will be responsible for any resulting liabilities,
injuries, losses, or claims, including without limitation, injuries to (or harm suffered by)
him/herself or others.
9.
Blogger also acknowledges that s/he is a legal resident of the United States and is eighteen (18)
years of age or older. By signing this Agreement, Blogger is agreeing that s/he meets these
eligibility requirements.
