Box 9716, 34834 Weyerhaeuser Way South, Federal Way, WA 98063, a California nonprofit corporation (hereinafter referred to here as “WVUS”) and, (hereinafter referred to here as (“ ”), come together in this Agreement to form a relationship in which WVUS will provide certain promotional materials and resources to in the effort to assist in obtaining Child Sponsorships for WVUS. 1.0 Understandings 1.1 WVUS may provide promotional materials and resources to as part of the Child Sponsorship Program. 1.2 The Child Sponsorship Program is defined as a WVUS program that individuals can participate in by making monthly donations that support children and their families in WVUS’s development projects in various countries. 1.3 A Confirmed Child Sponsorship occurs when WVUS actually takes receipt of the first full month’s donation paid by an individual either by check, money order, or credit card as a result of the individual having completed a WVUS Child Sponsorship Welcome Packet and agreeing to sponsor a WVUS Child. 1.4 The Child Sponsorship Welcome Packet is a picture folder and application form that an individual completes in order to participate and donate on a monthly basis to WVUS’s Child Sponsorship Program. 2.0 Term and Cancellation Option 2.1 The term of this Agreement commences 3.4 below. 3.0 and shall terminate on , unless terminated per section How the Program Operates 3.1 For each Confirmed Child Sponsorship that WVUS receives as a result of ’s effort to obtain Child Sponsorships associated with this Agreement, WVUS will compensate an amount of $ . 3.2 WVUS will provide a Campaign code specific to this Agreement that will use in identifying all Confirmed Child Sponsorships received. shall ensure that this specific campaign code shall be identified with each Child Sponsorship Welcome Packet that completed and returned to WVUS. WVUS cannot authorize payment for Confirmed Child Sponsorships if the campaign code has not been identified on the application. 3.3 On a quarterly basis, WVUS will generate a report for the period indicated that totals all Confirmed Child Sponsorships WVUS has received as a result of this Agreement, and will make payment to by the next scheduled payment date as indicated below. (Today’s Date) Page 1 of 5 Report Period October – December January – March April – June July – September Payment Date > January 31 > April 30 > July 31 > October 31 3.4 Either party may terminate this Agreement at any time by sending written notice as specified under 4.5 below. Upon actual termination date, the number of Confirmed Child Sponsorships shall be totaled and reconciled based on WVUS’s calculation and validation of the number of Confirmed Child Sponsorships acquired. If terminated, shall return to WVUS any and all property of WVUS in the form of marketing materials, child picture folders, etc. that had been provided to to operate the program. 3.5 In the event that this Agreement is terminated, for any reason, shall be entitled only to compensation rendered prior to the date of termination and shall repay WVUS for any un-recouped distribution of funds from WVUS it has received pursuant to this Agreement. In the event that the number of Confirmed Child Sponsorships is in excess of the compensation WVUS has provided to as of the termination date, WVUS shall make additional compensation in order to make ’s compensation equal with the formula in paragraph 3.1. The owing party shall, and is obligated to, within 30 days of the actual termination date; make the reconciling payment to the receiving party. Any monies owed but not paid by the 30th day after the termination date will accrue at an interest rate of 1% per month. If collection efforts are necessary, the owing party will pay all associated fees and expenses. 3.6 WVUS will make available certain standard promotional materials along with the supply of Child Welcome Packets, which may use to promote WVUS’s Child Sponsorship Program. 3.7 In executing this Agreement has fully completed and provided to WVUS an IRS form W-9 that identifies its company information and Federal Tax ID Number. 3.8 In the event that there is a Pastor Vision Trip or Congregational Vision Trip activity, WVUS will not pay for expenses associated with these activities under this Agreement. 4.0 understands that General Conditions 4.1 In executing this Agreement, WVUS grants to a non-exclusive limited license to utilize the World Vision logo and other materials that may or may not be supplied by World Vision, for purposes related to this Agreement. Any content and/or materials not created by WVUS that intends to use for purposes related to this agreement must be approved by WVUS in writing prior to being used. It the event that this agreement is terminated, the license granted shall also end at the same time this Agreement ends. 4.2 and WVUS acknowledge and agree that it is the intent of the parties to this Agreement that the relationship created by this Agreement is that of independent contractors and that neither party is an agent, partner, nor representative of the other. 4.3 agrees to indemnify and hold harmless WVUS, its agents, employees, and volunteers from any claims, losses, injuries, or damages (including attorney’s fees) arising out of or caused by the sole negligence or intentional misconduct of , its employees, agents or volunteers. Neither party to this Agreement shall disclose any information, without the prior written consent and agreement of the other party, the terms and conditions of this Agreement, any company information, donor information, document, or internal process related to the performance of this Agreement to any third party. 4.7 This Agreement shall be construed in accordance with and the laws of the State of Washington herein and shall govern all disputes. 4.8 By signing this Agreement, agrees, under penalties for perjury, that it is registered and in compliance with all applicable state filing and licensing requirements associated with the work performed under this Agreement. 4.9 This Agreement represents the entire agreement between the parties and supersedes any and all other agreements, either oral or in writing between the parties with respect to the subject matter herein, and no other agreement, statement, or promise relating to the subject matter of this Agreement which is not contained herein shall be binding. 4.10 5.0 This Agreement may only be amended in a written document mutually signed by both parties. Abso will utilize various sources of information it deems appropriate including, but not limited to: criminal conviction records, current and former employers, department of motor vehicle records, military records, credit reporting agencies, education records, professional and personal references and workers compensation records including any and all injuries in compliance with the Americans with Disabilities Act. I agree, authorize and consent to the release and disclosure of any and all information including but not limited to the above to World Vision, Inc., and Abso. I agree, authorize and consent to the procurement of a Consumer Report and/or an Investigative Consumer Report and understand that it may contain information about my credit worthiness, credit standing, credit capacity, character, general reputation, personal characteristics, or mode of living. This authorization in original or copy form shall be valid for my term of Work from the date indicated next to my signature. According to the Fair Credit Reporting Act, World Vision, Inc. will notify me if Work is denied because of information obtained from a Consumer Reporting Agency. Additionally, I understand that if requested within 60 days, I will be given a full and accurate disclosure as to the nature and substance of all information provided to World Vision, Inc.
