Industry clients continue to be able to apply for services delivered in accordance with these
Guidelines. These include Defence Industry Change Plans, New Air Combat Capability –
Industry Support Programme, Tailored Advisory Service grants and Defence Advisory
Service Grants.

About these guidelines
The Australian Industry Productivity Centres (Productivity Centres) Program Guidelines
provide information on, and set out the Commonwealth’s requirements in relation to:









co-ordination of the Productivity Centres initiative;
Productivity Centre Initiative branding requirements;
Australian Government policies;
publicity and promotion;
dispute resolution;
Partner Organisation support;
reporting;
Code of Ethics; and
Government Policy Directives.

These Program Guidelines are guidelines for the purposes of the definition of AIPC Program
Guidelines in the Funding Agreements.

Introduction
The Australian Industry Productivity Centres (Productivity Centres) provide a suite of
business improvement services to assist established firms throughout Australia to enhance
their performance. The Department of Industry, Tourism and Resources (the Department) is
responsible for the delivery of the Productivity Centres. The Department operates in
partnership with industry associations and similar bodies to deliver the services described in
these Program Guidelines.
The purpose of these Program Guidelines is to provide a framework for the operation of the
Productivity Centres initiative for Partner Organisations.
These Program Guidelines may be amended from time to time. The Department will notify
Partner Organisations of amendments.
1.1
Productivity Centres initiative objective
The objective of the Productivity Centres initiative is to provide improved access by target
firms to expert business advisory services and related technology and knowledge to improve
their productivity and international competitiveness.
1.2
Guidelines not exhaustive
It should be understood that the Funding Agreement between the Commonwealth and each
Partner Organisation contains each party’s obligations in respect of the Productivity Centres
initiative. Some of those obligations are set out more fully in other documents, including
these Program Guidelines.
The Program Delegate may make policies of general application in relation to the
administration of the Productivity Centres Program.
The Program Delegate may make decisions and guidelines in relation to the administration of
the Productivity Centres Program.

Partner Organisations
2.1
Program Co-ordination
Partner Organisations must nominate a Productivity Centres initiative Coordinator. The
Commonwealth will channel its communication through that person where it relates to:

administrative issues outside of dealings with individual Participating Clients; or

performance issues outside of dealings with individual Participating Clients.

In all other circumstances the Partner Organisations agree that the Commonwealth will
communicate directly with Business Advisers.
2.2
Badging
The Partner Organisations must ensure that Business Advisers performing the Services
identify themselves as delivering a Commonwealth initiative (“Commonwealth
Identification”). The Commonwealth may give the Partner Organisations directions from
time to time as to:

when the Commonwealth Identification is necessary; and

how the Commonwealth Identification is to occur (such as an approved form of words
for telephone answering or identification for stationery).
The Partner Organisations must erect and maintain internal and external office signage
acceptable to the Commonwealth.
The Partner Organisations must comply with any directions from the Commonwealth
concerning badging or signage from time to time, on at least three months notice from the
Commonwealth.
All written promotional, advertising and other material, including stationery, business cards
and signage, must include the Commonwealth brand in a form and manner specified by the
Commonwealth. Formats for each item must be agreed by the Commonwealth and recorded
in a style manual prior to the first payment under the Funding Agreement, or as otherwise
approved by the Commonwealth in writing.
The Partner Organisations must ensure that Business Advisers submit to the Commonwealth
all promotional, advertising and other material to be used in conjunction with any
configuration of the Commonwealth brand in performing the Services for approval prior to
printing or distribution.
The Partner Organisations must comply, and must ensure Business Advisers comply, with
any directions about the use of the Commonwealth’s logo and other brands notified to the
Partner Organisations from time to time.
2.3
Compliance with Australian Government policies
The Partner Organisations must, and must ensure each of its directors, employees, agents and
contractors (including the Business Advisers), comply with:

all applicable laws;

the Government policy directives set out in Schedule 5 of these Program Guidelines;

the Government's requirement to have in place a Business Continuity Plan to ensure
key business processes essential for the delivery of the Services are maintained in the event
of a business disruption; and

2.4
any new Government policy directives advised to the Partner Organisations from time
to time.
Publicity and promotion
The Commonwealth may provide to the Partner Organisations promotional material, such as
brochures, for use by the Partner Organisations and its Business Advisers to promote the
Services and the Productivity Centres initiative. The Partner Organisations must use
reasonable endeavours to use such material to promote the Services and the Productivity
Centres initiative.
Other than in relation to material the Partner Organisations receive as described in the
paragraph above, the Partner Organisations must obtain the Commonwealth’s prior approval
before releasing any publicity material, conducting any promotional event, or making any
public announcements concerning the Productivity Centres initiative, the Funding or the
Funding Agreement.
The Partner Organisations must, in all publications, promotional activities and materials,
advertising materials, public announcements, public disclosures and activities by the Partner
Organisations, or on the Partner Organisation’s behalf, in relation to the Services, or any
products, processes or inventions developed as a result of it, acknowledge the financial and
other support the Partner Organisations has received from the Commonwealth, in accordance
with section 2.2 of these Program Guidelines.
The Commonwealth may publicise, undertake promotional activities relating to, and report
on:

the awarding of Funding to the Partner Organisations and the Partner Organisations
carrying out the Services; and

the Productivity Centres initiative, including the other matters set out in the Funding
Agreement.
Without limitation, the Commonwealth may do this by including in media releases, publicity
material, general announcements about the Funding, annual reports and in other publications
the Partner Organisation’s names, details about the Partner Organisations, the amount of the
Funding given to the Partner Organisations and a brief description of the Services and the
other matters set out in the Funding Agreement.
The Commonwealth agrees to pay the costs of:

publicity and promotional activities conducted by the Commonwealth;

developing any promotional material, including brochures, which it provides to the
Partner Organisations (including its Business Advisers) for use in promoting the
Services and the Productivity Centres initiative. The cost of distributing that material is
to be borne by the Partner Organisations; and

marketing by the Partner Organisations up to an amount specified in the Budget of the
relevant Partner Organisation for any particular Calendar Year.

The Partner Organisations agree to pay the costs of all publications, promotional activities
and materials, advertising materials, public announcements, public disclosures and activities
by the Partner Organisations, or on the Partner Organisation’s behalf, in relation to the
Services, Productivity Centres initiative and the other requirements in the Funding
Agreement, which are not specified to be funded by the Commonwealth under either these
Program Guidelines or the Funding Agreement.
The Partner Organisations agree to support marketing activities undertaken by the
Commonwealth and any marketing firm contracted by the Commonwealth to undertake
marketing activities for the program. These activities include but are not limited to
advertising, the placement of editorial content in industry publications, road shows, etc.
2.5
Business Development
Business Advisers in each state will be required to meet with their relevant State Manager
once each calendar year to review activities undertaken in the past 12 month period and to
plan for the next 12 month period. The date of these meetings will be determined as
appropriated by the State Managers and relevant Business Advisers. The Partner
Organisations will be responsible for the travel and accommodation costs incurred by the
Business Advisers attending these meetings.
The Partner Organisations agree to work with the Productivity Centres in the states to
formulate joint business development plans for the delivery of services by Business Advisers
in regard to targeting of key organisations, referral points and other stakeholders. This is to
ensure the communication of consistent messages within the states and reduce the risk of
firms being targeted by more than one Business Adviser.
2.6
Dispute Resolution
Subject to the relevant Funding Agreement, the parties (being the Commonwealth and the
relevant Partner Organisation) agree not to commence any legal proceedings in respect of any
dispute notified under the Funding Agreement, which is not resolved by informal discussion,
until the procedure provided by this section 2.5 has been utilised.
The parties agree that any dispute arising during the course of the Funding Agreement is dealt
with as follows:

the party claiming that there is a dispute will send the other a notice setting out the
nature of the dispute (“Dispute Notice”);

the parties will try to resolve the dispute though direct negotiation by persons who they
have given authority to resolve the dispute;

the parties have 10 Business Days from the receipt of the Dispute Notice to reach a
resolution or to agree that the dispute is to be submitted to mediation or some
alternative dispute resolution procedure; and
if:

there is no resolution of the dispute within 10 Business Days from the receipt of the
Dispute Notice; or

there is no agreement on submission of the dispute to mediation or some alternative
dispute resolution procedure within 10 Business Days from the receipt of the Dispute
Notice; or

there is a submission (within 10 Business Days from the receipt of the Dispute Notice)
to mediation or some other form of alternative dispute resolution procedure, but there is
no resolution within 15 Business Days of the submission, or such extended time as the
parties may agree in writing before the expiration of the 15 Business Days,
then, either party may commence legal proceedings.
2.7
Partner Organisation's Support
For the purpose of performing the Services, a Partner Organisation must provide, at its own
cost, during the term of the Funding Agreement:

the minimum IT requirements for Business Advisers as described in Schedule 3;

use of a facsimile, projection screen and data projector as required for its Business
Advisers to deliver the Services;

training support for its Business Advisers, including:
o facilitating individual Business Advisers to receive Commonwealth coaching
and training on a needs basis (as described in the Funding Agreement);
o giving Business Advisers the opportunity to attend up to 10 days’ training per
financial year (as described in of the Funding Agreement); and
o giving Business Advisers the opportunity to attend the Commonwealth's
Annual Business Advisers conference (as described in the Funding
Agreement);

promotion of the Productivity Centres initiative in accordance with standards and
guidelines notified by the Commonwealth from time to time including, where the
Partner Organisations 's membership base or client network has an internet site, web
page links to the Commonwealth hosted Productivity Centres initiative information;
and

reasonable marketing and promotion of the Productivity Centres initiative to the Partner
Organisation’s membership base and client network in addition to marketing material
and activities funded or undertaken by the Commonwealth as contemplated under
either these Program Guidelines or the Funding Agreement.
The Partner Organisations must comply with any directions from the Commonwealth as to
the performance of the Partner Organisation’s obligations under this section 2.6.

The Partner Organisations must also ensure that all personnel (including Business Advisers)
performing the services relevant to the Funding Agreement (including the Services) have
access to a copy of the Program Guidelines.
2.8
Commonwealth support
During the term of the relevant Funding Agreement, the Commonwealth will provide (in
respect of that agreement):

induction and initial training for Business Advisers, including training to enable
Business Advisers to use the Business Diagnostic Tools;

use of the Business Diagnostic Tools in accordance with these Program Guidelines (and
subject to any licensing requirements);

on-going individual on the job coaching for Business Advisers on a needs basis (as
determined by the Commonwealth);

various training for Business Advisers of up to 10 days’ per calendar year at nominated
capital cities, as determined necessary by the Commonwealth. The Commonwealth
intends that the training days will be allocated reasonably evenly to each quarter of a
financial year;

an annual Business Advisers conference (of up to 5 days) for Business Advisers;

accommodation and meal costs (if required) to attend the training and conference
referred to above, at rates to be determined by the Commonwealth;

access for the Business Advisers to the Commonwealth’s online system (called the
Client Relationship Management System) for Business Advisers to communicate with
the Commonwealth, subject to the requirements in these Program Guidelines and the
obligations of confidentiality in the Funding Agreement;

authorisation to the Partner Organisations and Business Advisers to deliver the
Commonwealth’s business review service; and

publicity and promotional activities as described in section 2.4 of these Program
Guidelines.
The Commonwealth may change the support to be provided from time to time.
2.9
Business Diagnostic Tools
The Commonwealth will licence a selection of business diagnostic tools to assist the Business
Advisers to undertake the Services under the Funding Agreement. These business diagnostic
tools may include:

Probe for Manufacturing and Service;

Benchmarking Review;

others as required at the discretion of the Commonwealth.
Business Advisers may receive training in the use of one or more of the tools licensed by the
Commonwealth. Tools must be used in accordance with the licence provisions as
demonstrated to Business Advisers through the training process.
2.10 Productivity Centres Client Relationship Management System
The Productivity Centres Client Relationship Management system (CRM) is a secure system
and a source of up-to-date information for Partner Organisations and Business Advisers. The
CRM will include information on:

Business Adviser contact details;

Partner Organisation contact details;

participating firm contact details;

a register of firms that have been contacted;

business reviews undertaken and tracking of progress of business review reports;

applications for Tailored Advisory Services and Technology and Knowledge
Solutions;

assessment of Tailored Advisory Services and Technology and Knowledge Solutions;
and

other relevant information.
Each Partner Organisation and Business Adviser will be provided with access to the CRM via
a secure logon and password and will be able to view information relevant to the particular
party as determined by the Commonwealth.
Business Advisers must log all client contact on the CRM.
2.11 Productivity Centres Website and Secure Portal
The Productivity Centres website and secure portal are a source of up-to-date information for
Partner Organisations and Business Advisers. The secure portal will provide access to the
following:

access to the CRM;

access to the Business Diagnostic Tools;

marketing information;

Productivity Centre templates including business cards, reporting, letterhead, etc; and

other relevant information.
2.12 Reporting
Further requirements for the reports to be provided by Partner Organisations to the
Commonwealth under the Funding Agreement are set out in Schedule 2.
2.13 Code of Ethics
The Code of Ethics is set out in Schedule 4.

Schedule 1 - Definitions
In these Program Guidelines:
Approved Auditor means a person who is:

registered as a company auditor under the Corporations Act 2001 (Cth), or a member of
the Institute of Chartered Accountants in Australia, CPA Australia or the National
Institute of Accountants; and

not a principal, member, shareholder, officer or employee of the Partner Organisations
or of a related body corporate of the Partner Organisations.
Australian Accounting Standards refers to the standards of that name maintained by the
Australian Accounting Standards Board created by section 226 of the Australian Securities
and Investments Commission Act 2001 (Cth).
Australian Auditing Standards refers to the standards set by the Auditor-General under
section 24 of the Auditor-General Act 1997 (Cth) and generally accepted Australian audit
practices to the extent they are not inconsistent with such standards.
Authorised Officer means:

the Partner Organisation’s Chief Executive Officer;

the Partner Organisation’s Chief Financial Officer; or

a person authorised by the Partner Organisations to execute documents and legally bind
the Partner Organisations by their execution.
Budget refers to the budget set out in Australian dollars in the Funding Agreement, as
updated from time to time in accordance with the Funding Agreement.
Business Adviser means an individual employed by the Partner Organisations in accordance
with the Funding Agreement to deliver the Services.
Business Day means any day other than a Saturday, Sunday, or public holiday.
Business Diagnostic Tools means the range of business diagnostic tools made available by
the Commonwealth to Business Advisers.
Calendar Year means a year running from 1 January to 31 December.
Client Guidelines means the guidelines that are made by the Program Delegate, as in force
from time to time for the delivery of the Productivity Centres initiative.
Funding means the funding for the Productivity Centres Program as specified in the Portfolio
Budget Statements, as varied by any Portfolio Additional Estimates Statement.
Funding Agreement means the funding agreement between a Partner Organisation and the
Commonwealth and any amendments to that funding agreement.

Participating Client means a client of the Partner Organisations approved by the
Commonwealth for service by Business Advisers.
Partner Organisation means an entity which is party to a Funding Agreement and engages
Business Advisers to deliver the Services.
Productivity Centres Program means the Commonwealth’s Australian Industry Productivity
Centre initiative, the objectives of which are set out in the Funding Agreement.
Productivity Centres Program Coordinator means the person nominated for that role by the
Partner Organisations under these Program Guidelines. They cannot simultaneously be
nominated as a Business Adviser.
Services means the services described in as the “Services” in the Funding Agreement.

Schedule 2 – Reporting
There are four kinds of reports required under the Funding Agreement between the
Commonwealth and Partner Organisations. They are:

Quarterly Reports;

Annual Reports;

Audit Reports;

Ad hoc Reports.
These reports will be used by the Commonwealth to review:

the performance of each Business Adviser against requirements in the Partner
Organisation's Funding Agreements;

the Partner Organisation's expenditure against the Budget;

the Partner Organisation's performance against requirements in their Funding
Agreements; and

the Partner Organisation's satisfaction with the administration of the Productivity
Centres initiative.
Further information on the form and content of each of these reports is provided below.
Quarterly Reports
Quarterly Reports are due within 30 days of each 31 December, 31 March, 30 June and
30 September. The first report is due within 30 days of 31 December 2007, there after the
December Quarterly Report will be incorporated into the Annual Report. The Quarterly
Reports will include the following information:

business activity review profile for each employed Business Adviser; and

financial expenditure information.
The report template is available at the secure portal website.
Annual Reports
Annual Reports are due within 30 days of the end of each Calendar Year and are for the
purpose of calculating the Business Adviser Performance Bonus. The first Annual Report is
due within 30 days of the end of 31 December 2008. Annual Reports will include the
following information:

proof of currency of insurances;

business activity review profile for each employed Business Adviser for the Calendar
Year;

number of business review conversions to Tailored Advisory Services and/or
Technology and Knowledge Solutions;

financial expenditure information;

Partner Organisation feedback on the administration of the Productivity Centres
initiative and effectiveness of marketing activities undertaken; and

other information requested by the Commonwealth from time to time.
The report template is available at the secure portal website.
Audit Reports
Audit reports are due within 60 days of the completion of each financial year. The Audit
Report must be prepared by an Approved Auditor (in accordance with Australian Accounting
Standards) and will include the following information:

an audited detailed statement of receipts and expenditure in respect of the Funding,
which must include an unqualified statement as to whether the financial accounts are
complete and accurate, and a statement of the balance of the Partner Organisation’s
account referred to in Schedule 2 of the Funding Agreement;

an unqualified and audited statement to the effect that the Funding was only expended
for the purpose of providing the Services or related to the Productivity Centres
initiative, and in accordance with the Funding Agreement;

a certificate, provided by an Authorised Officer, that:
o all Funding received was expended for the purpose of providing the Services
or related to the Productivity Centres initiative, and in accordance with the
Funding Agreement; and
o salaries and allowances paid to Business Advisers are in accordance with any
applicable award or agreement in force under any relevant law on industrial or
workplace relations; and
This Audit Report must be prepared according to the Australian Auditing Standards, and
must be carried out by an Approved Auditor.

Ad hoc Reports
Additional ad hoc reports may be required by the Commonwealth from time to time, on
reasonable notice. The Commonwealth will specify the form and content of the report at the
time it gives notice that the report is required.

Schedule 3 - Minimum IT Requirements for Business Advisers
Hardware Requirements
A laptop with:

a minimum 2 GHz dual core processor;

at least 2 gigabytes (GB) of RAM;

at least 1 GB of available space on hard disk;

a mouse or some other compatible pointing device; and

a video Adapter capable of displaying 1024 x 768 or higher resolution.
Operating System and other Software Requirements
The required operating system is Windows Vista,
Microsoft Office Standard 2007.
Internet Access Requirements
The laptop should:

be provided with a wireless broadband card;

have an internet connection speed of at least 256 Kbps download and 128 Kbps upload
and the current minimum bandwidth requirement to run efficiently; and

have the ability to access the internet via TCP ports 80 (http) and 443 (ssl).
The following are the browser requirements:

Microsoft Internet Explorer version 6.0 or later; and

Allow the installation of ActiveX controls.

Schedule 4 - Code of Ethics
At all times a Partner Organisation must adhere, and ensure any of its employees, agents and
contractors (including Business Advisers) must adhere, to the following code of ethics.
1.
Public interest
You will at all times safeguard the interests of clients and Australia provided that they do not
conflict with any laws.
2.
Honesty and integrity
You may not breach public trust or the specific trust of clients and the Commonwealth. You
will observe norms of honesty, integrity and professionalism in the conduct of your services
and responsibilities.
3.
Objectivity
You will be objective, impartial and free of conflicts of interest in the conduct of your
services and responsibilities.
4.
Competence
You will bring due care and diligence to bear upon the conduct of your services and
responsibilities. You may not undertake tasks which you cannot reasonably expect to
complete with due care and diligence. When in doubt you will obtain such advice and
assistance as will enable you to carry out the work competently.
5.
Confidentiality
You will be prudent in the use of information acquired in the course of the services. You
may not use such information (confidential or otherwise) for your personal gain or that of a

You may not solicit or accept anything of value from a client which might be, or be seen to
be, creating a conflict of interest in the provision of the services.

Schedule 5 - Government Policy Directives
Equal Opportunity for Women in the Workplace Act 1999
In accordance with government directives a Partner Organisation must (and must ensure its
officers, employees, agents and contractors (including Business Advisers)) comply with any
obligations under the Equal Opportunity for Women in the Workplace Act 1999 (Cth).
Aboriginal and Torres Strait Islanders
The Partner Organisation must (and must ensure its officers, employees, agents and
contractors (including Business Advisers)) comply with any government directive concerning
opportunities of employment for Aboriginal and Torres Strait Islander people.
Freedom of Information
If an application is made under the Freedom of Information Act 1982 (Cth) for access to
tender or contract documents, the Commonwealth:
(a)
may, before making a decision, consult the Partner Organisation concerned without
prejudice to any decision to release the information; and
(b)
will determine the application in accordance with the requirements of
the Freedom of Information Act 1982 (Cth) .
Access by Australian National Audit Office
In accordance with the access clauses outlined in
http://www.finance.gov.au/ctc/standard_contract_clauses_to_p.html, the Partner Organisation
must (and must ensure its officers, employees, agents and contractors (including Business
Advisers)) allow access to its staff, premises and relevant documents to the Australian
National Audit Office.
