Parties of the License Agreement Licensee: Person, company or any other legal entity that has purchased an HSC License with an HSC Serial Number granted by the Licensor. “Licensee” includes any entity, which is under the management or control of the Licensee. License Summary The HSC Chemistry software (hereinafter referred to as “HSC”), documentation and training material that accompanies this License Agreement is the property of the Licensor, and is protected by copyright law. Although the Licensor continues to own HSC, after the Licensee has accepted this License Agreement the Licensee will have certain rights to use HSC, which are specified in this agreement. All rights not expressly granted to the Licensee are retained by the Licensor. HSC License terms also depend on the HSC License Type. The applicable License Type is specified in the customer HSC purchase receipt. This License Agreement governs any releases, revisions, updates or enhancements to the HSC that the Licensor may make available to the Licensee. HSC installation and use is forbidden without legal HSC license and Serial Number granted by the Licensor. By installing HSC software, the Licensee accepts the terms and conditions of this License Agreement (EULA). HSC Chemistry License is perpetual; maintenance updates are available if the Licensee has a valid Subscription. However, the License will be revoked if the Licensee violates the terms of this Agreement. The Licensee shall use and apply HSC entirely at the Licensee’s own risk. Definitions 1. “HSC” means HSC Chemistry® software. 2. “Agreement” refers to this HSC End User License Agreement (EULA) 3. “User” means any employee, independent contractor or other temporary worker authorized by the Licensee to use HSC while performing duties within the scope of their employment or assignment. 4. “Machine” means a computer device (whether physical or virtual) used by the User for running HSC. 5. “Article” means sections of the Agreement. 6. “Serial Number” means the identification string which the Licensor grants to the Licensee. 7. “Machine Code” means the string that is used to identify the Machine. 8. “Instance” means the process that is running on the Windows operating system. Each HSC module creates a new Instance when started. This instance will be closed when the HSC module is closed. 9. "Subscription" means a time-limited subscription of the HSC maintenance releases. A valid subscription enables you to download and install the latest HSC version. Subscription covers the major and minor updates. 10. “Perpetual” means that a legal HSC software copy works in the ‘Machine’ even after the Subscription has expired. 11. "Release" means a generally available new version of the HSC with new features and/or significant enhancements. 12. “Version” means new developments of HSC. These may be divided into two categories a) major, and b) minor. 13. “Plugin” means addin or extension, which adds specific features to HSC like unit operation models to the HSC Sim module. 14. “Affiliate” means a person or organization attached to the Licensee. 15. “Third Party” means other entities than the Licensee and Licensor. 16. “Dealer” means the HSC retailer. 17. “Feedback” means ideas, suggestions, proposals, data, or bug reports which the Licensee may deliver to the Licensor. 4. License Grant HSC Chemistry software is licensed, not sold. HSC shall at all times remain the property of the Licensor. The Licensor grants the Licensee a perpetual, limited, non-exclusive, nontransferable, non-sub licensable License to: 1. Install HSC solely on Machines controlled by the Licensee within the limitations specified in Article “5. License Restrictions”. 2. Use the HSC software for internal work, research and training within the limitations specified in Article “5. License Restrictions”. 3. Distribute the calculation results and applications, which have been created using the HSC-licensed materials, to third parties, publications, etc. 5. Create, distribute and sell Plugins to HSC, which adds specific features to HSC like unit operation models to the HSC Sim module. 6. Link HSC calculation routines and databases to other software applications, like MS Excel. Permission to utilize HSC calculation routines and databases directly or indirectly from other software applications applies only for valid HSC Licensees. 7. Print portions of the online Documentation for reasonable use by Licensed Users. 8. Use earlier HSC versions in the same Machine as the version the Licensee has originally purchased. However, neither the Licensor nor Dealer is obligated to supply earlier versions to the Licensee. The Licensee must obtain an earlier version separately, for which the Licensee may be charged a fee. An HSC License is perpetual. However, the License will be revoked if the Licensee violates the terms of this Agreement. 5. License Restrictions HSC License restrictions depend on the HSC License Type. The License Type is specified in the Licensee HSC purchase receipt. The Licensee must comply with the terms, which are defined in the “HSC License Terms” section. The License is also subject to the express restrictions set forth below. The Licensee shall not, and shall not permit any Affiliate or any Third Party to: 1. Install HSC, if this License fails to meet the Licensee needs, or is inconsistent in any respect, with local legislation. 2. Install HSC on Machines which are not solely controlled by the Licensee. 3. Permit any Third Party to use the licensed materials. 4. Use HSC, HSC libraries, or HSC databases without a valid HSC License. 5. Use or virtualize features of the software separately. 6. Copy, make available for copy, or otherwise reproduce HSC, in whole or in part, except as may be required for HSC installation. 7. Rent, lease, or loan HSC; time share HSC, share the activation slots, or provide service bureau or similar service use. 8. Modify, adapt, translate, copy, or convert all or any part of HSC, in order to create software to perform the same or similar functions as in HSC or to replace any component of HSC. 9. Disassemble, decompile, reverse engineer HSC, or any portion thereof, or attempt to gain access to its method of operation or source code in any other manner. 10. Sell, license, sublicense, provide access to, distribute, disseminate, assign, or otherwise transfer (whether by sale, exchange, lease, gift, or otherwise) HSC, any copy or portion thereof to a Third Party. 11. Alter, remove, or obscure any copyright, trade secret, patent, trademark, logo, proprietary and/or other legal notices on or in copies of the programs. 12. Provide access (directly or indirectly) to HSC via a web or network application, except as permitted in Article 3 “License Grants”. Disclose or transfer the Serial Number, activation key, login credentials, and/or license files to a Third Party, or allow them to be used by a Third Party. 14. Work around any technical restrictions or limitations in HSC. 15. Utilize possible software bugs or leaks in HSC licensing or operation. 16. Using HSC in any other manner than specified in Article 16 “HSC License Type”. 17. Call HSC calculation routines or databases directly or indirectly from other software applications if the User does not have a valid HSC Agreement. 6. HSC Activation HSC must be activated after installation. An Internet connection and genuine HSC Serial Number is needed to complete the activation processes. An Internet connection may also be needed after the activation stage, but this depends on the HSC License Type. HSC must be deactivated from the computer if the user wants to move the HSC activation to another computer. An Internet connection is needed to complete the deactivation processes. Activation will also ensure that the end user receives information on any updates as soon as they become available. However, under special conditions, HSC License Activation can be carried out offline by Outotec personnel. For example, this can be done under circumstances when the user does not want to connect his/her machine to the Internet at all. The offline activation process requires information from the end user; for example, the machine code, email address, etc. Offline activation process may arise some special costs, because it cannot be done automatically. 7. HSC Subscription and Maintenance The HSC License is perpetual, but updates and maintenance releases are only available for end users with a valid Subscription. A valid Subscription ensures that the Licensee may download, install and use the latest HSC version. However, the subscription does not expand the original number of users, machines, or instances of the License. The new HSC updates simply replace the old HSC versions. The Licensee may use the old HSC versions in the same machine as the new ones. However, it is not permitted to install the new HSC upgrade and corresponding old version on different Machines. 8. Technical Support The price of HSC does not include technical or chemical support or consulting due to the limited support resources and the low price of the software. Limited support may be given for certain specific technical problems with the software (for example, installation). However, the Licensor is very grateful for all comments, feedback, and bug reports (email, faxes, etc), because these will help the future development work of the software. 9. Copyright © Outotec (Finland) Oy 2015 HSC CHEMISTRY® December 21, 2015 Research Center, Pori HSC Chemistry License Agreement 15004-ORC-J 5 (11) The Licensee has no obligation to provide the Licensor with ideas, suggestions, proposals, data, or bug reports (“Feedback”). However, if the Licensee or Users submit Feedback to the Licensor, then the Licensee grants the Licensor a non-exclusive, worldwide, royalty-free license that is sub-licensable and transferable, to make, use, sell, have made, offer to sell, import, reproduce, publicly display, distribute, modify, and publicly perform the Feedback in any manner without any obligation, royalty or restriction based on intellectual property rights or otherwise. However, the Licensor will not be granted rights, as defined in the preceding paragraph, if the Licensee delivers files or ideas to the Licensor and specifies these as “Confidential”. For example, the Licensor will keep in the strictest of confidence process model applications and application files of HSC modules which the Licensee gives the Licensor and specifies these “Confidential”. 10. Transfer of the License The Licensee may transfer this License to a third party; however, the Licensee must first ask permission from the Licensor, who will give a written answer within 30 days. The Licensor needs the contact information of the third party. Upon transfer of the License, all rights of the Licensee based on this Agreement will cease. Before the license transfer, the Licensee must deactivate and uninstall all HSC copies from his/her computers and delete the installation files and all licensed material. This allows the Licensor to give the HSC License serial number to the new Licensee. 11. General 1. Reservation of Rights: The Licensor reserves the right at any time to cease the support of HSC and to alter prices, features, specifications, capabilities, functions, licensing terms, release dates, general availability or other characteristics of HSC. 2. Changes to this Agreement: The Licensor may update or modify this Agreement from time to time, including any referenced policies and other documents. The modified version of the Agreement will be effective on the new HSC versions which are released after Agreement modifications. 3. Opportunity to Review: The Licensee hereby declares that the Licensee has had sufficient opportunity to review this Agreement, understand the content of all of its clauses, negotiate its terms and seek independent professional legal advice in that respect before entering into it. 4. Severability: If a particular term is not enforceable, the unenforceability of that term will not affect any other terms. 5. Headings: Headings and titles are for convenience only and do not affect the interpretation of this Agreement. 6. No Waiver: Our failure to enforce or exercise any of this Agreement is not a waiver of that section. 7. Governing Law: This Agreement shall be governed by and construed in accordance with Finnish Law. Disputes arising from this Agreement are to be settled in arbitration by a sole arbitrator. The arbitrator shall be appointed by the Board of Arbitration of the Central Chamber of Commerce of Finland and the rules of the said board are to be observed in the arbitration procedure. HSC Chemistry License Agreement 15004-ORC-J 6 (11) Class action lawsuits, class-wide arbitrations, private attorney-general actions, and any other proceeding where someone acts in a representative capacity are not allowed. Nor is combining individual proceedings without the consent of all parties. 12. Limited Warranty The Licensor warrants that it has the right and authority to grant the License under this Agreement. The Licensor will replace defective installation files if requested by the Licensee within a period of thirty (30) days from delivery. This warranty applies to the installation files only and does not cover the software programs or database that are included with HSC. Except for the limited warranty set forth above, HSC is provided 'as is”, without warranty of any kind, express or implied, including without limitation any implied warranty that the software is free of defects, merchantable or fit for a particular purpose. No oral or written information or advice given by the Licensor or any third party, including, without limitation, any Licensor distributors or resellers, shall create any warranty in addition to, or in any way increase the scope of, the limited warranty. The Licensor (and its affiliates, agents, directors and employees) does not warrant that HSC is accurate, reliable or correct, that the products will meet requirements, that the products will be available at any particular time or location, uninterrupted or secure; that any defects or errors will be corrected; or that the products are free of viruses or other harmful components. Any content or data downloaded or otherwise obtained through the use of the products are downloaded at the Licensee’s own risk and the Licensee will be solely responsible for any damage to the Licensee’s property or loss of data that results from such download. The Licensor disclaims all warranties, express or implied, which might otherwise arise with respect to HSC, including without limitation all warranties of merchantability, fitness for a particular purpose and non-infringement. HSC contains many calculation modules and extensive databases. The calculation methodology, as well as database values, has been collected from thousands of scientific books and papers. The Licensor cannot guarantee the validity and accuracy of this scientific source material nor the validity and accuracy of HSC applications. HSC calculation results have been compared with manual calculations and with other calculation programs, all giving similar results. Despite careful preparation, the program, HSC database and original data may contain errors and bugs. Sometimes, HSC data extrapolation to higher temperatures can also lead to significant errors. All files have also been filtered with virus scanners. However, the Licensor cannot guarantee the performance of the program or results that the Licensee may obtain by using HSC Chemistry. 13. Liability Notwithstanding anything else contained in this Agreement, the Licensor (directors, or employees), shall not be liable to the Licensee for loss of profits, goodwill or contracts or any other indirect or consequential loss or damage arising from whatever reason due to the use of the HSC software. In no event will the Licensor, its affiliates, resellers, or distributors or suppliers be liable for any indirect, special, incidental or consequential damages arising out of the use of or inability to use HSC, including, without limitation, damages for lost profits, loss of goodwill, Outotec reserves the right to modify these terms at any time without prior notice. Under no circumstances shall the Licensor be liable for any damages in excess of the purchase price of the HSC software. The Licensor does not take responsibility for incorrect usage of HSC Chemistry. The Licensee shall use and apply HSC Chemistry entirely at the Licensee’s own risk. If the Licensee’s local law allows the Licensee to recover damages from the Licensor even though this agreement does not, the Licensee cannot recover more than the Licensee paid for HSC (or up to 50 Euro if the Licensee acquired HSC for no charge). 14. Fees, Taxes, Duties, Customs The Licensee must pay the HSC License and Subscription fees in accordance with the payment terms in the Licensor’s or reseller’s invoice, whichever is applicable. If the Licensee fails to make the timely payment of HSC fees, this Agreement will be terminated and the Licensee may not use HSC. The Licensee shall pay all applicable value-added, sales, use, excise, and other taxes, duties, levies, assessments, and governmental charges payable in connection with this Agreement or the Licenses granted hereunder, excluding taxes based on or measured by Licensor income, for which the Licensor shall be solely responsible. 15. Termination HSC Licenses are perpetual, with the exception of the time-limited HSC Training Course License. The Licensor may terminate this License if: 1. The Licensee fails to make the payment of HSC License, HSC subscription or HSC Training Course fees. 2. The Licensee has materially breached this Agreement and fails to cure such breach within thirty (30) days of written notice thereof. 3. The Licensor is required to do so by law (for example, where the provision of the HSC to the Licensee is, or becomes, unlawful). Termination means that the Licensee must stop using HSC and the Licensee must uninstall HSC from his/her Machines. However, in other respects, the terms of this Agreement will remain valid. 16. HSC License Types Five different types of HSC Licenses are available. The HSC license is perpetual. However, free maintenance updates are available for a valid subscription. Activation is done using an Internet connection, but an offline option is also available under certain circumstances. HSC 9 – Basic License (Machine Locked) 1. The HSC Basic license is recommended for personal laptops and workstations and other local Machines. Installation is made on the local Machines. The HSC end user must activate HSC after the installation stage. Admin rights are needed for the local machine in the installation stage. 3. The HSC license is locked to the end user machine in the activation stage with a machine code and license information. 4. A decent Internet connection is needed in the HSC activation stage, because access is needed to the HSC License Manager. Later on an activated HSC will work without an Internet connection. 5. The HSC Basic license gives permission to install and activate HSC up to the number of machines granted in the HSC purchasing stage. This number of HSC machines/activations is connected to the customer-specific HSC Serial Number. 6. Each HSC module creates an Instance/process when started under Windows. A Floating License does not limit the number of these instances within one Machine. 7. The customer must specify the email domain in the purchasing stage. This domain must match the email domain used in the activation stage. For example, the customer may specify that only email domain abc.com can be used in the activation stage. This provides an additional level of security for the customers. 8. The HSC License may be moved from one Machine to another. However, to move the License, the user must deactivate HSC from the first Machine and activate it in the second Machine using the same serial number. Deactivation can be done using the Deactivate button in the HSC Main Menu Gear Dialog. 9. The HSC Basic license gives permission to deactivate a machine once every 30 days, or less frequently, i.e., no more than once every 30 days, the Licensee may designate a new end User. The Deactivate option can be found in the HSC Main Menu Gear Dialog and it is available only to users having administrator rights. 10. The HSC Basic License does not give permission to run HSC in a larger number of Machines than specified by the customer in the purchasing stage. 11. The HSC Basic License does not give permission to run HSC in virtual machines, servers, remote sessions, or similar systems or platforms. HSC 9 - Floating License 1. The HSC Floating license is recommended for personal laptops and workstations and other local Machines, if only very few out of many users use HSC simultaneously. Installation is made on the local Machines. 2. The HSC Floating License gives the customer the flexibility of using the license on any machine. However, the number of simultaneous machines should not exceed the number of machines (slots/seats) specified by the customer serial number. For example, a floating license serial number with 5 machines/slots can only be used in 5 machines simultaneously. 3. Each HSC module creates an Instance/process when started under Windows. The Floating License does not limit the number of these instances within one Machine. 4. The HSC Floating license must be activated after the HSC installation stage. Admin rights are needed in the installation stage. 5. The HSC Floating license does not work without a decent Internet connection, because the HSC License Manager keeps track of the number of simultaneous users. The HSC Floating license gives permission to run HSC simultaneously up to the number of machines specified in the purchasing stage. This number of HSC slots/seats is connected to the HSC Serial Number, which is granted to the customer in the purchasing stage. 7. The customer must specify the email domain in the purchasing stage. This domain must match the email domain used in the activation stage. For example, the customer may specify that only the email domain abc.com can be used in the activation stage. This provides an additional level of security for customers. 8. HSC slots/seats are assigned to the end user machine depending on the availability in the HSC License Manager. For example, if the customer serial number allows 5 simultaneous machines and all the slots are booked then a 6th machine cannot run HSC before one of the 5 previous end users closes their HSC instance. 9. The HSC Floating License does not give permission to run HSC simultaneously in a larger number of machines than specified by the customer in the purchasing stage. 10. The HSC Floating License does not give permission to run HSC in virtual machines, servers, remote sessions, or similar systems or platforms. HSC 9 - Server License (Remote Desktop) 1. The HSC Server License gives the flexibility of using HSC via remote connection by several end users. HSC updates are also easy to carry out, because installations are carried out on one server. However, a lot of calculation capacity and fast network access are needed if several end users use HSC on the same server. 2. The HSC Server License is quite similar to the HSC Normal Basic License, with the exception that HSC can be installed on one server and can be accessed via remote connection. Only one activation is available for the HSC Server license. 3. A decent Internet connection is needed in the activation stage, because access is needed to the HSC License Manager. Later on, activated HSC works without an Internet connection. 4. The HSC Server license gives permission to run HSC on one server up to the number of HSC instances granted in the HSC purchasing stage. This number of HSC instances is connected to the customer-specific HSC Serial Number. 5. Each HSC module creates an HSC instance (i.e. a software process) on the server. For example, if a serial number is purchased for 10 simultaneous instances, then this makes it possible to run 10 Sim modules simultaneously or 5 Sim modules and 5 other HSC modules via remote connection. 6. The HSC Server License does not give permission to run more HSC instances on one server than the number specified by the customer in the HSC purchasing stage. For example, a server license serial number with 5 instances can run only 5 HSC instances simultaneously. 7. The HSC Server License does not give permission to run HSC in virtual machines or in local machines. HSC 9 - Virtual Machine License 1. The HSC Virtual Machine License gives the flexibility of running HSC on a virtual machine. This, for example, makes it possible to run HSC on an Apple machine if the Apple Boot Camp multi-boot utility is not available. The HSC Virtual Machine License is quite similar to the HSC Basic License, with the exception that it gives permission to install HSC on one virtual machine. Only one activation is available for the HSC Virtual Machine license. 3. The HSC Virtual Machine license does not work without a decent Internet connection, because the HSC License Manager keeps track of the number of simultaneous HSC instances. 4. The HSC Virtual Machine license gives permission to run HSC on one virtual machine up to the number of HSC instances granted in the HSC purchasing stage. This number of HSC instances is connected to the customer-specific HSC Serial Number. 5. Each HSC module creates an HSC instance on the virtual machine. For example, if a serial number is purchased for 10 simultaneous instances, then this makes it possible to run 10 Sim modules simultaneously or 5 Sim modules and 5 other HSC modules. 6. The HSC Virtual Machine License does not give permission to run more HSC instances simultaneously than specified by the customer in the purchasing stage. For example, a virtual machine license serial number with 5 instances can run only 5 HSC instances simultaneously. 7. The HSC Virtual Machine License does not give permission to run HSC in servers or remote sessions or similar systems or platforms. HSC 9 – Training Course License 1. The HSC Training Course License is used only in HSC Training Courses. 2. The training Course License is always time-limited. 3. The HSC Activation Key is personal and it is not permitted to distribute outside HSC Training Course participants. 4. The HSC installation files are confidential and may not be distributed outside HSC Training Course participants. 17. Copyright The copyright and other intellectual property rights of whatever nature in HSC Chemistry and this documentation are and shall remain the property of the Licensor. Copyright covers, for example, installation files, programs, databases, example files, training material, and serial numbers. Copying of licensed material, partly or in its entirety, for any other reason whatsoever is forbidden. All parts of this software are licensed only to the legal Licensee, and may be used solely for the Licensee’s own internal use.
