SECTION 5: ADDITIONAL TERMS
LOGO LICENSE:
Provided ANSYS is given the opportunity to review and approve the proposed use or draft of the collateral and ANSYS then receives a
copy of the final collateral using an ANSYS logo, ANSYS hereby grants a non-exclusive and non-transferable license, without the right to
grant sublicenses, to Recipient to use the ANSYS logo during the term of the Agreement in accordance with the ANSYS logo guidelines
and solely for the Authorized Purpose identified above. Use of the ANSYS logo is prohibited in the event such use might mislead as to
affiliation or imply endorsement of other products, services, or third parties. Under no circumstances shall ANSYS, and/or its affiliates
and/or suppliers be liable to Recipient or any other party for any direct, indirect, special, punitive, consequential, exempl ary, or incidental
damages or losses which may arise from Recipient’s use or inability to use the ANSYS logo.
This Schedule hereby incorporates the terms and conditions of the License and Nondisclosure Agreement (“Agreement”) identified
above. Any terms used in this Schedule which are defined in the Agreement shall have the same meaning in the Schedule as they
have in the Agreement.
If a new license key has been supplied for the Program(s), Recipient agrees to destroy the previous license key for the Progr am(s)
and use the new license key. If the Program(s) is being converted or upgraded and a new license key is supplied, Licensee agrees
to (i) uninstall the Program(s), (ii) destroy the previous license key for the previous Program(s), and (iii) use the new license key.
With the intent to be legally bound, the parties have executed this Schedule by their duly authorized representatives as of the date of
execution of this Schedule by ANSYS.
