Disclose All Private Label and Non-Branded Merchandise Factories
– All disclosed factories will be subject to an Ethical Standards audit at supplier‟s
expense unless the factory has a valid audit as a result of another supplier‟s
disclosure.
Attach Factory ID to Every Item by
– In Online Item File (in Retail Link), attach the appropriate Factory ID to each of your
items that are in production from June 1, 2009 and forward. Please note that you
must attach multiple factory IDs to an item if you are using more than one factory
for the production. Please refer to the respective help documentation for Wal-Mart
and Sam‟s Online Item File
– For items that reflect factory IDs, please confirm that all active items reflect the
correct factory ID (or multiple factories IDs if more than one factory), and that
inactive factory IDs have been updated or deleted. Failure to do so could result
interruption to your business.

• *Factories for Food and Consumables categories will not be audited until
2010, and audits will be conducted in a phased approach over several
months.
• Please select IOR(Importer of record) "USA SUPPLIER - HOLD" in order to
prevent an audit from being scheduled immediately during your factory
disclosure via Retail Link. Please refer to the “Retail Link process” section
under “Disclosing your Factory” section.
• If your factory is producing Food and Consumables categories for the below
departments , please ensure that you select IOR(Importer of record) "USA
SUPPLIER - HOLD" :

*Audit Scope ~ Domestic Suppliers
• Products fall within “Private Label/Non-Branded” scope
when one or more of the below criteria are met:
– Note: Wal-Mart Stores, Inc., its subsidiaries, and affiliates (“Walmart”),
encompasses all formats in all retail markets.
• Walmart owned and proprietary brands
• Items branded with a mark/logo registered or trademarked by Walmart
• Items identified with Walmart through labeling such as “distributed
by/marketed by/manufactured for” Walmart
• Brands exclusive to Walmart (whether by exclusive license or exclusive
supply arrangement with a trademark owner)
• Non-branded signifies that no brand identification is referenced.

Factory Prequalification Process
• An Ethical Standards audit will be required prior to order commitment
for new factories of GP Direct Import Suppliers where Walmart is the
Importer of Record
• The cost of all prequalification audits will be borne by the supplier.
• The Factory must receive a Yellow or Green audit assessment prior
to order commitment.
– Orange is not an acceptable audit assessment for Factory Prequalification

RED Ratings
• Red – Failed (discussed previously)
• Red – Access Denied
– Encountered during unannounced audits
– Regardless of the status of the factory, management
must allow the auditor to enter the facility to validate if
an audit cannot be conducted
– If unable to reschedule an audit:
• Buyers are advised to cancel all current POs
• Future orders will not be placed until the factory is
audited for compliance

RED Ratings
• Red – Disapproved
– When factory receives a total of 3 Orange ratings in a 2-year
period from the most recent audit date
– Could be consecutive and/or combination of 3 Orange ratings
• All POs will be cancelled
• Only merchandise that has shipped will be accepted
• No new/future order(s) may be placed for a minimum of one year from
the most recent audit date
• Existing orders are allowed to produce and ship for all POs that have a
PO ship date equal to or less than 180 days from the last audit date.
 NOTE: Buyers may decide not to place order in a factory that has 2 or 3
Orange assessments

Subcontractor’s Factory & Disclosure
• Ethical Standards audits will be required at subcontractor’s
factory if the factory is producing……..
– Finished merchandise – where the substantial transformation of the
product took place
– Part of an article which has a Wal-Mart brand logo
• It is the responsibility of the supplier to disclose all such
subcontractors used for Wal-Mart merchandise
• If it is discovered that a factory is producing merchandise for WalMart in a subcontracted factory or factories with NO valid ES audit,
then the primary factory automatically will receive an “Orange”
assessment.

Focus During Audits
• Compliance of Wage & Benefits
– Legally required minimum wage, over time premium, clear wage system
• Labor Hours
– Hours of Labor: Suppliers must ensure that working hours are consistent
with local regulations and are not excessive.
– Where the country's laws and regulations do not address standard
working hours, suppliers must ensure that the work week does not
exceed 60 hours.
– Suppliers must provide workers rest days (at least one day off for every
seven-day period) and leave privileges.
• Employment Practices
– No or poor hiring procedure/incomplete personal files

Maintaining the factory status (Active vs. Inactive)
• Via Retail Link
– Must submit an “Inactivation Request” if no longer using a factory
– Submit “Activation Request” to activate a factory for production
and to initiate an ES audit
• Must be submitted at least 30 days before production to
accommodate ES audit
• NOTE: Inactivation request will be rejected if the factory is
being used by another supplier. In such instances, submit a
request to disassociate your factory
