DEAR COLLEAGUE S:
The UC Davis Graduate School of Management is proud to publish our eighth annual UC Davis Study of
California Women Business Leaders: A Census of Women Directors and Highest-Paid Executives.
This study details the presence of women at the very top of the 400 largest publicly held corporations headquartered in the state.
Our findings paint a disappointing picture: There is only one woman for every nine men among directors and highest-paid
executives at these high-profile companies.
When we released our study each of the past seven years, it was met with intense interest by the business community, state
legislators and policy makers, and garnered widespread media coverage.
Yet there has been little improvement in the gender diversity of the upper echelons of decision makers at the largest public
companies in California. These are several key findings of our 2012-2013 census:
•
Overall, women hold just 9.9% of board seats and highest-paid executive positions—a slight increase compared to
last year.
•
Almost one-third—128 (32%)—of the 400 largest public companies in California have no women among
their directors and highest-paid executives.
•
Not a single company has an all-female (nor gender-balanced) board and management team.
•
Thirteen (3.3%) of the 400 companies have a woman serving as CEO, holding steady from last year.
Our results highlight the need for greater participation of women on corporate boards and in the executive suites, and to help create
these opportunities. To improve the standing of women in business leadership positions, the Graduate School of Management has
a strong partnership with Watermark, a nonprofit organization and network of exceptional women leaders seeking to grow their
personal impact in their professions and in society. Watermark offers several pioneering programs to increase the number of women
in executive and board roles, and support them in those roles.
At the UC Davis Graduate School of Management, we take our job of teaching future business leaders—both women and men—
very seriously. Our mission is to prepare our MBA students to become innovative leaders for global impact.
Our business school community is built on a foundation of excellence and diversity. Our faculty is now 42% female, the
highest percentage among the top 100 global business schools, according to The Financial Times Global MBA survey.

MET HOD OL OG Y
The sample of companies used in the 2012-2013 UC Davis Study of California Women Business Leaders consists of
the largest 400 California companies, as measured by their market capitalization on December 31, 2011. Each firm’s
market capitalization at year-end was obtained from the combined Compustat/CRSP (Center for Research on Security
Prices) database.
The director and executive information was compiled from each company’s most recent Definitive Proxy Report
(DEF 14A) filed with the Securities and Exchange Commission (SEC) prior to October 1, 2012. Companies that failed to
file a DEF 14A with the SEC during the 16 months prior are excluded from our study. The data were purchased from
Innovaccer, and incomplete data were filled in using Edgar. Ethnicity data were purchased separately from Microquest.
The data in this study reflect the state of affairs at each company’s fiscal year-end, except in the following cases. All
ethnicity data was obtained from company websites and SEC filings via the Microquest “Shattering The Glass Ceiling”
database and is current as of August 2012. The other Fortune 500 boards on which California women directors serve
were obtained from the BoardEx database, Forbes profiles and individual company websites as of October 1, 2012.
As in previous years, we restrict our analysis of executives to the highest-paid executives as identified in the Summary
Compensation Table in the DEF 14A, and exclude those named executive officers who had left the role prior to the
company’s fiscal year end. Highest-paid executives include the chief executive officer (CEO), the chief financial officer
(CFO) and the three other most highly compensated executive officers. For one company that did not provide a
Summary Compensation Table (because it is externally managed and therefore has no direct employees), we included
all of the company’s named executive officers.
We have taken all reasonable steps to confirm the data and ensure their accuracy. Any remaining errors or omissions
are the sole responsibility of the author.

Our eighth annual UC Davis Study of California Women Business Leaders: A Census of Women Directors and
Highest-Paid Executives uses publicly available data to report on the status of women in the top decision-making
positions of the largest public companies headquartered in California. This year, for the first time, the study includes
the ethnicities of women and men directors and CEOs (see page 10). With regard to gender diversity in corporate
leadership, progress is gradual since our last census. Women comprise just 9.9% of the directors and highest-paid
executives of the 400 largest companies in the state, up slightly from 9.7% in 2011.
There has been an increase of 0.5% in the percentage of women directors since last year, the largest increase since
2008. Women comprise 10.5% of board seats in 2012. This continues a modest upward trend from 8.8% in 2006. Of
the 339 companies that were also in last year’s census, 34 companies have fewer women directors this year, and 47
have more women directors.
For executive officers, we find 8.9% of highest-paid executive positions held by women. Highest-paid executive positions
include the chief executive officer (CEO), the chief financial officer (CFO) and the three other most highly compensated
executives. This percentage represents a slight decrease from last year, 9.2%. The percentage of female CEOs remains
unchanged from last year, holding at 3.3% of California’s largest 400 companies this year.

Industry Makes a Difference
•
The consumer goods sector has the highest percentage of women directors, with 15.0%, and the third-highest
percentage of companies with at least one woman director (64.8%).
•
The health care sector has the highest percentage of companies with at least one woman director (68.4%).
•
Only 4.9% of directors in the semiconductors sector are women. Fewer than 30% of the companies in this sector
have female directors, and only 9.3% of the companies (five of 54) have more than one woman director.
•
The consumer goods sector and the pharmaceuticals sector have the largest percentages of highest-paid women
executives, with 13.4% and 12.6%, respectively. The same two sectors also have the highest percentages of
companies with at least one woman executive, 48.1% and 50.0%, respectively.
•
The semiconductors sector has the lowest percentages of women highest-paid executives (4.9%).
Company Size Makes a Difference
•
Overall, the largest companies have larger boards and nearly three times as many women directors as the
smallest companies (1.8 women, on average, versus 0.65).
•
California has 12 Fortune 100 companies, all of which have at least one woman director, and 75% of which
have two or more women directors.
•
Companies with the largest market capitalization ($53 billion on average) have the highest average share of
women directors, with 17.7%. Companies in the third smallest market capitalization category ($392 million on
average) have the smallest average percentage of women board members (5.5%).
•
While the largest firms tend to have the highest percentage of women directors, there is no discernible positive
relationship between market capitalization and the percentage of highest-paid women executives.
Location Makes a Difference
•
Most of California’s largest companies are located in the San Francisco Bay Area (54%), including 28% in
Santa Clara County, and in Southern California (42%).
•
Among counties with at least 20 companies, San Francisco County has the greatest percentage of women
directors (15.5%), and Orange County in Southern California has the least (7.7%).
•
Among counties with at least 20 companies, Alameda is the top locale for highest-paid women executives,
with 14.4% highest-paid women executives.
•
Silicon Valley (Santa Clara County) has only 6.6% highest-paid women executives, the lowest percentage among
counties with at least 20 companies.

The Corporate Leaders of Gender Diversity in the
Boardroom and Executive Suite
Although women are sorely underrepresented in the corporate boardrooms and top executive offices of the 400
largest public companies headquartered in California, there are firms that incorporate a significant percentage of
women in their leadership. Our Top 25 list highlights the companies with the highest percentage of women leaders.
At each of these companies women occupy at least 25% of the board seats and highest-paid executive positions.
The top four companies stand out for their commitment to incorporate women into key leadership roles. These
companies each have women in at least one-third of their board seats and highest-paid executive positions.
The Top 25 companies cover a range of industries and sizes. They include a number of companies that provide
consumer goods and services (e.g., Walt Disney Co., Jack in the Box Inc., Peet’s Coffee & Tea Inc. and Netflix Inc.).
They also include two pharmaceutical firms (Amylin Pharmeceuticals Inc. and Bio-Rad Laboratories Inc.), several
computer hardware and software companies (such as Hewlett-Packard Co. and Advent Software Inc.) and a public
utility (American States Water Co.). Some of the largest California companies (such as Wells Fargo & Co. and
McKesson Corp.) appear on this list, as do some of the smallest companies in our sample (such as QAD Inc. and AMN
Healthcare Services Inc.).
Eleven of these companies and eight of the top 12 companies have a woman serving as CEO, suggesting that women in
the top position include more women on their leadership teams. However, it is important not to read too much into that
figure, as companies with a woman CEO who also serves on the board receive an extra boost in our rankings for
having a woman in both of those positions.
Comparing the Top 25 in 2011 and 2012
•
Two of the four companies that top our list in 2012, bebe stores inc. and LTC Properties Inc., have been among
the top four companies for three years in a row.
•
Nine companies are new to the Top 25 this year: Bio-Rad Laboratories Inc., Corinthian Colleges Inc., Jack in the
Box Inc., Juniper Networks Inc., Netflix Inc., NETGEAR Inc., QAD Inc., QuinStreet Inc. and West Marine Inc.
•
Eight companies on last year’s Top 25 list did not appear on this year’s list. Two were not included in this year’s
census. Six companies were included in this year’s census but dropped in rank.
With so few women business leaders, the loss of even one or two from a company can have a significant impact on the
gender diversity of its board room and executive suite.

A Snapshot of Race and Ethnicity of Directors and CEOs
The underrepresentation of women is only one way to measure the variety of perspectives represented on an executive
leadership team or corporate board. Within the context of addressing gender diversity, we also explore the race and
ethnicity of women and men corporate directors and chief executive officers at 85 of the 400 California companies in
our study that also appeared on the 2012 Fortune 1000 list.
It deserves mention that the population of California is very diverse, with Whites (non-Hispanic) and Hispanics/Latinos
almost tied for the largest minority group (39.7% and 38.1%, respectively, according to the Census Bureau). The
population diversity in California is a potential advantage to corporations that seek to include a variety of perspectives
in their strategic decision-making process.
Key Statistics
•
Of the 846 directors at these 85 companies, 137 (16.2%) are women and 709 (83.8%) are men. The vast
majority (88.8%) of these directors are Caucasian.
•
Separately, the majority of both men and women directors are Caucasian. Only 9.5% of women directors are
Asian, African-American, Hispanic or Latina, while 11.6% of men directors are Asian, African-American,
Hispanic, or Latino.

Looking at individual companies, the board of directors is composed of a majority of Caucasian men at almost
all of these 85 companies (79 companies, or 92.9%). This includes nine companies that have all-Caucasian
male boards.

At these 85 companies, almost three-quarters (74.1%) of the directors are Caucasian men, 14.7%
are Caucasian women, 9.7% are Asian, African-American and Hispanic men, and 1.5% are Asian,
African-American and Hispanic/Latina women. That means three out of four directors, on average,
are Caucasian men, while only one out of 65 directors (1.5%) is a non-Caucasian woman.

Of the chief executive officers at these 85 companies, only seven are Asian or Hispanic and none are
African-American. Only five of these 85 chief executives are women. The limited number of women prevents
a judicious comparison between men and women CEOs by ethnicity.

WOMEN BOARD DIRECTORS: SUMMARY
Women, for all their economic clout, continue to play a
very limited role in corporate governance in California’s
400 largest public companies. Among directors at these
firms, only 10.5%, or 334, of the 3,189 board seats are
held by women.

companies ranges from three to 15, with an average of
eight members per board.
Women Directors
The percentage of women directors has increased from
10.0% in 2011 to 10.5% in 2012. Of the 339 companies
that were also in the 2011 census, 18 have fewer woman
directors while 27 have more women directors.

Overall, companies have fewer directors in 2012. On net, companies have more women directors than last year and
fewer men directors. However, the increase in women is far from compensating for the decrease in men. There are 58
fewer men directors and 12 additional women directors.

WHO ARE THE WOMEN DIRECTORS?
Most women who serve on the boards of the 400 largest public companies in California serve only on one board in our
census, although many of these women serve on multiple boards across the country. Of the 3,189 director positions at
the 400 companies, 334 positions are held by 313 women. Of these women, 35 (11.2%) hold at least two board seats
among companies in the 2012 Fortune 500, 10 (3.2%) hold three such seats, two women (0.6%) each hold four such
seats, and one woman (0.3%) holds five such seats.

WOMEN BOARD DIRECTORS BY INDUSTRY
More than one-half (55.3%) of the 400 largest public companies in California have at least one woman director. But
there is more to this story. When the companies are categorized by industry, the data reveal a wide variation of
representation of women in the boardrooms of companies across sectors.
We obtained each company’s four-digit global industry classification (GIC) code from Compustat. We then sorted
companies into nine broad industry sectors using both the GIC industry-level categories and the GIC sector-level
categories to ensure the presence of at least 10 companies in every group.
Key Statistics
•
The healthcare sector has the largest percentage of companies, 26 out of 38 (68.4%), with at least one
woman director, but only 13.2% of the companies in the sector have more than one woman director.
•
The financial services, consumer goods and technology software sectors follow with 65.1%, 64.8% and
63% of their companies, respectively, having at least one woman director. Approximately 40% of
companies in the financial services and consumer goods sectors have more than one woman director.
•
At the other end of the spectrum, only 15 (27.8%) companies in the semiconductors sector have one or
more than one woman director. In all other industries, at least 50% of companies have one or more
women directors.

Among the 400 largest public companies in California this year, no single industry has more than one woman for every
five men on the board of directors, on average.
Women are significantly less likely to be present in the boardrooms of companies in the semiconductors sector, with
women representing only 4.9% of directors in that industry. Women also represent only 7.5% of directors in the energy,
materials & industrials sector. The industry with the highest overall average percentage of women directors is the
consumer goods sector (15%).

WOMEN BOARD DIRECTORS BY COMPANY SIZE
There is a link between corporate size and the percentage of women on the board of directors. On average, large
companies have larger boards and a greater representation of women on those boards. The positive relationship
between size and the representation of women on the board is clear whether size is measured by total revenue or
market capitalization.
We determined whether the firms in our study appear on Fortune magazine’s list of the largest 1000 companies for
2012, as measured by total revenue. Of our 400 California companies, 85 are among the Fortune 1000 companies.
There are 12 California public companies on the Fortune 100 list, 39 on the Fortune 101–500 list and 34 on the
Fortune 501–1000 list.

We also determined the market capitalization of the firms in our study and categorized firms into 10 equally sized
market cap deciles of 40 companies each. The companies in the largest size group averaged $53 billion in market
capitalization. The largest market capitalization in our study was $354 billion. Companies in the smallest size group
averaged $178 million. The smallest market capitalization in our study was $145 million.

The California Fortune 100 companies have an average of at least one woman on the board for every four men. These
12 companies have boards composed of 23.8% women, on average. Of the Fortune 101–500 companies, 89.7% (35
of 39) have at least one woman director, with an average of 14.8% women directors. Of the Fortune 501–1000 firms,
76.5% (26 of 34) have at least one woman director, with an average of 14.3% women directors.
The three largest size deciles (with market capitalization averaging $2.9 billion and above) have the largest boards,
averaging 8.3, 8.6 and 10.3, respectively, and some of the highest average percentages of women directors. As a
group, these 120 companies average 14.2% women directors, where 93 companies (77.5%) have at least one woman
director and 45 companies (37.5%) have two or more women board members.
The three smallest size deciles (with market capitalization averaging $392 million and below) have about seven-member
boards on average, and 8.8%, 8.7% and 5.5% of their board seats, respectively, on average, are filled by women. The
majority (60.0%) of these 120 companies have no women board members. Only 14 (11.7%) of these companies have
more than one woman director (Affymax Inc., AMN Healthcare Services Inc., Arena Pharmaceuticals Inc., Big 5
Sporting Goods Corp, Corinthian Colleges Inc., Echelon Corp, Farmer Brothers Company, Hot Topic Inc., Keynote
Systems Inc., McClatchy Co., Move Inc., Solta Medical Inc., Trius Therapeutics Inc., West Marine Inc.).

All of the 12 California Fortune 100 companies have at least one woman director, and 53.8% have two
or more women directors.
•
Overall, the largest companies have almost three times as many women directors as the smallest
companies (1.8 women, on average, versus 0.65) and twice the proportional representation of women
on the board (17.7% versus 8.8%).

Women executives in California’s 400 largest public
companies continue to be relatively scarce among the five
highest-paid officers in each organization.

WOMEN IN THE MOST IMPORTANT CORPORATE ROLES
Of the 400 largest public companies in California, 13 are led by women chief executive officers. Although this is the
same number as in 2011, four women are new to this list. Nine of these women were on last year’s list. Four women
who were on last year’s list do not appear on this year’s list.
•
Of the four women appearing on the CEO list for the first time, two lead companies that appeared on this list last
year (Margaret Whitman of Hewlett-Packard Co. and Lisa Harper of Hot Topic Inc.), and the other two lead
companies that also appeared in our study last year (Ana Dutra of Korn/Ferry International and Debra Reed of
Sempra Energy).
•
Four women who were on last year’s CEO list do not appear on this year’s list. All four companies are in our
study again this year. Two of the women have been succeeded by another woman, and two have been succeeded
by men.
•
The CFO category has the most women, with 47. This is a slight increase in the number of women chief financial
officers last year (45).

HIGHEST-PAID WOMEN EXECUTIVES BY INDUSTRY
More than one-third (36.8%) of California’s 400 largest public companies have at least one highest-paid woman
executive. When the companies are categorized by industry, there is wide variation in the percentage of companies
with highest-paid women executives. Almost 30 percentage points separate the industry whose firms are most likely to
have at least one highest-paid woman executive (50.0%) from the industry whose firms are least likely to have at least
one highest-paid woman executive (22.2%).

Among the nine industrial sectors we identify, the 56 pharmaceutical companies were the most likely (50.0%)
to have at least one highest-paid woman executive in 2012. In the consumer goods sector and health care
sector, respectively 48.1% and 47.4% of firms have at least one highest-paid woman executive.

The 54 semiconductors sector companies were the least likely (22.2%) to have at least one highest-paid woman
executive in 2012. In the technology software and utilities & telecommunications sectors, respectively 24.1% and
30.0% of firms have at least one highest-paid woman executive.

Key Statistics
•
The consumer goods sector has the greatest percentage of highest-paid women executives. For the 54
companies in this sector, 13.4% of highest-paid executives is a woman. Firms in the pharmaceuticals
sector have the second highest percentage (12.6%).
•
Firms in both the consumer goods sector and the pharmaceuticals sector stand out as being the most
likely to have women in their highest-paid management teams and as having the highest percentages of
highest-paid women executives.
•
Firms in the semiconductors sector and technology software sector have the lowest percentages of
highest-paid women executives (4.9% and 5.8%, respectively). Firms in these two sectors are also
the least likely to have a women in their highest-paid management teams (22.2% and 24.1%).

HIGHEST-PAID WOMEN EXECUTIVES BY COMPANY SIZE
While large companies tend to have both larger boards and a greater representation of women on their boards, the
relationship between firm size and the representation of women in executive suites among California’s 400 largest
public companies is less clear. When measured by market capitalization, the largest firms in our study have almost the
same percentage of highest-paid women executives as do firms in the smallest size categories.
However, we also examine firms that appear in the Fortune list, based on total revenue. Five (41.7%) of the 12
California companies in the Fortune 100 have no women among the highest-paid executives: Apple Inc., Cisco Systems
Inc., Google Inc., Ingram Micro Inc. and Intel Corp. Two (16.7%) of the Fortune 100 companies have two women on
their highest-paid executive teams: Hewlett-Packard Co. and Safeway Inc. On average, the Fortune 100 companies
have 14.8% highest-paid women executives. The Fortune 101–500 companies have an average of 7.2% highest-paid
women executives and the Fortune 501–1000 companies have an average of 10.1%.

Key Statistics
•
The three largest size categories (with market capitalization averaging $2.9 billion and above) have
the three lowest average percentages of highest-paid women executives, ranging between 6.4% and
7.5%. Six of these companies (5.0%) have two or more highest-paid women executives.
•
The four middle-size categories (with market capitalization averaging between $527 million and $1.6
billion) average 11.7%, 9.2%, 9.6% and 12.3% women among the highest-paid executives, respectively.
Fifteen of these 160 companies (9.4%) have two or more highest-paid women executives. The two highest average percentages of women executives belonged to firms in the fourth and seventh size deciles.
•
The three smallest size deciles (with market capitalization averaging $392 million and below) have
women serving in 8.8% of highest-paid executive posts, on average. Eight of these 120 firms (6.7%)
have two or more women among the highest-paid executives.
•
No discernable positive correlation between company size and representation of women executives
emerges from these data.

Southern California companies (8.3%).

Focusing on counties with at least 20 companies, Alameda County has the greatest percentage of

CON C L U S I ON
Our 2012-2013 census shows little change in the leadership gender diversity at California’s 400 largest public
corporations, where women continue to occupy fewer than one in 10 of the board and highest-paid executive positions.
Over seven years of tracking this information, the presence of women among directors and highest-paid executives in
California’s largest companies has failed to surpass 10.0%. This overall figure comes despite achieving a 0.5% increase
in the percentage of women on the boards of these companies, the largest increase since 2008.
Almost one-third, or 128 firms in our census, have no women among directors and highest-paid executives. The
highest representation of women in our census this year is Williams-Sonoma Inc., with 46.7% women. Clearly, there is
considerable variation, attributable in part to the industry of primary business, location of headquarters and company
size. Firms in the semiconductors sector and the energy, materials & industrials sector, as well as those located in Silicon
Valley, tend to include fewer women on the board and in highest-paid executive positions. Firms in the consumer goods
sector have the highest average percentage of women directors and highest-paid executives.
The largest firms in our study tend to have more women directors. This relationship holds for both market cap and
revenue (as measured by inclusion in the Fortune 1000, Fortune 500, and Fortune 100). However, there is no clear
positive relationship between market cap and the percentage of highest-paid executives who are women. Overall, these
results are largely consistent with findings from previous years.
This study also shows that Caucasian men alone account for three out of four directors at California’s largest companies.
In the context of a gender-balanced population with a Caucasian minority in California, a gender-balanced workforce
and even a fairly gender-balanced first level of management (40% women according to the Government Accountability
Office), the lack of gender and ethnic diversity in corporate leadership in California is disturbing.

ABOUT THE AUTHOR
Amanda Kimball is a research specialist at the UC Davis Graduate School of
Management. She authors the annual UC Davis Study of California Women
Business Leaders and serves as a collaborator on other faculty research projects.
Kimball is completing her Ph.D. in economics at UC Davis, where she earned her
master’s degree in 2003, with concentrations in microeconomic theory and industrial
organization. She has a background in business and economics, and has worked for
Capital One, the Investment Company Institute and the Corporate Executive Board.
