2014 APPLIED NET EXHIBITOR AGREEMENT
1. GENERAL: This agreement, properly executed by Exhibitor (as listed below), shall upon written acceptance and notification of space assigned by Applied Systems, Inc. constitute a valid and binding agreement
between Exhibitor and Applied Systems, Inc., (“Applied Systems”). Applied Systems, in coordination with Applied Systems Client Network, Inc. (“ASCnet”), reserves the exclusive and total right to control all aspects of
the conduct of ASCnet’s annual Technology, Education, and Networking Conference (“Applied Net”); and both Applied Systems and ASCnet specifically, reserve the right to determine the eligibility of any company for
participation in the event, the right to accept or reject any agreement, agreement and/or registration of any company or individual for Applied Net, and to invalidate any prior approved Exhibitor’s executed agreement.
Applied Net is held for and open to ASCnet members and invited guests, as determined by the discretion of Applied Systems and ASCnet. Applied Systems and ASCnet retain the unilateral right and authority to deny
access to or remove any individual or group that poses a threat, causes or may cause a legal confrontation, possesses an adverse posture to the goals and objectives of Applied Systems and/or ASCnet, or engages in
disruptive actions or activities during an ASCnet or Applied Systems function. Requests for exhibit space may also be refused or booth space restricted due to space limitation or other reasons determined by Applied
Systems. Applied Systems reserves the right to render all interpretations and decisions, should questions arise, and to establish further regulations as may be deemed necessary to the general success and wellbeing of
the show. Applied Systems’ decision and interpretations shall be accepted as final in all cases. The acceptance of this agreement does not carry nor imply Applied Systems’ or ASCnet’s endorsement of any product or
service. Exhibitor agrees to conform to all rules and regulations stated within this agreement on pages one and two. Breaches or infractions of this agreement may jeopardize the right to exhibit at forthcoming ASCnet
or Applied Systems events.
2. GOVERNING LAW, VENUE, JURY WAIVER, LIMITATIONS ON ACTIONS: The parties acknowledge that this Agreement is accepted at Applied Systems’ home office and that significant activities relating to the
performance of this Agreement occur at Applied Systems’ Illinois home office. Therefore, this Agreement and the relationship between the parties, and all activities directly or indirectly related thereto shall be governed
by, and interpreted in accordance with, the laws of the State of Illinois. The parties consent to the jurisdiction and venue of the state and federal courts of the State of Illinois for any action or claim brought by Exhibitor
against Applied Systems and/or ASCnet, and the courts of the State of Washington for any action or claim brought by Applied Systems and/or ASCnet against Exhibitor. This exclusive law and venue provision is
an important element of the basis of the Agreement between Exhibitor and Applied Systems. Any action, claim, or suit, whether based in contract, strict liability, or tort, (including any action, claim, or suit based on
negligence) relating to this Agreement or in any way relating to the relationship between the parties must be filed within the lesser of: (a) two years from the date the cause of action accrues; or (b) as provided by
relevant Illinois statutes of limitations law. To the extent permitted by law, trial by jury is waived for any action between the parties.
3. PAYMENT FOR SPACE: All agreement s must be accompanied by payment in full. Checks must be in U.S. funds drawn on a U.S. institution, and made payable to Applied Net VISA, MasterCard and American Express
may also be accepted, at Applied Systems’ and ASCnet’s discretion. We regret that agreements not accompanied by full payment will not be processed. No space assignment will be made prior to payment of the space
rental. Exhibitors with a balance due, other than for exhibit booth space, will not be allowed on the exhibit floor until the balance is paid.
4. CANCELLATION/REFUND: Booth deposits are nonrefundable, except as otherwise expressly provided herein. Booth space cancellations must be submitted in writing. Cancellations are effective on the date
written notification is received by Applied Systems. A fifty percent (50%) refund of full payment will be given for cancellations received on or before August 16, 2014. Exhibitors canceling space after August 16, 2014
will be responsible for payment in full of the original requested space, and may jeopardize the right to exhibit at future ASCnet or Applied Systems’ shows. It is further understood and agreed that cancellation and/or
nonpayment releases back to Applied Systems for its disposition any and all exhibit space that may have been previously assigned.
5. EXHIBITOR RULES AND POLICIES: Specific terms and conditions apply to this event. Exhibitor agrees to the terms and conditions set forth in Exhibit A (Walt Disney World Swan and Dolphin, Orlando, FL “Convention
Services Policies and Procedures”) attached and incorporated herein to this agreement. Exhibitor acknowledges that such terms and conditions may be modified, and/or additional terms and conditions imposed, up to
and during the event, and Exhibitor agrees to comply with any such modifications and additional terms and conditions upon notice thereof.
6. GENERAL RULES AND REGULATIONS: The following general rules and regulations apply to this event. In the event of a direct conflict between the following rules and regulations and the terms and conditions set
forth in Exhibit A, the terms and conditions of Exhibit A shall control. Determining whether or not a conflict exists is within the sole discretion of Applied Systems. Exhibitors will be admitted to the Exhibit Area one hour
prior to the show opening on the first day and one half hour prior thereafter. Exhibitors must leave immediately when the Exhibit Area closes each day. Any special arrangements for access at any other time must be
requested in writing to show management. All company representatives, models and demonstrators must be age 18 or older and must be registered as exhibit booth personnel. No video recording or photographing of
an Exhibitor’s display will be allowed without the permission of the Exhibitor with the exception of Applied Systems. This agreement gives permission for ASCnet and Applied Systems to use photographs of exhibits and
exhibiting attendees in promotional materials and on its web sites. Applied Systems reserves the right to request modification of any questionable exhibit or activity and to refuse to permit excessive noise, distribution
of souvenirs, advertising matter or anything else which it may consider objectionable. Any Exhibitor promotions delivered to individual guest rooms in any of the conference hotels during the conference must be
approved in advance by Applied Systems. Specific rules apply regarding the distribution of any food or beverage items. See Exhibit A and refer these questions to Applied Systems’ Marketing department. Exhibitor
assumes full responsibility for complying with all governing laws and regulations including, but not limited to, the assumption of any and all costs which are due from the use of patented, trademarked, franchised, or
copyrighted music, materials, devices, processes, dramatic rights, use of any name, likeness, signature, voice or other impression, or other intellectual property owned or claimed by any 3rd party, which may be used,
directly or indirectly, by the Exhibitor as a part of or incorporated in its exhibit or on its behalf. Exhibitor shall also be responsible for and must obtain any and all licenses or permits required for the use of the foregoing.
Exhibitor agrees to indemnify, defend and hold harmless ASCnet and Applied Systems, its officers, employees and agents from any claims, damages, fines, penalties or costs, including legal fees, which might arise out
of Exhibitor’s infringement or violation of the laws and/or regulations or from questions of use of any such material described above.
7. VENUE RULES AND REGULATIONS: The exhibitor assumes all responsibility for any and all loss, theft, or damage to exhibitor’s displays, equipment and or property while on Walt Disney World Swan and Dolphin
premises and hereby waives any claim or demand it may have against Walt Disney World Swan and Dolphin arising from such loss, theft, or damage.
8. FIRE AND SAFETY HAZARDS: All exhibit decorations must be fire retardant. No open flames may be used, nor may canopies be erected over exhibits. No combustible objects including packing containers and/or
wrapping paper may be stored behind displays or near any electrical wiring. Exhibitor agrees to take necessary measures to safeguard visitors from any hazard associated with its exhibit. SMOKING IS NOT ALLOWED
IN THE EXHIBIT AREA.
9. ASSIGNMENT OF SPACE: Booth assignments are made on a combination of a point system based on dollars spent with Applied Systems, the date the agreement with full payment is received by Applied Systems
and the availability of requested space. Applied Systems reserves the right to assign the best space available when the requested space is not available. Applied Systems also reserves the right to assign booth space
based on other equitable considerations, to alter the exhibit floor plan, to change location assignments or relocate the Exhibit Area at any time as it may deem necessary.
10. LIABILITIES: The Exhibitor, by signing this agreement, agrees to hold harmless and indemnify Applied Systems, ASCnet, Walt Disney World Swan and Dolphin, and their respective employees, representatives,
agents, successors and assigns, for any and all damages to property, as well as any and all damages due to bodily or personal injury, that Exhibitor may suffer or cause during installation or removal of the exhibit
or during the exhibition itself, including liabilities from robbery, fire, accident, or any other destructive cause and for all injuries to any persons, resulting from its exhibiting at this conference. Exhibitor will be held
responsible for any damage done to the building by it, its employees, its agents or its independent contractors. No nails, tacks or screws may be driven into the floor, walls or woodwork of the building. Neither ASCnet
nor Applied Systems, its members and employees, will be liable for failure to hold the conference as scheduled. Payments for the booth space will be returned in the event of cancellation by Applied Systems, except
that any actual expenses incurred or committed in connection with the conference will be prorated and deducted if the conference is canceled because of fire, an act of God, the public enemy, strike, epidemic, or any
law or regulation of public authority which makes it impossible, impractical, or illegal to hold the conference.
11. INSURANCE: Exhibitor agrees to obtain and keep in affect during the Event a commercial general liability insurance policy with a combined single limit for personal injury and property damage of $1,000,000.00 per
occurrence and $2,000,000.00 in the aggregate. Upon request, Exhibitor will provide certificate(s) of insurance confirming such coverage to Applied Systems, Walt Disney World Swan and Dolphin, and/or any other
applicable party as directed by Applied Systems.
12. MISCELLANEOUS: In no event shall Applied Systems or ASCnet be liable to Exhibitor, directly or indirectly, for loss of anticipated profits, or consequential, punitive, incidental, or special damages. Except for
damages arising out of the gross negligence or intentional tortuous misconduct of Applied Systems or ASCnet, in no event shall an award for damages against Applied Systems or ASCnet exceed the fee paid by
Exhibitor to Applied Systems in relation to this agreement. No terms or provisions hereof shall be waived and no breach excused, unless such waiver or consent shall be in writing and signed by the party claimed to
have waived or consented. Any consent or waiver by a party of a breach by the other shall not constitute waiver of, or excuse for, any other different or later breach. All terms shall be interpreted in such a way as to
be valid or enforceable while preserving to the fullest permissible extent the intent and agreements of the parties as set forth in this agreement. If any provision of this agreement is found to be invalid, unlawful, or
unenforceable by a court of competent jurisdiction, such invalid term will be severed from the remaining portion of this agreement, which will continue to be valid and enforceable to the fullest extent permitted by law.
Exhibitor may not transfer or assign (in whole or part) this agreement without written permission from Applied Systems, and any attempt to do so shall be void. This agreement is a result of arm’s length negotiations
between the parties, both of whom were represented by counsel or had adequate opportunity to seek counsel or be represented by counsel. As a result, no part of this document should be construed against either
party as the drafter. Each party waives any potential claim of ignorance as to the terms and conditions of this agreement. Sections 2, 7, 8, 11, and 13 shall survive the termination or cancellation of this agreement. This
agreement, including all attachments contains the entire agreement between the parties, and Applied Systems is not bound by any representations or inducements not set forth herein. Exhibitor has not relied on any
