Dear Secretary Bose:
Enclosed is Alabama Power Company’s Notice of Intent to File a License
Application (NOI), the Pre-Application Document (PAD) and a Request for Approval to use
the Traditional Licensing Process for the Holt Hydroelectric Project (FERC No. 2203)
(including Attachments A and B). These documents are being filed in accordance with §5.5
and §5.6 of the Commission’s regulations. In accordance with §5.5 and §16.8 of the
Commission’s regulations, we are also transmitting this letter and the referenced attachments
(excluding CEII and Non-Internet Public material) to agencies, Native American tribes, and
non-governmental organizations that we believe may have an interest in the Project. All
materials related to the current license as well as other materials related to this NOI and PAD
are available for inspection at the offices of Alabama Power Company, 600 North 18th Street,
Birmingham, Alabama. We have also published notice of this filing in the Tuscaloosa News,
a daily newspaper in general circulation in the project area.
In accordance with §5.5(e) of the Commission’s regulations, Alabama Power
requests that it be designated as Non-Federal Representative under Section 7 of the
Endangered Species Act and be given authority to initiate consultation pursuant to Section
106 of the National Historic Preservation Act. As described in greater detail below, Alabama
Power also requests approval to use the Traditional Licensing Process (TLP) with enhanced
consultation beyond that required in §16.8. Agencies, Native American tribes and nongovernmental organizations are requested to provide their comments on this request to the
Commission within 30 days of this filing (September 27, 2010).

Request to Use the Traditional Licensing Process
Alabama Power has held three meetings, including one site visit, with federal and
state resource agencies, non-governmental organizations, and interested parties to introduce
the Holt Project, discuss the relicensing process, identify preliminary issues, and to solicit
support for use of the TLP with enhanced consultation for the Holt Project (see Attachment
A for May 5, 2010 meeting summary). Alabama Power’s request to use the TLP complies
with the criteria outlined in 18 CFR Section 5.3 (C) (1) (ii) A-F. As well, use of the TLP will
benefit the participants to the process, and will provide FERC with the information it needs
to complete its licensing obligations.
•
Likelihood of On-Time License Issuance (§5.3A)
The Holt Project is located at a U.S. Army Corps of Engineer’s (USACE) Lock
and Dam facility and flows to the Holt Project are controlled by the USACE. The
relicensing is limited to those works and lands within the Project Boundary that
include the powerhouse, tailrace, and transmission line. The Holt reservoir,
which is approximately 3,296 acres at elevation of 187 feet, and the dam and
lock structure are operated and maintained by the USACE and are not within the
Project Boundary. The Project consists of an intake structure located at the west
end of the spillway; a powerhouse located on the northern bank of the Project
containing a 55,600-horsepower turbine operating under a gross head of 58 feet
and connected to a 46,944-kilowatt generator; a substation; a tailrace; and a 2.48
mile transmission line. The Project Boundary includes approximately 53 acres.
Alabama Power does not anticipate proposing any upgrades or changes to
operation. The agencies and NGOs that are participating in the relicensing to
date have been involved in multiple relicensing proceedings with other Alabama
Power hydroelectric projects and have experience using the TLP. The
stakeholders and Alabama Power have already begun discussions regarding
issues related to the relicensing and they are well aware of the limited number of
issues that are likely to be raised at the Holt Project. The stakeholders’
familiarity with the process and informational needs should allow for the timely
issuance of the Holt Project license on or before the expiration date of the
existing license.
•
Complexity of the Resource Issues (§5.3B)
Alabama Power presented and discussed a list of anticipated resource issues
during a site visit and stakeholder meeting on May 5, 2010. Based upon that site
visit, Alabama Power determined that the following issues may need to be
addressed at some level during the relicensing process.

Rare, threatened and endangered (RTE) species surveys in the tailrace
Fish entrainment and turbine mortality
Potential for recreation enhancements
Some limited effort to address Section 106 issues
These issues have been addressed at other Alabama Power projects that have
undergone relicensing within the basin and elsewhere in Alabama and should be
easily addressed at the Holt Project. In fact, this project has fewer anticipated

issues than the Warrior River Project (located upstream of the Holt Project) and
is similar to the Bankhead development (also located upstream of the Holt
Project), which is also located on a USACE Lock and Dam. Alabama Power
currently collects water quality data in compliance with the FERC Order
Modifying and Approving Dissolved Oxygen Monitoring Plan Under Amended
Article 43 (Issued February 4, 2002) and additional tailrace water quality
sampling and RTE surveys are anticipated to be baseline reconnaissance level
studies. With the existing data and knowledge of the basin, the limited project
boundary and project footprint (powerhouse, tailrace, transmission line), no
significant issues are anticipated. Alabama Power will propose using the desktop
approach for assessing fish entrainment and mortality, which has been
successfully utilized at numerous other Southeastern hydroelectric projects,
including the Warrior River Project (FERC No. 2165). Recreation at the site is
limited due to the size of the project and the USACE’s land and reservoir
ownership but the licensee will work with the stakeholders to identify
enhancements or improvements that need to be made. Based upon the size of the
project, the location at the USACE Holt Lock and Dam, and lack of complex
issues, the relicensing process for the Holt Project should be much less complex
than the relicensing proceedings on the Coosa, upper Warrior and Tallapoosa
Rivers.
•
Level of Anticipated Controversy (§5.3C)
As noted above, Alabama Power has begun consultation with the stakeholders to
determine resource issues and management goals that will need to be considered
during the process. Alabama Power is not anticipating a large degree of public
involvement or interest in the relicensing process given the location adjacent to
the USACE Holt Lock and Dam; however, national and state NGOs and local
riverkeepers intend to participate in the relicensing process. Given the low
complexity of issues already identified at the project, it is not currently
anticipated that the relicensing process will result in any significant controversy
that cannot be resolved with the Enhanced TLP. Alabama Power believes that
the TLP is a process that will enable the license applicant and the stakeholders to
reach agreement on protection, mitigation, enhancement measures for the Holt
Project.
•
Relative Cost of the Traditional Licensing Process Compared to the Integrated
Process (§5.3D)
Given the limited scope of the Holt Project boundary, the limited number of
anticipated issues, the limited number of stakeholders and the low level of
controversy, Alabama Power believes that the TLP is better suited to the Holt
Project from a cost standpoint, than is the Integrated Licensing Process (ILP).
Experience to date at other projects nationwide demonstrates that the ILP is
significantly more costly to licensees compared to the TLP. Projects located on
USACE lock and dam facilities frequently request the TLP due to the overall
limited project scope and related issues with the expectation that significant
process cost savings can be realized. Alabama Power believes that given the
unique circumstances at this project, the TLP can be a more efficient relicensing
process than the ILP. The project licensing should proceed smoothly with the
TLP, through enhanced consultation during critical junctures in the process.

Jim Crew gave a brief introduction and explained that Barry Lovett would be heading the
relicensing effort on Holt. Kelly Schaeffer reviewed the project relicensing timeline and reminded
everyone that Alabama Power Company (Alabama Power) will ask the Federal Energy Regulatory
Commission (FERC) for permission to use the Traditional Licensing Process (TLP). The Integrated
Licensing Process (ILP), FERC’s default process, is timeline driven and does not suit smaller
projects (with fewer stakeholders and fewer issues), such as Holt. Alabama Power will file the Holt

Pre-Application Document (PAD) on August 27, 2010 and will request FERC’s permission to use
the TLP at that time. Kelly assured the stakeholders that with enhanced consultation, stakeholders
will be given plenty of opportunity to discuss issues and to comment on study plans and major
relicensing documents. No one expressed an objection to Alabama Power’s use of the TLP. Chris
Greene (ADCNR) and Lynn Sisk (ADEM) agreed the TLP process would work best for their
respective agency’s participation in the Holt relicensing.
Next, the group discussed issues specific to Holt. The transmission lines are included in the
Holt Project boundary. There is one Overlook area that is included in the FERC Project boundary
for Holt but is located on U.S. Army Corps of Engineer’s Property (USACE) property. Similar to
the Bankhead Project, the USACE has jurisdiction for operating and maintaining the Holt Reservoir
and the Holt Lock facility. Alabama Power is not proposing any operational changes as part of the
new license. There is no minimum flow requirement below the Holt Dam, although there is usually
leakage from the dam. There is no boat or portage access near the dam, though boats can move
through the lock as long as the person operating the vessel is wearing a personal flotation device.
Alabama Power discussed the need for certain studies as part of the Holt relicensing. Those studies
include, but may not be limited to, water quality (Alabama Power will submit a 401 application to
ADEM); fish entrainment; rare, threatened and endangered species; and cultural resources
investigations (limited to Phase 1 at present).

Directions from US 82 West in Tuscaloosa (McFarland Boulevard):
Take the Rice Mine Road Exit to the right at the west end of the Warrior River bridge.
Go left on Rice Mine Road for 2 miles. Turn right onto New Watermelon Road A Publix supermarket will be on the left & CVS Pharmacy on the right. Go about
4 miles and turn right onto Lake Nicol Road at the intersection of the fire station.
Go three miles and turn right onto Deerlick Road for 2 miles. Turn right onto Power Plant
Road for 2 miles. Signs will direct you to the plant once you turn on to Rice Mine Road.

Dear Holt Stakeholders,
At our May 5, 2010 site visit and relicensing meeting, we discussed Alabama Power’s relicensing timeline
and our plan to request approval from the Federal Energy Regulatory Commission (FERC ) to use the
Traditional Licensing Process (TLP) for relicensing the Holt Project (FERC Project Number 2203). As you
might recall, we are proposing the TLP for a few primary reasons, those reasons being consistent with
FERC’s guidance on when a TLP might be appropriate. As Alabama Power Company's powerhouse,
which comprises the Holt project, is located at the U.S. Army Corps Holt Lock and Dam facility, the
relicensing has a limited geographic scope. Based on meetings with stakeholders, Alabama Power
Company expects the issues and level of controversy for the Holt project relicensing to be at a
minimum. We also anticipate that FERC will be able to issue a new license for the Holt Project on
schedule, for the reasons stated above.
Alabama Power Company is requesting either your concurrence with our request to use the TLP, or
that you express no objection to the use of the TLP. We are looking for a brief response to this email –
either written on your organization’s letterhead, or simply in the form of an email response directly to
me. We will gather the responses and include them as an appendix to the letter that we will file with
FERC in August , requesting the use of the TLP.

Dear Holt Stakeholders,
At our May 5, 2010 site visit and relicensing meeting, we discussed Alabama
Power's relicensing timeline and our plan to request approval from the Federal
Energy Regulatory Commission (FERC ) to use the Traditional Licensing Process
(TLP) for relicensing the Holt Project (FERC Project Number 2203).
As you might recall, we are proposing the TLP for a few primary reasons, those
reasons being consistent with FERC's guidance on when a TLP might be
appropriate.
As Alabama Power Company's powerhouse, which comprises the
Holt project, is located at the U.S. Army Corps Holt Lock and Dam facility, the
relicensing has a limited geographic scope. Based on meetings with stakeholders,
Alabama Power Company expects the issues and level of controversy for the Holt
project relicensing to be at a minimum. We also anticipate that FERC will be
able to issue a new license for the Holt Project on schedule, for the reasons
stated above.
Alabama Power Company is requesting either your concurrence with our request to
use the TLP, or that you express no objection to the use of the TLP. We are
looking for a brief response to this email - either written on your
organization's letterhead, or simply in the form of an email response directly to
me. We will gather the responses and include them as an appendix to the letter
that we will file with FERC in August , requesting the use of the TLP.
I would like to have all responses to our proposed use of the TLP by June 8,
2010. I appreciate your response to this email and if you have any questions on
