The Board of Commissioners of Lorain County, Ohio met this day in a regular meeting, in the J. Grant Keys Administration Building,
226 Middle Avenue, Elyria, Ohio, at 9:36 a.m. with the following members present: Commissioner Betty Blair, President, Commissioner Ted
Kalo, Vice-President and Commissioner Lori Kokoski, Member and Theresa L. Upton, Clerk.
JOURNAL ENTRY
Commissioners said the Pledge of Allegiance.
Commissioner Blair presented a male lab/husky mix about 7 ½ years old that was owner surrender and available for adoption on
Saturday at 3 pm in cage #35.
Commissioner Blair had a thought for the day; “forgiveness is giving love when there is no reason too”

to administer Lorain County’s Community Housing Improvement Program (CHIP) grant application for CHIP Fiscal 2010, and
WHEREAS, the recommended consultant based on the evaluation criteria set forth was CT Consultants which is located at 8150 Sterling
Court, Mentor, Ohio. CT Consultants has over 24 years of experience preparing and implementing CHIP applications, and
WHEREAS, CT Consultants will provide consultant services regarding the administration and implementation of Lorain County’s
Community Housing Improvement Program Fiscal 2010 grant. The contract amount is $77,350.00.
NOW, THEREFORE BE IT RESOLVED, CDBG dollars have been allocated for said project to be paid from
(2660.FY10.100.120.07.6200.0000) for contract services in Lorain County and authorize the President to execute on behalf of the Board.
BE IT FURTHER RESOLVED, by the Lorain County Board of Commissioners hereby awards a contract to CT Consultants for the

RESOLUTION NO. 10 -771
A RESOLUTION DESIGNATING THE LORAIN COUNTY PORT AUTHORITY AS AN AGENT OF THE
COUNTY FOR ISSUING RECOVERY ZONE FACILITY BONDS FOR THE U.S. STEEL PROJECT; AND
AUTHORIZING CERTAIN ACTIONS IN CONNECTION WITH PUBLIC HEARINGS AND THE
APPROVAL OF THE ISSUANCE OF PRIVATE ACTIVITY BONDS BY THE LORAIN COUNTY PORT
AUTHORITY.
WHEREAS, ARRA revised the Code to create Recovery Zone Bonds which must be issued for projects in a Recovery Zone;
WHEREAS, in Resolution No. 09-538 this Board designated the County as a Recovery Zone for the purpose of issuing Recovery Zone
Bonds;
WHEREAS, the State of Ohio has reallocated $75 million of its Recovery Zone Facility Bond volume cap previously waived by counties and
large municipalities to the County for the issuance of the U.S. Steel Bonds; and
WHEREAS, this Board intends to designate the Port Authority as its agent for the issuance of the U.S. Steel Bonds.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of the County of Lorain, State of Ohio, that (unless
otherwise defined, capitalized terms are defined in Section 5):
Section 1. Designation of Issuer. This Board hereby designates the Port Authority as the issuer of the U.S. Steel Bonds.
Section 2. Signing and Delivery of Documents. This Board authorizes and directs the County Administrator to sign, deliver, or file
any documents, agreements, or certificates in connection with the designation of the Port Authority as the issuer of the U.S. Steel Bonds and the
issuance of the U.S. Steel Bonds as may be required by ARRA, the Code, the Treasury Regulations promulgated under the Code, and any other
applicable statute or regulation, as the County Administrator deems necessary and appropriate. In addition, this Board authorizes any two Board
members to sign and deliver certificates approving the issuance of the U.S. Steel Bonds for the sole purpose of qualifying the interest on those
Bonds to be excluded from the gross income from owners of those Bonds for federal income tax purposes in accordance with Section 147(f) of
the Code.
Section 3. Public Hearing. This Board confirms that the Port Authority, acting through its Chair, Executive Director or any other
officer or member of the Board of Directors of the Port Authority is authorized (1) to perform public hearings for each issuance of tax-exempt
private activity bonds by the Port Authority, including but not limited to the U.S. Steel Bonds, all in accordance with Section 147(f) of the Code,
and (2) to take any other actions, and sign and deliver any other documents and certificates, necessary in connection with the issuance of those
bonds or for the purpose of qualifying the interest on those bonds to be excluded from the gross income from owners of those bonds for federal
income tax purposes in accordance with Section 147(f) of the Code..
Section 4. Open Meetings. This Board finds and determines that all formal actions of this Board relating to the adoption of this
resolution were taken in an open meeting of this Board, and all deliberations of this Board and of any of its committees that resulted in those
formal actions, were in meetings open to the public, in compliance with all legal requirements, including Section 121.22, Revised Code.
Section 5. Definitions. Capitalized words and terms used in this resolution have the following meanings:
“ARRA” means the American Recovery and Reinvestment Act of 2009.
“Board” means the Board of County Commissioners of the County of Lorain, Ohio.
“Code” means the Internal Revenue Code of 1986, as amended.
“Port Authority” means the Lorain County Port Authority.
“Recovery Zone Bonds” means the Recovery Zone Economic Development Bonds and Recovery Zone Facility Bonds.

“Recovery Zone Economic Development Bonds” means Recovery Zone Economic Development Bonds, authorized under Section
1400U-2 of the Code.
“Recovery Zone Facility Bonds” means Recovery Zone Facility Bonds, authorized under Section 1400U-3 of the Code.
“Recovery Zone” means the area designated by this Board in Section 2 as a recovery zone, under Section 1400U-1 of the Code.
“U.S. Steel Bonds” means the Recovery Zone Facility Bonds issued by the Port Authority for the U.S. Steel Project in the estimated
original principal amount of $75 million.
“U.S. Steel Project” means constructing, equipping, and expanding the U.S. Steel Lorain Tubular facility located in the County.
Section 6. Effective Date. This resolution will take effect and be in full force immediately upon its adoption.

Commissioner Kalo and Commissioner Blair attended the opening of the new Sheffield Township Fire Station and thanked Linda
Blanchette, Community Development Dept for her work in securing the funds.
Commissioner Kalo congratulated all the people who were elected and to the levies.
Commissioner Blair thanked the people that were not successful at the election but gave people a choice.
Commissioner Blair said last Friday, her, Richard Enty and Virginia Haynes visited with Cuyahoga County Commissioner Peter Lawson
Jones regarding an MOU with them and Erie County for West Shore Commuter Rail. She stated Assistant County Prosecutor Innes is working
on this.

Antonio Barrios, President – Lorain Arts Council thanked the Board for this opportunity and this country and county is going through a
difficult time relating to the economy but he said the arts council is a dedicated group of artists living in the county and promoting this. He
would like to invite all artists to join them at Lorain Arts Council, P.O. Box 251, Lorain, Ohio 44052 at 440-320-0295 or
www.lorainartscouncil.com. He would like to have a coalition through business and individuals to maintain the art and open an art gallery on
Broadway in Lorain. There is no money involved, just awareness to keep it alive and artists make their living by selling their talent and looking
at getting members and there are a lot of empty buildings on Broadway and hope to have someone give them a space. He stated the Tremont
Area in Cleveland has turned around in 3 years which is a National Registry Spot that artists came in with painting in the buildings and streets
and they bring in thousands of visitors, many new restaurants. There is a group of artists looking at Gordon Square, Cleveland to revitalize this
area. We know that people look at blue collar aspects and commend that but we also need to have people look at the arts.
Commissioner Kokoski thanked him for the awareness and can see that he is very passionate about this.
County Administrator Cordes said Gordon Square along with Ohio City could become a piece of Tremont.
Commissioner Kalo asked if he asked City of Lorain. Mr. Barrios said yes and looking at 737 Broadway, Lorain but they are also
looking at putting the Lorain Hall of Fame in there. He stated that the arts sell and stimulate money and taxes.
Commissioner Blair said there is a group of people working on Lorain County Arts Council which have meet twice and she will forward
this information on to him.
Commissioner Kokoski asked Mr. Barrios to forward any information about events to the Board. Mr. Barrios said on November 21 they
will have a coloring contest for the children.

Shirley R. Johnson, Oberlin said the arts is important to the community and individual lives and it certainly has been shown with
studies in school and education cuts the arts and music, which is a great loss. She also said don’t give Elizabeth and her all the credit for
them coming to the League of Women Voters luncheon, it was very interesting and informative meeting and the League of Women
Voters of Oberlin are doing some type of study for county government and will give them a list of all the budget hearings so they can
listen, this is a good way to find out what is going on.
Mike Ferrer, Lorain County Urban League said he is concerned with the contracts that were provided to the youth. He stated in
June the Board approved contracts to provide services to young underserved youth in Lorain County. Urban League has provided this
service for the last 6 years and prior to this he was a partner with WIA for 21 years. When Vivian Alexander was hired as Director of
Workforce Development Agency the first thing she did was disband the youth council, maybe there was a better plan. Urban League has
provided service and has had a perfect record; delivering 15 GEDS, 7 graduated from high school and went to college and many have
jobs. These youths are very hard to reach they have been recommended by police departments and parents have given up. Not one kid
that has gone through this program has quit school; they have worked hard and feel they are a partner. In June, Mr. Cordes and Mary
Murphy, Interim Director of WDA met with all the service providers and stated WIA was going to be cut dramatically and put on a
month to month basis. They went back to their staff being given $13,000 and said we need to do more with less and we also gave back
each month $3-5,000. On Friday, October 29 at end of day a letter was received from Mary Murphy & Commissioners stating that
almost at 5 pm, all WIA programs delivered by them are to end on Sunday. He knew there were changes and did expect them and as
partners they do what they can, but to receive a letter at close of business on October 29, dated October 28 telling them that programs
end on Sunday, how do you call your staff, how do you tell the students and their parents that you can no longer provide service. As a
good faith partner, we even gave back money but what partner tells you at close of business.
Commissioner Kokoski asked County Administrator Cordes if there was previous correspondence. Mr. Cordes said the letters
that were sent out were reminders as courtesy letters that there was no further extensions that were granted and he spoke with Mary
Murphy and Frank DeTillio and said some of these kids need to be transitioned that are in the programs and close out and remind people
that no further extensions have been granted and in the letter it was a courtesy letter stating that no extensions have been granted,
therefore the program is ending. This was not a termination letter because no one had contracts, they were on a month to month, and it
was a courtesy and close out program.
Mr. Ferrer said the contracts expired, they were put on a month to month basis and understood that it could terminate, but when
all service providers were spoke to in June they were told they would meet again to see what the best way was to service all the children
and this meeting never took place. New RFP’s were issued and new system would cut out all service providers, money is not the issue it
is the children that need to be served. The new rfp’s for tutoring and mentoring is for individuals and they told their tutors to apply. Kids
do not come to the tutors with open arms, they are hard to reach and if there is a better system they will support and work with the
county no matter what but this is not how a partner is treated. He stated that Mr. Cordes is technically correct, after the 30th there was no
contract but it was told that it was a month to month contract, you don’t say 2 days prior that services will no longer be needed, you
could have said the previous month that it will end at the end of the next month. He stated that Tula Ramos at 17 was a troubled youth
and now runs the WIA program and had to tell her over the weekend that she could no longer have a job. His fear is about the young
people, the hardest to reach, the new rfps do not address them; a mentor does not only sit with the youth they go to the school to work
with the teachers and work with the parents and they also work with the parents in saving their homes or getting a job while working
with their children. The WIA staff has very little experience working with this population, the population that they serve they try to not
fill up the jails and this is what they are all about and it could have been so much better rather than leaving a distaste in their mouth.
There are posters all over with Frank Whitfield, LCCC graduate and WIA told them to quit on him 2 years ago, they did not and now
look at where he is and he also receive an award, you can not get this by having a 2 hour tutor, maybe 4 hours a week, 10 hours a month,
$150, this is sad, we are going to monitor what the county is doing, the way it is set up there is no support and if these kids are lose it
will be a very disheartening issue.
Commissioner Kokoski asked how much funding was lost. County Administrator Cordes said it was around 35%.
Fred Wright, Lorain County Urban League said his concern is that business is done this way and County Administrator Cordes
was not faithful in his words. It was stated that all providers were to come back before a decision was made.
County Administrator Cordes said Mr. Wright came to his office and if the county gave them the youth dollars, Mr. Wright said
no the Urban League was willing to work with the county with any type of program, not just youth but all the services they provide;
housing, education, health.
Mr. Wright said the way this was handled is despicable, destructible, you do not tell the provider, he spoke with Ms. Murphy in
the middle of September when a decision is about to be made please give them a 30 day notice to close the program done; they have
staff, consultants, etc. the last communication received was received at 3:44 pm on Friday, the 29th dated the 28th stating the program
would close down on the 31st. He stated that he had to inform Ms. Tula Ramos that doesn’t come back to work on Monday and nobody
wants to hear this; this is not the way to do business. He said hopefully moving forward how this population can be worked with and
hoped the Commissioners would have sensitivity what the providers to with these programs. Commissioner Blair said to Mr. Wright
that he spoke to each Commissioner individual, Mr. Wright said correct. The county is suppose to serve the young people and send them
to the program and the contract is to serve 120 youths and county only certified 46. You can not be an administrator and service
provider, you can not do both and it will not work and he is very upset how this was handled.
Commissioner Kalo asked about the paperwork that was to be given to him, Mr. Wright said he did give them some today but
will be forwarding the rest. Mr. Wright said there was a real message sent last night in this state and country and you better start
listening to the people and working with the people that are being affected by the laws, etc, people are hurting out there and if you don’t
start doing this you will continue to see what happened last night.
Mike Conibear, Executive Director – Lorain County Boys & Girls Club said their organization serves over 800 kids and has
been a service provider for the last 7 years and as a provider they should have received proper notification regards to this not only for the
employees but the children involved. He also said the partnership should continue in someway because they do reach the underserved
kids in Lorain County and has the ability to carryout these programs. It is hard to get an email on Friday and tell an employee on
Monday they do not have a job and the children that are placed in these programs are getting services for high school that need services
for tutoring and mentoring and we need to streamline this whole transition was not correctly done and feels if this program is going in
house the partnership needs to continue somehow and need effective ways for communication. He said he sees other organizations with
the kids and this was a shock to see that the contract was over and people should have been giving a heads up.

Pam Dickey, Tutor at Urban League and is one of the tutors that was told not to come back. She has been a tutor along with her
husband for four years and during this time they have served dozens of kids and have seen successes. She has concerns with the rfp’s and
because the tutors have been terminated and not sure if the Board knows but these are the weeks that the high school students are being tested for
the Ohio Graduation Tests that they must pass to receive a diploma. She had to inform the students waiting that there was no help. She also
stated that by separating the tutors and mentoring components and maybe this was to improve areas but you are hindering the areas and by
terminating this contract there were no goodbyes, no transition in order for these children to get help elsewhere. The students depend on their
mentor/tutors to be there on the given night and although this rfp is available to individuals her and her husband with 40 years of teaching
experience between them have chosen not to apply, there are many concerns as being educators, specifically concerned because no one that had
participated in writing the rfp has ever been in a tutoring session in 4 years, what has been written is virtually in possible to live up. The
programs are successful why would you start all over, the approach should have been to work with the current tutors/mentors and those that
actually are doing this job and take from what is done and make improvements, this was not done, it was not just taken out of our hands but the
opportunity to give the children a transition. She understands that many people can get a phone call that there is no work available but we are not
talking about putting in windshields or fixing something we are talking about kids, clients, students a population that they have been successful
providers.
Tim Williams, Elyria YWCA said this is a very challenging process or lack of process. There was a process that occurred and maybe
could have been done differently and unfortunately when one challenges the integrity of the process it makes them start to rethink the challenge
integrity of the intent. We knew there was critical changes and knew there was efficiencies needed and programs needed to be improved. Any
provider can be asked in terms of level of success of program and no one have been satisfied based upon what they do and desires to do it was
not being done as well as it could have been and that is from referrals, enrolling there were breakdowns of the entire piece and he appreciates the
desire to repair and fix program and increase the quality of service but the process of which this was done could have done more harm than good.
He does not believe that it is irrefutable he thinks if everyone can back up and re-access how we done this perhaps we can find a measure that
might give more creditability to the bid. We as providers get grants and know how the process works and you need the capability to compete.
This process now is very frightening and understands that a waiver was applied for and was designed for communities to have more flexibility
and treat more efficiency for services. The sprit of that is very real but sometimes these pieces can be manipulated, not saying this was done but
feels that this was done and the process of procurement has been eliminated. It was told to them that the service would be done in house which
means there is no competition to bid on this, there is no opportunity to improve and address this so this process has not vindicated from whatever
experience good or bad from the providers, not talking about evaluations but when you are continually funded annually, it might not be broken.
Last year they submitted the proposal in May 5 and because of the stimulus it changed and the rfps were not addressed so the contracts were
carried over and then on October 9 contracts were received and what happened in this window was the proposal was submitted May 5, services
are to be engaged by July 1 and that did not happen, had information but contract was not dated until October 9 and the program ended
September 30. The rfp created a window of 10 days which challenged the process and how efficient is the government side. He understands
times are hard and knew there would be changes but they were in the first month of the second quarter on a month to month starting on July 1
and each time a letter was received reminding them of a month to month contract and did have a meeting in June and did not have any meeting
with anyone else and respect that and the ones that had to advocate and had concerns for sometime and knew there would be a change but what
was taken away from this meeting was there would be some other type of communication in the process. Not only did they have communication
but he would ask a youth service specialist what was going on, no one knew he even spoke with workforce employees and no one knew, there
was no communication and this is very challenging when you have been engaged and if he looked at this correspondence prior you could see it
clearly because there was a silence. The integrity has to protected and the fact that an email was received at 3:50 on the 29th saying service
would end on the 31st and this can be done if you all think this is a reasonable thing to do but challenges how reasonable this is and how
necessary this was, you have the authority to do things how every you want too but the respect and appreciation and desire to partner, they are
stuck in a relationship together because how services are delivered. The last contract was uniquely different with the rfp and saw things that
were never seen in the last 8 years and at the last bidder’s conference there was only one new provider present and that might be an indicator that
things worked. He suggested that we all back up and have conversations, the Commissioners decision is the ultimate one but you need to chose
how this transition goes and this process that we are presently in is wrong and we have the capacity and intelligence to have some corrections
and would strongly urge the Commissioner to consider and figure how to figure out we are going because two years from now, everyone is still
involved in the game but it is the question how are we going to work together.
Commissioner Kokoski stated she ran into Fred Wright at the Beautification Awards and he did mention there was to be a second
meeting and addressed this with Mr. Cordes this past Wednesday and then on the 29th the letters went out. Mr. Cordes said the letters that went
out were reminders that there were no additional extensions. Commissioner Kokoski said she was under the assumption because there was a 30%
cut in funding that we had to do something and taking the administration in house and rfp, we are not saying these people are not partners we are
just saying they need to follow the rfp process. Commissioner Kalo said the rfp process now goes with individuals rather than organizations. Mr.
Cordes said both are correct, the Boys & Girls Clubs have submitted a proposal to continue for mentoring and tutoring; mentoring proposal is
interesting and will need to be reviewed. He asked Mr. DeTillio to explain what has been changed and agreed with Mr. Williams.
Frank DeTillio, Chair – Workforce Investment Board said he appreciates all the providers and stated there was a reduction of 35% and
needed to find out how services would still be provided. This process that was done might not be the best and input of service providers more
could have been done and as partners everyone needs respect. In the Friday letter advising that it was a courtesy it would occur, he is torn about
the letter, he certainly would not like to see this and recognize he would assumed as the WIB chair and conversations with regards too this was
being done in a running process. The contracts were up June 30, 2010 and because of the fact we were wrestling with the state why there was a
35% cut and trying to make some significant moves and strategies and getting more money, we should have went to partners and sent letters that
were monthly in June, July, August and in September indicated the following month would have been exit month and this does not seem that the
letters indicated this. He should have spoke to Mary Murphy and were this broke down, conversations are needed to figure this out and how
these services can still be provide to the community. Mr. DeTillio will defer to the Commissioners to move forward and deliver service tot he
children.
Commissioner Kalo said he is not sure about the paper trail and the 30 day notice should have been given. With these cuts, children still
need to be provided service, which is providing this service November 3. County Administrator Cordes said Youth Council, sub of WIB met,
Steve Mowry is Chair and rfp have been received and need to be reviewed but he held them knowing that these providers were going to be
present today. Mr. DeTillio said the recommendations on proposals were forwarded for approval. Mr. Cordes said correct he has them on his
desk. He said he was not aware that Tim Williams had a conversation with Ms. Murphy and she was not able to be here today because she is in
Akron re: dislocated workers initiative.
Mr. Cordes said consolidation is needed for these services that are provided; the county did get a waiver from the State from Department
of Labor and services needed to be redirected. He understands that there was miscommunication and something needs done. The mentoring is
not just 2 hours, this is a standard guideline, minimum criteria and this is able to be tracked better for accountability. They worked diligently last
year and this year to see that the funds went further and shocked that we took this much in cuts but there is a possibility that there will be more
cuts. He said there could be another round of rfps with new and old partners and everything has to be fundamentally changed based upon funding
and when the first meeting was held, some providers called the board and with complaints it became apparent to him that they did not want to
partner with the WIB board, etc. and it is easy for them to barrage him but these things occurred and they talked about partnership and work
together, some of them but some of them go behind the scenes to accomplish their self motivating goals and then accuse them of the very same
things.

Commissioner Kalo said we need to find a way to get the tutor/mentor back out the kids. Mr. DeTillio said his perspective or staff never
believed this was concrete and things had to move in a different direction because of the cuts in funding and hope to work with the providers to
make this a better process to serve the children. The concern was to make sure that money was going to direct service for youths rather than
serve 100 kids at 35% reduction and then only serve 75 kids, you still need to serve 100 children, this is the dilemma, and no negative intent was
intended.
Commissioner Kokoski said she thinks everyone recognizes this should have been done better, there could have been a second meeting
and in the 2nd paragraph of the letter that was given by Mr. Wright it states “WDA will make arrangements to meet with you and your staff
within the next 10 days to complete a program closes out”. She hopes that within these 10 days that they would have meet and received input on
the children could have been better served. Commissioner Kalo said October 28 letter was not about going back to meet with them for programs
it was about closing out the books. Commissioner Kokoski said the final billing for WIA this program was no later than November 15, 2010 and
everyone needs to sit down and figure out how the kids can be served with the limited funding. Commissioner Kalo said there was an alternate
way found to provide services and through rfp process and we have some new providers and old. Mr. Cordes said yes. Mr. DeTillio said he does
not feel there are enough providers and more rfps have to be done and do what needs to be done. Mr. Cordes said there is enough to start and
something’s that use to be outsourced was the work experience and this was a big struggle with Department of Labor and this was initiative out
of dialogue from the WIB boards throughout the state. Mr. DeTillio said a waiver was received to serve 14 year olds formula and 16 under
stimulus
Commissioner Kalo said we should not have a void in service.
Commissioner Blair asked if this opportunity was available. Mr. Cordes said yes we can do these contracts and certainly use the rfp and
pay the rates for tutors. Commissioner Kalo is it possible to use the flat rate as we did on the help me grow contracts with Children & Family
Council, Mr. Cordes said yes on the tutoring ½ hour paid as base and on the mentoring no more than 5 youths with minimum guidelines and
tutors should have teaching certificate and mentors should have licensed social worker.
Tula Ramos, Coordinator – Urban League asked what happened to the kids, will they continue to be provided services. She understands
the criteria and as a mentor she would not qualify her degree is criminal justice but believes as a mentor she is compassionate and she came from
where these children come from because she came from there and was an effective mentor there was a connection, she is not really concerned
with her job her concern is what happens with the clients. Mr. Cordes said there will be a gap and services will be provided and those who have
worked in the field can be considered for mentoring services and problem was there was no good reporting and need to see where the services
where at and follow up.
James Dickey, Guardian Ad Litem for Lorain County Children Services and father in law of Pam Dickey and has 41 years of
management with Ford and he understands cuts. The way this cut was handled was not acceptable he hears a lack of concern not enough
enthusiasm with this program, letters were sent monthly but there should have been follow ups and this just did not happen. To get a call Friday
afternoon that funding was cut and program will end this is not acceptable.
Kathy Michelle Dickey, wife of James for 41 years, Guardian Ad Litem and Sub at Amherst School System and have seen these children
and are happy with what services they receive and if this was not provided they would not receive any service. She has only heard of money
spoken not the children being a Guardian Ad Litem she has seen these children with bad parenting history and the teachers give guidance and
moral support to keep these children off the streets, they do not come in readily asking for help. There are GEDS going out of this program all
the time to go into the military, onto college, etc. These teachers sit in the middle of four desks and turn to each, they are all at different grade
levels and education capabilities but they trust a person that they see daily, not what will happen.
Jeannie Donaldson, Director – Elyria YWCA said our organizations are the youth council and heard today that there is a youth council
and first time hearing this. She takes exception to this because they touch a lot of kids between all the organizations that other folks will not
because they are afraid they give the appearance of gang bangers, girls on the street, etc. we are being proactive finding them jobs and activities
and filling these voids. She designated a letter back in October summarizing their feelings “we the undersigned agency directors are writing to
express their concern with the lack of information regarding present and future contracts with Workforce Investment Board. Several months ago
there was a meeting to discuss possible changes and were told a follow up meeting would occur, which has not happened and the only
communication that was received was the monthly notice of the extensions and now they are terminated. They are also concerned because they
have seen a dramatic slowdown/shutdown of referral process of eligible youths to the organizations from WIA, which is the only way these
programs can get the targeted number of participants in their contract. A further concern is a fact they continue to be on month to month basis for
contract extension and the problem is the 30 day notice would not allow for adequate timing to plan the dissolution of a program. However, more
importantly they believe the program and services that is offered to hard to serve youth is a model that has been highly successful to them, their
families and community. As representatives of community based programs for the hard to serve youth of diversity and geography we are
requesting a meeting be held as soon as possible with representative and WIA to discuss the process. It is important to note that the combined
agencies receive approximately $500,000 for workforce investment act and any major redesigning of programs and changes to agencies in the
fiscal year and no prior notice would be a severe economic impact not just on youth but on the agencies and shift the balance distortional among
other agencies such as Untied Way and Mental Health Board and local foundations. In an environment that is already so challenged economic
they feel a change at this time would be a moral breach of character and signed by Mike Conibear-Boys & Girls Club, Fred Wright-Urban
League, Jeannie Donaldson-Elyria YWCA and El Centro”. She stated that she did speak with Commissioner Betty Blair to see what the proper
channels were regards to this process. She respectfully request youth board minutes for the last march April and asking because she tried to go
through the right protocol and currently Mary Murphy, she guess she is the Director but for several months she was interim and heard she was
director but not informed and no emails have been responded too. In the rfp process there was no pre bid meeting and therefore request the
minutes, Mary’s status and when the waiver extension date was granted. She also noted that she runs into board members and frankly they tell
that they do not know of what is happening she knows; Bill Locke, Homer Virden, Maria Santiago but don’t want to violate she want to follow
proper channels.
Commissioner Blair said her concern is the services are extended or offered to youth and Mr. Cordes has contracts. Mr. Cordes said yes
proposals and with regards to the WIB minutes, WIB Chair has this and don’t want to name names, but if the WIB members would show up they
would know what is going on. Mr. DeTillio said it has been challenging to get the members there and he is frustrated with process.
Commissioner Kalo said Mr. DeTillio does not get paid for being WIB Chair. Mr. Wright said if the WIB board is not working then changes
need to be made because this is important. Mr. Cordes said a year ago the bylaws were redone to stimulate people tot go to the meetings and if
missed they could not vote and changed meeting dates from Friday to Thursday but people were sending alternates and then changed bylaws to
state CEO of organizations had to be present.
Commissioner Kokoski said Lorain County did not make these cuts and we all agree that this should have been handled better.
Commissioner Blair said this was a sufficient debate
Jeannie Donaldson said 30 day should have been enough time and while we were on month to month there was communications stating
that there would be meetings and with the rfps that went out that was just 2 of the 6 programs. Mr. Cordes said rfps will not go out, WDA will
be providing this service in house and state applied for waiver based upon all the WIB across the state and operating under this waiver provided
problematic changes so this is another issue with restructuring the rfps with state guidance.

Mike Ferrer said if someone can get these files it has all the youths that are involved and services that were provided and we thought that
the rfp would continue because the rfps stated from December to June so you assume it would go through November. He has extensive files and
these youths are in dire need and to wait for rfps and negotiations they could be lost in the cracks.
Commissioner Blair asked the board if they would like to review the rfps, Commissioner Kalo said recommendations are needed from
WIB. Mr. Cordes said we could discuss in exe and with respect to all he sees issues from a different angle that he did not see before and we are
all struggling with less trying to do a lot more and more is being taken away and he did not bring the rfps today knowing that this group was
coming here and give them the opportunity to speak and if we take a break can figure something out but we defiantly need to start to transition.
Mr. Williams said in good faith and responsible as employers not just as caring citizens can we request all current providers have an

Mr. Cordes said his biggest concern with this, which is not an unreasonable request but two issues; 1) only can pay for services so while we are
doing this have to provide services and how the money is structured there are certain parameters. Mr. Williams said every Tuesday they are
scheduled to do a soft skills session with kids from juvenile courts that occurred yesterday and he spoke with that person and the court person did
not even receive information. Mr. Cordes said there was not cancelled, Mr. Williams said but they were and they provide this service. He would
suggest that these services be continued because the participants are not aware that these services have been terminated. Mr. Cordes said some of
the costs have to be reduced in these contracts and this was another reason why he kept pushing with Frank because we could not continue to
fund these contracts at the 2009 levels and we have a 35% cut in 2010. If they take the cut and bring it down to 2010 level for 30 days we could
probably squeeze this out and transition smother and he stated the letter that he sent out was not a termination letter is was a reminder letter and
he can see the providers were not taken this as a month to month as he was looking at the month to month and he will look at what is on his desk
and come up with something and he also was not aware of these talks in September that went on and he was not aware of people speaking with
Mary Murphy and he did not understand the magnitude of this. ______________________(discussion was held on the above)

update on Teamsters and Operating Engineers at Bridge contracts and pending litigation issues. Upon roll call the vote taken thereon, resulted as:
