SPEAKER LICENSE AND RELEASE AGREEMENT The undersigned, __________________________________ (“Speaker”), hereby grants to the Analytical Division of the American Chemical Society hereafter referred to as The Division: A. A non-exclusive, worldwide, royalty-free license: To place the electronic form of your presentation at the 239th ACS National Meeting, San Francisco, CA, March 21–25, 2010 (the “Presentation”), as provided by you to the Division for a 6 month period on the ASDL/Division website, www.analyticalsciences.org B. The royalty-free right to use Speaker’s and coauthors names, Presentation title, Presentation abstract, and biographical information in publicity, promotion and advertising in connection with the exercise of the rights granted in Section A. C. The right to engage Division authorized providers/agents for purposes of producing the webcast of the Presentation and distributing the same under the direction and guidance of The Division. Speaker warrants that Speaker and Coauthors or Mentors/advisors listed below is/are the sole owner(s) of all rights in the Presentation, that the Presentation does not infringe the copyright or other property rights of any third party, that the Presentation does not contain any defamatory material or any factual inaccuracies except that which is stated as a matter of opinion, and that Speaker has full power to convey the rights granted herein. Should the Presentation contain content that is the property right of others, Speaker will inform the Division as to that content so that it may either be removed or a proper copyright may be posted. If Speaker is a student, research associate, or otherwise working under the supervision of another, that person must be identified and their approval obtained by signature below. Speaker shall defend, indemnify, and hold harmless The American Chemical Society (ACS) and The Division, its subsidiaries, and their officers, directors, employees, and agents and the designees, licensees and assignees, against all liability or loss sustained as the result of a claim by a third-party based upon or arising out of any act or failure to act of Speaker or the alleged breach by Speaker of any representation, warranty, or agreement herein. The warranties, representations and indemnities will survive the termination of this Agreement. Speaker hereby releases and discharges ACS, and The Division, its officers, directors, employees, and agents and the designees, licensees and assignees of ACS, and The Division, from any and all claims, demands, and causes of action that Speaker may have against it by reason of its exercise of its rights hereunder including, without limitation, any claims based on the right of privacy, the right of publicity, copyright, libel, or slander. The terms and conditions of this Agreement constitute the full and complete agreement between the parties. No other verbal or written agreement shall, in any way vary or alter any provision of this Agreement unless both parties consent to vary or alter any provision of this Agreement in a signed writing. Only the laws of the District of Columbia govern each term of this Agreement, as well as each matter that arises from or is incident to this Agreement, not including the law on conflicts of law of the District of Columbia. The grant contained herein does not limit the right of Speaker to make any other use of his or her intellectual property in any other way not inconsistent with the grant contained herein. When making a decision to post your presentation, the speaker understands that an internet posting may be considered prior publication and may jeopardize consideration of a subsequent manuscript submission by the speaker or co-presenters to a peerreviewed journal. (Specific journal policies on prior publication vary; for that reason, speakers should be mindful of this when consenting to post content.)
