Waste Vegetable Oil Collection
General Terms & Conditions
This document contains the entire agreement between Westerly Innovations Network (hereafter referred
to as “WIN”) and the waste vegetable oil donor (hereafter referred to as “donor”). The donor agrees to
abide to all the terms and conditions of this agreement.
WIN is a registered non-profit organization with IRS 501(c) (3) status.
1) Period of Agreement: This agreement shall become effective on the date is it signed by the donor and
shall remain in effect for a minimum of one year. After one year, the contract will remain in effect until
written notice is given by the donor. WIN reserves the right to terminate this agreement at any time.
2) Collection: WIN will contract with one or more cooking oil recycling companies (hereafter referred to as
“WIN contracted recycling companies”) to place oil storage containers on donor’s property and arrange for
regular pickup of waste vegetable oil. Collection of cooking oil from a storage container placed at donor’s
address shall be considered a collection from the donor. A copy of the collection ticket may be left at the
donor’s address even if the donor is not present at the time of the pick-up. Donor grants permission to WIN
contracted recycling companies to access the property at agreed upon times for pick-ups. In the event that
the agreement is terminated by either WIN or the donor, the donor grants access to the property for WIN
contracted recycling companies to remove oil storage container from the grounds.
3) Automatic Pick-Up: The donor hereby acknowledges that WIN will arrange for its WIN contracted
recycling companies to make all grease pick-ups by automatic collection. Automatic collection means that
WIN contracted recycling companies will pick up product from donor on a schedule it controls, and
without prior notice to donor.
4) Force Majeure: WIN is not responsible for events that prohibit us from fulfilling this contract for any of
the following reason: acts of God, unusually severe weather conditions, war, civil commotion, riots, labor
unrest, failure of public utilities or common carriers, or failure of any WIN contracted recycling companies.
5) General: a) All contracts are final. b) WIN and WIN contracted recycling companies are not responsible
for driveway damage unless donor specifies in writing that WIN and WIN contracted recycling companies
are prohibited to use. c) Donor shall hold harmless WIN and WIN contracted recycling companies from
any and all claims arising out of the storage of waste oil, use, operation, maintenance, or repair of waste oil
equipment resulting from the negligence of the donor. d) WIN and WIN contracted recycling companies
are not responsible for claims resulting in any damage to unmarked sprinkler, electrical, septic, phone,
utility or other underground lines. e) WIN and WIN contracted recycling companies shall not be liable for
any loss sustained from any and all claims arising out of storage or the use, operation, maintenance, or
repair of the equipment resulting from the negligence of the donor. f) No delay on the part of either party
in exercising any of its rights hereunder shall prevent the exercise of such rights at a later date, and any
waiver or any breach of this agreement by either party shall not be deemed a waiver of any other
subsequent breach.
