during the 2010 season on the following terms:
1. I agree to pay a breeding fee of $500.00. Of that amount, a $100.00 non-refundable booking fee shall be due with this
contract. The unpaid balance of $400.00 is due when the mare leaves the premise &/or is pronounced in foal whichever
occurs first. Unpaid board, veterinary and any other expenses, shall be paid on invoice before the Mare leaves the breeding
farm. Daily board of $8.00 plus veterinary, farrier and other applicable miscellaneous expenses will be billed and due on
receipt of billing. A late fee will be charged on the unpaid balance at the rate of fifteen percent (15%) per annum
commencing thirty (30) days after presentation of invoice. Sunset Valley Paints & Quarters shall have a lien on the mare, any
foal at her side, and the produce of the mating of this agreement for all unpaid invoices. As Mare Owner I shall be
responsible for reasonable attorney's fee and court cost if necessary to collect fees due hereunder, or any suit arise.
2. The Mare will be left until settled or return as many times as necessary during the season between the dates of January 1,
2010 and July 15, 2010. Should I fail to deliver the Mare for breeding, on or before July 15, 2010, the breeder shall be under
no further obligation with respect to this contract. In the event Mare Owner does not leave the mare at the breeding facility
for thirty-five days following last breeding for purposes of a pregnancy test, mare owner assumes all responsibility for
pregnancy testing. Mare owner agrees to have said mare pregnancy checked within forty-five days from the date of last
breeding and provide said information to Farm within five days from the date of said pregnancy check. Failure to provide
said information waives the live foal guarantee although Mare Owner shall have a guaranteed right to rebreed the following
breeding season at the rate set for said breeding season.
3. I expect that the Breeder will use reasonable efforts to settle the Mare when present at the breeding farm. However, if
Mare fails to settle, for any reason, I will hold Breeder blameless, and I may substitute another mare with the approval of the
Stallion owners.
4. This breeding guarantees a live foal. A live foal is described as a newborn foal that stands and nurses without assistance. If
foal is born dead, or should the Mare miscarry, abort or prove barren after leaving Breeder's premises, I have the privilege to
return her for breeding during the current season, or the following season only. All re-breeds will be charged an additional
$100.00 handling fee paid upon delivery of mare. The Mare may be substituted only by approval of the Stallion owners. A
"Breeder's Certificate" will be issued for the foal, conceived by this mating, when Stallion fee and all other expenses have
been paid in full; and, when Mare has produced a live foal by this mating.
5. I represent and warrant that the Mare to be bred is halter broken, in sound breeding condition, healthy, and free from
infectious, contagious or transmissible disease. A current negative Coggins Test, a photocopy of both sides of the registration
paper, a veterinarian's health certificate, plus a health, worming and immunization record must accompany the mare. I
understand that for my own protection the Mare should be current on worming and vaccinations before arriving at the
breeding farm. If not, Breeder's veterinarian will examine and/or test Mare at my expense. The breeding farm reserves the
right to refuse Mare if not in proper condition. I also agree to notify the breeding farm of any dangerous habits the Mare may
exhibit such as kicking or biting. In the event of colic or life threatening illness of the mare or foal at her side, all means
available will be utilized to save said mare unless otherwise instructed by Mare Owner, including surgery if recommended by
the veterinarian. Mare Owner shall pay any and all costs in connection therewith.

6. I agree that Sunset Valley Paints & Quarters, and any person associated with Sunset Valley Paints & Quarters, is not liable
for death, sickness and/or accident including consequential damages caused to the Mare and/or foal; and that I am not liable
for death, sickness, accident and/or other harm including consequential damages caused to the Stallion, and/or property, or
personnel associated with Sunset Valley Paints & Quarters. I understand that Sunset Valley Paints & Quarters does not carry
any form of insurance on my horse(s), and that it is my responsibility to secure insurance on my horse(s) should I deem
necessary. The breeding farm may exercise its own judgement in caring for and supervising the Mare and/or foal. Mare
Owner hereby states that he/she has inspected the premises of the breeding facility, including the facilities in which the mare
is to be kept and is satisfied with their condition, upkeep and safety. Mare Owner agrees that the standard of care to be
imposed upon Farm is that of ordinary care of a prudent horse owner and not that of compensated Bailee.
7. In the event of the stallion's death, or should the stallion become unfit for service, prior to the delivery of a live foal, the
live foal guarantee as above-described shall become null and void. Should the mare die subsequent to payment of the
booking fee but prior to breeding, only the booking fee will be refunded to Mare Owner.
8. This Contract is non-assignable and non-transferable. In the event the Mare is sold or otherwise disposed of prior to the
birth of the foal, the "Live Foal Guarantee" will no longer be valid unless specific written consent or assignment is given to
me prior to transfer of ownership.
9. This Contract with additional agreements if applicable, represents the entire agreement between the parties. No other
agreements or promises, verbal or implied, are included unless specifically stated in this written contract. This contract is
entered into in the State of New York and will be interpreted and enforced under the laws of that state. When Sunset Valley
Paints & Quarters, or its authorized representative, signs and returns a copy of this offer to me, it becomes a binding contract
of both parties, subject to the above terms and conditions. In the event one or more parts of this contract are found to be
unenforceable or illegal, the other portions hereof shall be deemed in full force and effect.
10. I certify that I am sole owner of the Mare or have authority to enter into this contract on behalf of the owner(s).
