SNAP CATS INC. RESCUE PARTNER AGREEMENT This agreement is entered into on this ______ day of ______________, _______, by and between SNAP Cats, Inc. (hereinafter referred to as “SNAP CATS”) and _______________________________________________ (hereinafter referred to as “Rescue Partner”) for the purpose of placing shelter animals with Rescue Partner. WHEREAS, in operating a private animal shelter serving both public and private needs, SNAP CATS cares for stray and relinquished animals and has a substantial interest in promoting adoptable animals not redeemed by their owners; and WHEREAS, it is the policy of SNAP CATS that no healthy, friendly, or treatable shelter animal should be euthanized if the animal can be adopted into a suitable home; and WHEREAS, SNAP CATS wishes to release shelter animals that might otherwise be euthanized to other suitable and qualified organizations for the purpose of pursuing specialized treatment, care, rehabilitation, or sanctuary relief; and WHEREAS, Rescue Partner has demonstrated that it qualifies as such an organization and wishes to obtain SNAP CATS animals for one or more of the purposes noted above; THEREFORE, SNAP CATS and Rescue Partner mutually agree as follows: 1) Rescue Partner may submit a request in writing or other manner approved by SNAP CATS for the release of a shelter animal. In making animals available for transfer under this agreement, SNAP CATS shall determine, in its sole discretion, which animals are suitable for transfer, and SNAP CATS retains the right to refuse transfer for any reason. Notwithstanding the above, Rescue Partner acknowledges that it is their responsibility to affirm that animals obtained from SNAP CATS are suitable for transfer. Rescue Partner also acknowledges that SNAP CATS does not warrant in any way the suitability of any animal designated for release by SNAP CATS. 2) Rescue Partner shall provide animals obtained from SNAP CATS with a healthy, clean, and safe environment and shall provide the animals with necessary and prompt veterinary care, nutrition, and shelter at Rescue Partner’s expense. Because of SNAP CATS interest in protecting the health, safety, and welfare of people and animals, SNAP CATS shall have the right to inspect, without prior notice, any premises maintained by Rescue Partner where any animal obtained from SNAP CATS is kept or maintained. 3) In receiving animals from SNAP CATS, Rescue Partner and its staff and volunteers shall comply with any and all animal-related laws and regulations, including all applicable zoning laws and permit requirements. Violation of the above requirements may result in forfeiture of such animals to SNAP CATS and may result in SNAP CATS’ refusal to provide more animals to Rescue Partner until SNAP CATS is satisfied that the Rescue Partner can properly care for such animals. Rescue Partner shall not transfer the custody or ownership of any animal obtained from SNAP CATS to any individual or organization where the keeping of such animal by such individual or organization will Rescue Partner Agreement 2 violate any animal-related laws or regulations, zoning provisions, or permit requirements. Violation of the above requirement may result in SNAP CATS’ refusal to provide additional animals to Rescue Partner. 4) Rescue Partner shall keep accurate records of each animal obtained from SNAP CATS. Such records shall include information regarding veterinary care and the name, address, and telephone number of the new animal owners. SNAP CATS shall have the right to inspect such records. A copy of any records provided by SNAP CATS to Rescue Partner shall be provided by Rescue Partner to any new animal owner or person, group or organization that takes custody or ownership of the animal from Rescue Partner. 5) If Rescue Partner exits an animal and discovers she is pregnant, Rescue Partner shall notify immediately a responsible party where the animal was received. Rescue Partner shall ensure that any unaltered animal obtained from SNAP CATS, including any pregnant animal, will be surgically sterilized by a licensed veterinarian at Rescue Partner’s expense prior to parturition (birthing), transferring ownership of the animal to any person, or within thirty (30) days from the date the animal is obtained, whichever comes first, unless the animal is under eight (8) weeks of age when obtained. In such case, the altering shall be performed within thirty (30) days from the date the animal reaches eight (8) weeks of age. This requirement shall not apply in any case where a licensed veterinarian provides written certification stating that, due to health considerations, the animal should not be altered, or that, in the professional judgment of the veterinarian, the animal has been previously altered. If Rescue Partner cannot obtain such services for the pregnant animal, she shall be returned immediately to SNAP CATS for such surgery. 6) Rescue Partner shall pay any and all applicable SNAP CATS fees unless waived by SNAP CATS Director. 7) SNAP CATS, its officers, agents, and employees shall not be liable for, and Rescue Partner shall defend, indemnify, and hold SNAP CATS harmless from, any and all claims, demands, liability, judgments, awards, fines, liens, losses, damages, expenses, charges, or costs of any kind or character, including attorneys’ fees and court costs (hereinafter referred to as “Claims”), arising out of, or in any manner either directly or indirectly connected with, any act, error, omission, or negligence of Rescue Partner or its contractors, licensees, agents, volunteers, or employees, including, without limitation, Claims caused by the concurrent negligent act, error, or omission, whether active or passive, of SNAP CATS, its officers, agents, or employees. Rescue Partner shall have no obligation to defend or indemnify SNAP CATS from a Claim if it is determined by a court of competent jurisdiction that such Claim was caused by the sole active negligence or willful misconduct of SNAP CATS, its officers, agents, or employees.
