Code of Conduct for Sahir House Board of Trustees
Introduction
This Code is intended to complement the policies and Codes of Conduct already in place at Sahir
House. Whilst acting as Board of Trustee members, people will be expected to conform to this
Code as trustees, over and above the Codes for service users and/or volunteers.
Organisational Values
As a trustee of Sahir House, I promise to abide by the fundamental values that underpin all the
activity of this organisation. These are:

Accountability
Everything Sahir House does will be able to stand the test of scrutiny by funders, charity
regulators, charity members, volunteers, staff, the media, the public, Parliament and the courts.

Transparency
Sahir House strives to maintain an atmosphere of openness throughout the organisation to
promote confidence of its charity members, volunteers, staff, the public, charity regulators and
Parliament.

Integrity and honesty
These will be the hallmarks of all conduct when dealing with colleagues, charity members,
volunteers and staff within Sahir House and equally when dealing with individuals and institutions
outside it.
Additionally, I agree to the following points:
Law, mission, policies
1. I will not break the law or go against charity regulations in any aspect of my role of trustee.
2. I will support the mission and consider myself its guardian.
3. I will abide by organisational policies.
Conflicts of interest
1. I will always strive to act in the best interests of the organisation.
2. I will declare any conflict of interest, or any circumstance that might be viewed by others as
a conflict of interest, as soon as it arises.
3. I will agree to the decision made by the Board and do as it requires regarding potential
conflicts of interest
Person to person
1. I will not break the law, go against charity regulations or act in disregard of organisational
policies in my relationships with fellow trustees, staff, volunteers, members, service
recipients, contractors or anyone I come into contact with in my role as trustee.
2. I will strive to establish respectful, collegial and courteous relationships with all I come into
contact with in my role as trustee.

Protecting the organisation’s reputation
1. I will not speak as a trustee of this organisation to the media or in a public forum without the
prior knowledge and approval of the CEO, Information and Publicity Coordinator or Chair.
2. When I am speaking or communicating as a trustee of this organisation, my comments will
reflect current organisational policy even when these do not agree with my personal views.
3. When speaking as a private citizen I will strive to uphold the reputation of the organisation
and those who work in it.
4. I will respect organisational, Board and individual confidentiality.
5. I will take an active interest in the organisation’s public image, noting news articles, books,
television programmes and the like about the organisation, about similar organisations or
about important issues for the organisation.
Personal gain
1. I will not personally gain materially or financially from my role as trustee, nor will I permit
others to do so as a result of my actions or negligence.
2. I will document expenses and seek reimbursement according to procedure.
3. I will not accept gifts or hospitality without prior consent of the Chair, CEO and the Board of
Trustees. Any such gifts or hospitality will be noted in separate ‘Receipt of Gifts’ book.
4. I will use organisational resources responsibly, when authorised, in accordance with
procedure.
5. I will not communicate with any service provider or other person as a Sahir House
representative without prior agreement with the Chair, CEO and Vice Chair.
6. I will ensure that all correspondence relating to Sahir House is sent to Sahir House and is
kept there, not stored at my personal address or kept after my term of office
In Board meetings
1. I will strive to embody the principles of leadership in all my actions and live up to the trust
placed in me by Sahir House
2. I will abide by Board governance procedures and practices.
3. I will strive to attend all Board meetings, giving apologies ahead of time to the Chair if
unable to attend.
4. I will study the agenda and other information sent me in good time prior to the meeting and
is prepared to debate and vote on agenda items during the meeting.
5. I will honour the authority of the Chair and respect his or her role as meeting leader.
6. I will engage in debate and voting in meetings according to procedure, maintaining a
respectful attitude toward the opinions of others while making my voice heard.
7. I will accept a majority Board vote on an issue as decisive and final.
8. I will maintain confidentiality about what goes on in the Board room unless authorised by
the Chair or Board to speak of it.
Enhancing governance
1. I will participate in induction, training and development activities for trustees.
2. I will continually seek ways to improve trustee governance practice.
3. I will strive to identify good candidates for trusteeship and appoint new trustees on the basis
of merit.
4. I will support the Chair in his/her efforts to improve his/her leadership skills.
5. I will support the CEO in his/her executive role and, with fellow Board members, seek
development opportunities for him/her.
Leaving the Board
1. I understand that substantial breach of any part of this code may result in my removal from
the board of trustees.

2. Should I resign from the Board I will inform the Chair in advance in writing, stating my
reasons for resigning. Additionally, I will participate in an exit interview with the Chair and
CEO.
Co-opted Members
1. Any co-opted member will abide by this and all relevant Sahir House Codes of Conduct
NB; This Code applies equally to Chair, Vice Chair and Treasurer and all Board of trustees
Appendix 1
Conflict of interest
‘Conflict of interest’ may include:
1. Involvement in other organisations that may be at odds with or in competition with Sahir
House
2. Involvement in decisions over funding to Sahir House or other similar organisations
3. Being party to decisions as a trustee that directly relate solely to personal benefits as a
private individual or as a service-user or volunteer
4. Being party to decisions as a trustee that directly relate to benefiting a partner or family
member
