Reverse Request for Proposal for Renewable Energy Credits (“RFP”)

PacifiCorp is proposing to sell California RPS-eligible Renewable Energy Credits
(“RECs”) and is requesting offers in this RFP.
Interested buyers should provide PacifiCorp with the requested information on the
attached Bid Response Form, Exhibit A, by RFP due date of Tuesday, November 22,
2011 by 9:00 a.m. Pacific Prevailing Time (PPT) by e-mail to:

RFP Description and Definitions
Product:
PacifiCorp is proposing to sell RECs that conform to the definition and attributes
required for compliance with the California Renewables Portfolio Standard Program as
codified at California Public Utilities Code Section 399.11 et seq., and any decisions by
the California Public Utilities Commission (“CPUC”) related thereto.
“REC” has the meaning given to Green Attributes in CPUC Decisions (D.) 08-08-028
and 11-01-025. RECs are measured in one megawatt increments and evidenced by the
transfer of one WREGIS certificate.
Resource Type:
Offer represents sell of unbundled RECs from a pool of existing eligible renewable
resources. Alternatively, prospective buyer may specify certain individual resources.
Existing eligible renewable resources for this RFP are listed in table below, Exhibit B.
All are wind resources and have been certified by the California Energy Commission
(“CEC”) as an RPS-eligible resource. PacifiCorp has obtained LORS Certification for
each of the resources. “LORS Certification” means certification by the CEC of an
electric generation facility not located within the state of California that such facility
meets California’s environmental quality laws, ordinances, regulations, and standards as
set forth in the CEC’s RPS Eligibility Guidebook.

REC Quantity:
PacifiCorp is not setting a maximum number of RECs offered at this time and may in its
discretion limit the maximum number of RECs for which it accepts bids. The minimum
amount of RECs bid by a prospective buyer should not be less than 1,000 RECs in any
single calendar year.
Vintage Period(s):
RECs offered are for any, or all, vintage calendar years 2010 to 2015.
REC Delivery:
RECs will be transferred via the Western Renewable Energy Generation Information
System (“WREGIS”)
Underlying Agreement:
Existing enabling agreement, WSPP Agreement, or PacifiCorp REC Purchase and Sale
Agreement
Contingencies:
These Proposed Terms/Conditions are for discussion purposes only, and not an offer or
commitment of PacifiCorp or any of its affiliates to enter into any transaction. The prices
and terms are subject to change and further review and approval, until execution of a
definitive agreement containing all appropriate provisions, including those related to
dispute resolution, credit, and governing law. Neither party is obligated to enter into a
transaction or definitive agreement with the other party and each party may cease
discussions for any reason at any time. Counterparty shall not disclose the provisions of
this document to any third party.
