This is an agreement wherein __________________________________________ (mare owner), has engaged Black Shadow Trakehners for one service to the Stallion, Prince of Prussia , for the mare, ___________________________________________, Reg. No.________________, for the 2012/13 breeding season. This is an ATA Stallion Auction transaction wherein the stallion fee is paid to the ATAdirectly.
This agreement is subject to the following terms and conditions:
1. A non-refundable Collection/Packaging/Shipping Fee of $425.00 is payable to Judith Dent when this contract is signed and returned, and prior to the shipment of semen.
2. For each additional shipment, if required, there will be a Collection/Packaging/Shipping Fee of $425.00 charged to mare owners who utilize Transported Cooled Semen. The fee must be paid prior to transporting semen.
3. A refundable semen container deposit of $250.00 must be paid prior to transporting semen.
(Disposable containers are available for no cost).
4. Damage to the semen container or contents will be deducted from the container deposit.
5. The cost of shipping the container via Fed Ex (Counter to Counter + Courier Fee) is the responsibility of the mare owner.
6. The semen container must be returned to Black Shadow Trakehners the day after the mare is inseminated. Mare owner will pay all cost for return of semen container back to Breeder. A charge of $40.00 per day will be deducted from the deposit if the semen container is not received by Black Shadow Trakehners within five days from the day the semen was transported.
7. The breeding must be done at a QUALIFIED BREEDING FACILITY or under strict supervision of an APPROVED VETERINARIAN/BREEDING CENTER.
8. The mare owner or representative must notify Black Shadow Trakehners when the mare comes in heat.
9. Black Shadow Trakehners must be notified by 12:00 noon the day before the collection day.
NO SEMEN WILL BE AVAILABLE FOR ORDERS MADE AFTER 5:00 PM THE DAY
BEFORE THE COLLECTION DAY. The breeding season for Transported Cooled Semen begins
February 10th and closes August 1 st
, at which time all shipments will be discontinued.
10. The mare owner understands that Transported Cooled Semen may be in limited supply.

11. Stallion fees paid to the ATA are not refundable and there is no guarantee of a live foal from this mating. Mare owner is entitled to two shipments of semen within the 2012/13 period.
12. Black Shadow Trakehners assumes responsibility ONLY TO DELIVER SEMEN IN
VIABLE CONDITION at the time of delivery. The semen MUST be administered by a licensed
Veterinarian familiar with the concept and practical use of equine semen.
MARE OWNER SHALL PROVIDE BEFORE ACCEPTANCE OF CONTRACT BY
STALLION OWNER:
 A completed Stallion Service Contract
 The $425 fee payable to Judith Dent
 A copy of Mare’s registration papers (if available)
 The name, delivery address, and phone number of the equine Veterinarian that will be responsible for inseminating the mare.
Mare owner understands that it is to his/her advantage to make sure his/her mare receives a uterine culture and/or uterine biopsy AND cytology smear prior to breeding. A uterine culture and/or uterine biopsy AND cytology smear prior to breeding is highly recommended for barren mares or maiden mares over the age of 12 years, or any mare that has a history of breeding problems or was unable to conceive the previous breeding season.
13. Black Shadow Trakehners is not responsible for lost, delayed or damaged semen and makes no representations or warranties of any kind with respect to any semen furnished hereunder except that it is the Stallion's. All warranties of merchantability and fitness for purpose are hereby excluded.
14. There will be only ONE breeding certificate issued with this contract. The breeding certificate is for the mare described in this contract. The Veterinarian is responsible for inseminating ONLY the mare described in this contract, and is responsible for certifying that he/she has determined a 60 DAY PREGNANCY in the appropriate mare.
15. Mare owner shall assume ALL RESPONSIBILITY for the condition of his/her mare and shall bear all risk of loss or damage to the mare whether by death, disease, injury, infection, or otherwise, and by any cause whatsoever, and therefore agrees to hold harmless STALLION
OWNER from any damages associated therewith.
BLACK SHADOW TRAKEHNERS IS SOLELY RESPONSIBLE FOR THE ISSUANCE OF
BREEDING CERTIFICATES OF SAID STALLION.
THIS CONTRACT IS NON TRANSFERABLE AND IS BINDING ON BOTH MARE OWNER AND
STALLION AGENT. THIS CONTRACT IS NULL AND VOID IF NOT COMPLETED IN FULL AND
SIGNED.
This Contract represents the entire agreement between the parties. No other agreements or promises, verbal or implied, are included unless specifically stated in this written Contract. Each party should individually initial additional conditions. When Mare Owner and Breeder sign this
Contract, it will then be binding on both parties, subject to the above terms and conditions.

Should either party breach this contract, the breaching party shall pay for the other's court cost and attorney's fees related to such breach.
