Grant agreement no: 612789 RICHES: Renewal, Innovation and Change: Heritage and European Society Cooperation Agreement A Cooperation Agreement is hereby concluded between: Promoter Srl – Via Boccioni, 2, 56037 Peccioli (PI) ITALY (“Communication Manager”) and <Name>, <Address> (“the Associate Partner”) collectively “the parties”, represented by their authorised representatives . 1 Grant agreement no: 612789 Provided that RICHES is a collaborative project within the framework of the FP7 SSH Programme, funded by the EC, Grant Agreement 612789, and aimed at researching the context of change in which European CH is transmitted and the frameworks to be put in place for benefiting from CH in Europe in the digital age; 2) RICHES will have a life span of thirty months, starting from the 1 st of December 2013 and ending on the 31st of May 2016; 3) The RICHES project is coordinated by Coventry University, represented by Prof. Neil Forbes 4) RICHES networking and communication is managed by Promoter Srl, represented by Dr. Antonella Fresa 5) The RICHES project has the following goals: ● unlocking the societal potential of Europe’s Cultural Heritage; ● unlocking the economic potential of Europe’s Cultural Heritage; ● stimulating innovative interactions with cultural audiences; ● influencing the educational processes by offering innovative learning/teaching resources and opportunities; ● fostering a user-driven technological research pull, in order to meet the real users requirements; 6) These goals will be accomplished through the work of: ● Experts from cultural institutions; ● Experts from public and national administrations; ● Experts from SMEs; ● Experts from the humanities and social sciences; in the framework of the activities covered by the RICHES project, and in consideration of the mutual rights and obligations hereto, the parties have agreed to cooperate as it follows: 2 Grant agreement no: 612789 Article 1 - Subject matter and scope The purpose of this Cooperation Agreement is to enable the Associate Partner to participate in the RICHES project and to contribute to its activities in accordance with the conditions provided for in this agreement. The Associate Partner shall perform its share of the work pursuant to this Cooperation Agreement in compliance with the project goals. The Associate Partner shall cooperate with the Coordinator and with the other members of the RICHES project on the topics defined in the Technical Annex, which is attached to this Cooperation Agreement and forms an integral part of it. Article 2 – Rights and duties The Communication Manager will provide and the Associate Partner will have the right to: ● Be invited to conferences, international workshops and project meetings organised by RICHES1; ● Have access to the RICHES deliverables, technical reports and other materials produced by the project in the frame of the scope of the RICHES initiative; The Associate Partner will have the duty to: ● Report on the activities performed and on the initiatives undertaken; ● Disseminate the RICHES results; Article 3 - Entry into force of the Cooperation Agreement The Cooperation Agreement shall enter into force from the date of its signature. Article 4 - Completion, expiry or termination of the Cooperation Agreement This Cooperation Agreement shall terminate on the date of completion or termination of the RICHES Grant Agreement with the European Commission. In the case that the RICHES project will continue its activities beyond the completion of the Grant Agreement with the European Commission, this Cooperation Agreement can be renewed on the basis of a mutual decision of the parties. 1 Travel and subsistence costs will be sustained autonomously by the Associate Partner, unless otherwise specified in the attached Technical Annex. 3 Grant agreement no: 612789 Each party may terminate this agreement subject to two months’ written notice. Article 5 – No warranties In respect of any information or materials supplied by the RICHES project through the Communication Manager or by any other participant in the RICHES project to the Associate Partner, no warranty or representation of any kind is made, given or implied as to the sufficiency or fitness for purpose nor as to the absence of any infringement of any proprietary rights of third parties. The Associate Partner shall in all cases be entirely and solely liable for the use to which it puts such information and materials. Article 6 – Limitation of liability No party shall be responsible to any other party for any indirect or consequential loss or similar damage such as, but not limited to, loss of profit, loss of revenue or loss of contracts. The liability of each party to the other shall be limited in all events to a maximum sum of €10,000. Article 7 – No partnership Nothing in this Cooperation Agreement shall be deemed to constitute a joint venture, agency, partnership, interest grouping or any other kind of formal business grouping or entity between the parties. Article 8 – Governing Law and Jurisdiction This Cooperation Agreement shall be construed in accordance with and governed by the laws of Belgium excluding its conflict of law provisions. The parties agree to consider mediation in accordance with the WIPO Mediation Rules for settlement of disputes and in the absence of settlement, the courts of Brussels shall have exclusive jurisdiction. Nothing in this Cooperation Agreement shall limit the parties’ right to seek injunctive relief in any applicable competent court of law. 4 Grant agreement no: 612789 Article 9 – Confidentiality 9.1 The Individual and the Organisation each undertake at any time during this agreement, and for a period of five years after termination of this agreement, not to disclose to any person any confidential information concerning the RICHES except as permitted by Article 9.2. 9.2 The Individual and the Organisation may disclose RICHES project confidential information: a) to its employees, officers, representatives or advisers who need to know such information for the purposes of carrying out the obligations under this agreement and, b) as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority. 9.3 The Individual and the Organisation shall not use any other party's confidential information for any purpose other than to perform the obligations under this agreement. 9.4 This Article 9 shall not apply to any confidential information that is subsequently published or otherwise put into the public domain in relation to the RICHES project. 5 Grant agreement no: 612789 For the parties: The Communication Manager NAME OF THE AUTHORISED REPRESENTATIVE: TITLE: Antonella Fresa Director SIGNATURE: DATE: The Associate Partner ORGANISATION: ADDRESS: NAME OF THE AUTHORISED REPRESENTATIVE: TITLE: SIGNATURE: DATE: 6 Grant agreement no: 612789 Technical Annex The Associate Partner shall cooperate with the Coordinator and with the other members of the RICHES project on the following activities: Sharing experience, promote standards and guidelines, seek harmonisation of best practice and policy; Participating in questionnaires, surveys, interviews and co-creation sessions; Acting as a conduit for knowledge transfer from the project to policy makers, programme owners, cultural institutions, SSH research organisations, civil society and private stakeholders; Reviewing and providing feedback on documents produced by the project; Disseminating and promoting the project results, also after the project period is concluded. 7
