Springmill Superstition Frozen Semen Only Sales Agreement: I. PARTIES Sea Grass Farm, LLC, as owner (hereinafter called “Breeder”) of the stallion Springmill Superstition, AMHA # 178924 for the 2015 breeding season, does agree to breed: The mare: Name: _______________________________ AMHA#____________ Sire: _________________________ Dam:_________________ Owned by: Name:_____________________________________________ Address:___________________________________________ City: ________________________State:_________Zip:_____ Phone: _____________________ Fax:__________________ E-mail:____________________________________________ (Hereinafter called “Owner”). Owner does hereby agree to have the mare bred to: Springmill Superstition under the following conditions: II. FEES AND EXPENSES A. The stud fee for such stallion shall be determined by a successful bid at the 2015 Morgan Horse Association of Oregon Stallion Service Auction. This fee provides a minimum of two units of frozen semen per cycle and a maximum of six units covering three breeding cycles. All payments are to be made directly to the Morgan Horse Association of Oregon. All payments are to be made in U.S. dollars. B. All handling fees for the frozen semen will go directly to TNT Equine, 207-957-4000. III. DESCRIPTION A. A unit of frozen semen is defined as a single insemination dose which contains a minimum of 600 million total sperm and upon thawing > 30% post thaw motility. B. Breeder agrees to provide detailed instructions for thawing and inseminating the frozen semen as well as consulting with the veterinarian responsible for insemination, if and only if requested. IV. CONDITIONS OF ACCEPTANCE The Mare owner acknowledges and agrees that: A. The mare is duly registered in the American Morgan Horse Register of the American Morgan Horse Association, Shelburne, Vermont; B. The Mare owner agrees that this contract is only applicable for the listed breeding season, and the following season only as the included guarantee describes; and C. All parties agree that semen shipped under this contract provides for the registration of one foal, if this contract results in the birth of more than one foal an additional stud fee of the same amount will be due within 30 days of foaling. V. HEALTH REQUIREMENTS A. Internal examination and negative uterine culture of the mare, taken by a licensed veterinarian within thirty days prior to first breeding, must be provided to and received by Breeder prior to first shipment of semen. VI. RETURN PRIVELGES/LIVE FOAL GUARANTEE A. The mare must be examined by a licensed veterinarian at or before 50 days after last date bred, and the stallion owner must be notified of mares breeding status after each examination or all guarantees are null and void. B. Should mare abort, absorb the fetus or fail to conceive, return privileges are guaranteed in the current season (Feb 15- August 1). A substitute mare may be used upon approval of Breeder. At the end of the season identified above, Owner shall have the option of rebooking in the following season but contract is only valid for two full breeding seasons. If the mare does not settle within the two breeding seasons this contract becomes null and void and all money is forfeited. C. Should the mare fail to produce a live foal (defined as one that stands and nurses), return privileges are guaranteed for the season following the season identified above. Rebooking in the following season will require an additional shipping fee. Even if the mare fails to produce a live foal, NO MORE than six total units of frozen semen will be shipped to Owner. D. This guarantee does not apply unless the following requirements are met: 1. Breeder is notified by registered or certified mail, return receipt requested, within 48 hours of delivery of the aborting or the foal’s death. 2. A statement by a licensed veterinarian follows within 10 days of setting forth details thereof and certifying that such abortion or death did not result from any act or omission of mare Owner and that all due care had been exercised and that the mare had been afforded all reasonable protection. VII. ASSIGNMENT OF CONTRACT A. Should the Owner assign its rights under this contract to another, the Owner is required to give the Breeder written notice of this assignment. Any assignment of this contract must be agreed to by Breeder and Agent in order for the contract to be honored. Any assignment of the rights given within this contract will not constitute a renewal of the contract. Any and all time limitations stated within this contract will be assumed by the new contract holder. B.) Because frozen semen is used, Breeder will send Owner an official Frozen Semen Certificate, which is required by AMHA to register the resulting foal. Breeder will send this Certificate only after Owner declares that Mare is safely in foal AND all monies due are paid. VIII.
