Nashville Predators Foundation “Chuck a Puck Nights Skills Contest Presented by Nissan” Official Rules (the “Official Rules”) PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. The Nashville Predators Foundation (the “Administrator”) “Chuck A Puck Skills Contest Promotion” (the "Skills Contest Promotion") will be held on Administrator selected Nashville Predators home game days during the 2014-15 NHL Season (the “Game Days”) at Bridgestone Arena (the “Arena”). The entry period for the Skills Contest Promotion will be from the times the doors open on each specific Game Day until the end of the second intermission of the game on each specific Game Day (the "Entry Periods"). Central Time shall control for all purposes of this Skills Contest Promotion. The Skills Contest Promotion is governed by these Official Rules, and is subject to all applicable U.S. federal, state and local laws. Void where prohibited by law. 1. Eligibility: The Chuck a Puck Skills Contest Promotion is open only to legal residents of the United States, void in Florida, New York, and Rhode Island (the “Participant”). If Participant is aiming for the Grand Prize target and Participant is under 18, the Participant must have a parent or guardian with him/her at all times and if he/she should ultimately be deemed a Grand Prize Winner that parent or guardian must accept the Grand Prize on his/her behalf. Current or former full-time and part-time employees, officers and representatives of the Administrator, the Nashville Hockey Club, LP d/b/a the Nashville Predators, the Nashville Predators Foundation, Mid Ice, LLC, Powers Management, LLC, and their respective parent companies, subsidiaries, distributors, affiliates, vendors, advertising and promotion agencies and companies involved in the design, implementation and execution of the Promotion (collectively, the “Promotion Entities”) are not eligible, as well as the immediate family and household members of each such employee/officer/dealer/representative are not eligible to receive the Grand Prize. "Immediate family members" shall mean parents, step-parents, children, stepchildren, siblings, step-siblings or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three months a year, whether related or not. The Skills Contest Promotion is subject to all applicable federal, state and local laws and regulations. Participation in the Promotion constitutes Participant’s full and unconditional agreement to these Official Rules and Promotion Entities’ decisions, which are final and binding in all matters related to the Promotion. Winning the prize is contingent upon fulfilling all requirements set forth herein. 2. How to Enter: During the Entry Periods, Participant will be able to purchase a foam puck (the “puck”) or foam pucks (the “pucks”). One (1) puck will cost Five Dollars ($5) and a group of 5 (five) pucks will cost Twenty Dollars ($20). The pucks will be sold from the time the doors open on each Game Day until the end of the Chuck A Puck Night _ 14 15_v2 October 17, 2014 second intermission on each Game Day. After purchasing one (1) puck, the Participant will be handed a gold card; after purchasing a group of 5 (five) pucks, the Participant will be handed a blue card. Pucks will be available for purchase in the Ticket Sales area on the main concourse by the main doors; the Administrator’s table located on the main concourse; the AT&T Fan Information Center; and the 300 level ticket table (the “Designated Areas”), locations subject to change. The pucks will be sold at each of the Designated Areas. The Participant will be given instructions on how to pick up his/her puck(s). Each Participant must complete an entry form (the “Entry Form”), providing his/her first and last name, phone number, and email address. Participant’s entry into the Promotion will be complete upon purchasing puck(s) and completing the Entry Form. All purchased pucks must be thrown on the specific Game Day in which they were purchased. Multiple purchases per Participant will be accepted. Proceeds will benefit the Monroe Carell, Jr. Children’s Hospital at Vanderbilt via the Administrator. 3. Determination of Winner/Odds of Winning: All qualifying entries will be reviewed on-site at the Arena. The review will be conducted by a member of Administrator’s staff prior to Participant having the opportunity to participate in the Promotion. Each Participant must comply with all terms and conditions of these Official Rules, and all winnings are contingent upon fulfilling all requirements. Contestants will be required to complete and sign a Waiver of Liability and Publicity Release (the “Release”), as well as fulfill any such other requirements as determined by Administrator in order to compete in the skills contest or to claim a prize, unless prohibited by law (collectively, the “Forms”). In the event: (a) of noncompliance with the above or within any of the aforesaid time periods, (b) a Participant is found to be ineligible to enter the Promotion, (c) a Participant cannot or does not comply with the Official Rules, or (d) Participant fails to fulfill the Forms and/or any related obligations, the Participant shall be disqualified from the Promotion. Upon disqualification, no compensation shall be given. The parties’ obligations under any section of the Official Rules shall survive the termination of these Official Rules or disqualification of Participant for any reason. Starting with three (:03) minutes to go in the third period of each specific Game Day until ten (:10) minutes after the conclusion of each specific Game Day, Participant will go to one of the designated pick up locations, which are located on the concourse by the center ice sections of the lower level by Sections 105/106 and 115/116 (the “Designated Pick Up Areas”), location subject to change at Administrator’s sole discretion. At either of the Designated Pick Up Areas, the Participant will present his/her blue or gold card(s) to receive his/her puck(s). Each puck will have a written number on the back of it. The Participant will also be given a card that has the same number(s) of his/her particular puck(s). Any pucks not picked up ten (:10) minutes after the conclusion of each specific Game Day will be disqualified from the Promotion and will not be given a refund. At the conclusion of each game on each specific Game Day, the Participant will enter into a skills contest. The Participant will enter the lower level sections on either side of the Arena. At the designated time, approximately ten (:10) minutes after the conclusion of each game, Participant will toss his/her puck(s) onto the ice area aiming for the target. The Participant will be given one (1) minute to toss his/her Chuck A Puck Night _ 14 15_v2 October 17, 2014 puck(s) toward the target. Any puck(s) tossed after one (1) minute will not be eligible. Administrator has the sole discretion to modify the start time of the Promotion on each specific Game Day and has the sole discretion to determine each winner. The Promotion will take place at Bridgestone Arena at 501 Broadway, Nashville, TN, 37203. The Participants will compete in a skills contest as part of the Promotion to win a trip for two (2) to travel with the team (the “Grand Prize”). To be deemed a “Grand Prize Winner”, a Participant must successfully chuck a puck completely through the Grand Prize Target Opening (the “Target Opening”) located on the top of the target. Pucks that fail to enter completely through the target opening but instead land and stay on top of the target will win a secondary prize solely determined by the Nashville Predators Foundation (a “Secondary Prize Winner”). Any Grand Prize Winner or Secondary Prize Winner (collectively a “Winner”) will be notified at the conclusion of the Promotion on each Game Day. The PA announcer will announce the winning numbers along with the designated corresponding prizes. Each Winner must bring his/her numbered card to redeem his/her prize at the AT&T Fan Information Center. The Winners will be determined in the sole discretion of the Administrator. 4. Prize: GRAND PRIZE. A Grand Prize Winner (“Grand Prize Winner”) will receive the following prizes, with Approximate Retail Value (“ARV”) noted with each: i) Two (2) round trip tickets from Nashville Airport (BNA) to the location of a Nashville Predators Away game during the 2013-14 Regular Season, the specific date of location of which to be determined in Administrator’s sole discretion (ARV: $1,000); ii) Two (2) night hotel stay (one (1) room, double occupancy (ARV: $500)); iii) Two (2) game tickets to a Nashville Predators away game, as determined in Administrator’s sole discretion (ARV: $400). Total Grand Prize ARV of One Thousand Nine Hundred Dollars ($1,900). No responsibility is assumed by Administrator for cancelled, delayed, suspended or rescheduled events. Administrator will not provide any money for any expenses incurred as a result of Winners’ participation in the Promotion or the claiming or use of the Grand Prize, including, but not limited to, transportation, food and beverage, or other incidental expenses incurred by the Grand Prize Winner or Grand Prize Winner’s guests while claiming or using the Grand Prize. Grand Prize is non-transferable and must be utilized by the Grand Prize Winner selected by Administrator. No prize substitutions allowed, except by Administrator in its sole discretion, if advertised prize is unavailable for any reason (in which case Grand Prize Winner will receive alternate prize of equal value). Grand Prize is not redeemable/exchangeable for cash or credit. Any portion of the Grand Prize not accepted by the Grand Prize Winner will be forfeited. Grand Prize Winner will be responsible for any applicable taxes in his/her state of residence and state of pickup (not limited to federal, state, local and/or income) of Grand Prize and may be required to provide his/her Social Security number or tax ID for tax reporting Chuck A Puck Night _ 14 15_v2 October 17, 2014 purposes. Administrator will file where required an IRS Form 1099 with the Internal Revenue Service for the fair market value of the Grand Prize. ADMINISTRATOR RESERVES THE RIGHT TO AMEND THE RULES FOR THE PRIZE UP TO the Entry Period. Winners are responsible for all taxes and fees in his/her state of residence, for all costs and any other expenses related to the acceptance and use of the Prize not specified herein. Winner must go to the Arena to claim the Prize or the Prize may be forfeited. Winner may not substitute, assign or transfer Prize, but the Administrator reserves the right, at their sole discretion, to substitute a prize with one of comparable or greater value. Administrator reserves the right to limit the travel with the team associated with the Grand Prize. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Promotion Entities. 6. Publicity; Use of Personal Information: Except where prohibited or restricted by law, Winner's acceptance of Prize and/or execution of Release constitutes the Winner’s agreement and consent for Promotion Entities to use and/or publish Winner’s full names, city and state of residence, photographs or other likenesses, Entry, pictures, portraits, voice, testimonials, biographical information (in whole or in part), and/or statements made by Winner regarding the Promotion or Administrator, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Administrator, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, or World Wide Web, without further limitation, restriction, compensation, notice, review, or approval. 7. No Tampering; Right to Cancel, Modify: Promotion Entities and their parent, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors shall not have any obligation or responsibility, including any responsibility to award any Prize to Participants, with regard to: (a) Entries that contain inaccurate information or do not comply with or violate the Official Rules; (b) Entries, Prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind; (c) Participants who have committed fraud or deception in entering or participating in the Promotion or claiming the Prize; (d) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties; (e) any inability of the Winner to accept the Prize for any reason; (f) if the Prize cannot be awarded due to delays or interruptions due to Acts of God, natural disasters, terrorism, weather or any other similar event beyond Administrator's reasonable control; or (g) any damages, injuries or losses of any kind caused by Prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of any Prize or resulting from participating in this Promotion or any promotion or Prize related activities. Promotion Entities reserves the right, in their sole discretion, to disqualify any individual it finds to be (a) tampering with the entry process or the operation of the Promotion, or with any Website promoting the Promotion; (b) acting in violation of the Official Rules; or (c) entering or attempting to enter the Promotion multiple times through the use of multiple Entry Forms. If Administrator determines, in its sole discretion, that technical difficulties or unforeseen events compromise the integrity or viability of the Promotion, Administrator reserves the right to void the Entries at issue, and/or terminate the relevant portion of the Promotion, including the entire Promotion, Chuck A Puck Night _ 14 15_v2 October 17, 2014 and/or modify the Promotion and/or conduct a random drawing to award a Prize using all eligible Entries received as of the termination date. The Promotion Entities’ failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 8. Release of Liabilities; Disclaimer of Warranty; Forum Selection Clause: By participating in the Promotion, Participant agrees to release and hold harmless Promotion Entities, the National Hockey League (the “NHL”), the Metropolitan Government of Nashville and Davidson County, the Sports Authority of the Metropolitan Government of Nashville and Davidson County and any promotional partners, each of their parents, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors, (collectively the "Released Parties"), from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including without limitation, property damage, personal injury (including emotional distress), and/or death, which may occur in connection with preparation for, or participation in, the Promotion, or possession, acceptance and/or use or misuse of the Prize or participation in any Promotion-related or Prize-related activity and for any claims or causes of action based on publicity rights, defamation or invasion of privacy and merchandise delivery. The Released Parties assume no responsibility for any injury or damage to Participant’s or to any other person's computer, regardless of how caused, relating to or resulting from entering or downloading materials or software in connection with this Promotion. Participant acknowledges that Promotion Entities have neither made nor are in any manner responsible or liable for any warranty, representations or guarantees, express or implied, in fact or in law, relative to Prize or any component thereof, including, but not limited to, express warranties provided by the supplier of the Prize (or any component thereof) or their affiliates. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Participant or Promotion Entities in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Tennessee, without giving effect to any choice of law or conflict of law rules (whether of the State of Tennessee, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Tennessee. In addition, any dispute relating to the Promotion (including these Official Rules) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in Davidson County, State of Tennessee. Participant hereby irrevocably consents to the personal jurisdiction of said courts and waives any claim of forum non conveniens or lack of personal jurisdiction that they may have. Participant further agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys' fees; and (iii) under no circumstances will Participant be permitted to obtain awards for and Participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. 9.
