Glossary Definitions In these Conditions of Offer the following expressions shall have the following meanings: a. "Organisation" Shall mean The Great Western Hospitals NHS Foundation Trust and any Organisation in partnership with The Great Western Hospitals NHS Foundation Trust. b. “the Client ( Client Organisation )” Shall be the Organisation to whom the services are being delivered to. c. "the Contract Standard" Shall mean such standard as complies in each and every respect with all relevant provisions of the SLA. d. "the SLA" Shall mean this document in its entirety e. "the Services" Shall mean the Occupational Health Services provided by The Great Western Hospitals NHS Foundation Trust. f. “GWHOHS” Shall refer to The Great Western Hospitals NHS Foundation Trust Occupational Health Service. g. “The Great Western Hospitals Occupational Health Service” Refers to The Great Western Hospitals NHS Foundation Trust Occupational Health Service. h. “OHNA” Means Occupational Health Nurse Advisor. i. “GWHOHSN” Means a trained and experienced Occupational Health Specialist Nurse registered on the 3 rd part of the NMC register j. “Dr” Refers to the Occupational Health Consultant, Specialist Registrars or Clinical Assistants k. “COP” Refers to the Consultant Occupational Physician. l. Contract period Shall mean the period during which this contract remains in force m. Frequency Shall be construed as meaning the regularity of the supply of the various services n. Month Shall mean a calendar month o. “The Services” Shall mean the services as detailed as being supplied by The Great Western Hospitals NHS Foundation Trust Occupational Health Service under this contract. p. “Variations” Shall mean a variation in the provisions of the contract 2 q. “Partner Organisation Staff” Shall mean any person who is employed by any Partner organisation of The Great Western Hospitals NHS Foundation Trust Occupational Health Service, or who works in Partner Organisation premises in a contracted capacity on behalf of any Partner organisation. 2. Confidentiality of Offer Information and Documents 2.1. All information supplied by the GWHOHS with or in connection with this invitation to Offer shall be regarded as confidential. 2.2 This SLA and Appendices are and shall remain the property of The Great Western Hospitals Occupational Health Service and must be returned upon demand. Return postage will be refunded if requested. 3. Offers for Selected Services 3.1 This SLA is submitted for the provision of the services as detailed in the Specification discussed with the Client Organisation 3.2 This SLA is for the supply of the whole of the Services upon the Terms and Conditions of the Contract where agreed in any final contract 4. The Offer 4.1 The GWHOHS makes this SLA in accordance with the Service Level Agreement attached to the letter from the Organisation. All elements held within this document have been expanded into and can be read in the Appendices 5. Acceptance 5.1 The GWHOHS accepts that any acceptance of this SLA will be communicated in writing prior to any further negotiation taking place. 5.2 The GWHOHS is not bound to accept any offer of acceptance of this SLA should the political environment within The Client Organisation have changed making this SLA invalid. 6. Forms of Contract 6.1 Once signed this SLA will be subject to a formal agreement 6.2 Until the execution of any formal agreement, the successful Offer together with the GWHOHS’ written acceptance will form a binding agreement between the GWHOHS and The Client. 7. Services Offered 7.1 The services proposed shall be supplied solely in accordance with the conditions laid out in Appendix 1. Any other contractual terms which in any way add to, vary or contradict this SLA shall be excluded and shall not form part of the contract (whether or not such other contractual terms post-date these conditions) unless the GWHOHS has specifically agreed in writing to be bound by any of such other contractual terms. 7.2 No later version shall be binding unless it has been agreed in writing and signed by an authorised representative of the GWHOHS. 3 7.3 The GWHOHS shall carry out the services to the satisfaction of the Client, in accordance with the service specification within this SLA. 8. Commencement of Contract 8.1 The GWHOHS will extend the existing SLA to run as a seamless continuance from 1 st April DATE until formally reviewed after 31st March DATE. The contract covers a 52 week service provision based upon the opening times of the service and excludes all bank holidays when the service is not open. 8.2 The GWHOHS will endeavour to employ sufficient staff to ensure that the services are provided at all times and in all respects in accordance with the service specification. 8.3 The GWHOHS will employ for the purposes of this contract only such persons as are careful, skilled and experienced in the duties required of them and will ensure that every such person is properly and sufficiently trained and instructed and carries out the services with regard to: the task that person has to perform all relevant provisions of the contract all relevant rules, policies, procedures and standards of the Organisation fire risks and fire precautions the need for those working in the National Health Service to observe the highest standards of hygiene, courtesy and consideration the requirements of the Health and Safety at Work Act 1974 and other relevant legislation and codes of practice. 9. Termination of Contract 9.1 Except in the event of a breach of contract, this contract, In addition to its rights under any other provision of the contract the Organisation may terminate the contract at any time by giving the contractor Twelve Months’ written notice. Upon the expiration of the notice the contract shall terminate without prejudice to the rights of the parties accrued to the date of termination. 9.2 Without prejudice to any other right or remedy, if GWHOHS does not provide the services in accordance with the specification or at the times specified in the contract Client may: require the GWHOHS to remedy the default within such time as the Client may specify by providing or providing again (as the case may be) without further charge to the Client such part of the services to the service specification without terminating the whole of the contract terminate the contract in respect of part of the services only and thereafter provide or procure the provision of such part of the services itself itself provide or procure the provision of the services until it is satisfied that the GWHOHS is able to carry out the services in accordance with these conditions offer to undergo mediation with relevant independent parties to formulate a way forward or where differences are not reconcilable terminate the contract with the appropriate agreed notice period of twelve months. breach of contract by either party can result in termination where the above fails, with the appropriate twelve months notice to be given. 9.3 Subject to the continuing agreement of GWHOHS with Client this contract will be renewed at the end of the contract period or, on an annual basis. 9.4 On termination of this SLA a charge of £10 each set of patient notes presented to the Clients new supplier, plus carriage, or, if agreed with the Client an annual storage charge. These charges to be invoiced separately. 4 10. Additional Costs Outside of the Contract Remit 10.1 Where additional services are required or requested by either party separate agreement needs to be made for authorisation to proceed and for payment of the costs incurred. 10.2 All additional costs where agreed will be paid by separate invoice to the monthly contractual invoice. E.g. Physiotherapy/counselling costs have not been included within the contract and authorisation is required from Client prior to any referral where cost is to be incurred. This will be requested within the boundaries of confidentiality. 10.3 Initial invoices from other service providers will be paid by the GWHOHS and passed to Client inclusive of any administrative charge that has been incurred in relation to time, typing, photocopying etc. 10.4 Travel where incurred, will be charged at (currently) £0.59p per mile plus the current hourly rate and will be included in any separate monthly invoice. 11. Finance (Detailed costs in Appendices) 11.1 The contract price for the services shall be payable, monthly in advance. An invoice will be generated and sent directly to Client. Additional costs, where agreed will be invoiced separately. 11.2 Invoices shall show the period and the amount of the services for which payment is claimed together with the agreed charging rates and any other details the GWHOHS may determine as being part of the service specification. 11.3 The Client shall pay the contract price to the GWHOHS, by BACS (Bank Account Clearing System), within 30 days of the receipt of the services or a valid invoice, whichever is later. 12. Indemnity 12.1 Neither Party shall be liable to the other Party for any loss or damage, costs or expenses incurred or suffered by the other Party as a result of any breach of the terms of the Contract, unless the same were in the reasonable contemplation of the Parties at the time when they entered into the Contract 12.2 The Contract Price of the Services under the Contract will be negotiated and agreed on the basis that the Parties may limit their liability to each other as set out in the Contract and the Parties each confirm that they will themselves bear or insure against any loss for which the other Party has limited its liability under the Contract. 13. Insurance The Trust, The Great Western Hospitals NHS Foundation Trust, warrants that it is a member of the NHS Litigation Authority’s indemnity insurance scheme for Trusts (“NHSLA”) and that it will maintain its membership of the scheme throughout the duration of this Agreement. 5 14. Racial and Sexual Discrimination The GWHOHS or any of its staff shall not unlawfully discriminate within the meaning of the Sex Discrimination Act 1975 or the Race Relations Act 1976 or any enactment relating to discrimination in employment and shall take all reasonable steps to secure the observance of this condition by all its staff or agents employed in the performance of the contract. 15. Variation of Services 15.1 The Client may at any time vary or add to the service specification in accordance with this condition and no such variation or addition, where agreed or not agreed shall affect the continuation of the existing contract. 15.2 The Client shall give the GWHOHS three month’s written notice of any variation or addition. The notice shall give details of the variation or addition and the date on which it is to take effect. 16. Transfer of Duties or Subcontracting of Work Neither party shall assign the whole or any part of the contract. The GWHOHS shall not sub contract the supply of any services without the previous consent in writing of the Client, such consent not to be unreasonably withheld, unless this appertains to the use of appropriately qualified Agency or Bank staff to ensure continuity of service. The GWHOHS will keep Client fully informed of such arrangements but does not require authorisation to action such staff. 17. Confidentiality 17.1 The GWHOHS and its staff will not disclose to any person (other than a person authorised by the Client) any information acquired by them in connection with the contract. There is an expectation that this level of confidentiality would be reciprocated by Client. 17.2 The GWHOHS and its staff will not disclose to any person (other than a person authorised by the Client) any information acquired by them in connection with the provision of the services which concerns: the Client, its staff or its procedures the identity of any patient at any of the Client’s premises or GWHOHS practices the medical condition of or the treatment received by any patient. 17.3 At no time will the GWHOHS provide confidential information to any employee or other persons, relating to employees of The Client without the express informed consent of the individual concerned except where that person is considered to be a harm to themselves or others. This decision lies with the GWHOHS and not with the Client. 17.4 The GWHOHS will protect personal data in accordance with the provisions and principles of the Data Protection Act 1984 and the Data Protection Act 1998 and in particular the GWHOHS will ensure compliance with the Client’s security arrangements and ensure the reliability of its staff that have access to any personal data held by the Client. In addition, if the contractor is required to access or process personal data held by the Client, the GWHOHS will keep all such personal data secure at all times and shall only process such data in accordance with instructions received from the Client. 6 17.5 The GWHOHS as a part of The Great Western Hospitals NHS Foundation Trust shall indemnify the Customer and the Secretary of State for Health against all claims and proceedings and all liability, loss, costs and expenses incurred in connection therewith made or brought by any person in respect of any loss, damage or distress caused to that person as a result of the OHS’ unauthorised and/or unlawful processing or the contractor’s destruction and/or damage to any personal data held by the contractor, its employees or agents. 18. Law The parties shall accept the non-exclusive jurisdiction of the English courts and agree that the contract is to be governed and construed according to English law. 19. Third party rights Except as otherwise provided in this contract, this potential contract is intended and agreed to be solely for the benefit of the GWHOHS and the Client and no third party shall acquire any benefit, claim or rights of any kind whatsoever pursuant to, under, by or through this contract, unless agreed. 7 Appendix 1 – Service Specification The service specification is as agreed by the Client. 1. Introduction The Occupational Health Service will work in partnership with the Client in providing accessible expertise to ensure a safe, healthy working environment that benefits staff. The Client and the Occupational Health Service provider (GWHOHS) will aim to promote and maintain the highest possible level of physical, mental and social well-being of all employees, through the identification and management of risks to health and compliance to health & safety legislation where it appertains to the remit of the GWHOHS. 2. Service availability 2.1 The service will be available Monday – Friday, 8.30am – 4.30pm Excluding recognised public holidays (unless previously mutually agreed). Additionally, some services may require to be available at times to suit Client’s hours of work subject to prior consultation and agreement with GWHOHS. 2.2 GWHOHS will provide these services from any of its premises where the OH service has a department. If carried out at the Client’s premises then travel costs will be incurred as outlined in 1.10.4. 3. Employment Health Screening 3.1 GWHOHS must provide an employment health screening service to the Client for all prospective employees. 3.2 GWHOHS will provide Client with an opinion on a person’s fitness to undertake the duties of a post. 3.3 Employment screening will be carried out using: The scrutiny of a Health Questionnaire and where appropriate A health assessment by an Occupational Health Nurse and / or a medical assessment by an Occupational Health Clinician. 3.3.1 Health Questionnaire Applicants who are identified by the Health Questionnaire as having health problems or disabilities must only be referred for medical assessment if such health problems or disabilities will have a direct bearing on a job applied for or may result in the applicant being exposed to risks. 3.3.2 Health Assessment Employment health assessments may be required for persons falling into certain categories of employment: The health assessment will relate to the duties of the post as detailed in the employee specifications and job description and including annual health assessment for “at risk groups”. 3.3.3 Medical Assessments A medical assessment is required for applicants who are referred by an Occupational health clinician after a health assessment has been conducted. 8 3.3.4 Response Times In respect of employment screening the following response times are required to provide an opinion on a person’s fitness/health to undertake the duties of the post. The decision must be provided to the Head of Department/Human Resources (as directed) within the specified times and confirmed in writing as soon as practically possible, by whatever form is decided by GWHOHS with the prior arrangement with Client’s Authorised Officer. Scrutiny of Health Questionnaire Two working days from date the adequately completed form is received in Occupational Health. Health Assessment Six working days from date scrutinised In Occupational Health. Medical Assessment As soon as possible or at a maximum of six working days from date received in Occupational Health. If further information is required from GP’s or Consultants, notification of possible delay must be given to the Client within the normal response time 4. Immunisation/Vaccinations 4.1 All new staff should have their immunisation history checked and recorded in the GWHOHS database and be offered testing where appropriate. Vaccinations should then be offered in accordance with National Guidelines. 4.2 Immunisation status of these prospective employees will then be provided to the line manager with the employee’s consent. When additional vaccinations are required the manager will be advised that a vaccination appointment is required as a part of the induction. 4.3 Staff group (including non-NHS staff) identified by Client as requiring specific vocational immunisation will have this service provided on entry to the organisation. 4.4 In addition other staff may be identified who in the course of their duties will require protection. These staff will also be offered the appropriate vaccinations following agreement and variation in price. 4.5 Cost of the vaccines, blood tests and related costs will be additional to the contract price. 5. Referrals 5.1 Management Referrals Staff can be referred to the Occupational Health Service to provide Client’s Management with a specific opinion of the person’s fitness to undertake the duties of the post. The line Manager will reserve the right to make the final decision on whether a person will undertake duties. 5.2 Self-Referrals Staff may refer themselves where they are concerned that their work is affecting their health or health affecting their ability to work. The Occupational Health Service will respond to these requests. 5.3 Other Referrals Staff may also be referred by staff organisations/Unions or by their own General Practitioner. 9 5.4 In cases where the perception of the employee and the Management are likely to differ, consideration should be given to arranging a case conference. This could include the Manager, Human Resources, Occupational Health Clinician, other staff support services, the employee and staff representative as appropriate. 5.5 Response Times Appointments should be made on receipt of request. The response time required is as for medical assessments (see Para. 18). 5.6 Missed appointments Appointments may be cancelled by giving 24 hours notice of inability to attend. In such cases, an alternative date and time will be given. Any appointments not cancelled before the 24 hr period of notice will be charged at the full rate to compensate for not being able to fill the time slot. 5.7 Where an employee fails to keep an appointment without giving 24 hours notice, the Department Manager will be notified in writing of the failure to attend. The Department Manager will then advise GWHOHS as to whether a further appointment is required. 6. Consultancy and Advisory Service 6.1 GWHOHS will provide an advisory service to cover the full range of Occupational Health issues as they affect an individual employee or groups of employees in their workplace environment. 6.2 GWHOHS will provide advice in relation to the Minimum Data Set required by the NHS Executive on: Sickness Absence Early Ill Health Retirement Occupational disease – RIDDOR Health Surveillance Needlestick and sharps injuries 7. Counselling/Physiotherapy Referral 7.1 GWHOHS can if required provide a confidential counselling service within the Contract to Client’s staff, which may be by self-referral only as this ensures motivation and decision by the client to seek support. Where they request it of their manager or ask for help in making a self referral the manager will provide the necessary access information for the client to make that first step themselves. The GWHOHS will undertake onward referral to alternate provider care where necessary and will seek financial authorisation where needed. 7.2 Physiotherapy (where authorised) Physio Drop-in Functional assessment 8. Attendance at Working Parties/Case Conferences/Committee or Other Meetings Attendance of an Occupational Health representative may be required to provide specialist medical/clinical advice at various meetings as requested by Client. 10 9. Records/Administration/Correspondence GWHOHS must provide confidential storage and retrieval systems for medical/clinical records pertaining to Client’s current and former employees. The regulations in Data Protection Act (1998) must be complied with. 10. Workplace Assessment/Inspection/Visits 10.1 The requirement for assessments/workplace inspections is recognised as an essential element and will be delivered in accordance with protocols agreed with The Client. There will be an agreed programme of visits. Additionally, ad hoc visits may be requested. Each visit will generate a report. 10.2 GWHOHS will collaborate with other Risk Management Services, as required by The Client, in the provision of a comprehensive workplace inspection and reporting service. 11. Accident/Ill Health Inspection It will be The Client’s responsibility to communicate workplace accident information to GWHOHS. As a consequence of this (and Para 9) GWHOHS will also be asked to highlight areas of health risk concern and to make recommendations, as required. 12. Health Surveillance 12.1 Control of Substances Hazardous to Health regulation (1994) Statutory Health Surveillance – Regulation 11 GWHOHS will provide a health surveillance programme for employees exposed to such substances as required under the regulations. 12.2 On-going Health Surveillance GWHOHS will provide on-going health surveillance to comply with GWHOHS risk Management Standards for all at risk group, to include drivers, maintenance staff, catering staff, employees identified under the Disability Discrimination Act and employees at risk from Latex allergy. 13. Display Screen Equipment Regulations (1992, revised 2002) Vision Screening Test GWHOHS is able to provide Keystone eye tests, however these “vision-screening tests” are not designed to screen for eye defects, such as injury and disease and hence do not satisfy the Health & Safety (Display Screen Equipment – DSE) Regulations (1992), as amended by the Health & Safety (Miscellaneous Amendments Regulations 2002). Employers must provide “an appropriate eye and eyesight test”, which means a “sight test” as defined in the Opticians Act (1989) legislation and includes a test of vision and an examination of the eye. 11 14. WELLBEING GWHOHS will work with the Client in the development and Implementation of relevant health promotion policies and programmes. 15. out of hours Advisory Service for Contamination of Blood or Body Fluids, including Needlestick Injuries GWHOHS will provide the relevant information for accessing support for sharps injuries when the GWHOHS is not open. Access to Emergency Departments is the routine pathway for care at these times. Follow up is necessary by the GWHOHS, This is to be done using the “Sharps Hotline” Tel 01793 604472. 16. Purchaser The Client will nominate an officer as representative to liaise with GWHOHS. 17. Monitoring and Review 17.1 The Client shall agree the detailed arrangements for monitoring with GWHOHS, the main purpose of which will be to report on significant changes in activity levels and missed appointments which may lead to a price variation. 17.2 In addition, the Contract will be monitored through meetings, organised jointly. This will be at agreed intervals throughout the year. 17.3 The examination of the terms of the Contract could form part of the 3 monthly monitoring process but should be reviewed annually, according to standards and outcomes determined by the Client. 12 18. Quality Framework Services will be delivered in accordance with the NHS Occupational Health Standards as laid down in The Effective Management of Occupational Health and Safety Standards in the NHS, NHS Employers Guidance Document May 07. Note some timescales will be met wherever possible, delays may; on occasion be inevitable due to unforeseen circumstances. Service Standard Monitoring Requirements Employment Standard 1 Employment questionnaire to be dealt with within 2 working days of receipt. Date of receipt of questionnaire and issue of fitness to work advice to be logged and available on clinical records Employment Standard 2 If required: Manager notification within 2 working days of the need for potential new employee to attend for health assessment First appointment offered for health assessment to be within 7 working days. Health questionnaire received is logged as is date of notification to manager, date of appointment and confirmation that appointment was attended. In Service Referral Standard 1 Following receipt of a referral form the manager, or self referral, the first appointment will be offered within 6 working days for an Occupational Health Nurse or Occupational Health Physician Date of referral and appointment or contact to be recorded in staff OH notes. In-service referrals Standard 2 Reports resulting from appointments with Occupational Health professionals will be sent to the managers within 2 working days of the appointment. Date of appointment and date letter sent to be recorded in staff OH notes 13 Service Standard Monitoring Requirements Ill-Health Retirement The full protocol set out in Managing Ill Health Retirement in the NHS will form the basis for making the decision to recommend ill health retirement. The Client’s specific requirements will be adhered to All actions taken and discussions held regarding the recommendation can be verified by referral to records. Access to Counselling Services Following referral by the client or their manager, a triage appointment will be offered within 48 hours. Immediate access to support can be provided by telephone. Date of referral and appointment to be recorded by the Counselling Service and available, anonymised for audit. Immunisation All staff will be offered immunisation as appropriate for their occupation or work activities. There will be an agreed immunisation policy setting out the requirements for staff groups Date of referral and appointment to be recorded in staff clinical records. Written immunisation policy available for inspection. There should be a minimum of one recall after failure to attend for all immunisations, which should be auditable. Health Surveillance All employees who require health surveillance to meet health and safety legislation will receive surveillance appropriate to their work or exposure. Surveillance to be audited via system showing the date completed, results, previous test and follow up and when information was passed to manager. Referrals to other agencies On the recommendation of the Occupational Health Service staff may be referred to other agencies. i.e. Medical consultation in conjunction with the client’s GP Date of referral and appointment to recorded in staff OH notes. Referral to Physiotherapy Occupational Health Service staff may refer clients for physiotherapy. Self referral into Physio Drop-in will be available. Thereafter appointments for Physiotherapy will be offered within 10 working days Date of referral and appointment to be recorded in staff OH notes Work based assessments Work-based assessments will be carried out within 21 days of request from the manager. Records to be kept in the Occupational Health Department showing the date completed, results, follow up and when information was passed to line manager. 14 “Did Not Attend” (DNA) – All DNAs or cancellations, made with less than 24 hours notice, will be charged at the full rate for the lost session. The schedule outlined in the quality framework is a guideline and the specifics of The Client needs will be discussed at commencement of contract and an addendum written where it is felt changes need to be made to the framework to ensure it will function within the organisation. 19 - Pricing GWHOHS WILL UNDERTAKE ALL OF THE OH SERVICES OUTLINED IN APPENDIX 2, WITH THE EXCEPTION OF COUNSELLING AND PHYSIOTHERAPY SERVICE, UNDER AN INCLUSIVE CORE CHARGE (UNLESS OTHERWISE INDICATED). THIS CHARGE WILL BE CALCULATED ON THE BASIS OF A COST PER EMPLOYEE. THIS ANNUAL FUNDING CHARGE IS £56.05, PER EMPLOYEE, FOR THE YEAR 2010/11, BASED ON THE TRUST HEADCOUNT AT THE END OF THE PREVIOUS FINANCIAL YEAR.
