Associate Agreement
THIS AGREEMENT made on this _________day of _______________________,BETWEEN M/ s
R.K.SOLUTIONS PRIVATE LIMITED (hereinafter referred to as the ‘Company’) having its
Registered Office at 906,Vikram Tower,16 Rajendra Place, New Delhi 110008.,of the one part
And

Hereinafter called the ‘Associate’s) of the other part.
The ‘Company’, after having considered the proposal of the ‘Associate’, has agreed to appoint
him/ her as its ‘Associate’, on the terms and conditions as under:
1. This agreement shall come into force from the effective date of this agreement.
2. That the company hereby appoints its Associate for the sale of Digital Signature
Certificates and the Associate herby agrees to act as such selling agent on the terms &
conditions mentioned herein.
3. That the Associate shall enroll and issue the Digital Signature Certificates after duly
verification and validation of the application forms and supporting documents from its
customers.
4. That the Associate agrees, that he shall send all the Application Forms on fortnightly
basis, failing to which ‘’company’’ can take below action(s) against ‘’Associates’’:-
 Terminate the relationship and/or
 Suspend/Revoke the DSC and/or
 Stop the approval of Digital Signature and/or
 Forfeit the money and/or
 Also can take legal action without prior notice and/or
 Any other necessary action, if required.
The liability of such consequences will be of the ‘’Associate’’ only & the ‘’Company’’
would not be Held liable in such case.
5. That the Associate shall be responsible for all the acts and omissions on part of it and
also of its employees or agents. And shall hold company indemnified and harmless
against any loss, cost damages etc. suffered by them on account of any act or omission
on its or its employees or agents.
6. That after your appointment as an associate, Prices of Digital Signature Certificates shall
be decided on time to time basis and are subject to change as and when there is any
change in prices by the Certifying Authorities or by the virtue on any law, taxes or duties
etc., and Associate must make the payment in advance. The Associate shall agrees to
pay interest free refundable Security Deposit of Rs. 5000/-
7. That the Associate shall canvas for, and push the sale of the Digital Signature Certificates
to best of his ability and experience.
8. The Associates will give technical and after sale service and Information to the
customers regarding the digital Signature Certificates issued.
9. That no representation shall be made on behalf of the company except as in conformity
with the instructions issued from time to time by the Company. All business done or
procured by the Associate shall be in accordance with the terms & conditions
mentioned, subject to modification or, circulars or directions issued by the Company
from time to time.
10. That the Associate also agrees that he has read & understand & shall comply with all the
terms & conditions as set forth by in this agreement.
11. That the Associate shall take due care of the papers, files documents materials, etc.,
which may be handled by you in connection with your work. He also agrees that he
possess enough understanding & knowledge for the issuance of the Digital Signature
Certificates.
12. This agreement shall be valid till specific termination by either of the Party and subject
to change in terms and conditions as modified, circulated or directed by the Company
from time to time and such changes shall take effect by a supplementary agreement in
addition to this agreement.
13. That this agreement may be terminated by either party, by giving a thirty(30) days prior
written notice to the other party, without assigning any reason, at any time.
14. That the Company reserves the rights to terminate this Agreement if it has reasonable
cause to believe that Associate is not discharging its obligations covered under this
Agreement. In such case the Company shall terminate the agreement with the Associate
without the prior notice.
15. If this agreement is terminated for any reason, the Associate shall cooperate with
Company
 Shall submit all the applications and requests received from customers till the date
of such termination along with all the mandatory requirements, & will not return
any Application With himself.
 Shall pay to Company all the dues and outstanding Amounts (if any).
 Shall not advertise or represent himself/itself as associate of Company.
 Failing to which ‘’company’’ can take any action(s) against the Associate.
16. The rights and benefits under this agreement will not be assignable by Associate hereto
without the consent of the Company.
17. That the company and Associate are independent contracting entities. Associate and its
employees,consultants,contractors,agents and the customers are not the agents,
employees, partners or joint ventures of Company and any of them have no authority to
bind company, in any manner whatsoever, by contract or otherwise.
18. In the event of any new taxes or levies becoming applicable then the same shall be
borne by the Associate. If the transaction covered by this offer is eligible to any
applicable taxes including but not limited to Sales tax,Sevice Tax,VAT,excise duty or any
other levy shall be paid extra by payments of such tax/levy including interest and/or
any other sum.
19. That if any dispute arises between the Associate hereto in respect of this agreement or
in connection with any claim by one against the other the same will be subject to Delhi
Jurisdiction only
IN WITNESS THEROF, The parties have signed and executed this agreement on the date last set
forth below by its duly authorized officers.
