Registration Terms
Waste Directory is a web-native business directory service that allows businesses to aggregate social
media and other content however they choose in order to provide our users with a greater idea of
the goods and/or services they provide than is currently available through conventional established
business directories. We’ll refer to this in these Terms and Conditions as “the Service” or else as
“Waste Directory”, and we’ll refer to these Terms and Conditions simply as “the Terms”.
Waste Directory is delivered by Waste Aware North East Ltd, a company Ltd by Guarantee. When
we use words like “we”, “us” and “our” in these terms, it’s Waste Aware North East (WANE) that
we’re referring to. When we use words like “you” and “your”, we are referring to you, our (soon-tobe) registered user.
You don’t need to register with us to make use of the Service. You can search for businesses
anonymously, those businesses being our “Clients”. However, we hope that our users will become
part of the richer experience that Waste Directory offers by adding ratings, comments and feedback
and if you want to do that, you do need to register.
Your Registration
To register with us, you’ll fill out a simple form on the website but for the registration to be
effective, you must also check the box that refers to these Terms. If you don’t, you won’t be able to
register. If you do and you complete the form and submit it to us, you’ll be forming a contract with
us based on these terms, so it would be a really good idea for you to give them a proper read
through as all use you make of the site following your registration will be subject to these Terms.
You might also want to keep a copy of the Terms handy for future reference, though you will always
be able to find them on the Waste Directory website. It is sometimes necessary for us to amend the
Terms. If we do so, we may alert you to this by email or SMS or other electronic communication, or
we may put a notice on the website. We will highlight the changes we’ve made just so everyone is
clear about what we’re doing.
When you register with us, you will provide us with certain information about yourself. We will deal
with this information in accordance with our Privacy Policy, which, in registering, you accept.
Naturally, if you want to use Waste Directory effectively, you’ll need to keep your contact
information up to date, so if you do change your email address or ‘phone number, please let us
know by updating your profile. You confirm that the information you supply in relation to your
registration is accurate.
You
You are at least 18 years of age and are legally capable of entering into binding contracts. You will
use Waste Directory only for its intended purposes and not for any purpose, especially the
distribution of unsolicited commercial communications (spam), whether in the form of email, instant
messages, comments you post or any other form. Spam is a general nuisance and if you use Waste
Directory to distribute it, you’ll damage our reputation.
Where you are provided with an opportunity to express comments in a free text format (by which
we mean, where we give you a box in which to express your response in your own words), you
confirm that you will not use such an opportunity to communicate any material that is offensive,
obscene, abusive, libellous, false, misleading, illegal, immoral, that infringes the intellectual property
rights of others or is otherwise unlawful. If you breach this promise you are making to us, whether
deliberately or accidentally, you agree to indemnify us on demand and to hold us harmless from all
actions, claims and proceedings made or taken against us from time to time and for all loss or
damage and all payments, costs or expenses (including legal costs) made or incurred by us as a
result. “Indemnify” and “hold us harmless” means in essence that if we have to pay out anything as
a result of the breach of any of the promises you make in registering with us, you will have to
compensate us immediately.
In using Waste Directory, it is your responsibility to make sure that you observe and comply with all
applicable regulations and legislation, including obtaining all necessary customs, import or other
permits to download content from the website or from the business for whom we deliver the
Service, whether from our website or the website of any third party. The transmission of certain
content may be prohibited by law where you are. We make no representation and accept no
liability in respect of the breach of any such laws resulting from your use of our website and the
Service.
If you become aware that anybody is using Waste Directory in breach of these Terms, please inform
us immediately so we can take appropriate action.
You hereby grant to us a world-wide non-exclusive royalty-free licence to store, use, perform,
reproduce, modify, distribute or sub-licence any information that you communicate using Waste
Directory. You acknowledge that this information is accessible to and may be accessed and used by
our Clients and other parties and that we are entitled to all revenue earned from licensing that
information to third parties.
Your registration on these Terms gives rise to a contract between you and us that is binding on you
and us and on our respective successors and assigns. You may not transfer, assign, charge or
otherwise dispose of the Contract, or any of your rights or obligations arising under it, without our
prior written consent
You can terminate your registration at any time. Just follow the directions on our website. When
you terminate, we will delete your profile immediately.
Us
You are a consumer and as such, nothing in these Terms is intended to limit or exclude any rights
you may have as a consumer under any applicable local laws or regulations. Likewise, we do not
seek to exclude or limit any liability to you for fraud or for death or personal injury resulting from
our negligence. However, other for these exceptions, we will not be liable to you for any indirect or
consequential loss, damage or expense (including loss of profits, data, business or goodwill) that you
may suffer as a result of using Waste Directory , however that loss damage or expense might arise.
We will not be liable or responsible for any failure to perform, or delay in the performance of, any of
our obligations under these Terms that is caused by events outside our reasonable control, such as
the failure of an internet service provider to deliver an email or any other public or private
telecommunications network failure.
We may review the data being transmitted by you or any of our other users to our Clients but we are
not obliged, nor will we assume the responsibility, to do so. However, we may, at our sole and
absolute discretion, remove any information posted by you or any other user that contravenes these
Terms at any time without notice. Likewise, if you contravene these Terms we may, if we choose,
suspect or limit your access to Waste Directory.
Occasionally, it may be necessary for us to provide you with information relating to your use of the
Service. When this happens, the law sometimes requires that this information is provided to you in
writing. You accept that, given the nature of Waste Directory, your communications with us will be
electronic in nature. We may contact you by SMS text message, email or similar methods of
communication or we may provide you with information by posting notices on our website. For
contractual purposes, you agree to these electronic means of communication and you acknowledge
that all contracts, notices, information and other communications that we provide to you
electronically comply with any legal requirement that such communications be in writing.
It may become necessary for you to communicate with us for contractual reasons. These
communications we call “Notices”. Should this unlikely eventuality arise, all Notices must be sent to
us by email at info@wastedirectoryne.co.uk. Of course, there may be situations when email is
unsuitable. In such cases (and only in such cases) you may forward your Notice to us by post at our
current address or registered office, whatever they are at the time, as listed on our website. When
we give Notice to you we may do so by SMS, email or any similar form of electronic communication
or by post at the addresses you provide to us when registering with us or by posting on our website.
Notices will be deemed received and properly served immediately when posted on our website,
24 hours after an email or SMS text message is sent, or three days after the date of posting of any
letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that
such letter was properly addressed, stamped and placed in the post and, in the case of an email, that
such email was sent to the specified email address of the addressee, and in the case of an SMS text
message, that such SMS text message was sent to the specified mobile telephone number of the
addressee.
We may transfer, assign, charge, sub-contract or otherwise transfer our contract with you, or any of
our rights or obligations arising under it, at any time during the lifetime of this contract.
If we do not insist on your compliance with any of the obligations under these Terms or if we do not
exercise any of our rights or remedies that we are entitled to under these Terms, this doesn’t mean
that we are waiving these things, nor shall it mean that you are relieved from complying with your
obligations under the Terms.
This Contract
The next few paragraphs are quite technical in their wording. We’re sorry about this. Our lawyers
call them “boilerplates” and they say that the wording has to be technical to ensure they apply
precisely as they are intended.
If any of these Terms are determined by any competent authority to be invalid, unlawful or
unenforceable to any extent, such term, condition or provision will to that extent be severed from
the remaining terms, conditions and provisions which will continue to be valid to the fullest extent
permitted by law.
These Terms and any document expressly referred to in them represent the entire agreement
between us in relation to the subject matter of the contract between you and us and they supersede
any prior agreement, understanding or arrangement between us, whether oral or in writing.
You acknowledge that, in registering with us, you have not relied on any representation, undertaking
or promise given by us or be implied from anything said or written in negotiations by us prior to your
registration except as expressly stated in these Terms.
You shall have no remedy in respect of any untrue statement made by us, whether orally or in
writing, prior to the date of your registration (unless such untrue statement was made fraudulently)
and your only remedy shall be for breach of contract as provided in these Terms.
A person who is not a party to the Contract has no rights under the Contracts (Rights of Third
Parties) Act 1999 to enforce any term of the Contract, but this does not affect any right or remedy of
a third party which exists or is available apart from that Act.
These Terms and your registration give rise to a binding contract between you and us that will be
governed by English law. Any dispute arising from, or related to your use of the Site and the Services
shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.
