Thank you for your interest in conducting business with Plant Products. To help us complete your business
credit application in a timely manner we ask that you please provide the attached completed, and signed credit
application form.

fax at (519) 326-5861. You are assured that any financial or sensitive information received will be held in the
strictest confidence and be used only by our Accounts Receivable department for credit evaluation purposes.
If approved, the applicant may purchase goods and services from Plant Products up to the credit limit
established by Plant Products for the applicant, as the same may be amended from time to time by Plant
Products in its sole and absolute discretion. Unless otherwise specified in any contract or order for the purchase
of goods or services, terms of sale are Net 30 days and overdue accounts will be subject to interest at the rate of
1.5% per month (18% per annum).

Note: This means the person whose pesticide certificate number is used accepts the responsibility
and liability for the transportation, storage and use of the pesticides listed on the invoice.
TERMS AND CONDITIONS
The Company hereby applies to Plant Products for extensions of credit on the usual trade terms of Plant
Products from time to time in force to enable the Company to acquire products from Plant Products Nothing
herein shall bind Plant Products to extend credit or to sell products to the Company.
For value received, the Company hereby agrees to pay to Plant Products all indebtedness, liabilities and
obligations of the Company owed to Plant Products from time to time, together with interest and other sums
owing pursuant thereto (collectively, the “Obligations”). All Obligations shall be paid by the Company
without any right of deduction, set -off, compensation, counter-claim or other defence. For accounts past due,
interest shall be charged at 18% per annum.
The Company hereby represents and warrants to Plant Products that:
(a)
it is validly existing and has full right, power and authority to enter into this agreement and to
perform its rights and obligations hereunder;
(b)
it has the financial ability and willingness to pay for all invoices issued by Plant Products
within established terms; and
(c)
all information supplied by the Company for this credit application, including without
limitation the Company’s legal name, is true and correct, and the Company will immediately notify
Plant Products in writing of any change in such information .
The Company hereby authorizes Plant Products to make investigations of its credit standing for which this
application has been made, as deemed necessary by Plant Products
This Agreement shall be governed by the laws of the Province of Ontario.
SECURITY
For value received and as a general and continuing collateral security for the satisfaction of all Obligations,
the Company hereby grants to Plant Products a security interest in all the Company's personal property and in
the undertaking of the Company, whether now owned or hereafter acquired directly or indirectly by the
Company, whether now existing or hereafter arising.
Immediately on request of Plant Products, at any time, the Company shall execute and deliver to Plant
Products all financing statements, security agreements, and other instruments and documents that Plant
Products may request for the purpose of implementing or confirming the terms of thi s agreement.
At the option of Plant Products, the Obligations secured by this agreement shall immediately become due and
payable in full. Upon nonpayment when due, Plant Products may exercise any and all rights and remedies of a
creditor under the Personal Property Security Act (Ontario), any other law, or any court rule.
The credit limit extended by Plant Products to the Company may be decreased or this agreement may be
terminated at any time at the sole discretion of Plant Products; provided however a decrease in the credit
limit or a termination of this agreement and the underlying credit line shall in no way affect, and this
agreement shall remain fully operative as to, any transactions entered into or rights or security interests
granted or Obligations secured by this agreement that are incurred before such action is taken .
