TYRCONNELL HERITAGE SOCIETY CONSTITUTION Article 1-Name 1. The Society shall be known as the Tyrconnell Heritage Society hereafter referred to as the Society. The Society is an affiliate of the Ontario Historical Society and was incorporated in 1994. Article 2- Objective 1. To preserve and promote the history, culture, and area surrounding the Backus-Page House Museum within the Talbot Settlement. 2. To carry out the above objective of the society without the purpose of gain for its members. 3. To use any profits, materials or properties accrued by the society solely to promote the first objective. Article 3-Membership 1. The society shall be composed of individual, couple, family, organization, life, business and honourary members. 2. The individual, couple, family, organization and business members shall be those who pay an annual fee which will be determined the Society. 3. Individual life members shall be those who pay a one- time fee that will be determined by the Society. 4. Honourary membership may be conferred on a person considered by the Board as deserving. These members pay no fee and the honourary membership is non- transferable. 5. Membership may be denied or revoked at any time by 2/3 majority decision of the Board present. Article 4-Rights and privileges of Membership 1 All current individual, couple, family, life and honourary members have the right to: a. Be nominated to sit on the Board of Directors and to hold any of the executive positions if elected and b. Vote at any general meeting, including the Annual General Meeting if in attendance. Article 5-Board of Directors 1. The Board of Directors also referred to in this document as the Board, will consist of the following positions: a. The Executive, consisting of President, Vice President, Treasurer and Secretary b. 7 Directors 2. Elections for the members of the Board will take place at the Annual General Meeting. They will take office immediately following the Annual General Meeting. 3. The Board of Directors shall elect a President, Vice President, Secretary, and Treasurer from its ranks at its first meeting in each year to serve in that position until the next Annual General Meeting. 4. The Board of Directors shall be elected to three year terms and every effort shall be made for terms to expire on a staggered basis for business continuity purposes. Persons serving on the Board of Directors shall be eligible for re-election, but shall not be eligible for the same executive position for a period of more than one year. After an absence of not less than one year such persons shall be eligible for re-election. 5. Vacancies on the Board as a result of elections or occurring through the year may be filled by decision of the Board. 6. In order to remain a member of the Board one cannot miss more than three (3) of the monthly meetings. Tyrconnell Heritage Society Constitution Page 1 Article 6-Duties of the Board of Directors 1. The Board of Directors shall perform duties customarily attached to such posts according to the policies. 2. Each Board member shall serve on at least one committee. Article 7-Meetings: 1. The Board of Directors a. The Board of Directors shall meet no less than nine times a year. b. A quorum shall consist of the majority of the Board. 2. General Meetings a. The Annual General Meeting shall be held within 90 days of the fiscal year end each year. At that meeting, the membership shall: i. Elect members of the Board; ii. Adopt the budget and iii. Set fees for membership as recommended by the Board. b. A general meeting of the membership may be called by the Board of Directors with at least ten business days’ notice in writing to the general membership. Article 8-Parliamentary Authority: 1 The meetings of the society shall be governed by the Robert’s Rules of Order. Article 9-Auditor: 1. The Board of Directors shall appoint an auditor to report on the society’s financial accounts, prior to the annual meeting. 2. The financial year will run from January 1 to December 31 each year. Article 10-Amendments 1. This Constitution may be amended at the Annual General Meeting of the membership providing that: a. the notice of the motion shall have been given at least thirty (30) days in advance in writing to members and b.
