DISCUSSION/ CONCLUSION/ RECOMMENDATIONS ACTION PLAN/ PERSON RESPONSIBLE Call to Order The 2013 PCOGS Second Annual Business Meeting was called to order by President Marilyn Laughead at 2:35. Approval of minutes Secretary-Treasurer Lam announced that minutes from the 2013 First Annual Business Meeting were recorded to be transcribed and posted for approval. -All Candidates for Fellowship President Laughead opened the discussion of candidates for Fellowship. The following Candidates have fulfilled the requirements and will be submitted to the Board of Directors for approval and placed on the ballot for Society membership. Seattle Caucus: Jane Dimer, Rebecca Dunsmoor-Su, Julie Lamb Portland Caucus: Brandon Bankowski, W. Gary Hoffman, David Lee, San Francisco Caucus: Arzou Ahsan, Raydeen Busse, Los Angeles: Brian Acacio, Laila Muderspach IV. Election of 2014 Officers Outgoing President Marilyn Laughead, the non-voting chair of the Nominating Committee, proposed the following candidates. Each officer was nominated and then nominations were open to the floor. When no additional candidates were offered the nominations were closed. Each office, separately was elected as follows; President (Previous President-Elect) Donald Barford President-Elect Phillip Patton Secretary-Treasurer (Re-elected) Fung Lam Assistant Secretary (Re-elected) David Lagrew V. Bylaw changes The following Bylaws change was presented to the general membership and openly discussed. The change was adopted by an affirmative vote greater than two-thirds of voting members present. ArticleVI Section 5. Investment Advisory Committee. An Investment Committee of three Fellows who are not members of the Board of Directors shall be appointed by the President and approved by the Board. Standing Rules DISCUSSION/ CONCLUSION/ RECOMMENDATIONS accounts quarterly to the Board of Directors and at each Board of Director Meeting and to the membership at the First Business Meeting of each Annual Scientific Meeting. The Investment Committee Members shall serve staggered three year terms and shall be eligible for one additional three year term. The following Bylaws change was presented to the general membership and openly discussed. The change was adopted by an affirmative vote greater than two-thirds of voting members present. Article IX Rules of Order Parliamentary Authority Robert’s Rules of Order Newly Revised, Current Edition, shall be the official rules under which the business of the Society is conducted. The following additions to the standing rules were presented to the general membership and openly discussed. The change was adopted by an affirmative vote greater than two-thirds of voting members present. 15) To enhance continuity it is recommended that the Arrangements Chair/s for the succeeding year’s meeting work together with the current Arrangements Committee in planning and events’ coordination including the pre-meeting site visit. The Board of Directors may authorize the Secretary Treasurer to contract with an events coordinator or consultant when required.(2013) 16) The President shall appoint, subject to the approval of the Board of Directors, a Continuing Medical Education (CME) Coordinator. The Continuing Medical Education (CME) Coordinator shall serve a term not to exceed three (3) years. It shall be the CME Coordinator’s responsibility to assist the Program Chair and the Program Committee in the process of completing the paperwork necessary to obtain CME accreditation. The Continuing Medical Education (CME) Coordinator shall also serve as a liaison to the accrediting agency and attend workshops and meetings as necessary to facilitate Board shall determine the number of possible “Meritorious” candidates each year by estimating the covered expenses for the candidates and the estimated income from the Scholarship Fund for that year. The costs (waiver of registration fee) will be borne by the Ted Adams Memorial Fund with Board approval. The candidate will be responsible for their own lodging, transportation and other expenses.(2013)and maintain compliance with CME requirements.(2013) VII. Policy Board shall determine the number of possible “Meritorious” candidates each year by estimating the covered expenses for the candidates and the estimated income from the Scholarship Fund for that year. The change was adopted by an affirmative vote greater than two-thirds of voting members present. The Investment Committee announced that Robert W. Baird & Co. was selected to manage our reserve fund investment portfolio Financial Management & Investment Policy Investment of PCOGS operating and reserve funds are governed by the following policy: a. All monies shall be deposited in a FDIC participating financial institution/s and maintained by the Society Secretary-Treasurer. b. Funds anticipated for general administration of the society’s business and Annual Meeting shall be deposited in accounts that allow daily access by the Society Treasurer such as regular checking, money market accounts or savings accounts as determined by the Secretary Treasurer. c. Society reserves may be deposited in FDIC guaranteed Certificates of Deposit or through the financial institution’s investment services in (1) US Government Treasury Bills or Notes (24 months or less) and/or 2) Federal Home Management Corporation Notes (US Government backed) discounted terms of 24 months, mutual funds, securities, or bonds. The Society shall not invest in derivatives, real property, or joint ventures. Should the Society receive gifts in the form of derivatives, or real property that do not fall within the above definitions the gift shall be sold under the direction of the Board of Directors, with consultation if deemed necessary, and retained as cash, certificates of deposit, Treasury Bills or Notes, Federal Home Management Notes, or invested in securities or bonds. Any funds invested by PCOGS that do not fall under the protection of the FDIC or other government backed programs shall be approved by the Board of Directors. At least one year of operating funds including average meeting costs and general expenditures (averaged over the previous three years) shall be held in bank accounts, CDs, Treasury Bills or Notes, or other government backed accounts. The Board shall approve a financial advisor who shall manage the invested funds in a balanced portfolio of multiple stocks, bonds, or funds with the goal of exceeding inflation while attempting to minimize downside loss risk. Members of the Investment Committee or Board of Directors shall not have an undisclosed direct or indirect financial interest in the investment advisor. Installation of the 2014 President Committee Members 2014 DISCUSSION/ CONCLUSION/ RECOMMENDATIONS As per PCOGS Bylaws Article VI, Section 5 and Investment Committee of three Fellows who are not members of the Board of Directors shall be appointed by the President and approved by the Board. The Investment Committee shall advise the Board and report the status of any investment accounts quarterly to the Board of Directors and at each Board of Director Meetings and to the membership at the First Business Meeting of each Annual Scientific Meeting. The SecretaryTreasurer shall provide the Investment Advisory Committee with monthly statements on all invested funds. Any interest or dividends received form deposited funds including general operating funds, temporarily restricted funds, or permanently restricted funds shall be retained by the Society and utilized as operating general operating funds for the Society. Outgoing President Laughead passed the gavel to incoming President Donald Barford. Donald Barford presented Marilyn Laughead with a society plaque in appreciation for her service to the Society. She was also presented a sculture of blown glass. President Barford took over as the presiding officer for the remainder of the meeting with Secretary-Treasurer Lam at the head table. President Barford then announced the appointment of the 2014 committee members. (October 21-26, 2014). A presentation was made highlighting the spectacular venue.
