rms of Business

These are the terms of business that apply to all engagements undertaken unless the proposal to which this is attached expressly amends or excludes them.

Confidentiality In accordance with generally accepted standards of ethics we are prevented from divulging confidential information relating to the business or affairs of a client without their express and prior authority.

Terms of Proposals The terms of all proposals will be valid for a period of thirty days from the date of the proposal unless otherwise stated. We reserve the right to review terms offered if the proposal is not accepted within this thirty-day period.

Training Specifications Where the client requests and/or revises the specification of the training, TDSi reserves the right to revise its fees

Payment Terms Standard Engineer training at TDSi premises is free of charge. However, booking of places on courses is only confirmed after receiving a purchase order for the full cost of the training. Customers will not be charged for any engineers who attend and pass the course. Unless otherwise agreed in writing all invoices are payable within 30 days upon receipt of invoice. Fees are payable in pounds sterling.

We reserve the right to charge interest on overdue balances at the rate of 3% (three percent) above UK base rate per annum, calculated daily from the date payment was due until the day that payment is received.

Provisional bookings Where a booking made, by email or over the telephone is not accompanied by a formal purchase order (sent either by post or by email), the booking will be deemed to be provisional (“Provisional

Booking”). Provisional Bookings are not guaranteed and remain subject to date changes. When a formal purchase order has been provided (either by email or by post), the individuals’ place on the Course will then be confirmed.

Course transfers There is no charge for transferring your booking to the same course on an alternative date provided you notify TDSi in writing up to 21 days before the start and if there is availability. However, a transfer fee of 20% of the course fee (plus VAT) will be payable if the notice is received less than 21 days before the start of the original course. No refund will be made in the event of a transfer. No more than one transfer will be allowed.

Requests to transfer a course must be made in writing and can be sent by email to support@tdsi.co.uk.

Confirmation of acceptance of the transfer requested will be provided in writing.

Cancellations and Delays If you notify TDSi in writing

(via letter, email or fax) up to 28 days before the start date of a course, you will receive a full refund less an administration fee of 20% (plus VAT) of the course fee. If you withdraw for whatever reason within the 28 day period, the full fee will remain payable even if you are unable to nominate a substitute attendee. Substitutions should be received by the TDSi at least 48 hours prior to the course start date.

Non-attendance If you fail to attend the course on which you are booked and have not given the required prior notice to TDSi then the course fee will remain payable in full and no transfer will be allowed.

Cancellation by TDSi Where circumstances dictate,

TDSi reserves the right to alter published programmes, trainers, fees or venues without prior notice. In the event of a course being cancelled, a refund of the course fee will be made but no compensation will be paid for any additional costs incurred.

Termination for Breach TDSi shall be entitled to terminate this agreement forthwith on: -

Failure on the part of The Client to place a purchase order.

The levying of any distress or execution against The

Client or the making by The Client’s liquidation

(other than a member’s voluntary liquidation).

Doing or permitting of any act by which TDSi’s rights in any intellectual property are prejudiced into jeopardy.

Force Majeure TDSi and the client shall be released from their respective obligations in the event of national emergency, war, prohibitive government regulations or in any cause beyond the reasonable control of the parties, or either of them renders the performance of this agreement impossible, whereupon all money due under this agreement shall be due and paid immediately.

Teaching & Training and other workshops other than at a TDSi location In the event that training is requested at a non-TDSi location the venue selection, travel & accommodation requirements are the sole responsibility of the client to arrange and fund. TDSi personnel may make such arrangements at the clients request on the strict understanding that all financial obligations and payments remain between the client and venue.

Detailed terms & conditions and associated costs of all engagements that require the attendance of delegates at residential or non residential venues will be sent in advance of any such engagement and form an integral part of the contract between TDSi and the client.

Governing Law All engagements are accepted on the basis that they are to be governed by English law and subject to the non-exclusive jurisdiction of the English courts in any disputes.
