General terms and conditions
Scope
These general terms and conditions apply to all sales from
Momentum Industrial AB (“Momentum”). The only situation
in which these general terms and condition shall not apply is
where both Momentum and the customer have made a
written derogation therefrom executed by both parties. The
terms and conditions shall apply irrespective of whether or
not any reference is made to them. Any reference by the
customer to other terms and conditions, whether in an order
or otherwise, shall be ineffective.
Delivery terms
Delivery shall take place in accordance with delivery terms Ex
Works. Momentum invoices the customer for packaging.
Goods in stock shall be delivered as soon as possible, subject
to any intermediary sales.
In the event of urgent acquisition of goods for supply to the
customer, the customer shall be debited for the delivery
costs to Momentum. With respect to products other than
those included in MOMENTUM’s ordinary range (so-called
“skaff”), MOMENTUM is entitled to debit the Customer for
the delivery costs to MOMENTUM.
Criticisms in respect of delivery must be made no later than
10 days from receipt of the goods. Where the delivery is
damaged during transportation, such fact must immediately
be notified directly to the transportation company.
Products from parties other than regular suppliers
Certain products that Momentum acquires on behalf of
customers are acquired from suppliers other than
Momentum’s regular suppliers. In respect of such products,
Momentum is unable to warrant the origin, condition or
functionality of the product. Accordingly, Momentum shall
not be liable for any defects or deficiencies in such products.
As far as possible, when products are acquired from suppliers
other than Momentum’s regular suppliers, such fact is
indicated by Momentum in its offers. Specific returns
provisions apply to such products; see below.
Payment terms, etc.
In the event of credit: 10 days net after the invoice date.
After the due date, penalty interest on arrears is charged at
the reference rate +8%.
Other cases: Against cash on delivery or in cash.
Value added tax, freight or postage are payable on all orders.
A reminder fee of SEK 60 is payable where payment
reminders are sent.
Before the customer is entered in our customer register,
credit record information is obtained in order to determine
delivery terms and credit limit. Momentum reserves the right
not to deliver to companies whom Momentum considers do
not have a satisfactory financial position.
Prices
Momentum’s price list at the time of delivery applies to all
products. We reserve the right to adjust price errors.
Where a specific offer is provided, the price terms stated
therein shall apply. Where an offer is based on acquisition in
a currency other than SEK, Momentum shall be entitled to
adjust the price in the event the currency exchange rate
differs by +2% or more between the order date and delivery
date.

Returns
Returns of goods are accepted only following our approval.
The article must be included in our regular stock and not
produced specifically for the customer. The returned article
must be unused and defect-free. It must have been delivered
no more than three (3) months prior to the return. Our
shipping note number or invoice number must always be
stated in order for returns to be approved. The invoiced
value is credited less 30% and a return fee of SEK 250.
Returns with a goods value excluding VAT of less than SEK
250 are not accepted.
Cancellations or modifications of placed orders may take
place only following acceptance from Momentum. In the
absence of such acceptance from Momentum, the order is
binding and carries full payment liability.
Advice and other services
When Momentum performs services on behalf of the
customer, the customer is obliged to facilitate Momentum’s
performance of the services in a manner which is reasonably
compatible with the customer’s activities. This means, among
other things, that the customer must afford Momentum
access to premises, tools and consumables to a reasonable
extent. The customer also undertakes to provide all
documentation that Momentum may require for the
performance of its work (e.g. drawings, regulations, machine
data and descriptions).
The advice that Momentum provides to the customer does
not constitute any warranty regarding a particular function or
suchlike. The customer shall at all times and at its own risk
decide on the use of various products, etc. Momentum’s
advice merely constitutes one part of the basis for the
customer's decisions.
Momentum may not be held liable in the event the
customer, by retaining Momentum, misses out on warranties
from other suppliers or suchlike.
Complaints
Any complaints must be accompanied by our shipping note
number/invoice number and information regarding the
alleged defect.

Other terms and conditions
Momentum’s liability in damages or regarding any other
claim for compensation payable to a customer shall at all
times be limited to the applicable amount under the relevant
standard terms below or the value of the product or service
to which the claim for compensation relates, whichever is
lower.
Insofar as any circumstance is not governed by this
agreement, the following standard terms shall apply:
