Sisseton City Cemetery Association
MEMBERSHIP
Section 1. The owner or representative of a grave site shall have a voice at annual meetings.
ANNUAL MEETING
Section 2. The annual meeting will called by the board president in the early spring. Public
notice of the place and time of such meeting shall be given by publishing notices in the local
paper once prior to the meeting.
BOARD OF DIRECTORS
Section 3. At the annual meeting there shall be elected a Board of a minimum of seven (7)
directors, who shall hold office for one year. If any vacancy in the Board of Directors should
occur during the year the same shall be filled by a majority vote of the remaining directors.
BOARD OF TRUSTEES
Section 4. There shall be three (3) Trustees elected by the Board for a period of one year. One
Trustee shall be elected from this number to act as treasurer. The Trustee treasurer shall keep a
record of the perpetual funds.
ELECTION OF OFFICERS
Section 5. As soon after their election as convenient, a meeting of the directors shall be held and
they shall elect from their number a president, a secretary, a treasurer, and trustees, all of who
shall hold office for one year.
MEETINGS OF DIRECTORS
Section 6. The president or secretary may call meetings of the board of directors, which shall be
held at the time and place designated by the person calling the meeting, and verbal notice to
members of the board shall be sufficient.
MEETINGS OF TRUSTEES
Section 7. The trustees shall meet once a year, prior to the annual meeting. The Trustee
Treasurer shall present their report to the Board of Trustees. The Board of Trustees shall report
to the Board of Directors at the annual meeting.
SPECIAL MEETINGS OF THE MEMBERS
Section 8. Special meetings of the members of this corporation may be called by the president or
secretary thereof. Public notice of the time and place and object of such meetings shall be given
by publishing the same once prior to the day of such meeting in a newspaper in said city; and no
business shall be transacted at such meeting, except such as is mentioned in such notice.
QUORUM
Section 9. Five directors shall constitute a quorum of the board of directors.
PRESIDENT
Section 10. The president is the head and managing officer of the corporation and his duties
shall be such as are ordinarily performed by such officer. He may, at the digression of the board,
appoint committees as may be necessary.
SECRETARY AND TREASURER
Section 11. The secretary shall attend all meeting and shall record their proceedings. The
treasurer shall have charge of the records, files, and books. The secretary shall keep a correct
record of all conveyances of lots in the cemetery, to whom and when conveyed and the price
paid therefore.
SEXTON
Section 12. From their numbers, the Board of Directors shall elect a member to serve as sexton.
The sexton will execute sale and deliver receipts of lots in the cemetery upon full payment for
the same. The sexton shall receive and record burial permits and deliver copies to the Register of
Deeds.
COMMITTEE ON GROUNDS
Section 13. The committee on grounds shall consist of two members and the president. It shall
be the duty of such committee to visit the cemetery at least once each month, from April to
October. It shall have general supervision of all labor and improvements on the ground. The
committee shall bring to the board any suggestions for major improvements for approval or
denial.
AUDITING
Section 14. An independent annual audit shall be called by the board to review the annual
financial report of the Trustee and general accounts. The audit will be conducted before the
annual meeting.
SALE OF GRAVESITES AND PRICE
Section 15. The sale of gravesites shall be under the direction of the board. The board will
authorize the sexton to execute sale and conveyance of gravesites in the cemetery upon full
payment of the price fixed for same. The Board of Directors are hereby authorized and directed
to, by resolution, fix and determine the price on all gravesites now platted and unsold; and they
are hereby further authorized to plat the unplatted and any newly acquired tracts into lots and
gravesites. No gravesites shall be sold unless the purchase price is paid, and in no case shall a
receipt be executed or delivered until the full purchase price is paid. Until the full purchase price
and all charges due the cemetery are paid, burials on gravesites are not allowed.
PERPETUAL FUND
Section 16. The perpetual fund, of which only the income shall be used in caring for,
ornamenting, beautifying and improvise the grounds of said cemetery, was created and
established pursuant to Section 8892, of the 1939 Code of this State. All money which had
heretofore been and may hereafter be paid, donated or bequeathed to said corporation for
perpetual care of lots or grounds, and twenty-five per cent of the proceeds of lots sold after these
by-laws are adopted, shall be and belong to the perpetual fund and shall be promptly paid to the
Board of Trustees. No part of the principal of such perpetual fund shall ever be spent, but said
Board of Trustees shall invest and keep the same invested in such interest bearing securities as in
their best judgment will bring good income and at the same time be perfectly safe. The trustees
shall, at each annual meeting of the members of this corporation, account for all income arising
from such perpetual fund and pay same over to the treasurer of said corporation. They shall
make a full and detailed report of the condition of such fund whenever required by the board of
directors; and such directors shall also have power to require bonds from such trustees, from time
to time, conditioned for the faithful discharge of their duties, in such amounts as such directors
may deem necessary for the safety and proper security of such fund.
CARE OF LOTS
Section 17. The income from the perpetual fund shall be transferred to the general fund for the
care of the cemetery.
BEQUESTS FOR CEMETERY
Section 18. All bequests to the Sisseton Cemetery Association need to be accepted and approved
by the Board of Directors.
RULES REGARDING INTERMENTS
Section 19. All burials must have a permit. This permit shall state the full name of the deceased,
sex, date and place of death, so far as such facts can be given; and no burial shall be allowed
without this permit and the sexton’s endorsement. All graves must be opened and filled by the
grave digger appointed by the board. Opening and closing fees shall be set by the board.
AMENDMENT OF BY-LAWS
Section 20. These by-laws may be altered, amended, or repealed by the board of directors at any
meeting thereof by a vote of two-thirds (2/3) of the directors elected.
GENERAL RULES
Section 21. All rules and regulations for the Sisseton Cemetery shall be set by the Board of
Directors.
VETERAN’S SECTION
Section 22. The Veteran’s section is authorized under the discretion of the Sisseton Cemetery
and is subject to the rules of such. The VFW and the American Legion’s representatives may
address any concerns to the Board of Directors. The Sisseton Cemetery may waive all gravesite
fees. The Veteran’s section of the Sisseton Cemetery will have a designated stone setter who
will be determined by the VFW and American Legion. The grave digger will be specified by the
Sisseton Cemetery Board.
