Description of Duties: This position provides support within the legal office of the Chief Counsel in the Pennsylvania Infrastructure Investment Authority (PENNVEST) and assists the agency counsel in servicing the clients' legal needs. The incumbent also performs technical work and prepares analysis for the client; assists funding recipients, engineers, attorneys, and legal support staff, when necessary to coordinate the PENNVEST process and management of complex multi-million dollar transactions funded by various federal and state sources (the "Settlement Process"). The incumbent primarily coordinates the documentation of the transactions and obtains all approvals through the Settlement Process and handles the loan servicing requirements assigned in the management of a $4+ billion revolving loan portfolio. The position also assists agency counsel with administrative matters or cases; application reviews; the creation of funding offers; the preparation of trial filings, briefs, and transactional documents including the nutrient trading program, regulatory or legislative initiatives, documents involved in PENNVEST bond issues, and management of all office documents and any other matters requiring support services. Independently manages the settlement process and settlement files for assigned PENNVEST projects from the time of board approval through the completion of settlement. Coordinates the efforts of PENNVEST's project manager, PENNVEST's legal counsel, funding recipient, funding recipient's counsel, and engineer to ensure that the necessary supporting documentation is collected based on the designated funding source, entity type, type of collateral, and type of project. Independently manages the Nutrient Credit Settlement through the online auction process and ensures all necessary documentation has been submitted in order to participate in the auction. Creates the appropriate settlement documents that pertain to the transaction and drafts any documents that are not automatically created on the online system, such as Intercreditor Agreements, Irrevocable Bank Letters of Credit, Pledges of Accounts or stocks or marketable securities, transaction documents for Nutrient Credit Program, and other legal documents pertaining to PENNVEST transactions. Reviews supporting documentation to ensure compliance with general municipal law, the Clean Water State Revolving Fund, the Drinking Water State Revolving Fund, PENNVEST's enabling statute, and PENNVEST regulations as may be applicable. Verifies the financial cost breakdown for each infrastructure project and the general management plan of the project. Verifies that funding recipients have properly obtained approval as may be required by the Department of Community and Economic Development; the Department of Environmental Protection; the U.S. Environmental Protection Agency; the PENNVEST project specialists; the Comptroller's Office; the PENNVEST Finance Department; and any other regional, local, or state approvals needed for the project. Reviews and monitors transactional filings for Uniform Commercial Code compliance and otherwise reviews and monitors perfection of all collateral. Conducts lien searches and briefs counsel on issues which may adversely impact funding recipient's financial condition. Is responsible for "document management" of all legal office transactions, litigation, and agency matters, including the retention and maintenance of an electronic data management system and the appropriate indexing of documents and exhibits. Conducts research and provides assistance to counsel in settlement, litigation, appellate matters, administrative proceedings, bankruptcy, and other matters pertaining to the daily legal needs associated with the operation of the agency. Attends meetings of the PENNVEST Board of Directors and prepares minutes of the meeting for review by agency management. Attends other meetings of the agency as assigned, takes notes, and distributes to the working group. Assists counsel with management of Right to Know Law requests, records retention, and other administrative matters impacting the agency. Attends agency hearings, trials, administrative proceedings, and settlement negotiations and assists PENNVEST counsel during all phases of the case and/or settlement. Attends stakeholder meetings and takes minutes for any new program developments. Handles sensitive and confidential matters consistent with attorney-client privilege. Assists in briefing specific issues for counsel as needed. Conducts factual and legal research related to the transactions, regulated industries, consumers, sister agencies both federal and state as they relate to PENNVEST programs; monitors legislation impacting the program and assists with all novel regulatory, legislative, and transactional matters. Prepares reports using OGC LawNet, as well as inter-agency reports and summaries regarding transactions and monitoring the pace of the program. Develops agency procedures for complex and new organizational programs and necessary workflows as they relate to the legal needs of PENNVEST. Works independently under the general supervision of the Paralegal Office Supervisor. Works remotely in a virtual office environment. Works at 22 South Third Street, Harrisburg PA as required.
