In collaboration with “Good4 Start Up The Future” Award The Barilla Group in collaboration with the SDA Bocconi School of Management of Milan and Speed MI Up presents NOTICE OF SELECTION OF BUSINESS PROJECTS TO PROMOTE SUSTAINABLE DEVELOPMENT OF THE FOOD SECTOR INTRODUCTION In the context of the “Good for You, Good for the Planet” approach to business, Barilla G. and R. Fratelli SpA, in collaboration with the SDA Bocconi School of Management of Milan and the Speed MI Up1 incubator presents a notice of selection for business projects in the food sector designed to promote sustainable development of present and future generations (The “Award”). GOOD FOR YOU, GOOD FOR THE PLANET “Good for You, Good for the Planet” refers to the only way of doing business that the Barilla Group recognizes, through which it aims to reinforce its presence on the current markets and expand in emerging ones. It means entrepreneurial development that is mindful not only of economic factors and correct nutrition, but also of the environmental and social impacts that every business activity entails. More specifically, where Barilla is concerned, it is important not only to offer good and safe products that are consistent with a balanced diet, but also to promote wellbeing for people and the families that choose them every day, keeping in mind the needs of their communities and of the environment in which they live. “Good for You, Good the Planet” is not a journey that Barilla undertakes by itself from field to table, but rather in collaboration with several reference partners in both the private and public sector. PURPOSE OF THE COMPETITION The “Good4 Start Up The Future” Award aims to support business projects and professional development by young talents which are related to the food sector and designed to ensure sustainable development from an economic, environmental and social point of view. The competition invites business projects put forward by young people who are no more than 30 years of age on December 31, 2014. The objective 1 Speed Mi up is the startup incubator run by Bocconi University, the Chamber of Commerce and the Municipality of Milan. is that of offering a financial incentive for the initial development stage of the activities and/or educational training related to the idea of the project. CATEGORIES Participants are invited to submit a development plan for an innovative food chain solution within the following categories: 1. Good4 our Wellbeing: projects aiming at improving the wellbeing of people through food in relation to nutrition, quality and food safety aspects. 2. Good4 our Planet: projects aiming at promoting one or more sustainable agri-food chains taking into consideration either the food chain as a whole or specific stages of it (cultivation, production, distribution...). 3. Good4 our Communities: projects created to increase the social inclusion of all those belonging to a community through the promotion of food as a means of wellbeing and socio-economic development. 4. Good4 our Knowledge: projects that both promote the “hidden value” of food (quality raw materials, state of the heart [or exclusive] production and logistic processes, controlled supply chain, environmental impact, social impact) that people choose every day for their nutrition and contribute to consumers and young generations gaining better knowledge of the food sector. RECIPIENTS The following can participate in the Award: - University students or university researchers2 aged 30 or under on December 31, 2014 who develop a structured business plan, supported by a thorough feasibility study, and where the business activity has not yet been started. The participants can belong to any university faculty or university research centre. - Young businesswomen and businessmen aged 30 or under on December 31, 2014 who have a strong business idea, supported by a thorough feasibility study, and where the business activity has not yet been started. Participation in the first 3 categories (Good4 our Wellbeing – Good4 our Planet – Good4 our Communities) can be individual or as a working group of up to 3 people. Participation in the Good4 our Knowledge category can only be individual. 2 Only as regards the “Good4 our Knowledge” category, in order to be granted total tuition waiver for the Master of Management in Food & Beverage of the SDA Bocconi School of Management (see also “Contribution”) candidates must have a degree in any discipline, at least 2 years professional experience and meet the admission requirements of the SDA Bocconi School of Management: http://www.sdabocconi.it/en/specialized-master-fulltime-executive/mfb. All members of the jury are excluded from participation. Those who have collaborated in the conception and design of the Award, as well as their relatives up to the third degree, are excluded from participation. Any participation contrary to the terms and conditions of this Regulation will be considered void. HOW TO PARTICIPATE Participation in the Award is free Candidates can access the www.barillagood4.com website page, register and download the Award announcement starting from April 16, 2014. The projects can be uploaded on the website starting on May 7, 2014 and no later than October 15, 2014, using the format available in the private area. After reading and accepting the rules and conditions, the enrolment process will be completed by the activation of the participant's account, which will give access to a private area. In case of groups consisting of more than one member, only one project description can be uploaded by just one contact person per group. To complete their application, participants will find in their private area a space for uploading their project proposal. The form, to be filled in in English, will ask for the following details: 1) Name, Last Name and Date of Birth of the Candidate and of any members of the group (up to 2 in addition to the main contact person); 2) Address, e-mail, telephone number of the main contact person; 3) Brief Personal Biography of the Group members (300 characters max excluding spaces); 4) University/Company and Country of residence of all the group members; 5) Title of the Project (40 characters max excluding spaces); 6) Reference category (Good4 our Wellbeing, Good4 our Planet, Good4 our Communities, Good4 our Knowledge); 7) Brief description of the Project (900 characters max excluding spaces) and Business Plan (defined format and available online); 8) Video Presentation of the Project (optional) (up to 3 minutes) in mp4 format. All candidates will receive confirmation of receipt of application. Completeness and suitability for publication on the website will then be evaluated, and each project will be published on the page dedicated to the Award. The application will be deemed complete when all the elements needed for evaluation as listed in this announcement will have been received. The application will be deemed suitable when in line with the values expressed by the Barilla Group (Ethical Code: http://www.barillagroup.it/corporate/it/home/chisiamo/gruppoBarilla/corporate-governance.html) and respectful of all beliefs and not offensive towards any ethnic group, gender, religion or political and social position. TERMS OF SUBMISSION Candidates can upload their application form from 9:00 AM on May 7, 2014 until 6:00 PM on October 15, 2014 (UTC +2 Time Zone). Projects submitted after the closing time and date will not be accepted. The contact persons of the winning projects will be contacted directly by Barilla or by an agency at the end of the preliminary proceedings and within two months from the closing date of the competition on October 15, 2014 (UTC +2 Time Zone). During the preliminary proceedings the Barilla Group, as well as partners SDA Bocconi School of Management and Speed MI Up incubator, reserve the right to convene the persons responsible for the submitted proposals to investigate the content further. By taking part in the Award, each participant declares and guarantees that the project description submitted (“Project description”) represents an original product and that it was designed and developed in a legitimate manner, through writings, data, images and information gathered and used in accordance with current regulations and that the project description does not infringe any intellectual or industrial property rights or the rights of third parties and that there are no third party rights to it that could in any way restrict or compromise its exhibition or publication in any media by Barilla or persons it appoints. PRIZES 6 projects will be selected to receive the following contributions: Good4 our Wellbeing category - 1 contribution consisting of 1) a one-off grant of 15,000€ for starting the activity covered in the Project description; 2) 6-month speed up tutoring for the development of the activity presented in the Project description in collaboration with the Speed MI Up incubator, from June 2015 to November 2015. Good4 our Planet category - 1 contribution consisting of 1) a one-off grant of 15,000€ for starting the activity covered in the Project description; 2) 6-month speed up tutoring for the development of the activity presented in the Project description in collaboration with the Speed MI Up incubator, from June 2015 to November 2015. Good4 our Communities category - 1 contribution consisting of 1) a one-off grant of 15,000€ for starting the activity covered in the Project description; 2) 6-month speed up tutoring for the development of the activity presented in the Project description in collaboration with the Speed MI Up incubator, from June 2015 to November 2015. Good4 our Knowledge category - 3 contributions consisting of 1) A one-off grant of 15,000€ 2) Total tuition waiver for the winner to enter the Master of Management in Food & Beverage program at the SDA Bocconi School of Management, in accordance with the requirements for participation in the Master's course.3. In the event that the beneficiary's participation does not comply with this Regulation or that one of the beneficiaries cannot be traced or does not respond to communications within ten working days from the communication of the award decision or in the event that the communication is returned to the sender or cannot be delivered, the participant will lose all right to the contribution. The contribution is personal and cannot be transferred to other people. Payment of the contribution does not entitle the beneficiaries to any right of objection, nor to receipt of the equivalent value in other goods, exchanges or substitutions. The beneficiary will give confirmation in writing of acceptance of the contribution. SELECTION CRITERIA The three winners in the “Good4 our Knowledge” category and the six finalist business projects will be selected by a jury specially appointed by Barilla G. and R. Fratelli SpA for the Award and including representatives from the world of academia, business and civil society (“Jury”). The composition of the Jury will be multidisciplinary, international and representative of different contexts. The Jury's decisions are taken by simple majority. For the Jury's decision to be valid, all jurors must be present, including by video teleconference. Each juror has only one vote. The Jury's decision is final and conclusive. The Jury will choose its president internally. SELECTION PROCESS AND EVALUATION CRITERIA OF THE PROPOSAL Stage 1 – all the proposals received by the deadline of October 15, 2014, at 6:00 PM (UTC +2 Timezone), will be examined by the Jury. The projects are evaluated on the basis of the documentation sent by the team and will receive specific scores that will make it possible to draw up a ranking list. Stage 2 – The second stage of selection consists of the following: - - In the “Good4 our Wellbeing – Good4 our Planet – Good4 our Communities” categories: the six groups of finalists identified in the first stage of selection will be invited to participate in the final award event in Italy, called “Final Round”. The “Final Round” will consist of two days of activities organized by the SDA Bocconi School of Management and by Barilla in Milan and Parma in February 2015, when the 6 finalist business projects will have the opportunity of presenting their ideas to the jury and competing for the award of the final contributions (granted to 1 group for each category, for a total of 3 winning groups): a) a one-off grant of 15,000€ for starting the activity covered in the Project description; - b) 6-month speed up tutoring for the development of the activity presented in the Project description in collaboration with the Speed MI Up incubator, from June 2015 to November 2015. 4 http://www.sdabocconi.it/en/specialized-master-full-time-executive/mfb - In the “Good4 our Knowledge” category: the three winners will be admitted to the entrance tests for the Master of Management in Food & Beverage5 program of the SDA Bocconi School of Management and, if they pass them, will automatically be awarded both the financial contribution of €15,000 and total exemption from the enrolment fee to the Master's6 course. PROCESSING OF PERSONAL DATA The participants' personal data supplied in the context of the Award will be handled by Barilla G. and R. Fratelli Spa, the SDA Bocconi School of Management, and the Speed MI Up incubator as autonomous Controllers, in accordance with Legislative Decree 196/2003 “Personal protection code” (hereinafter the “Code”), manually and electronically, solely for purposes relating to the proper execution of the Award and to manage all the preliminary, concomitant and subsequent activities to the same. Provision of personal data is mandatory in order to participate in the Award. Since the data is necessary to execute the requested service, failure to provide mandatory personal data, or provision of partial or incorrect data, does not make this execution possible. Personal data may be brought to the attention of the Controllers' employees or associates who, operating under the direct authority of the Controllers, are appointed as data trustees or authorized users under articles 29 and 30 of the Code and will receive appropriate operating instructions; the same will hold – under the responsibility of Managers appointed by the Controllers – for the Managers' employees or associates. The person concerned can, at any time, exercise his or her rights according to article 7 of the Code by writing to the Controllers at their address or by sending an email at tutor@barillagood4.com LIABILITY AND FORCE MAJEURE Given the free access to information on the Internet and the impossibility of controlling unauthorized use, Barilla disclaims any liability for any misuse of such information by unauthorized third parties. Similarly, Barilla disclaims any liability in case of network (or telephone lines) failure that may prevent regular participation in the Award. No compensation may be claimed for these reasons. RELEASE, TRANSFER OF RIGHTS Barilla G. and R. Fratelli SpA reserves the right to disclose the project descriptions in the way it deems most appropriate. By sending the project, the participants declare that all information provided is true and they accept the Jury's decisions. 1. When registering on the website, participants must read the information about personal data handling and consent to data processing for the purposes specified therein and to the transfer to Barilla of the use and exploitation rights pertaining to the project descriptions. 2. Upon selection of the projects making up the shortlist for the best ideas (stage 2), the authors of the selected projects will be required to sign a release form with which: - They authorize the use and publication of the Project descriptions; - They guarantee the originality of the Project descriptions and that the rights of third parties were respected in the collection of (economic, social, environmental) information/data used in their preparation. APPLICABLE LAW AND JURISDICTION Participation in the Award and drafting of the Project descriptions is to be exclusively in English, therefore any projects written in other languages will be excluded. The Award will be governed by Italian law; all disputes will be under the exclusive jurisdiction of the Court of Milan.
