Limited Partner (Investor) The Investor is the Limited Partner and can be an individual or company that wishes to participate in a Private Equity Fund through a limited partnership (En Commandite Partnership). Participation is strictly on a limited, private placement and private selection basis. General Partner (Fund) The Fund selected is the General Partner. Investment Certificate Investment certificates are issued to Investors confirming their participation in the Fund. Minimum Investment Amount Individual Client investment minimum amount is R100,000.00. Minimum additional investment in the same portfolio is R30,000.00. Additional Investments Additional investments into the same portfolio will be added to the total amount, and the overall maturity date will be reset based on the date of the latest investment. Entry Age An individual must be 18 (eighteen) years of age or older to invest in this product and the maximum age for this product is 91 (ninety-one) years of age. Legal capacities and responsibilities of individuals based on their age, domicile, and status in South Africa will apply. Investment Maturity At the end of the five-year investment term, the portfolio reaches maturity. Capital is returned to investors along with any final distributions, subject to the performance and realisation of the underlying investments. The maturity process includes a structured exit from portfolio holdings, ensuring that proceeds are distributed in line with the fund’s terms and conditions. Investors may also be presented with reinvestment options, where applicable. Switching Options Not Applicable. Risk Profile Duration of Investment The initial term of the investment in the Aluma Fixed Return Income Portfolio is 5 years. Should the client, at the end of 5 years wish to continue with a new 5-year term with a new payoff profile prevailing at that point in time, there will be no sale of the instrument held and therefore, in Aluma Capital (Pty) Ltd’s view, no tax event. The client can renew the investment on this basis, at the then-prevailing economics as determined by the fund manager, for a new 5-year term, up to a maximum of 30 years in total. Early Termination/Redemption/Surrender/Withdrawal Any early termination of the investment for any reason whatsoever including (without limitation) at the request of the investor or disruption event may result in a loss for the investor. A notice period of 90 days is required, during which the investment will be suspended pending disbursement. The investment will not accrue any further returns once disinvestment notice has been received. Where the Investor requests a partial withdrawal of funds from the investment, penalties/exit fees based on the withdrawal amount will be incurred. The minimum fund value is set at R100,000.00, and withdrawals can only be made from amounts more than R100,000.00. Withdrawal requests will be subject to a waiting period. Early Redemption Fee Table Alternative investments are long-term investments and aimed at Investors who will not need access to their capital in the short, or even medium term. Reasons for this are that investments are illiquid, and your capital is locked in. Investors must evaluate and decide on the appropriateness and their exposure appetite to participate in the private equity opportunity. Capital Protection Please note that the use of words or phrases such as (or similar to) “capital protected” in the name of any relevant security or anywhere in the relevant documentation or marketing material refers only to the obligation of the fund manager to repay any initial principal amount at maturity. Capital Protection is only applicable if the product is held until maturity, i.e. 5 years. Capital protection to the full is always the intention. Our further intention is to achieve the hurdle rate. Allocation (Investment Allocation): The distributing of invested funds across various assets, sectors, or regions within a portfolio, as defined by Aluma. Alternative Assets: Non-traditional investment vehicles that don’t include stocks, bonds, or cash. This includes real estate, private equity, commodities, hedge funds, etc. Alternative Credit Instruments: Investments in non-bank credit products such as private debt, direct lending, and distressed debt. Annual Bonus: Only applicable for investments above R 1 million. Capital: The money invested by the Investor in the Investment. Capital Protection: The return of the original capital invested at the end of the Investment period. Ceiling Rate: The maximum rate of return that can be earned on the Investment. Commencement Date: First of every month, unless pro-rata implemented Curator: a person appointed by a High Court to manage a person’s estate as s/he cannot manage his/her affairs. Date of Investment: The date on which the Investor makes the Investment, or; the date on which Aluma Capital (Pty) Ltd accepts / approves the Investment. Disinvestment: The process of withdrawing (a portion or the full amount?) Capital from the Investment. Fund Risk Profile: The level of risk associated with a fund, based on its investment strategy and underlying assets. Fund Switch: The ability for the Investor to exchange one Investment product for another within the portfolio of Investment products offered by Aluma Capital (Pty) Ltd. General Partner: The entity responsible for the management and day-to-day operations of the En Commandite Partnership. Growth: The increase in value of the Investment over Term. Guardian: Both parents are guardians of a child born from the marriage; the mother of a child born out of wedlock is the guardian, unless the father acquires guardianship, for example, by living in a permanent life-partnership with the mother; or the court may appoint a guardian. Guardianship includes safeguarding the child’s property or property interests; representing the child in legal matters; and consenting to marriage, adoption, removal from South Africa, or an application for a passport. Hurdle Rate: The minimum rate of return that the Investment must achieve before the fund manager can charge performance fees. Income: Earnings generated from the Investment including interest and dividends, depending on the type of Investment. Interest (Compounded): Interest calculated on the initial principal and the accumulated interest from previous periods. Investment Certificate: The document issued by Aluma Capital (Pty) Ltd that confirms the Investor’s participation, and the Capital invested. Investment Horizon: The length of time an Investor plans to hold an investment before cashing out or selling. Maturity: On completion of the investment term as set for the fund or option. Minimum Investment Amount: The smallest amount of Capital that an Investor is required to contribute to participate in the particular investment. Parent: The biological father or mother of a child who has full or limited parental rights and responsibilities over his/her child. Payoff Profile: At end of 5-year term, client can go for another cycle, 6 times 5, only reinvest 5 times. Penalties: Financial charges imposed by Aluma Capital (Pty) Ltd for Early Termination or Withdrawal. Performance Rate: The hurdle rate of the fund Rate of Return: The hurdle rate of the Fund. Redemption: The process of selling or converting an investment back into cash. Renew: The option to renew the Investment contract at the end of the Term. Returns: The profits or gains received from an investment, including capital appreciation, dividends, interest, and other forms of earnings. Return on Investment (ROI): The profitability or performance of the Investment, calculated by dividing the net return by the initial Capital invested. Roll Over: Reinvesting proceeds from an investment into a new investment, extending the term or rolling over into a new Investment. Suspended: Halting any activity on the Investment in extraordinary circumstances, that may impact the fair management of the fund.
