Checklist: Setting Up an Incorporated Association in QLD
Pre-Eligibility Requirements



☐Ensure you have at least 7 members
☐Confirm the association is not-for-profit
☐Confirm you have a physical address in Queensland
Internal Meeting and Resolutions



☐Convene a general meeting of your unincorporated group
☐Propose resolutions:
- To become an incorporated association
- To appoint a person to prepare and submit the application
☐Pass the resolutions with a ¾ majority vote
Name Selection




☐Choose a name that:
- Uses only allowed characters (A–Z, 0–9, apostrophes, brackets, full stops)
- Ends with 'Incorporated' or 'Inc.'
☐Check name availability using ASIC's registers
☐Ensure name does not conflict with:
- Another association/business/cooperative/company name
- Government or royal associations, sporting events, financial or educational
institutions
☐Avoid any restricted or misleading names (see Associations Incorporation Regulation
1999)
Rules/Constitution




☐Decide whether to:
- Use the Model Rules, or
- Write your own rules
☐If using Model Rules, complete Appendix B in the application form
☐If writing your own, complete Appendix A
☐Ensure the rules include:
- Operating procedures
- Member rights
- Management committee structure
- Meeting procedures
Management Committee

☐Define the election process for committee members



☐Include details in your rules:
- Terms of office
- Reasons a position may become vacant
- How to fill vacancies
☐Ensure at least 3 committee members (usually President, Secretary, Treasurer)
☐Confirm all committee members:
- Have no disqualifying convictions in the last 5 years
- Are not bankrupt
Application Submission




☐Complete the online or PDF application form
☐Include completed Appendix A or B based on your rule selection
☐Lodge the application with the Office of Fair Trading (OFT)
☐Pay applicable fees
After Incorporation




☐Receive confirmation and certificate of incorporation
☐Lodge annual returns and financial statements each year
☐Keep your rules up to date, register amendments with OFT within 3 months of passing
them
☐Ensure ongoing compliance with:
- Associations Incorporation Act 1981
- Associations Incorporation Regulation 1999
