Business Description and Key Statistics
Sierra Wireless is an Internet of Things (IoT) provider engaged in
providing integrated Device-to-Cloud IoT solutions that are
comprised of its recurring connectivity services, its IoT
embedded cellular modules and routers, its cloud platform, and
its embedded cellular modules and routers. Co. has two
reportable segments: IoT Solutions and Enterprise Solutions.
Co.'s IoT Solutions segment includes its cellular wireless IoT
module solutions, embedded broadband solutions, and IoT
connectivity services. Co.'s Enterprise Solutions segment
includes its range of Sierra Wireless AirLink(R); routers, IoT
applications and advanced network management, managed
network services, and mobility applications.

Enterprise Solutions
Co.'s Enterprise Solutions segment includes its range of Sierra Wireless AirLink® routers, IoT applications and advanced network
management, managed network services, and mobility applications. These secure 4G, LTE, and 5G new radio networking solutions
support mission critical applications in key industries such as retail, financial services, field service, smart grid/ smart metering, oil and
gas, transportation, and public safety. Co. has a range of cellular routers complemented by its cloud-based services and software for
secure management.
Co. has launched its 5G router portfolio, the XR Series. The first two routers in the XR Series, the XR90 and the XR80, enable
customers to utilize the speeds and lower latency of 5G, required for real-time video streaming and voice communications in missioncritical environments and business-critical 5G applications.
Co.'s router solutions address a range of market applications within the mobility, industrial, and enterprise market segments.

shares, no par value, of Co. (the "Merger Consideration"). Additionally, (i) each outstanding restricted stock unit (whether vested or
unvested) of Numerex was cancelled in exchange for the right to receive the Merger Consideration in accordance with the terms of
the Merger Agreement and (ii) each in-the-money option and in-the-money stock appreciation right of Numerex became fully vested
and was cancelled in exchange for the right to receive a number of Co. common shares for each such Numerex option and stockappreciation right determined by dividing (a) the excess of (x) 0.1800 multiplied by the volume weighted average price of a Co.
common share on the Nasdaq Global Market for the five (5) trading days ending on the last trading day prior to the Closing Date
minus (y) the per-share exercise price for the Common Stock that would have been issuable upon exercise of such in-the-money
option or in-the-money stock appreciation right by (b) the volume-weighted average price of a Co. common share on the Nasdaq
Global Market for the five (5) trading days ending on the Closing Date and rounding to the nearest ten-thousandth of a share.
