Statement of End-use and Export Compliance
Appropriate to Dual-use Products and Technology
Exclusive Group. (“Exclusive”) representing all its subsidiaries (Exclusive Networks, ITEC, BigTec, Exclusive Capital), in support of its Global Export
Compliance obligation, requires a party receiving (the “Recipient”) supplied product and/or technology to evidence their export regulatory diligence by
executing this document (the “Statement). In so doing, the Recipient agrees and undertakes to comply with all dual-use export and re-export control laws,
regulations, and/or orders governing the use of or distribution of supplied products and/or technology under auspices including, but not limited to,
Middle-East, the European Union (“the EU”) and the United States (“the US”). This agreement includes, but is not limited to:
1. Recipient certifies that it shall not knowingly cause any denied or sanctioned parties, entities, or organisations to receive the supplied products and/or
technology except as authorised by law. · Additionally, Recipient agrees that none of the product and/or technology is being, or will be acquired for,
shipped, transferred, or re-exported, directly or indirectly, to proscribed or embargoed countries or their nationals, unless authorized by the U.S.
Government and local Government.
2. Recipient certifies that it will use (or direct products thereof for use) the supplied products and/or technology for civil end-uses and not for any
unauthorised military end-use (as defined in the relevant laws, regulations and/or orders of, inter alia, France, EU and the US). Recipient will not knowingly
use (or direct products thereof for use) them : · For chemical, nuclear, biological, or mass destruction weapons development, production, handling,
operation, maintenance, storage, detection, identification or dissemination · Nor the development, production, handling, operation, maintenance, storage,
detection, identification or dissemination of missile systems or rocket systems, · Nor for nuclear explosive activity, Safeguarded and Un-safeguarded
Nuclear Activities, Foreign Maritime Nuclear Propulsion Projects
3. Recipient will not knowingly re-export or otherwise re-sell or transfer any supplied product and/or technology to any third party who does not make the
declaration laid down in points 1 and 2 above.
4. In consideration for receiving supplied product and/or technology, Recipient acknowledges understanding of it, and its subsidiaries, agents, and
related parties sole responsibility for remaining aware and compliant with Middle-East, local, EU and US dual-use export and re-export control laws,
regulations, and/or orders in effect.
5. Recipient will hold harmless Exclusive for any and all penalties, sanctions, restrictions and/or forfeitures arising from Recipients failure to comply with
assurances noted herein
6. Recipient certifies that all of the statements and facts contained in this statement are true and correct to the best of its knowledge and belief and it
does not know of any additional facts that are inconsistent with this statement. Recipient must continuously review its compliance with this statement and
promptly send a supplemental statement to Exclusive disclosing any change of facts in this statement. This Statement shall survive the term and
termination of any relationship between Exclusive and Recipient.
