EVENT PHOTOGRAPHY AGREEMENT This Agreement is by and between ____________________ (“Client”) and ____________________________ (“Photographer”) entered into this ____ day of _____________, 2021. By executing this Agreement, Client acknowledges receipt of a copy of the Agreement and accepts all terms and conditions of herein contained. ENTIRE AGREEMENT: This agreement contains the entire understanding between PHOTGRAPHER and the CLIENT. It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all the parties. If the parties want to waive one provision of this agreement that does not mean that any other provision is also waived. The party against whom a waiver is sought to be effective must have signed a waiver in writing. 2. FEE. The photography fee shall be made as follows: a. Deposit/ Reservation Fee: A deposit of _____ shall be made at the time of execution of this Agreement. b. The remaining balance of ________ shall be paid on or before the date of the event. c. Any additional costs, fees or expenses must be agreed upon between Photographer and CLIENT at least a week prior to the Event. An Addendum to this Agreement will be executed by Photographer and CLIENT specifying the additional services, fees or services. 3. PRE-EVENT CONSULTATION: The parties agree to a pre-event consultation two to three weeks before the event date in order to finalize the actual shooting times, locations, and CLIENT’S request list (in writing) for specific photographs. See Schedule A - Photographic Check List. 4. CANCELLATION POLICY. CLIENT agrees that it is the CLIENT ‘s responsibility to notify the PHOTOGRAPHER prior to _______ weeks of the event. PHOTOGRAPHER reserves the right to retain the deposit should CLIENT fail to timely alert PHOTOGRAPHER of any cancellation. 5. COOPERATION: The parties agree to cheerful cooperation and communication for the Best possible result within the definition of this assignment. PHOTGRAPHER recommends that CLIENT designate an “event guide” to point out important individuals for informal or candid photographs to the PHOTGRAPHER during the EVENT that they wish to have photographed. The PHOTGRAPHER will not be held accountable for not photographing desired people if there is no one to assist in identifying people or gathering people for photograph’s. PHOTGRAPHER is not responsible if key individuals fail to appear or cooperate during photography sessions or for missed images due to details not revealed to PHOTGRAPHER. PHOTGRAPHER agrees to be as discrete as possible and not interfere with planned activities during the event. 6. SHOOTING TIME / ADDITIONS: The photography schedule and selected methodology are designed to accomplish the goals and wishes of the CLIENT in a manner enjoyed by all parties. CLIENT and PHOTGRAPHER agree that cheerful cooperation and punctuality are therefore essential to that purpose. Shooting commences at the scheduled start time. 7. HOUSE RULES: The photographer is limited by the guidelines of the ceremony official or venue or reception site management. CLIENT agrees to accept the technical results of their imposition on the photographer. Negotiation with the officials for moderation of guidelines is CLIENT’s responsibility; However, PHOTGRAPHER will offer technical recommendations and assist in explanations to venues and or officials as required. 8. FILM and COPYRIGHTS: The photographs produced by PHOTGRAPHER are protected by Federal Copyright Law (all rights reserved) and may not be reproduced in any manner without PHOTGRAPHER’s explicitly written permission. 9. EXHIBITION: CLIENT grants PHOTGRAPHER permission to display selected images resulting from this assignment as an example of PHOTGRAPHER work and for entrance into photographic competitions and release all claims to profits that may arise from use of image. 10. MODEL RELEASE. The CLIENT hereby grants to PHOTGRAPHER and its legal representatives and assigns, the irrevocable and unrestricted right to use and publish photographs of the CLIENT or in which the CLIENT may be included, for editorial, trade, advertising and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same. The CLIENT hereby releases PHOTGRAPHER and its legal representatives and assigns from all claims and liability relating to said photographs. 11. LIMIT OF LIABILITY: If PHOTGRAPHER cannot perform this agreement in whole or in part due to a fire or other casualty, acts of God or nature or terror, or other cause beyond the control of the parties or due to Photographer’s illness or injury PHOTGRAPHER will make every effort to secure a replacement photographer. If the situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received for the event package. PHOTGRAPHER takes the utmost care with respect to exposure, transportation, and processing the photographs. However, in the unlikely event that photographs have been lost, stolen, or destroyed for reasons within or beyond PHOTGRAPHER’s control, PHOTGRAPHER liability is limited to the return of all payments received for the event package. The limit of liability for a partial loss of originals shall be a prorated amount of the exposures lost based on the percentage of total number of originals. 12. Entire Agreement. This document reflects the entire agreement between the PHOTGRAPHER and the CLIENT, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both the PHOTGRAPHER and the CLIENT. 13. Dispute Resolution. If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the CLIENT and PHOTGRAPHER agree to attempt to mediate in good faith up to _____ days after notice is given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party. 14. Severability. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 15. Waiver. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement. 16. Applicable Law. This Agreement shall be governed and construed in accordance with the laws of the State of ___________without giving effect to any conflicts of laws provisions. 17. Binding Effect. This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
