RE: Production Planning for Crops, Quantity, and Price of fruits and vegetables
This producer letter of intent (the “Letter of Intent”) represents the basic terms discussed between the Producer
and Buyer. After this Letter of Intent has been made, a formal agreement may be constructed to the benefit of
the Parties involved should one be deemed necessary by either Parties.
I. The Producer: [INSERT FARM NAME] (the “Producer”).
Product: Oklahoma Local Fruits and Vegetables as specified in the production plan (the “Product”).
Production Plan: A detailed list of crop items, target quantities for the 2023 growing season, and price (the
“Production Plan”) in Addendum.
The Producer intends to grow according to the production plan for the Hub on a weekly basis through the
Hub’s online ordering platform for the calendar year 2023.
The Producer intends to drop-off products at the Hub’s drop-off site in OKC. The actual location is being
finalized and will most likely be at the Regional Food Bank located at 3355 S. Purdue, Oklahoma City, OK
73179.
II. The Buyer: OKC Food Hub (the “Buyer”).
Service: Production Coordination, Aggregation and Delivery of local fruits and vegetables (the “Service”).
The Buyer intends to provide an online ordering platform to sell fruits and vegetables on a weekly basis from
local small-midsize farms in OK.
The Buyer intends to coordinate with farmers to aggregate their products into one order on a weekly basis.
The Buyer intends to purchase all available quantity listed with the Hub on a weekly basis as indicated on
the attached production plan in the following priority:
Purchase all available quantities listed under the “RFBO TOP ITEMS” section as long as LFPA funding is
available.
Purchase all available quantities listed under “OTHER ITEMS” section as long as LFPA funding is
available and items fall within the Regional Food Bank of Oklahoma’s weekly operational needs and
capacity.
The Buyer intends to purchase from the Producer on a weekly basis.
The Buyer intends to launch operations in Spring 2023.
IV. Purchase Price: The Purchase Price for all products is specified in the production plan as part of this
agreement.
V.Payment: The Purchase Price shall be paid within 7-10 days of product being delivered to the Hub. As
logistics are refined in 2023, the Hub will work to get payments to producers within a 5-7 day window.
