PURCHASE & ESCROW AGREEMENT
This Agreement ,made on June 7,2021 between Lamont Burson (referred to as"Purchaser ")and Emily Martin,
the Owner of Record of the Item ( referred to as"Seller ").
The Purchaser and Seller recognize Marine Freight Brokerage (herein after referred to as" Thirdparty ") as
the authorized selling third party for this transaction.
The Seller and Purchaser have expressed an interest to enter into this escrow agreement for the sale and purchase
of the item - 2018 Kenworth T680/Stock Number : 675292 - located at BALTIMORE , MD 21224, Storage Facility
number 1.
The Parties have appointed J&J Freight Brokerage LLC located at Miami, FL 33137,US (Escrow Agent )to hold the
amount : $19,600,00 accordance with the terms and conditions of the escrow agreement ,listed below . The item
delivery address is : 1780 NORTH STATE STREET/US1 - BUNNELL, FLORIDA 32110.
1. Purchase Price and Deposit
The purchase price shall be $19,600,00(US Dollars), here in after referred to as "Purchase Price ".
All funds received with regard to this escrow agreement shall be deposited into a escrow account.
The Seller and Purchaser have agreed to appoint the Escrow Agent to hold the above amount for the term of this
agreement.
Furthermore, the Escrow Agent is willing and able to accept such responsibilities as well as act in compliance with this
escrow agreement in it's entirety.
The amount shall be paid to Marine Freight Brokerage, as Escrow Agent, into Marine Freight Brokerage Secure
Account Escrow. The amount will be hold by Agent Escrow as a good faith deposit toward this purchase. At
Purchaser's request, the Deposit is 100% refundable to Purchaser at any time, for any reason.
2. Escrow Account
Purchaser and Seller will empower the Escrow Agent to serve as escrow agent and to be the mandatory of the
transaction. On the date of the completion of the transaction All Funds of the Purchaser will be transferred ,
immediately to the Marine Freight Brokerage account and will remain safe 5-days until the inspection will be
finished.
3. Escrow
The Purchaser and seller cause escrow instructions to be created, signed and delivered to the escrow officer. The escrow
officer will then process the escrow , in accordance with the escrow instructions . When all conditions required in the
escrow are met, the escrow is " closed". An escrow company, via an escrow officer, keep the transfered funds safe in
account escrow. An escrow company will be a neutral third party, who will abideby the laws of the contract if there are
any disputes, or the transaction will be cancelled. Marine Freight Brokerage Escrow Service is a very secure process.

4. ESCROW PAYMENT POLICY :
a. The Purchaser make a wire payment transfer method to our secure Escrow Account, Marine Freight
Brokerage verified the payment, the Seller is notified that funds have been secured ‘In Escrow ’.
b. After payment verification, the shipping process will start and the Purchaser will receive all the information about the
shipping process. Payment verification process can takes up to 24 hours. Marine Freight Brokerage will verify if buyer
received the item. The inspection period will start after the item was delivered.
5. Survey / Trial Run
A. Purchaser obligations related to survey / trial run:
1. Purchaser will conduct any surveys or inspections as soon as practicable after twill receive the item.
B. Seller obligations related to survey / trial run:
1. Seller agrees to make item available to accommodate reasonable due diligence requirements in a timely fashion.
Purchaser remains responsible for cost of survey (as described in section 6, paragraph A, number 2).
2. All costs will be at Seller expense, specifically including item haul out and launch; dockage charges;
subcontractor fees; and any costs associated with returning the item to the condition it was in immediately prior
to survey, i.e . winterized, shrink-wrapped.
6. INSURANCE
Once the item is delivered, the Purchaser will have to fill out the Bill of Lading, which is essentially a condition
report that detailsthe item condition upon arrival. The Purchaser need to start the engine to check for any signs
of mechanical damage. The item will not be delivered at night, the item must be checked by the Purchaser so
that he can see that everything is fine. After Purchaser has checked the item and determines that everything is
fine, he will have to sign the bill of lading. If the Purchaser findssigns of damage, you will need to include them
on the bill of lading and ask the driver to sign it. Purchaser will then contact thecompany directly to inform you
of the refund. Marine Freight Brokerage is a respectable company will want to resolve your complaint as quickly
aspossible. If you take some time to talk to company they will prepare your item for transport and you are guaranteed
a painless shipping experience.
Vehicles transported through Marine Freight Brokerageare eligible for additional coverage through Marine Freight
Brokerage Cargo Insurance . The shipping has included additional coverage . This policy is all-risk covering approved
goods against damage, lost or stolen claims subject to the terms and exclusions of the policy.
7. PROTECTION and REFUND of ESCROW BALANCE —
After the item was delivered, the buyer have three ( 5 ) days inspection period. After the inspection period will finish,
the buyer will contact Marine Freight Brokerage with the results of the inspection. If , for any reason, the item don't
pass the Purchaser's inspection, the respectively item will be returned back to the seller, on seller' s expenses and all
the funds will be returned to the buyer, within 24 hours. For safety reasons the payment details will be treat with
highly responsability and will not be provided to others third parts. Marine Freight Brokerage will have full control of
the funds as soon as it reaches our trust fund account, so we will be able to protect and guarantee your funds.

8. No Liens
Seller represents and warrants that, at Closing, with the exception of known liens that will be paid off and are listed
on the Seller's Closing Statement, the item will be free and clear of all debts, claims, liens, and encumbrances of any
kind whatsoever. Seller warrants and will defend that they have good and marketable title hereto and will deliver to
Broker all necessary original documents, which will be held in escrow by Marine Freight Brokerage until Seller has
been funded and the transaction has been closed. Should any titling, registration, or documentation issues arise,
Seller agrees to remedy those issues within 14 calendar days of the actual Closing Date. Seller further agrees to fully
cooperate with Purchaser and Marine Freight Brokerage to promptly rectify any issues which interfere with
Purchaser' s ability to title the item, trailer or engines (as applicable).

AGREEMENT
This Agreement contract was concluded in 2 (two) original copies, one for each contracting party.
By signing below all parties agree to read and understand the terms and conditions outlined
in this escrow agreement.
