PERSONAT GUARANTEE
Regency Spices agrees to provide its products (Spices, Herbs, Dry Fruits, Nuts and other foodstuffs) in
consideration of timely payments by the Client.
Payments must be received on or before due date by depositing to Regency Spices Bank account, or by
posting a cheque (within due date), or by settling payment by cash or cheque with any delivery (within due
date).
The Client will pay Default lnterest (2% per calendar month, calculated on simple basis, i.e. 24% per
calender year) on the event that payment is not received within the due date.
A maximum 7 calendar days grace period after the due date could be provided on request and subject to
Regency Spices approval. Extension must be requested in writing by email prior to the due date.
Regency Spices retains the right to pause new deliveries in any instances when payments are more than 7
calendar days past due.
Overdue payments and overdue payment interest charges are required to be fully settled before placing
any new orders.
lf the Company: (a) becomes insolvent; or
(b) fails to pay off the loan amount; or
(c) becomes unable to remit payment as the loan amount become due; or
(d) refuses to remit any payment when it becomes due;
the director or the shareholder of the Company shall undertake personal liability for the repayment of
the loan and interest in due manner in accordance with the terms of the credit application.
8) Maximum Liability: the Client must specify the maximum guarantee amount they wish to keep on their
account, either as unlimited guarantee or a specified fixed limit. Outstanding credit balance at any time
cannot (but may at Regency Spices'discretion) exceed the Maximum Guarantee amount.
9) A minimum spending requirement of HKD5,000 per calendar month is required to maintain Credit facilities
at Regency Spices. This limit could be spread across multiple outlets of the same business. lf spending is
below this limit for 3 or more consecutive months, Regency Spices retains to right to stop Sales on Credit.
10) All inventory remains the property of Regency Spices Limited until fully paid. lnventory over 30 days but
within 60 days since delivery date wlll be valued at 50% for purposes of or relalating to settling any
outstanding balance. lnventory over 60 days since delivery date will be valued at 0% f or purposes of or
relating to settling any outstanding balance
