Vision & Mission Statement • Vision: • Mission: At HEINEKEN, our vision is to empower consumers by providing choice over the right beverage for the right occasion, everywhere and at any time of day. We brew the highest quality beers, build globally loved brands and strive to do both of these things as sustainably as possible. Company Governance & Shareholding Structure • Heineken complies with all the Dutch corporate governance code. • The Code regulates the relationships between the management board, supervisory board and annual general meeting of shareholders. Listed companies use the Code as a guide for setting up their governance structures and processes. In addition, the Code is a source of inspiration for many other companies and institutions that choose to apply the Code voluntarily. • The shareholding in Heineken N.V.: • Heineken Holding N.V. owns 50.005%, retaining the Family involvement and vision. • FEMSA, through its affiliates CB Equity and CSCAP, S.A. de C.V., owns 8.632%. • The remaining 41.363% is owned by public shareholders and includes shares held in Treasury. • The shareholding in Heineken Holding N.V.: • L’Arche Green N.V. has a 52.599% shareholding. Throughout his 22 year career at HEINEKEN he has successfully built high performing teams in both developed and developing markets. He is currently a highly valued member of the Executive Team and successfully leads the Asia Pacific region as President. • My own personal opinion would be that following an ownership/stewardship situation in this case would be the more logical move to make as Dolf van den Brink has proven himself worthy to take responsibility of this job. Family Involvement Vs Managed Company • Based on the research done, the family still maintains control of the company. • “As a family-owned business we can take a longer view on company operations. We make investments for the long haul – not for the next quarter or decade, but for the next 100 years or so. The family aspect gives us a better stance in managing the business” – A company spokesperson said. • The Heineken family owns around 50% of the business through the family’s holding company, L'Arche Green, which holds a little more than half of the group. • Hence it’s safe to say that the company doesn’t necessarily have too many outside investors or shareholders that controls the operation and management of the business without going through the family first. Family Office Charlene de Carvalho-Heineken is a Dutch-British billionaire businesswoman, and the owner of a 25% controlling interest in the world's second-largest brewer, Heineken N.V. She is the richest person in the Netherlands, with a net worth of $16.7 billion as of May 2021, according to the Forbes billionaires list. L'Arche Holding SA is a Swiss investment company that takes positions in the equity of multiple public and private companies as well as private equity funds. It is heavily involved in the alcoholic beverage industry. I would recommend personally for them to be a single family office as it’s easier to focus on their vision and mission of the company. Generational Shifts Heineken has purely maintained in the Alcoholic beverage industry. They have created multiple variety of beer such as: • • • • • • • • • Heineken Lager Beer. Newcastle Brown Ale. Amstel. Cruzcampo. Birra Moretti. Murphy's. Dos Equis XX. Ochota.
